5 FATTORIA SVETONI WINERY

—Francesco Redi Italy’s history is steeped in wine. Its process of winemaking is considered both an art and science that consistently yields a product that continues to be the cornerstone of every wine buyer’s list. The literal translation of Vino Nobile di Montepulciano is “noble wine.” Beyond upholding a DOCG status — the highest classification for Italian wines and the first variety to achieve this status — its earliest references date back to the 14th century, with its name being given by 17th-century nobility who favored it above all others. Italian poet Francesco Redi’s famous 1685 poem Bacchus in Tuscany decreed it as the “King of all Wine!” Even Thomas Jefferson was a fan, stating, “For the present I confine myself to the physical want of some good Montepulciano … this being a very favorite wine, and habit having rendered the light and high-flavored wines a necessary of life with me.”

Italian wine, of course, is all about the grapes and can be distinguished by the execution of its holy trinity: fruit, acid and wood. At Fattoria Svetoni, our superior Vino Nobile di Montepulciano is made from grapes, or “blood of Jupiter,” which are grown to their fullest potential due to the ’s excellent exposure to the Mediterranean climate. Our vineyard retains deep ties to the history of the land and has been producing bountiful harvests for well over a century. The wine is aged for a minimum of two years, and the result is a dry yet vibrant red with a velvety finish that compliments any type of meal. The winery adheres to ancient winemaking traditions such as employing glass airlocks on top of the barrels — a device said to be invented by Leonardo da Vinci — and utilizing barrel aging. Acquiring a James Suckling ranking is a feat in and of itself in such a wide market as is receiving a ranking from one of Italy’s most renowned wine critics, Luca Maroni, who rated the Vino Nobile a 98 and the Rosso a 96. 9 ESTATE HISTORY

—Italian proverb At the heart of Fattoria Svetoni is “The Farmhouse,” capitalized and in quotes because it not only is the most well-known farmhouse in Montepulciano, it’s the oldest. Commissioned by Pietro Leopoldo, The Grand Duke of Tuscany and Holy Roman Emperor, who was also the first head of a European state to ban the death penalty in Europe — which is interesting to note given that he was the first cousin of Marie Antoinette — the farmhouse stands as a historic remnant from one of Italy’s most well-known “enlightened monarchs.”

With new ownership secured, what was once a working winery with an underutilized, pedigreed farmhouse will now reach its full potential as a grand estate.

For years, the Ruffino family — one of Italy’s most prominent and iconic wine families — owned Fattoria Svetoni. The vineyard was used solely for grape production to service their bulk-wine needs of which it has consistently produced a high-quality grape crop. The farmhouse itself was never renovated or open to the public, and the family decided to sell because it no longer suited their bulk-market needs. Fattoria Svetoni has always been and will remain a producer of specialty wine, but our vision for the future expands upon this concept.

When the winery went up for sale, surrounding neighbors were given right of first refusal before opening it up to a competitive market. With new ownership secured, what was once a working winery with an underutilized, pedigreed farmhouse will now reach its full potential as a grand estate. Backed by our group of well-established entrepreneurs and civic leaders connected to the local economy in the fields of food, wine and travel, we also boast the mayor of Montepulciano himself as one of our co-owners who was also recently elected to lead the prestigious Vino Nobile Wine Consortium, an organization comprised of more than 250 Vino Nobile producers.

11 TOURISM The Winery

Currently undergoing renovations, the new Fattoria Svetoni will offer a walk-in room that echoes the modern feel of those found in Napa Valley while still retaining and paying homage to its Tuscan charm. Learning from the successes of providing public tasting rooms much like they do in Napa, Fattoria Svetoni’s will be open year-round too; in fact, it will be the first tasting room open to the general public in all of Tuscany.

With the estate being located directly off the highway, it will be easily accessible to the general public to service tourists and walk-in visitors alike, as well as continuing to take private tours and tastings upon request. There is simply nothing rivaling this experience anywhere else in the region.

The tasting room will also have a store providing local food products for sale to the public. Fattoria Svetoni recently acquired 10 hectares of land, one of which is devoted entirely to olive trees. Eventually, there will be full olive oil production to allow for the sale of our own olive oil. A wine and food club that will provide periodic mailings of products will also be offered to owners and to the general public.

For the full immersive experience, guests can stay on-site in the renovated 15-room villa. Each modern room is designed and balanced with a nod to its historic Italian roots while offering every luxury hotel amenity. The estate’s world-class restaurant is in final negotiations to be helmed by Giuliano Matarese, an award-winning Italian chef whose restaurant Mille Lire in Dallas was voted best Italian restaurant in the city.

A brand-new, full-service spa is underway as is a cooking school where guests can learn traditional Italian cooking methods in its quintessential farmhouse kitchen, not to mention guided truffle-dog hunts on the newly acquired land. Further afield on the property is a small fishing lake that the Italian government has offered to pay 50,000 euros per year to manage and maintain. 16 LIFESTYLE OWNERSHIP PACKAGE All Fattoria Svetoni Lifestyle Owners will own a portion of a 12% share of the estate that will include the following:

• Lifestyle Owners will have no liability on the original purchase money obligations.

• Lifestyle Owners will receive the benefit of the appreciation on their equity share.

• Lifestyle Owners will not be subject to any operation capital calls or additional capital investments.

• Lifestyle Owners will have no management or operational obligations.

• Lifestyle Owners will get an agreed-to wine allocation each year delivered to them in the U.S. or location of their choice for private label or retail sale, anticipated to be 10+ cases but determined by production and the board of directors.

• Lifestyle Owners will receive their share of ownership via a Delaware corporate or partnership entity that owns and holds the winery stock to minimize taxation and ease U.S. reporting requirements.

• Lifestyle Owners will have, as a group, a board of directors appointment to the advisory board.

• Lifestyle Owners will receive annual financial reports.

• Winery Owners will solicit Lifestyle Owners’ input on all future growth and related projects, and Lifestyle Owners will have a right of participation in related investment opportunities with owners.

Andrea Rossi, a resident and the current Mayor of Montepulciano, Italy, graduated in economics and banking from the University of Siena. Andrea served as Montepulciano City Commissioner of Recreation, Sports and City Participation from 1991 to 2001. He subsequently served as Commissioner of Planning, Building, Housing, and Community/Mobility Development for Montepulciano from 2002 to 2009. He was elected Mayor of Montepulciano in 2009 and is currently completing his second term in office. In 2013, Andrea was elected President of the Valdichiana Municipalities Union and subsequently reelected in 2017 to the same role.

Andrea is a well-known successful entrepreneur, wine and olive producer, and co-owner of Birrificio di Montepulciano. In 1996, he founded and has been co-owner of the iconic “Sanguineto”, one of the most iconic agriturismos in Tuscany. Andrea’s experience in hospitality and wine makes him the perfect partner in Fattoria Svetoni.

Antonio Gaudioso

Antonio, a resident of Rome, Italy, graduated with a degree in political science from the University of Macerata. For the last 20 years he has participated in and became the Executive Director/Secretary General of Italy’s largest citizen advocacy group, Cittadinanzattiva, which is widely regarded by the traditional Italian political parties as the largest and most influential citizen group in the country with more than 400 local offices and 100,000 active members (www. cittadinanzattiva.it). In 2012, Antonio was named a Citizen Advisor to the World Bank, where he served until 2016.

Since 2008, he has been the CEO of AGC, srl, a leading exporting company with worldwide sales. Antonio is also a partner in the Tuscan brewery Birrificio di Montepulciano, often called “Il Miglio Verde,” a TripAdvisor Certificate of Excellence recipient. Antonio embodies the modern Italian spirit of embracing life through his business and social interests.

20 Omar Pelligrini

Since 1997, Omar has led a family recycling business named Microgomma Energia (www.micorogomma.it), a highly successful rubber recycling company. Since then, Omar, a Tuscany native, has been an investor and Italy’s leading force in technology and innovation in recycling. In 2005, Omar expanded the business into Eastern Europe with offices in Poland. In 2010, he built a biogas energy plant in Montepulciano utilizing farm and winery byproducts to produce green energy. Omar is recognized as one of Italy’s finest innovative entrepreneurs and is a wine collector and expert on Italian wines.

Victor Poulos

Victor “Vic” Poulos moved to El Paso, Texas in 1980 after attending college at the University of Kansas and Washburn University Law School. He led the litigation department of an El Paso area firm before forming his own firm in 1997, where he practices civil and business litigation. He was voted a “Super Lawyer” for Texas in 2010 and received the same designation for the entire U.S. Southwest in 2016.

Vic believes that to be a part of a community, one must give back to it. His entrepreneurial spirit led to the founding of a successful local Italian restaurant with former El Paso Mayor Suzi Azar, as well as owning and operating Signature Source, a wine-import business focusing on Italian wines. In 2000, Vic planted grapes on 10 acres in West Texas, thereby founding Zin Valle Vineyards, an award-winning winery that has produced gold, silver and bronze medal-winning wines.

Vic’s love of wine runs deep. He writes about wine for local and national publications, teaches classes at both the University of Texas at El Paso and at Western New Mexico University, and has served as a Wine Host on AMA Waterways River Cruises throughout Europe, most recently as a Tour Host for Oceania Ocean Cruises. He is a partner in the Miglio Verde Brewpub in Tuscany and is an active partner and board member in the Fattoria Svetoni winery project in Montepulciano. 21 Alessandro Maiocchi

An experienced marketing professional with first-hand knowledge of industrial and business markets, Alessandro’s career has included a range of key management roles. He was challenged to manage, as resident manager, the development of a multinational corporation in South America and worked as a business analyst in a major multinational company involved in both high and medium technology sectors and strategic consultancy. After this experience, Alessandro was involved in a different EU program to promote the upgrade and qualification of knowledge and competencies in R&D technology transfer and innovation.

He worked as the Director of Marketing and Corporate Affairs and as the Business Development Director of the International Division for 10 years in a leading company of recycling machines and plants. At present, he has the role of EVP-COO in an Italian worldwide boutique company that deals in wine, beer and the spirits-exporting business.

Alessandro has been teaching marketing in academies and universities since 2003, and since 2014 has taught a postgraduate degree course at the University of Catania.

Giuseppe Prencipe

Leading one of Italy’s finest grocery distribution businesses for the last 50 years, Giuseppe diversified his business in 1996 opening numerous retail outlets in Italy. Since 1996, he has been an owner of “Sanguineto,” an iconic Tuscan agriturismo in Montepulciano. Gisuseppe is a pioneer in the Tuscan bed-and-breakfast tourist industry and joins the Fattoria Svetoni winery project with the same pioneering spirit and vision. Giuseppe served as Italy’s youngest Mayor of Montefalco, Umbria, and is well connected to the Tuscan travel and tourist industry.

Is this a timeshare? No, this is not a timeshare. The unit of ownership is an actual ownership interest in the property and operational winery. You will share in the appreciation of the property and winery, and will have an authentic ownership deed under Italian law. Are there any HOA fees? There are none of these kinds of fees whatsoever — there are no homeowner association fees, capital calls or requirements to participate monetarily in further investments. Your ownership interest in the real property will grow along with the other owners in value as property values, tourism and Italian wine sales grow. As the Italian economy continues to grow, so will your ownership interest. Can I transfer my ownership to someone else? Yes, you can transfer your interest by will or trust as you desire. Third-party sales will require the approval of the other owners, but they have already agreed in writing that permission to sell to a third party will not be unreasonably withheld. Can I purchase more than one share of the estate? Yes. There will be 10 Lifestyle Owner units for sale on a first-come, first-sold basis, and there will be no further units offered beyond that. You can buy one unit or multiple units until all of them have sold. The goal of the original owners is to keep ownership to a few friends and family who want to immerse themselves in the Italian lifestyle and who enjoy the same things as the original owners do — being part of a growing wine project, Italian food and life, and each other’s company! 23 Can I sell my shares of the estate at any time? Yes. Sales to third parties require the approval of the other owners who have agreed that their permission will not be unreasonably withheld. The original owners would like to join Lifestyle Owners who are compatible and occasionally enjoy spending time together. Corporate sales are discouraged. What if I don’t use the ownership interest? Your ownership rights and benefits do not change based on whether you use the interest or not. You will receive your wine allocation each year even if you do not visit the property and take advantage of the other Lifestyle Owner benefits. Can friends or family members access the benefits of my lifestyle ownership interest? Immediate family yes. Friends of owners or extended family visiting the winery can get “owner” discounts depending on availability. Remember, we want the business to grow and all of our ownership interests to increase in value. This is not a timeshare, but an actual property and business you will own — it’s to everyone’s benefit to see it grow! Will my interest appreciate? Yes, your interest should appreciate over time. The appraisals already exceed the initial purchase prices of the winery and vineyards. Key factors depend on the Italian economy, tourism and wine sales. This is a long-term investment, not a short-term return opportunity or short-term return on investment. This is intended to be an investment you can enjoy over time as it grows. How does lifestyle ownership differ from standard ownership? You will not have to share in management, operational decisions, capital calls or any of the other issues that are typically associated with property ownership. You will not share in operational profits or losses, but as the business grows and the winery and estate increase in value, so will your ownership interest. As a Lifestyle Owner, what, if any, will my responsibilities be? There will be a seat on the board of directors for the Lifestyle Owners. Other than that, your “job” is to vacation at the winery, enjoy Tuscany, eat, drink wine and immerse yourself in the culture and lifestyle along with your fellow owners. Will Lifestyle Owners share in yearly profits derived by estate tourism and sales? As the “goodwill” of the winery and vineyards appreciate, so will your interest. However, Lifestyle Owners will not share in any yearly or other operational profits or losses.

How much of the estate’s projected profits are due to wine sales? See Financials section. Wine sales are the primary source of income for the estate and winery. Sales of Italian wines are a growth market in the world of wine. How much of the estate’s projected profits are due to tourism? While it is impossible to provide precise projections in advance, the bed-and-breakfast will open to tourists in July 2019. 2019 tourism in Tuscany is projected to be exponentially more than 2018, and the numbers are expected to continue to grow. Fattoria Svetoni already has contracts with TripAdvisor and other Italian tour operators for 2019 and forward. As we progress, U.S., German, Japanese and other country tour operators will be in place as well. When is the renovation of the bed-and-breakfast projected to be complete? August 2019 When is the bed-and-breakfast projected to be open for tourists? August 2019 When is high tourist season for the estate? April 1 through October 30 When is off tourist season for the estate? November 1 through March 31 Is the Estate open to the general public, outside of guests staying at the bed-and-breakfast? Yes. We are opening a public tasting room at the winery, which will feature the estate wines as well as local food and products. We are also opening a full-service restaurant on the premises, which will feature an internationally known chef. Winery guests will have priority on reservations to the restaurant, but it will be open to the public for both lunch and dinner.

How do I get to the estate from Rome? • By car: Travel to Montepulciano by car is approximately two hours from central Rome. Rome and Montepulciano are connected by a major toll highway.

• By train: Travel to Montepulciano by train is easy and accessible from any of the Rome central stations to Quisi, located about 15 miles (24 km) from Montepulciano. Travel time by train is under two hours. How do I get to the estate from Florence? • By car: Travel to Montepulciano by car is approximately one and a half hours. While only 18.5 miles (30 km) in distance, the journey is over the rolling hills of Tuscany, offering fantastic views and stops along the way.

• By train: Travel to Montepulciano by train from Florence’s central station to Quisi is approximately one hour. Is transportation from Rome and Florence provided by the estate? Travel by private car can be arranged from any hotel in Rome or Florence. Almost all of the hotels in Rome and Florence already feature day trips to Tuscany and Fattoria Svetoni. How accessible is the estate? The estate is located on a major highway, approximately 3 miles (5 km) from the city walls of Montepulciano. Can I leave luggage at the estate? Yes. Storage is available for those who want to day travel or use the winery as a European travel hub.

If I’m interested in becoming a Lifestyle Owner, may I visit the estate for a tour? Private escorted tours are being arranged for November 2019 and January 2020. If you are interested, please contact Vic Poulos at 915.525.4030. Vic will be leading the groups on what will be an exceptional , food and winery experience! How soon after my investment is finalized may I visit the estate to enjoy my Lifestyle Owner benefits? The winery is in full operation now. We will be open for guests July 2019. Is there a cap on the length of time I can stay? There are no caps on the length of time you can stay. How will my access to the estate be impacted by tourism? Many people prefer visiting during the tourist season for activities, festivals and weather. Others prefer the quieter off- season for immersion and restful visits. The winery and town of Montepulciano offer full services year-round. Will I be able to host events at the estate? Yes. The winery will have full-time staff and professional event planners on-site to assist. If I bring guests, will they receive the same discounts that I do? Yes, if you accompany the guests. Is there a limit to how many guests I may bring at a time? Only limited by the number of rooms available or reserved. When is the best time of year to visit? Any time of year is a great time to visit Montepulciano. There are, of course, pros and cons to both the high season (April–September) and the low season (October–March). During the high season, you will be able to witness all the splendor of Tuscan wine country in full bloom. But you will inevitably have to deal with more crowds and hotter weather. During the low season, weather will be cooler, but you will also have fewer tourists and enjoy shorter lines and lower costs in and around the major attractions of Italy. The food, history and wine are great year-round, as are Italian warmth and hospitality. What is there to do in the area? Montepulciano is at the center of the Italian wine-production region and is a perfect home base to explore Italy’s wine country. There are several cities nearby for quaint day trips, and there will be a car available at the estate for short excursions.
