Job The Senior Counsel will be part of a first class, experienced global in-house legal overview: team dedicated to the management and economic consulting businesses of OWG. This varied role is an ideal first step in-house transition for a corporate lawyer with at least 3 years PQE or an ideal role for a more senior lawyer looking to make their mark as a sole counsel in an exciting and expanding region. The Senior Counsel will handle legal, compliance and professional affairs matters for the Asia Pacific region (APR). Senior Counsel will report directly to an Assistant General Counsel based in London who used to work in the Singapore office and is very familiar with the APR business. This is an exciting role which will work closely with the OWG business and can offer flexible working opportunities. Key • The review, drafting and negotiation of a variety of commercial contracts and Responsibilities: other legal documents related to OWG’s global professional services businesses, including OWG form engagement letters and contracts, client form agreements, third party reliance letters, subcontracts, vendor agreements, trading agreements, acquisition agreements, memos as well as other legal documents • Provide advice to OWG Partners, consultants and corporate support functions on legal issues generally, including the legal/contractual implications of commercial business decisions (i.e., business/legal counseling and common sense advising), and compliance related issues • Analyse new and changing laws and regulations • Identify liability exposure and provide creative solutions to manage and reduce risk • Coordinate with counterparts in sister companies, Marsh, Mercer and Guy Carpenter legal teams in APR and assist with sister company legal matters as and when needed • Interact with outside counsel for OWG as well as outside counsel for adverse parties • Coordinate specialty legal review by internal and external specialists on OWG matters • Assist with all matters related to legal support of the OWG businesses,

including compliance, mergers and acquisitions, joint ventures and corporate reorganizations • Be the “Go To” lawyer and trusted adviser for all APR legal matters

Qualifications: • Qualified solicitor with at least 3 years PQE, although the role will also suit more qualified solicitors • Strong contract review, drafting and negotiation skills • Transactional and corporate finance experience preferred • Successful candidate must possess excellent communication skills, an ability to interface with senior management, must exercise good judgment, the ability to collaborate effectively and be commercially minded • Outgoing and able to work independently with minimal supervision is key
