Paul understands that he is only the nominee shareholder and at any point of time upon the request of Chin he must transfer back the shares to whoever Chin chooses. Chin also arranged for Paul to pre-sign a transfer form to get back the shares in the event of Paul’s death. Only both of them knew about this arrangement and it went on smoothly for some time until one day Paul died in a tragic plane crash. After the funeral was over Chin explained to Paul’s wife that Paul is only the nominee shareholder of Chin Trading Sdn. Bhd. for him and he has transferred Paul’s shares to someone else with the pre-signed transfer form. Paul’s wife told Chin that Paul did not inform her about this and further said “Let’s see what my husband’s will says”. It was discovered that in Paul’s will, it states that all his assets including the company shares are to be given to his wife. Now Paul’s wife wants to claim back the 20% shares. As you can see, this scenario is going to be a long drawn out battle between both parties proving the rightful owner and the pricing of these shares. To overcome this scenario, Chin can get Paul to sign a “Declaration of Trust” as well as asking him to pre-sign a transfer form. In Paul’s Declaration of Trust, he is still the registered owner and also the main trustee of the trust of the company shares. In the event of Paul’s death, total permanent disability, critical illness and mental disability, his share will be transferred to a trustee company like Rockwills Trustee Berhad acting as the substitute Trustee by way of a power of attorney. Thereafter, the trustee company will transfer the shares to the next nominee that Chin chooses. Chin is able to do so as the trust deed compels the trustee to transfer the shares to any person that is named by Chin. This will all be stated in Paul’s Declaration of Trust. By using a Declaration of Trust, Chin can ensure that Paul’s 20% company shares will not form part of Paul’s estate. A declaration of trust can also be used where properties are registered in the name of another person.
