One possible takeover candidate: AllianceBernstein Holding. The Manhattan firm, 64%-owned by French insurance giant Axa, is struggling to right itself. Assets under management sank by 40% last year, to about $460 billion, and its stock plunged 70%. Assets have continued to decline this year, though more slowly, and the firm said last week that President and Chief Operating Officer Gerald Lieberman would retire at the end of July. AllianceBernstein would be a bite-size morsel for money managers like J.P. Morgan Chase, State Street or even Fidelity. And Chief Executive Peter Kraus seems incentivized to sell—the $52 million equity grant he received on taking the job last December vests immediately if the firm is acquired. Money managers sold last year fetched, on average, prices equal to 3.3% of their assets, according to SNL Financial. The math suggests that AllianceBernstein could bring more than $15 billion, yet its market value is only $2 billion. Either the stock is dramatically undervalued or investors believe that assets under management will seriously erode. A sponge-worthy stock? here’s a sign that investors are regaining their taste for risk: They are going ga-ga over an unlisted stock in a Manhattan company that handles—no kidding—sponges. SpongeTech Delivery Systems Inc.’s specialties include marketing SpongeBob SquarePants sponges. Its shares soared to 28 cents Friday from less than a nickel earlier in the month, before closing at 17 cents. That means the company, which according to Standard & Poor’s employs just five people, has a market value of more than $120 million. Last week, SpongeTech said gross revenues for the fiscal year that ended May 31 exceeded $50 million and pretax profits were about $10 million—both about 10 times as high as last year’s figures. A month ago, the company said it had met “most” requirements to get its stock listed on Nasdaq. “Talk about SPNG oon [sic] da NASDAQ!!!!! on TV!!” screamed one ebullient fan on a Yahoo message board last week.“We rich!!” Take a deep breath, people. Revenues might be growing fast, but a recent regulatory filing shows accounts receivables of $14 million as of Feb. 28, way up from $4 million on May 31, 2008. SpongeTech says in the filing that it fully expects to get all its owed, but such a large jump in receivables is a red flag. Collecting could also be difficult, as two-thirds of receivables are owed by overseas customers, according to the company. And SpongeTech has some distance to go before it’s ready for Nasdaq. The exchange requires that companies initially list with a minimum share price of $4.

THE RETURN THAT TAXPAYERS have collected from extending $45 billion in bailout cash to Citigroup, Bloomberg News says. That’s more than three times as much as if the money had been invested 7.5% in the S&P 500. This is the best news concerning Citi in months. 4 | Crain’s New York Business | June 15, 2009 20090615-A--0005-MAIN-CCI-CN_-- 6/11/2009 6:41 PM Page 1

In the year through May, a total of $1.2 billion worth of office buildings changed hands, roughly a quarter of the volume in the year- earlier period, according to Cush- man & Wakefield. The dearth of buildings on the market may be close to ending. There are dozens of Manhattan of- fice towers with mortgages coming due in the next two years, and many owners are expected to struggle to make payments. That squeeze could lead to a slew of buildings hitting the auction block, unless banks agree to renegotiate loans. Special circumstances played big roles in all of the recent building sales. AIG was under huge pressure to raise whatever cash it could, which is why it chose to sell its 70 Pine St. headquarters and the adjacent tower at 72 Wall St. Youngwoo & Associates and Korea-based Kumho Invest- ment Bank offered to buy the towers for what sources said was roughly $100 a square foot, or as much as 80% below peak prices of last year.
