CONSTITUTION OF THE ADVENTURE RACING, ROGAINING, AND ORIENTEERING TEAM AT THE UNIVERSITY OF MICHIGAN

1 NAME

(1) The name of the society shall be the “Adventure Racing, Rogaining, and Orienteering team at the University of Michigan.” (2) Herein after referred to as ARRO.

2 OBJECTIVES

The objectives of ARRO shall be

(1) To promote and encourage participation in the of adventure racing, rogaining, and orienteering (2) Maintain a calendar and email list which notifies of adventure racing, rogaining, and orienteering events in the area (3) To a. Care for the environment b. Leave the outdoors in at least as good a condition as we found them (leave no trace) c. Act with professionalism and integrity d. Act in accordance with fair play, always encouraging and respecting one another and our competitors (4) To fulfil our responsibilities of abiding by the University of Michigan policies and procedures.

3 MEMBERSHIP

(1) Membership to ARRO allows a person to participate in ARRO organised events and initiatives (2) Any person may become a member of ARRO (3) Membership to ARRO is free

(4) ARRO openly admits students to its membership and does not discriminate on the basis of race, color, national origin, age, marital status, sex, sexual orientation, gender identity, gender expression, disability, religion, weight, or veteran status (5) Membership to ARRO shall only terminate when a. The academic year, in which the Member in question has joined, ends b. The Member in question notifies an Officer of ARRO c. The ARRO Committee unanimously decide that the Member in question should be expelled from ARRO for reasons of misfeasance. (6) No Member (excluding Officers) shall have the authority to bind ARRO to any contract, payment, or other obligation.

4 THE ARRO COMMITTEE

(1) The Committee must include a. A president b. A secretary. (2) Where possible, the committee should include graduate students to ensure continuity (3) These roles may be assumed under any title and any person can hold a role specified under 4.1 in addition to 4.2, but no person may hold multiple roles under 4.1. i.e. the roles of president and treasurer must be held by different people. (4) In addition to the roles in (1), the Committee may comprise of other roles at the discretion of the Committee. (5) Role descriptions will be provided to Officers by the incumbent Committee prior to appointment. (6) Office is held until the succeeding Committee assumes their roles or an Officer a. Resigns b. Is subject to the following process: i. A written request for removal is written by at least three members of the organization ii. Written notification to the officer of the request, asking the officer to be present at the next meeting and prepared to speak iii. The officer receives a vote of no confidence by a two-thirds (2/3) majority of eligible voting members vote. (7) The Committee of ARRO shall manage the affairs of ARRO.

(8) The Committee shall have power to carry out and enforce the constitution.

5 APPOINTMENT OF THE ARRO COMMITTEE

(1) Vacancies may be filled by appointment at the discretion of the incumbent ARRO Committee. (2) The committee’s term is for one year. At the end of this term an appointment process will be held to fill positions on the succeeding committee. a. Applications are made for all positions. b. Candidates are elected by anonymous online voting by all members.

6 PRESIDENT

(1) At all General and Special Meetings of ARRO, the President shall occupy the Chair. Should he/she be absent the Vice-President or Committee member appointed by Officers shall take the Chair. (2) The chairperson, at any meeting, shall in all cases have a deliberate vote, and also a casting vote should equal voting occur.

7 SECRETARY AND TREASURER

(1) The Secretary shall a. Attend all meetings and keep accurate minutes of the proceedings b. Read and file all communications and other papers c. Issue notices of meetings d. Attend generally to all clerical duties in connection with ARRO e. See that registration as a University of Michigan Student Organization is completed annually. (2) The Treasurer shall a. Keep proper books b. Prepare and present a Financial Report for the financial year at the Annual General Meeting c. Keep a register of members, identifying both University of Michigan student members and others d. Keep a record of equipment or property purchased, the cost, the receipt, and where such equipment is stored e. Arrange insurance as necessary.

8 ARRO COMMITTEE MEETINGS

(1) The President shall call meetings of the ARRO Committee when he/she sees fit, or when requested to do so by other ARRO Committee Officers. (2) A quorum is reached when half of the incumbent are present. (3) Decisions shall be made by a simple majority of those present. (4) Each meeting shall be chaired by the President or, in his/her stead, the Vice- President. (5) Notice of a ARRO Committee Meeting may be provided to Members as the Committee sees fit. (6) Subject to the consent of the Chair, any Member of ARRO or SMOC may attend an ARRO Committee Meeting and may have speaking rights. (7) The ARRO Committee shall determine its own internal procedures as it sees fit.

9 ANNUAL GENERAL MEETINGS AND SPECIAL GENERAL MEETINGS

(1) General Meetings of ARRO shall fall into two categories: a. Annual General Meetings (AGM) b. Special General Meetings (SGM). (2) An AGM must be called by the incumbent ARRO Committee and held during the first semester of the University of Michigan’s academic year. (3) A SGM shall be convened by the Vice-President within fifteen academic days of a. Receiving written request from the President. b. Receiving written request from 25% of the incumbent Committee. c. Receiving a request from at least ten Members of ARRO. (4) At least seven days prior to the date of a General Meeting, a notice shall a. Be emailed to ARRO Members b. Be emailed to the SMOC executive (5) The regular business of an AGM shall be, in order of priority: a. To receive the Annual Report (President) b. To receive the Financial Report for the current year to date (Treasurer) c. To announce new ARRO Committee members who will take office at a date announced one month following the AGM d. To consider any proposed amendments to the constitution e. To transact any other general business of ARRO.

(6) The mode of voting at General Meetings shall be by a show of hands or a secret ballot. (7) At all General Meetings of the Club, all Members (as at five working days prior to the Meeting’s date) shall be entitled to vote. No vote may be made by proxy.

10 FUNDS

(1) The funds of ARRO, from whatever source derived, shall be applied only towards the promotion of the aims and objectives of ARRO and no portion of any funds shall be paid or transferred directly or indirectly, by way of dividend, bonus, salary, or otherwise to any member of ARRO, with the exception of reimbursement to members of legitimate and actual expenditure on behalf of ARRO which the Committee authorises. (2) All monies shall be received by the Treasurer, who shall deposit them in an account of ARRO. (3) ARRO is solely responsible for all debts incurred in its name. No responsibility or financial liability is afforded to affiliated associations.

11 FINANCIAL YEAR

The financial year of ARRO shall begin on the first day of January, and terminate on the last day of December in each year.

12 THE CONSTITUTION

(1) This constitution may only be amended at a General Meeting of ARRO. (2) Every proposed alteration must be handed to the Vice-President at least eight (8) days before the date of such a meeting. (3) No motion to alter, add to, or rescind this constitution shall be deemed to be carried at a General Meeting unless two-thirds of the Members present vote in favour of the changes. (4) The constitution shall be available to members on application.

13 AFFILIATIONS

(1) Southern Michigan Orienteering Club (SMOC) a. ARRO will carry out its business, as far as possible, to be in collaboration with SMOC

(2) ARRO has read and agrees to fully comply with the University of Michigan’s policies. We understand that the organization's registration is contingent on acceptance of these policies.

14 DISSOLUTION

(1) ARRO shall be wound up if a. A motion to that effect is passed by a two-thirds majority at a General Meeting. (2) In the event of the dissolution of ARRO all assets will be held in trust by SMOC for not less than four years, and shall be given to an ARRO team with the same objectives when such a club is formed. If, after four years, no similar club is formed, SMOC shall have the power to dispose of assets and properties as it sees fit. All profits from such disposal shall go towards SMOC.

15 DEFINITIONS

In this document, the following outlines the definition of the following terms, unless the context otherwise requires:
