LOIs are to be submitted on the Vendor’s Standard Form to be completed in accordance with the LOI Template available in the dataroom and delivered by hand to the Advisor, packag- es to include three (3) hard copies and one (1) USB on submission date. Following the review of LOIs, which may include discussions, negotiations and resubmissions, it is the current intent of the Vendor to select a preferred bidder and to negotiate and enter into legal binding Agreement of Purchase and Sale (APS). All Prospective Purchasers should satisfy themselves with all matters related to the Property, including but not limited to: • The current planning status • Official Plan designation • Community Design Plan (‘CDP’) • Zoning • Development charges/levies • Geotechnical and environmental conditions • Title As part of its LOI submission the Prospective Purchaser will be required to provide: • Confirmation that the Prospective Purchaser has reviewed and satisfied itself with the form of APS or provide a blacklined copy and schedule outlining any material revisions. A pre- ferred form of APS for review by prospective purchasers will be provided in the electronic dataroom in due course. Agreements with no or limited conditions are preferred. • Closing date -Block 13 - March 24, 2021 or earlier • A minimum 14 day irrevocable period • Confirmation of Prospective Purchaser’s review and acknowledgment of theUrban Design Guidelines and Architectural Controls and Minimum Density requirements outlined • Demonstration of a proposed build-out outlining the number of units, design and con- struction of the dwelling units Preference will be given to offers that demonstrate an understanding of theVendor’s Urban Design and Architectural Control Guidelines and planning status with the highest cash pro- ceeds on closing.
