Biographies of appointed Management Board Members

Richard Gaskin holds an MBA from Henley Management College (United Kingdom). He joined GE in 1999, initially as the automotive business sales director in GE Capital, Richard Gaskin Ireland. In 2002, he became quality leader in GE Money in Switzerland. From 2003 to 2005, Mr. Gaskin worked as Managing Director in GE Capital Auto in the United President of the Kingdom. In August 2005, he was appointed President of the Management Board GE Management Money Bank Russia and in 2009 became President of GE Money Bank Russia and GE Board Money Bank . Before joining GE, he worked for 13 years at Ford Motor Company (Ford Credit) in the UK and Ireland and for over a year at 3M Ltd. He started his professional carried in 1984 in the British Lloyds Bank plc. Andras Bende holds a degree in Financial Management from Clemson University (South Carolina, USA). He joined GE in 1999 as a member of the Financial Management Andras Bende Program at GE Power Systems (now GE Energy). In 2001, he became a member of GE’s Corporate Audit staff and led audits in the US, Europe and Asia across the Financial Deputy President of Services businesses at GE. From 2005 to 2008, Mr. Bende was the Financial Controller the Management for GE Corporate , a pan-European Commercial Finance business. In Board 2008, he was appointed Global Chief Financial Officer for GE Working Capital Solutions, a business that factors, securitizes and syndicates trade AR across the globe. Mariusz Bondarczuk graduated from the Electronics Faculty of the University of Mariusz Technology. He also completed an MBA studies at the university. He has many years of Bondarczuk experience in IT management in banking. Mariusz Bondarczuk joined Bank BPH in 2012 as the Executive Director of the IT Division. Prior to taking on the post, he had been the Deputy President of Chief Information Officer at ING Bank Śląski. In the years 2003-2006 he was CEO of ING the Management Services Polska. From 2002 to 2003 he was the Director responsible for infrastructure Board and technical support at ING Bank Śląski and between 1991 and 2002 he held the position of the Chief Information Officer at ING Barings . Grzegorz Jurczyk graduated from the Foreign Trade Faculty at Warsaw School of Grzegorz Jurczyk Economics. He worked as a consultant at Bain & Company during the years 1994-1997 and at Fiat Bank Polska S.A. between 1998 and 2002. From 2003 to 2006, he was a Deputy President of Management Board member and then the Deputy President of Santander Consumer the Management Bank’s Management Board. In 2006-2007, he was Sales Director for Car Products in Board Central and Eastern Europe at International. In 2007-2009, he was

Deputy President of the Management Board and Director of Sales Division at GE Money Bank and, after the merger with Bank BPH, became Managing Director of Indirect Distribution Area. He holds an MA degree from the American Studies Center of University of Warsaw. He joined Bank BPH in 2011 as the Executive Director in charge of Marketing and Product Management Division. Prior to this role, he worked as Chief Commercial Officer in Equa Mariusz Kostera Financial Services, a company established in the Czech Republic by a private equity fund to build a new banking institution, Equabank, launched in September 2011. In the Deputy President of years 2007-2009, he was the Managing Director of Personal Financial Services at HSBC the Management Bank Poland. From 2002 to 2006, he held the position of the Executive Director of Board Marketing Division at Global Consumer Bank at Citibank Handlowy, and worked as Head of Marketing at Kredyt Bank S.A. from 2001 until 2002. His previous professional carrier was in advertising industry where he worked, among others, for such clients and brands as Coca Cola, Mars, Procter and Gamble, Era, and Norwich Union. Krzysztof Nowaczewski graduated from the Law and Administration Faculty at Mikołaj Kopernik University in Toruń and completed postgraduate studies in Banking and Finance. He holds an MBA from Gdańska Fundacja Kształcenia Menedżerów and Strathclyde Glasgow Business School. He started working for GE Capital in 1998. Over Krzysztof the last 12 years, he occupied various managerial functions in the areas of Operations, Nowaczewski Quality Management, Business Development and Sales. Before the merger with Bank BPH, he worked for 3 different GE Money businesses in Poland, the United Kingdom and Deputy President of Russia. From March 2008 to December 2009, he held the position of Deputy President of the Management the Management Board in charge of Operations Division at GE Money Bank in Poland. Board Previously, he was the Mortgage Director at GE Money Bank in Russia. Following the merger of GE Money Bank and Bank BPH, he was appointed the Managing Director in charge of Operations. He is a certified Lean Six Sigma Leader and holds the Martin Tate certificate in project management. Wilfried Mathias In 2009, Wilfried Mathias Seidel was appointed Director for Retail Risk at GE Capital Seidel Global Banking. Previously, he was the Chief Risk Officer (CRO) at GE Money Central and Eastern Europe. He joined GE in 1998 and held numerous managerial positions in the Deputy President of risk management area, e.g. CRO at GE Money Asia (Bangkok) and Deputy President for the Management Global Credit Risk (Stamford, USA). He was also responsible for risk management at Board

GECF Latin America. Before joining GE, he worked for the Allianz Group in Frankfurt and London for 6 years in corporate loan . His career in the finance sector began at the Deutsche Bank subsidiary (Frankfurt) dealing with mortgage . Mathias Seidel holds an MBA from Cass Business School based in London (specialization: finance) and an MA in international relations from the Institute of International Relations in . Grażyna Utrata joined Bank BPH in January 2011 as Chief Legal Advisor and Head of the Legal Department. Previously, she had worked for 12 years holding managerial

positions in legal departments of Lukas Bank, Bank Zachodni WBK S.A., Bank Zachodni S.A. and Wielkopolski Bank Kredytowy S.A. She was a member of the Management Grażyna Utrata Board of Lukas Bank S.A. and sat on the supervisory boards at AIB WBK Towarzystwo Funduszy Inwestycyjnych S.A. (Investment Fund Company) and Dom Maklerski BZ WBK Deputy President of (Brokerage House). Also, she held the position of President of the Disciplinary Court for the Management Securities Brokers and the Judge of the Stock Exchange Court at the Warsaw Stock Board Exchange. She is member of the Banking Law Council at the Polish Bank Association. Ms. Utrata graduated from the University of Silesia in Katowice, Faculty of Law and Administration. She is a legal advisor.
