1) KPEZDMC intends to sign a FRAME WORK AGREEMENT (FWA) for the provision of services of Newspaper Advertising Agency on monthly and/or need basis for a period of 1 year. Therefore, sealed bids on single stage one envelope procedure are invited from eligible bidders.
2) Interested eligible bidders having Income tax and Sales tax registration may obtain further information from the office of KPEZDMC, 120, Industrial Estate, Jamrud Road Hayatabad. Peshawar. Khyber Pakhtunkhwa. Tel: 091-5810155, 091- 5890826.
3) A complete set of bid solicitation documents can be downloaded by interested bidders from www.kpezdmc.org.pk/tenders or may be collected from KPEZDMC Peshawar office (120 Industrial Estate, Jamrud Road, Hayatabad, Peshawar) from issuance of this advertisement till closing date.
4) Bids must be delivered to the above office by or before 02:30 pm on October 19, 2020.
5) Bids will be opened in the presence of bidders’ representatives who choose to attend at 03:00 pm on October 19, 2020 at the offices of KPEZDMC, 120, Industrial Estate, Jamrud Road Hayatabad. Peshawar, Khyber Pakhtunkhwa.
6) The bidders are requested to offer most competitive price of their quoted item(s) as no negotiations on quoted prices are allowed under KPPRA Rules.

I. Under single stage one envelope process, all interested bidders are requested to submit financial bid, along with required documents as mentioned below, in a single sealed package/envelop marked as “Bid for Newspaper Advertising Agency”. II. The envelope should have address and contact details of the addressee and the addressor. III. Bids delivered by hand to KPEZDMC office must be registered at reception/admin dept. Unregistered bids will not be considered for further evaluation process. IV. The bids will be evaluated on the below mentioned required documents.

No Documents Required 1 Proof of Registration with FBR & KPRA 2 Proof of Business Registration 3 Documentary Evidence of Membership of All Pakistan Newspaper Society (APNS) Affidavit/Documentary Evidence that the entity has not been blacklisted and/or suspended 4 by any national daily/ media forum/media agency or any development organization/public institution. Company Profile must have documents i.e. Company Details (offices & addresses within Pakistan) 5 List of Clients with verifiable references. Copies of previous contracts/purchase orders (issued in favor of bidders by Government Organization/INGOs/Private Companies/Banks etc.) Approved Government rates’ list for local and national level newspapers as per the attached 6 list (Annex – D) Financial Statement showing annual turnover of minimum of PKR 10 million/year in the last 7 three years. List of Value-added services which may include the following but are not limited to: Timely Press Release 8 Proof Reading Translations of the advertisement to be published etc. *In case of a tie the bidder who has provided the maximum number of value added services may be given preference.
V. The bidder shall specify validity in days, the submitted bid KPEZDMC may under exceptional circumstances request for extension in bid validity that shall be for not more than the period equal to the period of the original bid validity. VI. Bidders may associate with other organizations to enhance their capacity. However, such associations may only take place before the bidding. Once firms are short-listed, no such association will be allowed. VII. The Collusion between the firms is strictly prohibited. Any firm / group of firms found involved in creating a cartel or any other collusion arrangement against the interest of the project/government, will be blacklisted and debarred. VIII. Response time: all bidders shall submit bids as per these instructions by or before 02:30 pm, October 19, 2020 at 120 Industrial Estate, Jamrud Road, Hayatabad, Peshawar. Bids will be opened half an

hour after the deadline i.e. 03:00 pm on the same date. No bid in any case shall be accepted after the deadline. IX. The bidder may submit audited financial statements for the last three years and account balance statement for the current ongoing years. (Optional) X. The KPEZDMC will not be responsible for any cost or expenses incurred by the firms in connection with the preparation or delivery of proposals. XI. The quoted price must be inclusive of all applicable taxes, installation and transportation or any other direct/indirect cost associated for the delivery/completion of required good/services. XII. The procuring entity may reject one or all such proposals, which are vague does not adhere to these instructions. XIII. The procuring entity may offer for re-biding in case the proposal does not satisfy its professional requirements. XIV. Contract/Agreement will be signed with the successful bidders and its terms and conditions will govern the Frame Work Agreement attached as Annex- A XV. Arbitration as per law will be in case of disagreement arising out of contract execution, which cannot be settled, between the two parties (procuring entity and supplier/vendor/bidder).

a) All bidders are requested to read below Terms & Conditions before submitting their quotations. b) All bidders are requested to submit their most competitive bid with the instruction incorporated herein. c) Bids (Annex-B, C & D) may be submitted on a company letter head in a sealed envelope. d) Bidders shall submit their proposal, quoting each and all items mentioned in Annex-B. e) All suppliers shall mention all applicable taxes in their quotes. In case any supplier has not done so, the procuring entity while comparing the offers will add the applicable taxes to the total quoted amount for each item. f) The request for proposal is non-transferable. g) Proposal must be submitted by or before 02:30 pm on October 19, 2020 to the undersigned for the purpose. No late quotation for any reason whatsoever will be considered. h) Each bidder can only submit one offer / quote. i) The proposal must carry the authorized signatures and stamp of the bidder. j) The procuring entity reserves the right to reject one or all the proposals as per prevailing KPPRA rules. k) Initially the Frame Work Agreement will be signed with successful bidder for period of one year and can be extended by written agreement between the parties.

Ref No: WA-20-09-167 Date: Oct 2, 2020 TERMS AND CONDITIONS OF FRAMEWORK AGREEMENT FOR SUCCESSFUL BIDDER
AGREEMENT, dated______by and among
Khyber Pakhtunkhwa Economic Zones Development & Management Company, a Section 42 Company having its head office located at 120- Industrial Estate, Jamrud Road, Hayatabad, Peshawar (hereinafter referred to as the “Buyer”)
And
M/s ______, a company having its office located at ______(hereinafter referred to as the “Vendor”
WHEREAS the Buyer desires to purchase from the Vendor certain goods/services as listed in this Agreement; and
WHEREAS, the Parties have specified the types and terms of all required items as mentioned under this Agreement.
NOW, THEREFORE, in consideration of mutual promises herein set forth and subject to the terms and conditions of this Agreement, the Parties agree as follows:
1) Purchase of required goods/services: At the execution of this Agreement, the Buyer shall buy, and the Vendor shall sell and convey to the Buyer required goods/services at the price set out in Clause 2 of this Agreement. 2) Items and Unit Prices: Subject to the obligations in Article 1, the Parties agree to the following Items and Unit Prices: 3) Quantity of items: The Buyer shall communicate to the Vendor the requirement for each consignment separately, from time to time, on need bass by issuing a Purchase Order. 4) Payment: a) Account. The bank account of the vendor into which payments shall be made is:

If a bank transfer is requested, all invoices must clearly indicate the vendor’s bank and bank account number. Vendor must mention KPEZDMC Purchase Order number in their delivery note and invoice. 5) Term: The term of this Agreement shall be between______to ______. The Parties may, by agreement communicated in writing, extend or amend the Term of this Agreement. The Agreement may be terminated subject to clause 14. 6) Delivery Schedule: The Vendor shall, upon receipt of the Purchase Order as defined in clause 3, supply the described Stationary Items to the Buyer at the address of the Buyer. 7) Cost of delivery: The Vendor shall bear all costs of delivery till the address of the Buyer, including the cost of unloading the Items. 8) Delivery Note: The Vendor shall provide proof of delivery in a Delivery Note at the time of delivery of the items at the Buyer’s address. 9) Buyer’s Responsibility: The Buyer shall accept responsibility of the delivered stationary items only after the Vendor delivers the required items under a valid purchase order to the Buyer’s Contract Manager nominated in clause 15, accompanied with a signed Delivery Note in a manner prescribed by clause 8. 10) Non-conformity of goods: The Buyer may reject delivery of the items under any Purchase Order if the items do not conform to the description. 11) Force Majeure: a) Definition. In this Agreement, the term Force Majeure shall mean: i) war and other hostilities (whether war be declared or not) invasion, terrorist activity, act of foreign enemies, mobilization, requisition or embargo ii) rebellion, revolution, insurrection, military or usurped power or civil war iii) riot, commotion or disorder except where solely restricted to employees of the Vendor or its sub-Contractors or sub suppliers iv) earthquake, flood, fire or other natural physical disasters except to the extent that any such disaster is caused by, or its effects contributed to by, the party claiming force majeure v) A general industrial dispute not limited to the employees of the Vendor or the employees of any of its sub-Contractors or sub suppliers. b) Notification. If either party considers that any circumstance of Force Majeure has occurred which may affect materially the performance of its obligations, then he shall forthwith notify the other in writing to that effect giving full details of the circumstances giving rise to the Force Majeure event. c) Obligations upon a Force Majeure Event. Neither Party shall be in default of its obligations under the Contract to the extent that it can establish that the performance of such obligations is prevented by any circumstance of Force Majeure which arises after the date of the Contract and which was not foreseeable at the date of the Contract 12) Confidentiality: Each Party shall treat the Contract and any information it may have obtained or received in relation thereto or arising out of or in connection with the performance of the Contract or its negotiation or relating to the business or affairs of the other as private and confidential

and neither party shall publish or disclose the same or any particulars thereof without the prior written consent of the other or as may be permitted under the later provision of this Clause. 13) Waiver: Any failure by the Buyer to insist at any time upon the performance of any of the terms, provisions or undertakings of the Vendor contained in the Contract or to exercise any rights thereunder shall not constitute or be construed as a waiver thereof or a relinquishment of the Buyer’s rights to require the future performance of any such term, provision or undertaking but the obligation of the (Supplier) with regard to the same shall continue in full force and effect. 14) Termination: Either Party may terminate this Agreement upon 30 days written notice delivered to the Vendor at the registered address under clause xxx of this Agreement. 15) Notices: All notices consents, demands, requests approvals and other communications contemplated under this Agreement shall be deemed to have been given if delivered to the following contact persons for either Party. a) If for the Vendor Mr. ______Cell#: ______Email: ______b) If for Buyer: Mr. ______Contact #:______Email: ______16) Time of the essence: The time for delivery and/or completion of the work to be performed under the Agreement shall be of the essence of the Agreement. 17) Entire Agreement:. This Contact constitutes the entire agreement between the parties concerning its subject matter, and supersedes any previous accord, understanding or agreement, express or implied. Each party confirms that it has not relied upon any representation not recorded in this Contract inducing it to enter into this Contract. No variation of this Contract shall be valid unless it is in writing, refers specifically to this Contract and is duly executed by the authorized representatives of both parties on or after the date of this Agreement. 18) Choice of Law: This Agreement shall be governed by the laws of the Islamic Republic of Pakistan. 19) Binding Effect: This Agreement is binding upon and inures to the benefit of the Parties hereto and their respective successors and assigns. 20) Dispute Resolution: a) Settlement. If any dispute or difference whatsoever shall arise between the parties in connection with or arising out of the Contract the parties shall first seek to resolve the matter between themselves within a period of 14 days. b) Court remedy. If the dispute is unresolved within this time frame, both Parties reserve the right to seek a remedy from a court of competent jurisdiction. 21) Anti-assignment: Neither party shall assign the Agreement or any of its rights or obligations there under without first having received the written approval of the other party 22) Severability: No clause, sub-clause or their relevant parts in this Agreement may be held to be unenforceable or void except for the judgement of a court of competent jurisdiction. Should any clause, sub-clause or part thereof be so held to be unenforceable or void the remaining clauses, sub-clauses and their relevant parts shall remain in full force and effect to the extent that they are capable of remaining operative having taken account of the said court’s judgement.
