On 11 February 2020, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). Explanatory Notes to the Combined Nomenclature of the European Union

Pursuant to Article 9(1)(a) of Council Regulation (EEC) No 2658/87 (1), the Explanatory Notes to the Combined Nomenclature of the European Union (2) are hereby amended as follows:
9505 Festive, carnival or other entertainment articles, including conjuring tricks and novelty jokes
On page 414 The following text is added after the existing text:
‘This heading also includes transparent balloons made of plastics combined/decorated with battery operated LED garlands. After filling the balloon with air, the end is tightened in a knot. Additional decorative elements can be added inside (such as feathers, confetti, etc.) or attached on the outside, for example, ribbons. The balloons can be equipped with a handle, which is attached to the base of the balloon, to hold them in the hand or a string linked to a weight to use them as a room decoration. They are made of more resistant material than simple balloons and are thus suitable for repetitive use. The balloons serve as entertainment articles or as decorative items in a room for various occasions such as weddings, birthdays, public or private events.
Simple balloons with LED lasting for a short period, for example 24 hours, with an inscription identifying an occasion, for example, “Merry Christmas” remain classified under this heading. However, simple balloons with LED lasting for a short period but without an inscription are excluded (classification as “other toys” under heading 9503).’

1. On 25 June 2020, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).
This notification concerns the following undertakings: — Mitsubishi Chemical Holdings Corporation (‘MCHC’, Japan), — Ube Industries, Ltd (‘Ube’, Japan), — JV (Japan).
MCHC and Ube acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of the JV. The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.
2. The business activities of the undertakings concerned are: — MCHC: global Japanese chemical manufacturing company, active in performance products, industrial materials, and health care applications, including electrolytes for lithium-ion secondary batteries (‘LIBs’),
— Ube: global Japanese company, active in three main business segments: chemicals, construction materials and machinery,
— JV: will combine the activities of MCHC and Ube in the production and sale of electrolytes for LIBs, and will carry out the production and sale of electrolytes for LIBs globally.
3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

- Article 2 of the product specification
The paragraph: ‘Suitable cultivars for the production of “Asparago verde di Altedo” are: Precoce di Argenteuil; Eros; Marte; Ringo;’ has been amended as follows: ‘Suitable cultivars for the production of “Asparago verde di Altedo” are: Eros, Marte, Franco, Giove, Ercole, Vittorio, Athos.’ Reason: To update and broaden the range of varieties. Bearing in mind that ‘Asparago verde di Altedo’ is currently produced almost exclusively from the Eros cultivar, in order to ensure continuity of production it is proposed that hybrids resulting from the genetic improvement of the local variety Precoce di Argenteuil be included, and that, consequently, this latter variety be removed. The varieties introduced are Franco, Giove, Ercole, Vittorio and Athos. As well as ensuring greater quantities, the introduction of these varieties will extend the harvesting and marketing period, ensuring greater availability for the end consumer.
The Ringo variety has been removed as the reproductive material is no longer available. The amendment concerns point 4.2 of the summary published in OJ C 114 of 15 May 2002 and point 3.2 of the Single Document.

- The following paragraph has been added to Article 2:
‘Shoots which meet all the requirements of the product specification apart from the class and shape requirements may be used for processing only, and may bear the “Asparago verde di Altedo” PGI. Such shoots may not be sold to the end consumer.’
The possibility of processing asparagus which is defective only in size or shape, despite having been produced and grown in accordance with the parameters set out in the specification, has been included. However, vegetables which are not healthy and do not comply with the product specification will not be processed.
The amendment concerns point 4.2 of the summary published in OJ C 114 of 15 May 2002 and point 3.2 of the Single Document.

- The following paragraph has been added to Article 2:
‘For the production of “Asparago verde di Altedo”, it is permitted to use other asparagus cultivars derived from varietal research provided that it is demonstrated by means of experimental and documentary evidence that the method of production and the qualitative characteristics of the vegetable are consistent with this product specification. The use of such cultivars for the production of “Asparago verde di Altedo” must be notified in advance to and be evaluated by the Ministry of Agricultural, Food and Forestry Policy, which may to that end request the technical opinion of the control body or another body.’

In order to ensure continuity of production while respecting tradition and the links with the local territory, a clause has been added which allows other asparagus cultivars to be used in accordance with the specification, provided that any varieties other than those indicated are approved in advance by the Ministry of Agricultural, Food and Forestry Policy.
The amendment concerns point 4.2 of the summary published in OJ C 114 of 15 May 2002 and point 3.2 of the Single Document.

- Article 3 of the product specification:
The clerical errors in the product specification have been corrected and the names of the municipalities have been updated, following the mergers which took place in January 2014 and January 2017 respectively. There has been no change to or enlargement of the production area.
Specifically: Province of Bologna: — ‘Castelmaggiore’ has been replaced with ‘Castel Maggiore’, which is the correct name of the municipality. — ‘Castelguelfo’ has been replaced with ‘Castel Guelfo di Bologna’, which is the correct name of the municipality. — ‘San Giovanni Persiceto’ has been replaced with ‘San Giovanni in Persiceto’, which is the correct name of the municipality.
Province of Ferrara: — ‘Iolanda di Savoia’ has been replaced with ‘Jolanda di Savoia’, which is the correct name of the municipality. — Municipality of Fiscaglia: The municipality of Fiscaglia was established on 1 January 2014 by merging the adjoining municipalities of Massa Fiscaglia, Migliarino and Migliaro. It is therefore considered appropriate to give the correct name in the specification. The three municipalities previously indicated have been replaced in their entirety by the municipality of Fiscaglia, with no change to the area covered by the specification.
— Municipality of Terre del Reno: The municipality of Terre del Reno was established on 1 January 2017 by merging the adjoining municipalities of Sant’Agostino and Mirabello. It is therefore considered appropriate to give the correct name in the specification. The two municipalities previously indicated have been replaced in their entirety by the municipality of Terre del Reno, with no change to the area covered by the specification.
The amendment concerns point 4.3 of the summary published in OJ C 114 of 15 May 2002 and point 4 of the Single Document.

Article 5 of the product specification
The paragraph: ‘Facilities suitable for the production of “Asparago verde di Altedo” PGI are entered on a specific list kept and updated by the control body referred to in Article 10(2) of Regulation (EEC) No 2081/92.’
has been deleted and replaced by the following: ‘Pursuant to Articles 36 and 37 of Regulation (EU) No 1151/2012, the control body checks that the product meets the requirements of the specification. The traceability of the product is guaranteed by entering the cadastral parcels on which the product is grown, as well as details of the producers and packers, in lists managed by the control body referred to in Article 5, and by declaring to the control body the quantities produced.
All natural and legal persons entered in the relevant lists are subject to checks by the control body in accordance with the product specification and the associated control plan.’
The article has been reworded to include references to the control body and evidence demonstrating the product’s origin, as provided for in Article 7(d) and (g) of Regulation (EU) No 1151/2012.
