Legal Officer - Commercial

What will you do?

The post-holder will be primarily accountable to the Director of Commercial for the provision of legal advice and assistance to the Crown Officers, Government, Departments and Statutory Boards in order to achieve the objectives set out within Chambers Service Delivery Plan.

The post-holder is expected to have and demonstrate the highest levels of aptitude, specialist knowledge and in depth understanding of legal services as well as demonstrating commitment and enthusiasm in the delivery of core objectives.

What does that involve?

Main Duties and Accountabilities

1) Post Specific This post involves the progressing of property and commercial transactions and the negotiation of documentation on behalf of Government Departments, Boards and Offices. The post also includes the provision of advice relating to those matters, transactions or documentation and generally in relation to areas of and . The post-holder will be required to take an active role in advising clients in relation to large, complex and often politically sensitive transactions and matters. This advice will be aimed at achieving the best outcome for the client Department/Board within the constraints of the Financial and public law generally. The preparation of documentation may therefore include the need for mechanisms designed to protect the client Departments/Boards interests. They will be required to prepare documentation and accurate and authoritative advice within specific, often short, timescales and under pressure, especially where larger projects, dependant projects and third party requirements are involved. The post-holder will assist other members of the Attorney General's Chambers in the development of efficient working practices to include the development of robust and procedures for those areas of practice covered by the Main Duties and Accountabilities of this post. The Post Holder will be required to provide management assistance in respect of the Commercial Division from time to time as directed by the Director of .

2) Main Duties and Accountabilities a) Commercial i) Property

• The post holder will take primary responsibility for the delivery of all property work to Government. This will include:

o Assisting client Departments/Boards in the negotiation of all Isle of Man Government property transactions including sales, purchases, leases, licences, easements and wayleaves, or other ancillary property transactions including large and complex commercial property transactions and progressing those transactions.

o Providing advice and assistance to client Departments in relation to their statutory obligations relating to mines and minerals and the preparation of necessary documentation in relation thereto.

o Providing advice concerning planning law to include the negotiation and preparation of section 13 Town and Country Planning Act 1999 planning agreements.

o Preparing security documentation in connection with financial assistance, grants and loans offered by Departments/Boards pursuant to various schemes. The preparation of development agreements with third party non- Government developers will often include the preparation of ancillary documentation with particular emphasis upon the quality, building and completion of developments for specific purposes within a defined timescale.

o Providing advice and assistance to Departments in respect of land registration, including , encroachment, rights and reservations, and/or boundary issues to protect the real assets of the Departments/Boards

o Providing advice and assistance to client Departments in relation to agricultural holdings, including leases and licences

o Development and provision of master forms and precedents including master correspondence and procedures to Departments/Boards and provision of training on such documentation and in relation to land law and property issues generally to Departments/Boards as required ii) Assisting client Departments/Boards in the procurement of services/goods which will include:

• Drafting contracts for a wide range of specialist goods and services • Drafting a wide range of types e.g. framework agreements, single supply agreements, NEC contracts, etc.

• Assisting client Departments/Boards with the procurement process and the preparation of tender documentation.

• Providing advice and assistance to client Departments/Boards in relation to contractual issues. The post-holder will be required to provide advice to client Departments/Boards and Offices in relation to their receipt and provision of a broad ranges of goods and services and will be expected to give appropriate advice in relation to vires, data protection, information management, , risk management as they relate to the relevant contract.

3) Other Areas Advisory Providing general advice to client Departments/Boards in relation to areas of civil and public law as required. Management Assisting the Director of Commercial Law in the management of the Division as required. This will include (inter alia):

• The preparation of management reports • Deputising for the Director of Commercial Law when required • Undertaking such Divisional Client liaison as is required

4) Service Delivery The post-holder will be responsible for the provision of high quality legal advice and assistance to the client. The post-holder will be expected to have an understanding of client requirements, translate and present them in a structured format and articulate them clearly to otherDepartments, Statutory Boards, Offices and non Government entities , enabling underlying assumptions to be understood and tested so that the client can achieve their objectives. The post-holder will be expected to provide timely expert and authoritative legal analysis and advice and to be responsible for its legal quality including but not limited to strategy and risk management . The post-holder will be responsible for the application of legal knowledge and skills to influence Departments, Statutory Boards and Offices , advising on the interpretation and development of policies. The post-holder will be expected to assess the impact and implications of advice on other parts of the client's organisation and determine the effects of their own and others' work within this broad context.

5) Performance Management The post-holder will be expected to manage their own caseload expeditiously and to consistently high standards. The post-holder will be responsible for the maintenance of professional standards and for the continuous improvement of services provided. To this end they will participate in a framework of operational reporting and performance monitoring in relation to their own work and that of their Division. The post-holder will ensure compliance with corporate policies, systems and procedures applicable to Chambers and relevant legal provisions. All Civil Servants have a personal responsibility for performance management. The post- holder will be expected to contribute to their own annual performance development review and bi-annual interim performance reviews. The post-holder will also assist subordinates to comply with the Performance and Development Review Scheme as directed by the Office of Human Resources.

6) Communication The post-holder should ensure that they communicate in a manner which establishes their credibility and earn the respect by the depth of their knowledge and influence on others on the basis of their specialist knowledge. The post-holder will be responsible for good communication within Chambers and with clients ensuring that all stakeholders understand the role of Chambers in providing legal services. The post-holder will be required to explain advice provided in a manner appropriate to the recipient.

7) Team Work When working for a client within a multi-disciplinary team the post-holder should assist in the effective working of the team and participate in a manner which supports a successful outcome. The post-holder shall have the support of a executive officer and an administrative officer in the effective working of the team. The post officer will be required mentor and assist the executive officer and administrative officer as required from time to time. The post holder will also be required to provide line management to the executive officer and administrative officer whilst reporting directly to the Director of Commercial Law and shall also provide management assistance, when required to the Director of Commercial Law and act when required as deputy to the Director of Commercial law.

8) Professional Development The post-holder will be responsible for their personal and professional development, performance management and appraisal in accordance with the requirements of the Performance and Development Review Scheme. The post-holder will be responsible for enhancing and developing their knowledge and skills and assisting in the training and development of other legal officers, which may take the form of discussions, tutoring and development of training materials and the provision of training to other members of the legal profession including those outside of the Attorney Generals Chambers .

9) Representation The post-holder will, if required, represent Chambers in a range of settings, forums, committees, working groups and events. It is expected that the post-holder will be a committed ambassador of Chambers and their clients.

10) Resource Management The post-holder will be responsible for the effective management of resources in accordance with value for money principles and the requirements of Financial Regulations.

11) Professional Integrity The post-holder will maintain themselves at all times in good standing with their professional body (Isle of Man Law Society or equivalent) of which they must be a member. The post-holder will be expected to comply with all and any professional rules, code of conduct or direction issued by their professional body (Isle of Man Law Society or equivalent) and in the event that the post-holder is a member of any professional body. As an appointee of Chambers, the post-holder is expected to recognise that their everyday requires the highest level of personal integrity. Each Officer has a personal responsibility to maintain the confidentiality of all project business and to uphold such confidences.

12) Health and Safety The post-holder will be responsible for their own health and safety and the impact of their actions on others. They will be responsible for identifying any possible risks or near misses to a responsible manager.

Reporting Framework The post-holder reports to the Director of Commercial Law. The Director of Commercial Law, as Line Manager, is responsible as 'Reporting Officer' for the implementation of, and compliance with, the provisions of the Isle of Man Civil Service Performance and Development Review Scheme.
