Judges Panel-Semi Final Competition:

David A. Brown, (Lead Judge) Counsel, Davies Ward Phillips & Vineberg, LLP Former Chairman, Securities Commission

David Brown is Counsel at Davies Ward Phillips & Vineberg LLP focusing on Capital Markets and Corporate/Commercial practices. For seven years he was Chairman and Chief Executive Officer of the Ontario Securities Commission (OSC). Prior to joining the OSC, he was a senior corporate law partner with a predecessor law firm for 29 years, focusing on mergers and acquisitions, corporate finance and reorganization.

Mr. Brown has played significant roles in national and international regulatory bodies. He was the founding chair of the Council of Governors for the Canadian Public Accountability Board, a national body he helped form to oversee the audits of Canadian publicly-listed companies. He was a founding member of the Audit and Assurances Standards Oversight Council (“AASOC”) and served as its Chair for three years. He served for six years as a member of the Public Interest Oversight Board (“PIOB”), a body formed by international regulatory and supervisory bodies to oversee the standards-setting and other public interest activities of bodies sponsored by the International Federation of Accountants (“IFAC”).

In 2007, he was appointed by the Canadian Government to investigate the RCMP's handling of complaints about alleged pension and insurance plan improprieties. Subsequently, he was appointed to Chair a Task Force to examine issues of culture and governance within the RCMP.

David received his Bachelor of Civil Engineering from Carleton University and his LL.B from the University of . He was appointed Queen's Counsel in 1984, was awarded an honourary doctorate of laws from McMaster University in 2005, and was appointed a member of the Order of in 2009.

George Hartman Investment Banker Maison Placements Canada

George Hartman recently joined Maison Placements Canada as an Investment Banker, following a lengthy and successful career as a top ranked merchandising stock market analyst.

Mr. Hartman began his analytical career with Pitfield Mackay Ross (now RBC). George co- founded BBN and served as Vice Chairman and President of BBN Institutional at Brown, Baldwin, Nisker (BBN), a highly successful investment brokerage boutique which was acquired by James Capel the investment arm of the Hong Kong and Shanghai Bank.

He has completed mergers and acquisitions and financings investment banking assignments with a large number of Canadian and International retailers, including Future Shop, Forzani Group, Hudson's Bay Company, Wal-Mart, Peoples Jewelers, Consumers Distributing, Dylex, and Grafton Group

Mr. Hartman was co-head for fund raising of the UJA Investment Division for 2 years. He is a major collector of contemporary art., and has made significant donations to the Art Gallery of Ontario, Musee des Beaux-Arts , and Calgary's Glenbow Museum.

Mr. Hartman holds a B.A. (Honours) from the University of Toronto, and an MBA from the Schulich School of Business at York University.

John MacIntyre Founding Partner Birch Hill Equity Partners

John MacIntyre is a founding partner with Birch Hill Equity Partners, one of Canada’s leading private equity firms with $2.0 billion under management and 20 partner companies.

He sits on the boards of a number of companies, including Distinction Group Inc., RHB Group LP, and Secunda Holdings LP. He is on the advisory boards of Brookfield Special Situations Fund and Northleaf Capital Partners. He is a past director of a number of private and public companies in Canada and the United States.

He is currently Chair of the Toronto Community Foundation and a director (and past Chair) of Wellspring Cancer Support Foundation.

Mr. MacIntyre’s professional career before Birch Hill included 17 years in the TD Bank organization. From 1995 to 2000, he led TD’s Global Private Equity business as President of TD Capital. From 1987 to 1994 and from 2000 to 2002, Mr. MacIntyre was with TD Securities, most recently as Vice Chair and Global Head, Investment Banking. Prior to joining TD Securities in 1987, Mr. MacIntyre was with Clarkson Gordon, a predecessor firm of Ernst & Young LLP.

Mr. MacIntyre is a Fellow of the Institute of Chartered Accountants of Ontario, a Chartered Business Valuator (CBV) and holds a B. Comm. (Honours) from Queen’s University.

Kathleen O’Neill Corporate Director

Kathleen O’Neill is a Chartered Accountant and corporate director of Finning International Inc., ARC Resources Limited, Cadillac Fairview Corporation Limited and Invesco Canada. She has previously been a director of TMX Group Inc., MDS Inc., Bank and Hydro One. Kathleen is Chair of the Audit Committee of Finning, ARC, and Invesco Canada, and is a member of the Human Resources and Compensation Committee at Finning and ARC.

Kathleen was Executive Vice President, Personal & Commercial Development & Head of Small Business Banking with BMO Bank of Montreal until January, 2005. Prior to joining BMO Bank of Montreal in 1994, Ms. O’Neill was a partner at PricewaterhouseCoopers in the Corporate Taxation Practice.

Kathleen has been involved in the non profit sector as a board member for the last 30 years, currently on the board of the University of St Michaels College at the University of Toronto and as Past Chair of both St Joseph’s Health Centre Foundation and St. Joseph’s Health Centre in Toronto.

Kathleen is on the Ontario Advisory Council for the Institute of Corporate Directors (“ICD”) and is a frequent examiner/executive in residence for the ICD. She is currently on the Steering Committee on Audit Quality jointly sponsored by the Canadian Institute of Chartered Accountants and the Canadian Public Accountability Board.

Ms. O’Neill is a Fellow of the Institute of Chartered Accountants of Ontario and has a Bachelor of Commerce degree from the University of Toronto. She is a graduate of the Institute of Corporate Directors education program for directors and is an Institute-certified director.

Don Wilkinson Vice Chair, Deloitte

Don Wilkinson has over 25 years of public accounting experience providing assurance and special services to investment and pension funds, institutional asset managers, telecommunications, and real estate industries in Canada and the United Kingdom. He has extensive experience in the pension industry, including their private investment holding, as well as directing audit, accounting, tax, and consulting services for many of the largest plans in the country.

Mr. Wilkinson is a Vice Chairman of Deloitte and a member of the firm’s Board of Directors. Additionally, he is Chairman of the Deloitte & Touche National Asset Management Group and a member of the firm’s Global Financial Services Industry Steering Committee for the Asset Management Industry. Mr. Wilkinson is a leader in Deloitte’s client support service and activities related to corporate governance. In addition, Mr. Wilkinson is the firm’s leader of the Canadian Corporate Governance Centre, as well as Deloitte’s director education program – The Directors’ Series. He has co-authored many publications related to governance, and is a frequent speaker at conferences on issues related to financial reporting, and corporate and institutional governance.

Don is a Chartered Accountant and holds a Bachelor of Commerce (B.Com.) from the University of Saskatchewan. Judges Panel- Final Competition:

Terry Connoy Principal, 2B Consulting Inc. Former Executive Director, Canadian Tire Dealers’ Association (1991-2011)

Terry Connoy is Principal of 2B Consulting Inc. advising companies and franchisees on strategic planning, and organizational structure. He is currently a member of the Board, public spokesperson, and advisor to United Association of Pharmacist Franchisees (UAPF). Mr. Connoy has a wealth of experience, primarily gained at Canadian Tire as Executive Vice-President and Executive Director of the Canadian Tire Dealers’ Association, from 1991 to 2011.

Prior to Canadian Tire, he held a variety of other senior executive positions including Vice- President and General Manager of Jadis, and senior management positions at Steinberg, , , A&P, and Pepsi-Cola International.

He is also a seasoned Corporate Director including roles as Vice-Chair of the Board, Drug Trading; Member of the Board, Canadian Tire Dealers’ Association; Member of the Board, Krispy Kreme Canada; Past Member of the Board, Child Abuse Prevention and Protection of Youth (CAPPY).

Mr. Connoy holds an Honours BA in Finance and Economics from the University of Windsor.

Gerald D. Courage Chairman and Partner Miller Thomson LLP

Gerald Courage is National Chairman and Tax Partner at Miller Thomson, LLP, and practices the full range of taxation and tax related matters, with a primary focus on corporate tax.

With a tax law background that spans over 30 years, he has provided advice on domestic and international tax issues to a number of significant public and private businesses, based in Canada and abroad, across a wide range of industries.

Mr. Courage has particular expertise in the tax aspects of mergers and acquisitions, corporate reorganizations, corporate finance and business succession planning.

He is a former lecturer in taxation and commercial law at the University of Toronto Law School.

Mr. Courage is a frequent speaker and Chairperson at numerous tax conferences, including Law Society of Upper Canada, Canadian Bar Association (Ontario), Canadian Tax Foundation, Canadian Institute of Chartered Accountants, Canadian lnstitute and Lexium.

Gerald holds a Bachelor of Commerce from the University of Toronto, an LL.B. from Queen’s University, and an LL.M. from Harvard Law School.

Merv Hillier, MBA, FCMA, C.Dir, CMC President and Chief Executive Officer Certified Management Accountants of Ontario (CMA Ontario)

Merv Hillier is the President and CEO of the Certified Management Accountants of Ontario, a position he has held since 2007. With approximately 50,000 members in Canada and 25,000 members in Ontario, CMA members are recognized by industry and academia as experts in the integration of accounting, management and strategy, key elements for value creation.

Merv is the past Chair of the Board for the Immigration Consultants of Canada Regulatory Council (ICCRC), the appointed federal regulatory body for practicing immigration consultants. He currently sits as a Public Interest Director with the ICCRC. Merv is also a member of the Dean’s Advisory Committee for the business school at Wilfrid Laurier University and a member of the Economic Development Committee for the Toronto Board of Trade.

Merv is a Fellow of CMA Canada, a distinction which recognizes community involvement, professional success and contributions to the management accounting profession.

Prior to joining CMA Ontario, Merv was Managing Partner for a consulting firm with offices in Canada and Bahrain, working with organizations in North America and the Middle East that required an alignment of organizational strategy, structure and culture to drive sustainable growth. He was also the Canadian President of a diversified company in manufacturing and distribution servicing the automotive and high tech industries. As President, Merv led his company to being consistently recognized as one of the “50 Best Managed Companies in Canada”.

Merv holds an MBA from the University of Edinburgh, and is a Fellow of The Certified Management Accountants of Canada (FCMA), a Certified Management Consultant (CMC), and a Certified Director (Directors College - McMaster University and Conference Board of Canada) (C. Dir.)).

Keith Howlett Consumer Products and Merchandising Analyst Desjardins Capital Markets

Keith Howlett has over 20 years’ experience as an investment analyst covering the consumer sector, he is presently the Consumer Products and Merchandising Analyst at Desjardins Capital Markets. He has previously worked at CIBC Wood Gundy and Gordon Capital. He has been recognized by the Starmine Analyst Awards on a number of occasions, most recently in May 2012 as one of the top stock pickers for 2011.

Prior to entering the investment business, Mr. Howlett practised international business law at Baker & McKenzie, and at McMillan.

Mr. Howlett obtained his B.A., LL.B. and M.B.A. degrees at the University of Toronto.

Eileen Mercier (Lead Judge) Chair, Board of Directors Ontario Teachers’ Pension Plan

A management consultant and former senior vice-president and chief financial officer of Abitibi- Price Inc., Eileen Mercier’s career encompasses 40 years of general management experience in the forest products, financial services, integrated oil and communication industries, including senior positions at Gulf Canada Ltd., Canwest Capital Corp. and TD Bank.

From 1995 to 2003, she ran her own management consulting firm, Finvoy Management Inc., specializing in financial strategy, restructuring and corporate governance issues.

Ms. Mercier is one of Canada’s first female professional directors. She sits on the boards of CGI Group Inc., Intact Financial Corporation, Teekay Shipping Corporation and the University Health Network.

She has been honoured by York University (Doctor of Laws 2010), Institute of Corporate Directors (Fellowship Award 2009), Schulich School of Business (Outstanding Public Contribution Award 1997) and Wilfrid Laurier University (Alumna of the Year 1990).

Ms. Mercier holds an MBA from the Schulich School of Business, a Master of Arts from the University of Alberta, an Honours Bachelor of Arts from Wilfrid Laurier University, and is a Fellow of the Institute of Canadian Bankers (FICB).

Marina Strauss Retailing Reporter Globe and Mail

Marina Strauss is the retailing reporter for The Globe and Mail's Report on Business. She follows a wide range of topics in the sector, from the fallout of foreign retailers invading Canada to how a merchant such as the Swedish IKEA gets its mojo. She has probed the rise and fall -- and revival efforts -- of Loblaw Cos. Ltd and Hudson's Bay Co, as well as the failing of T. Eaton Co. She writes for the Report on Business Magazine and speaks as a retail expert on television and radio.

In the past she has covered marketing, consumer products, the professions, legal affairs and city hall for The Globe and Mail, and worked on Parliament Hill in , in Montreal and in Vancouver. She began her journalism career at The Gazette in Montreal.

Ms. Strauss holds an Honours Bachelor of Arts degree from the University of Toronto, a French diploma from Universite Aix-Marseille (Aix-en-Provence, France) and studied law for journalists at the University of Western Ontario’s Faculty of Law.
