CORPORATE OWNERSHIP STATEMENT PURSUANT TO FED. R. BANKR. P. 1007(a)(1) AND LOCAL RULE OF BANKRUPTCY PROCEDURE 1007-3

Pursuant to Rule 1007(a)(1) of the Federal Rules of Bankruptcy Procedure and

Rule 1007-3 of the Local Rules for the United States Bankruptcy Court for the Southern District

of New York, AMR Corporation (“AMR Corp.”), American Airlines, Inc. (“American

Airlines”), AMR Eagle Holding Corporation (“AMR Eagle,” and together with its direct

subsidiaries, “Eagle”), and certain of their subsidiaries, as debtors and debtors in possession in

the above-captioned chapter 11 cases (collectively, the “Debtors,”1 and together with their non-

Debtor subsidiaries, “AMR”), respectfully represent:

1. To the best of the Debtors’ knowledge and belief based on publicly filed

disclosures, as of October 31, 2011, 12.4% of AMR Corp.’s equity was

directly or indirectly owned by PRIMECAP Management Company.

2. 100% of American Realty (NYC)’s equity is directly owned by American

Airlines and indirectly owned by AMR Corp.

3. 100% of American Airlines’ equity is directly owned by AMR Corp.

4. 100% of AMR Eagle’s equity is directly owned by AMR Corp.

5. 100% of Americas Ground’s equity is directly owned by AMR Corp.

6. 100% of PISI’s equity is directly owned by AMR Corp.

7. 100% of SC Investment’s equity is directly owned by AMR Corp.

9. 100% of Executive Airlines’ equity is directly owned by AMR Eagle and

indirectly owned by AMR Corp.

10. 100% of Executive Ground’s equity is directly owned by Executive

Airlines and indirectly owned by AMR Eagle and AMR Corp.

11. 100% of Eagle Aviation’s equity is directly owned by AMR Eagle and

indirectly owned by AMR Corp.

12. 100% of Business Express’s equity is directly owned by AMR Eagle and

indirectly owned by AMR Corp.

13. 100% of Admirals’ equity is directly owned by American Airlines and

indirectly owned by AMR Corp.

14. 100% of Reno’s equity is directly owned by American Airlines and

indirectly owned by AMR Corp.

15. 100% of Holding GP’s membership interests is directly owned by

American Airlines and indirectly owned by AMR Corp.

16. 99.5% of Holding L.P.’s membership interests is directly owned by

American Airlines and indirectly owned by AMR Corp.

17. 100% of American Marketing’s membership interests is directly owned by

American Airlines and indirectly owned by AMR Corp.

18. 100% of American Vacation’s membership interests is directly owned by

American Airlines and indirectly owned by AMR Corp.

Aerosan Airport Services, S.A.; Aerosan S.A.; Airline Tariff Publishing

Company; oneworld Alliance, LLC; oneworld Management Company,

24. AMR Eagle directly or indirectly holds an ownership interest in

28. SC Investment directly or indirectly holds an ownership interest in

Aerolineas Argentinas.

29. AMR Corp. and certain of its subsidiaries hold ownership, participation,

and/or other interests in certain other entities, including certain fuel

consortia and cooperatives, and small ventures. To the best of the

Debtors’ knowledge and belief, these ownership and participation interests

are not material or significant.

30. None of the Debtors directly or indirectly owns 10% or more of any class

of equity of a corporation whose securities are publicly traded.

31. Neither American Realty (NYC), Americas Ground, American Eagle,

Executive Airlines, Executive Ground, Eagle Aviation, Business Express,

Admirals, Reno, Holding L.P., American Marketing, American Vacation,

American Aviation, nor American IP Licensing directly or indirectly owns

an interest in any general partnership, limited partnership, or joint venture.
