SUBJECT: REQUEST FOR PROPOSALS FOR THE SITE WIDE PROPERTY MANAGER FOR THE WORLD TRADE CENTER (RFP #6000000053) – ADDENDUM #2

Dear Sir or Madam:

The Port Authority of and New Jersey (the Authority) hereby amends the subject Request for Proposals (RFP), dated October 1, 2020, as follows: RFP Letter 1) In RFP Contents, under Attachments, Attachment O: SWPM Sample Draft Agreement is made available at this link: Attachment O: SWPM Draft Agreement. 2) In Section V, Letter D: Personnel Qualifications and Experience, in the third paragraph, second line, delete “Exhibit A’ and replace with “Attachment A”. 3) In Section V, Letter F: Technical Ancillary Services Approach, in the last paragraph, second line, delete “Exhibit A” and replace with “Attachment A.” The following questions were received from RFP recipients. The questions and the corresponding Authority answers are provided for your information and use, as appropriate.

Question #1: On page 6 of the RFP, D. Personnel Qualifications and Experience, is the indicated staff that is currently in place to perform the scope of services employed entirely by the SWPM? Which staff on page 6 are outsourced to 3rd party suppliers? Answer #1: The positions listed in Section V.D of RFP Letter are currently in place and directly employed by the present Site Wide Property Manager to perform the scope of services under Attachment A. Firms should provide their transition plan and recommended staffing plan to perform the services required at the WTC.

Question #2: Is the current SWPM management team dispersed on a 24/7 coverage schedule? Answer #2: The World Trade Center facility is open 24 hours per day, 7 days per week. Although some components of the facility are closed or limited in capacity or functionality during certain hours of the day or days of the week, facility operational support is required 24/7. Staffing plans should reflect facility needs and may vary by time of day or day of week.

Question #3: In RFP Section 1.18, Project Management, Owner may request that the SWPM provide project management services for construction or renovations projects. Is it a requirement under the SWPM contract that the SWPM must have on site Project Management staff as part of the day to day site personnel? Answer #3: Any staff hired for specific or defined projects, such as Project Managers, may be used on the SWPM team on an as-needed basis and may not be required to be on site on a regular or ongoing basis unless directed by the Authority.

Question #4: In RFP Section D, Personnel Qualifications and Experience, the Authority provided a list of positions currently in place to perform the services under Exhibit A, Site Wide Property Management Scope of Responsibility. Is the Authority requiring the SWPM to keep these listed positions intact following transition? Answer #4: Please see answer #1 above.

Question #5: On page 6 of the RFP, D. Personnel Qualifications and Experience, there is the following text: “The Property Manager shall not remove or replace the Principal-In-Charge (Principal) or any other key personnel as identified by the Authority, without the written consent of the Authority and the Authority will not consent until the Property Manager has proffered a candidate with similar and equal credentials acceptable to the Authority.”

Does this text refer to the Principal and key personnel who is eventually hired for the project, or is this referring to the initial personnel contained in the RFP response? Answer #5: It is expected that key personnel proposed under this RFP will be committed to being assigned to this project for its duration. The Property Manager shall not remove or replace the Principal-In-Charge (Principal) or any other key personnel as identified by the Authority under this RFP, without the written consent of the Authority and the Authority will not consent until the Property Manager has proffered a candidate with similar and equal credentials acceptable to the Authority.

Question #6: On page 17 of the RFP, it is stated that Reimbursable Out-of- Pocket Costs (i) do not include Subcontractor cost and (ii) are the only reimbursements billable under the contract apart from Direct Salary Cost and the Multiplier. Can you provide a list or description of the current Reimbursable Out-of-Pocket Costs? Answer #6: Please refer to Attachment O: SWPM Draft Agreement, Section 6.3.

Question #7: What percentage of the $38 million subcontractor budget as noted in the RFP Letter, Section V, F.2.f. is currently meeting the MBE requirement? Answer #7: The current percentage varies among ancillary contracts. The SWPM will be required to make a good faith effort to achieve participation of 20% Minority Business Enterprises (MBEs) and 10% Women-owned Business Enterprises (WBEs), and Service-disabled Veteran-owned Businesses (SDVOBs) for Minority- Business Enterprises.

Question #8: Could you provide a copy of the presentation and attendance list from the Pre- Proposal meeting? Answer #8: Please find a copy of the presentation and a list of registrants at the end of the document.

The WTC Department works in collaboration with 2 other WTC Related Departments:

• WTC Construction – to receive capital projects and turn them over to operation. • WTC Security – to ensure the safe and secure operation of the complex in compliance with interagency security agreements and policies.

12 World Trade Center Department Structure

• The agency’s WTC Department is structured differently than other Port Authority facilities, with a contractor (called the Site-Wide Property Manager) performing most of the facility maintenance and operations functions.

• The WTC Department is a group of approximately 30 Port Authority employees divided into the following functions:

o Director’s Office o Operations Division o Project and Asset Management Division

o Planning and Communications Division o Finance Division

(Although the Site-Wide Property Manager has responsibilities that cut across all of these functions, the contract is primarily managed through the Operations Division).

• The WTC facility staff under the Site-Wide Property Management contract ranges from approximately 200 to 300 FTEs, including contractors, subcontractors, represented staff, and management staff. They are truly embedded in the day-to-day operation of the World Trade Center facility.

13 SWPM Program Goals Port Authority has strategic goals for the current and future WTC SWPM Contract:

1. Maintaining the WTC’s status as a modern, Class-A facility. 2. Preserving and promoting the WTC Campus as a place of international significance and a regional gathering and connection point. 3. Providing strategic support to potential new assets and the WTC and Port Authority’s mission, priorities and objectives. • Includes new assets becoming in-scope during the period prior to the future procurement, such as infrastructure to support the Ronald O. Perelman Performing Arts Center (including vehicular access roadway and security equipment under the Performing Arts Center) and infrastructure to support the St. Nicholas National Shrine at the WTC. 4. Continually identifying opportunities to improve efficiency and outcomes (e.g. through technology and improved processes). 5. Strategic use and leverage of Maximo, the Port Authority’s asset management system.

o White Carrera marble and radiant heat floors

o Retractable skylight with smoke purge system

o Operations Command Center o Central Fan Plant

o 47 escalators and 21 elevators

o Six fire command stations and 26,500 fire detection systems

o 70 radio locations and 76 radio channels • River Water Pump House and Central Chiller Plant:

o Four large pumps, pumping 15,000 gallons per minute from the Hudson River o Provides 10,000 tons of central cooling per hour to the Hub, PATH, retail, 9/11 Memorial and VSC • Exteriors and Campus Security Plan:

o One-Acre Liberty Park (50 Trees, 1,000 Shrubs) o One-of-a-kind Living Wall with built in irrigation system o Pedestrian plazas and sidewalks (e.g. Oculus Plaza) o In-ground security equipment (license plate readers, raptors, bollards, barriers, booths, etc.) integrated with vehicle scheduling software • Vehicle Security Center (VSC) and Below-Grade Vehicle Roadway Network (VRN):

o State-of-the-art processing/security systems o Below-grade roadway connecting to all property loading docks, car parking, and bus parking
