OFFICIAL RULES FOR “JEEP® Vehicle HALF-COURT SHOT” PROMOTION Sponsored and Administered by Palace Sports & Entertainment, LLC

NO PURCHASE OR PAYMENT OF ANY KIND IS NECCESARY TO ENTER. A PURCHASE OR PAYMENT WILL NOT INCREASE ENTRANT’S CHANCE OF WINNING.

By entering the “Jeep Half-Court Shot” Promotion (“Promotion”), you accept and agree to these Official Rules, including all eligibility requirements, and decisions arising out of this Promotion made by Palace Sports & Entertainment, LLC (the “PSE”) and FCA US, LLC (“FCA”), which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. These Official Rules are available online at http://www.pistons.com/shootforjeep

Promotion Period: The Promotion shall begin on November 9, 2018 at 12:00 p.m. Eastern Standard Time (“EST”) and shall end on April 1, 2019 at 8:00 p.m. EST (“Promotion Period”). Entrants (as defined below) will be selected according to the entry process described in these Official Rules, but in no event later than April 1, 2019 at 8:00 p.m. EST (the “Promotion Period”). PS&E’s computer is the official time keeping device for this Promotion. PSE may terminate, extend, or suspend the Promotion, and may extend or reduce the Promotion Period in its sole discretion.

Eligibility: You must be a legal resident of the United States and at least eighteen (18) years of age at the time of entry. The following persons are ineligible to enter the Promotion: (x) current or former professional or semi- professional basketball players or coaches, (y) current or former basketball players or coaches at the high school or college level (including Freshmen, Junior Varsity, Varsity, and Club) who has played in a basketball game within the last (5) years; and (z) any individuals (including, but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months, performed services for PSE, the Detroit Pistons Basketball Company (“Pistons”), Little Caesars Arena, Olympia Entertainment Events Center, LLC (“Olympia”), the National Basketball Association and its member teams (“NBA”), NBA Properties, Inc. (“NBAP”), FCA, and their respective parents, subsidiaries, agents, franchisees, licensees, subsidiaries, advertising and promotion agencies, event co-promoters, affiliated and successor companies, and their immediate families. For purposes of these Official Rules, “immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses; and “household members” shall mean people who share the same residence at least three months a year. Only the individual who will be Pistons Season Ticket Member account holder of record will be eligible to participate in the Promotion. PSE reserves the right, in its sole discretion, to make exceptions to the eligibility requirements.

How to Enter: Subject to the eligibility requirements set forth herein, individuals may enter the promotion online at pistons.com or at the box office at Little Caesars Arena (“LCA”) (each, an “Entrant”). One entry per person per email address. One winner per Prize (as defined below).

Entries: By entering the Promotion, Entrants agree to these Official Rules. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, and/or registrations or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. PSE is not responsible for late, undelivered, misaddressed, ineligible, misdirected, illegible, incomplete, or incorrect entries. In the event of a dispute as to any registration or entry, the authorized account holder of the email address used to register will be deemed to be the entrant. The "authorized account holder" of an email address, is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof that they are the authorized account holder. Entrants may subscribe to receive the PSE and Pistons’ affinity and entertainment fan club e-newsletters, which are sent at least once per week with exclusive video, photo, upcoming events and special offers. Entrant Selection and Notification: Subject to these Official Rules, PSE will make this opportunity available to ten potential winners who will be randomly selected among all eligible entries during the Promotion Period. The odds of winning are dependent upon the number of eligible entries. Drawings shall be conducted by PSE. Potential winners will be notified by phone and/or email, and must claim their opportunity to participate, according to the following schedule:

Game #1: Potential winner for November 25th vs Phoenix will be notified on 11/20, and must claim opportunity by 11/22; Game #2: Potential winner for December 1st vs Golden State will be notified on 11/26, and must claim opportunity by 11/28; Game #3: Potential winner for December 7th vs Philadelphia will be notified on 11/30, and must claim opportunity by 12/4; Game #4: Potential winner for December 26th vs Washington will be notified on 12/19, and must claim opportunity by 12/21; Game #5: Potential winner for January 5th vs Utah will be notified on 12/28, and must claim opportunity by 1/2; Game #6: Potential winner for January 18th vs Miami will be notified on 1/11, and must claim opportunity by 1/15; Game #7: Potential winner for January 31st vs Dallas will be notified on 1/24, and must claim opportunity by 1/28; Game #8: Potential winner for February 4th vs Denver will be notified on 1/28, and must claim opportunity by 1/30; Game #9: Potential winner for March 17th vs Toronto will be notified on 3/11, and must claim opportunity by 3/13; Game #10: Potential winner for April 9th vs Memphis will be notified 4/2, and must claim opportunity by 4/4.

If the potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Rules, such potential winner will be disqualified and an alternate potential winner will be selected at sole discretion of PSE from all remaining eligible entries, time permitting. Failure to comply with these rules may result in disqualification and an alternate potential winner may be selected.

Each potential winner will have the opportunity to take one (1) shot to win a Prize, subject to these Official Rules. PSE, in its sole discretion, reserves the right to determine the date(s) and time(s) at which to make this opportunity available to Entrants, and to change the date, time and location of the shooting contest, and the number of the Entrants participating. Each potential winner must be present at Little Caesars Arena during the Promotion Period in order to compete for the Prize. If a potential winner is not available (or not willing) to participate in the Promotion during the Promotion Period selected by the PSE, then such potential winner shall forfeit his/her opportunity to participate in the Promotion and to win a Prize. Each potential winner will be required to sign a Confirmation, Release and Indemnity on a form provided by the PSE prior to participating in the shooting contest, or shall forfeit his/her chance to participate in the Promotion and to win a Prize.

Shooting Contest: Each eligible potential winner will have only one (1) attempt to make a shot using an NBA- regulated men’s basketball through an NBA-regulated basketball hoop from behind the half-court line. To be counted as a successful shot, the basketball must pass completely through the target hoop on the fly, from the point of release from the potential winner’s hand, without coming in contact with the ground, any person, or any surface, other than the backboard or hoop and would otherwise constitute a successful shot scoring a basket under NBA regulations. Both of the Entrant’s feet must remain behind the half-court line (e.g., the Entrant’s feet may not cross the line) before the basketball is released from the Entrant’s hand(s). Each potential winner must take the shot within twenty seconds (:20) after receiving the ball. All of those Entrants who successfully hit the shot as defined herein will be considered a “Winner” for the purposes of these Official Rules.

OFFICIAL RULES | Page 2 of 3 PLEASE NOTE THAT EVEN IF POTENTIAL WINNER IS LISTED AS A WINNER AT THE CLOSE OF THIS PROMOTION, POTENTIAL WINNER HAS NOT YET WON THE PRIZE. EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY PSE, AND MUST MEET ALL ELIGIBILITY REQUIREMENTS AND THE TERMS OF THESE OFFICIAL RULES BEFORE AN ENTRANT WILL BE CONFIRMED AS A WINNER AND THE PRIZE WILL BE AWARDED.

Prize: Each Winner will receive a $35,000.00 voucher from FCA to redeem on the purchase of any Jeep model, the applicability of which is at FCA’s sole discretion (“Jeep”), exclusive of additional vehicle fees or applicable taxes due for the purchase of such Jeep (the “Prize”) and (4) Detroit Pistons tickets to the game in which winner will participating in. In no event will any Winner be entitled to receive cash or cash equivalent as the Prize. The Prize is limited to one Jeep vehicle voucher valued at $35,000.00. The approximate retail value of the Prize is $35,000.00 for the Jeep vehicle and $400 for the (4) Detroit Pistons tickets. All Season Tickets are subject to standard Season Ticket terms and conditions, available online at http://www.nba.com/pistons/terms.

No substitutions, cash equivalents, or transfer of the Prize is permitted except at the sole discretion of the PSE who reserve the right to substitute the Prize (or portion thereof) with one of equal or greater value. The Prize includes only what is specified in the Prize description. PSE makes no representation or warranty that the Prize can be sold, bartered, or traded for or at stated values. Values are subject to market conditions, which can fluctuate. The Prize will be provided at a date, time and location determined in the sole discretion of PSE. The Prize is awarded subject to applicable legal restrictions, if any, and “AS IS, WHERE IS” without any warranty or guaranty (express or implied), except that which may be provided by the producer or supplier of the Prize. Specifics of the Prize are in PSE’s sole discretion. All decisions are final on all matters relating to the awarding of the Prize and Promotion.

The Winner must not be under any legal impediment that would prevent the Winner from accepting the Prize, and must be able to participate in the Promotion and accept the Prize on the date or dates specified by PSE. Otherwise, the Prize will be forfeited.

Any and all costs and expenses associated with Prize acceptance and use are the sole responsibility of the Winner, including, without limitation, all federal, state, local and provincial taxes, transportation and meals, lodging, gratuities, and souvenirs, and all registration, license, permit fees and similar surcharges, and all other expenses of any nature incurred by the Winner in claiming the Prize.

Required Documents: In order to receive the Prize, Winner will be required to furnish proof of Promotion eligibility and identity including, but not limited to, a valid driver’s license and/or U.S. social security number where applicable. Winner must immediately claim the Prize and return to PSE any documentation required by PSE within twenty four (24) hours of notification (including the Confirmation, Release and Indemnity). Otherwise, the Prize may be forfeited. PSE’s decisions concerning all matters relating to any and all aspects of the Promotion are final and binding.

Privacy: Personal information collected by the PSE will be used for administration of the Promotion. Entrants may also be contacted immediately or in the future by PSE with respect to available ticket offers and other promotional opportunities. PSE will use reasonable commercial efforts to comply with Federal CAN-SPAM guidelines, and Entrants may subsequently opt-out of receiving further emails by following the opt-out instructions contained in such email correspondence. Publicity: To the extent permitted by law, each Entrant agrees that entry in the Promotion constitutes permission, in perpetuity, that PSE, the Pistons, the NBA, NBAP, FCA, and each of their respective affiliates, employees, officers, directors and/or members may use worldwide the Entrant’s identity, name, image (including video and voice), likeness, photograph, voice, opinion, hometown and state, and biographical information, now or hereafter developed of Entrant’s participation in the Promotion, for any purpose, including, but not limited to, publicity, promotional and advertising purposes in any media, worldwide, related to such parties without any additional

Release: As a condition of entering the Promotion, Entrant agrees that: (1) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased; (2) all causes of action arising out of or connected with any Promotion, or the Prize awarded, shall be resolved individually, without resort to any form of class action; and (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorney’s fees. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

LIABILITY: EACH ENTRANT: (1) ACKNOWLEDGES ACCEPTANCE OF THE OFFICIAL RULES AND AGREES TO ADHERE TO, ABIDE BY, AND BE BOUND BY THEM, WHICH SHALL BE FINAL AND BINDING; (2) ASSUMES ALL RISK, RESPONSIBILITY, AND LIABILITY FOR ANY PERSONAL BODILY INJURY OR DEATH OR ANY DAMAGE OR LOSS OF PROPERTY, INCLUDING ANY BODILY INJURY OR DEATH TO ANOTHER PERSON, DIRECTLY OR INDIRECTLY ARISING FROM PARTICIPATION IN THE PROMOTION; AND (3) AGREES TO RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS PISTONS, NBA, NBAP, FCA, AND EACH OF THEIR RESPECTIVE PARENT COMPANIES, FRANCHISEES/LICENSEES, SUBSIDIARIES, AGENTS, AWARD SUPPLIER, AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND/OR MEMBERS (“RELEASED PARTIES”), THEIR OWNERS, SUCCESSORS AND ASSIGNS, FROM AND AGAINST ALL LIABILITY, CLAIMS, LOSSES, INJURY, AND DAMAGES TO PROPERTY OR PERSON, INCLUDING DEATH, INCURRED OR CAUSED BY ENTRANT OR ENTRANT’S REPRESENTATIVES, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, ARISING FROM OR IN CONNECTION WITH OR RELATED TO THE PRIZE, OR THE OPERATION OF, OR PARTICIPATION IN, THE PROMOTION. ENTRANTS WAIVE THE RIGHT TO ASSERT, AS A COST OF RECEIVING PRIZE, ANY AND ALL COSTS OF REDEMPTION.

PSE is not responsible for any printing, distribution or production errors and may rescind, cancel or revoke the Promotion based upon any such error without liability at the PSE’s sole discretion.

General: The Promotion is conducted in the English language and PSE shall not be responsible for any printing, typographical, administrative, or technological errors in the offer, presentation or administration of the Promotion. The application and interpretation of the Official Rules, the award of the Prize, and selection of the Winner (if any) shall be determined by the representatives of PSE, and all decisions in that regard shall be in the sole discretion of such representatives and shall be final and conclusive. Entrants agree that in the event a legal authority or insurer challenges the award of the Prize, PSE shall have the sole right to determine whether or not to award such Prize. In the event of any claim or dispute with regard to the Promotion or the Official Rules, the laws of the State of Michigan shall govern and apply, without regard to conflict of law provisions. Entrants agree to submit to the exclusive jurisdiction of the courts of Oakland County, Michigan in regard to any claim, dispute, or cause of action with respect to any aspect of the Promotion, Prize or the Official Rules. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Michigan. Entrant hereby waives any right to trial by jury in any such action or proceeding. Entrant hereby waives any right to trial by jury in any action or proceeding.

PSE is not responsible for any inability to conduct the Promotion or award the Prize as a result of any act of God, labor stoppage strike, or lock out, or other reason beyond the control of PSE.

PSE reserves the right, in its sole discretion, to disqualify any Entrant for suspected or actual cheating and to prevent any person from participating in the Promotion or in the Prize award if that person does not adhere to the Official Rules or acts: (a) in a manner that PSE determines to be not fair; (b) with an intent to annoy, threaten or harass any other person or the RELEASED PARTIES; or (c) in any other disruptive manner. PSE has sole

Under no circumstances shall a submission into the Promotion, the awarding of the Prize, or anything in these Official Rules be construed as an offer or contract of employment with PSE. Entrants acknowledge that their submission was voluntary and not in confidence or in trust. Entrants acknowledge that no confidential, fiduciary, agency or other relationship or implied-in-fact contract now exists between Entrant and PSE and that no such relationship is established by Entrant’s submission under these Official Rules.

Internet: If for any reason this Promotion is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of PSE which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, PSE reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. and to cancel, terminate, or suspend the Promotion, in whole or in part, at any time, without notice and award the Prize using all non-suspect eligible entries received as of this termination date. PSE assumes no responsibility for (i) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entries, (ii) any problems or technical malfunction of any telephone network or telephone lines, cellular networks, computer on-line systems, servers or providers, computer equipment, network hardware or software, failure of any e-mail or entry on account of technical problems, human error or traffic congestion on the Internet or at any website or any combination thereof, including any injury or damage to Entrant’s or any other person's computer relating to or resulting from participation in this Promotion or downloading or uploading any materials in connection with this Promotion. In such event, PSE, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the Prizes offered herein. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, PSE reserves the right to seek damages from any such person to the fullest extent permitted by law. PSE’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY ONLINE MEDIA OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS OR THE ONLINE MEDIA RULES AND REGULATIONS AND, SHOULD SUCH AN ATTEMPT BE MADE, PSE RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
