2020 EATON ROCK & RIDE SWEEPSTAKES Official Rules

NO PURCHASE, BUSINESS RELATIONSHIP, OR REQUESTS FOR INFORMATION REQUIRED TO ENTER OR WIN, AND WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU HAVE NOT WON YET. These Official Rules apply to the five separate Regional Sweepstakes and the Grand Prize Sweepstakes to be conducted on the dates and at the locations described below. Each of the Regional Sweepstakes are identical except for their respective dates and locations. These Official Rules and other details of these Sweepstakes are all available at Sponsor’s website at www.eaton.com/rockandride (the “Sweepstakes Homepage”).

Each eligible person may choose to enter the Grand Prize Sweepstakes alone, any one of the Regional Sweepstakes alone, or any one of the Regional Sweepstakes and the Grand Prize Sweepstakes. As described in Selection of Winners, below, the random drawings for the one winner for each of the Regional Sweepstakes and the one winner for the Grand Prize will be conducted on approximately the same date (February 1, 2021), after all of the Regional Sweepstakes have been completed.

THE FIVE REGIONAL SWEEPSTAKES. The five Regional Sweepstakes will be conducted online at website pages that can be found on the Sweepstakes Homepage, and in specified cities for each of the Regional Sweepstakes (the “Regional Cities”). The Regional Cities will be the cities where Sponsor conducts certain special sales events during 2020. The Regional Cities, the exact location where each sales event will be conducted, and the dates of each sales event will be disclosed on the Sweepstakes Homepage in advance of each specific Regional Sweepstakes.

Each person meeting the General Eligibility requirements summarized below may enter a Regional Sweepstakes at one of the locations corresponding to that sales event or may enter online by accessing the Sweepstakes Homepage and completing an entry form. The approximate dates of each of the five sales events and corresponding Regional Sweepstakes are as follows (see further below for dates of entry if entering online):

Regional Sweepstakes One: Approximate Entry Date of January 27th, 2020, beginning at 8:00 a.m. (eastern time) Regional Sweepstakes Two: Approximate Entry Date of March 15th, 2020, beginning at 8:00 a.m. (eastern time) Regional Sweepstakes Three: Approximate Entry Date of May 17th, 2020, beginning at 8:00 a.m. (eastern time) Regional Sweepstakes Four: Approximate Entry Date of July 19th, 2020, beginning at 8:00 a.m. (eastern time) Regional Sweepstakes Five: Approximate Entry Date of October 18th, 2020, beginning at 8:00 a.m. (eastern time)

Note: The exact dates of each Regional Sweepstakes and the location of the sales events corresponding to each Regional Sweepstakes may change due to scheduling conflicts or in the discretion of the Sponsor. Please visit the Sweepstakes Homepage for the specific dates of entry and location of sales events for each of the Sweepstakes. See below for dates for online entry to each of the Sweepstakes.

304251543 v7 SPONSOR: The Sponsor of each Sweepstakes is Eaton Corporation, 1000 Eaton Blvd Cleveland, OH 44122. These Sweepstakes are in no way sponsored, endorsed or administered by, or associated with Harley-Davidson, Inc., Apple, Inc., Audio-Technica, JBL, Harmony, Art That Rocks, Fender Musical Instruments Corporation, Samsung, or their respective affiliates.

ELIGIBILITY.

(A) General Eligibility. To enter or win any of the Regional Sweepstakes or the Grand Prize Sweepstakes, you must be a licensed electrical contractor and a legal resident of the District of Columbia or a state within the United States other than Alaska, Hawaii or New York. You also must be at least eighteen (18) years of age at the time of entry. You are not eligible to enter or win any of the Sweepstakes if you are (i) an officer, director, or employee of Sponsor (as defined above) or any of its affiliates, subsidiaries, advertising agencies; (ii) any other company or individual involved with the design, production execution or distribution of any of the Sweepstakes; or (iii) the immediate family member (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto), of any of the foregoing persons.

(B) Additional Eligibility Requirements. Prior to being eligible to receive any prize in any of the Sweepstakes, an entrant who has been selected as a potential winner of any of the Sweepstakes must provide Sponsor with any information or certifications needed by Sponsor in Sponsor’s sole judgment. Without limiting the foregoing, a person who has been selected as the potential winner of any prize may be required to sign a copy of these Official Rules and to complete and sign (1) a Declaration of Compliance, Liability and Publicity Release (except where prohibited) and (3) any other document Sponsor determines is required, necessary or appropriate, in its sole judgment, to confirm the winner’s eligibility and for tax reporting purposes, including without limitation the winner’s Social Security Number or taxpayer identification number. All of the foregoing, if requested by Sponsor, must be provided by each potential winner within thirty (30) days of being notified that he or she is a potential winner. Being eligible to participate in any of the Sweepstakes or receive a prize is contingent upon compliance with these Official Rules. Each Sweepstakes is subject to all applicable federal, state, territorial, municipal, and local laws and regulations. Each Sweepstakes is void where prohibited.

HOW TO ENTER ANY OF THE SWEEPSTAKES. Any person satisfying the General Eligibility requirements described above may enter any one of the Regional Sweepstakes and/or the Grand Prize Sweepstakes while at the sales event. It is not necessary to attend or listen to any sales presentation to enter or win any of the Sweepstakes, and it is not necessary to provide any information to Sponsor to enter or win any Sweepstakes, other than basic identifying information that will allow Sponsor to contact you if your name is selected as a potential winner of any Sweepstakes.

Online Entry. Each person meeting the General Eligibility requirements also may enter any one of the Regional Sweepstakes and/or the Grand Prize Sweepstakes by visiting the Sweepstakes Homepage. Online entry for any of the Regional Sweepstakes will be available only on dates that are specific to that Regional Sweepstakes, as set forth below:

Regional Sweepstakes One: Online Entry Form must be completed and submitted between 8:00:00 a.m. (eastern time) on January 27th, 2020 and 11:59:59 p.m. on March 13th, 2020.

Regional Sweepstakes Two: Online Entry Form must be completed and submitted between 8:00:00 a.m. (eastern time) on March 15th, 2020 and 11:59:59 p.m. on May 15th, 2020.

304251543 v7 Regional Sweepstakes Three: Online Entry Form must be completed and submitted between 8:00:00 a.m. (eastern time) on May 17th, 2020 and 11:59:59 p.m. on July 17th, 2020.

Regional Sweepstakes Four: Online Entry Form must be completed and submitted between 8:00:00 a.m. (eastern time) on July 19th, 2020 and 11:59:59 p.m. on October 16th, 2020.

Regional Sweepstakes Five: Online Entry Form must be completed and submitted between 8:00:00 a.m. (eastern time) on October 18th, 2020 and 11:59:59 p.m. on December 11th, 2020.

FURTHER ENTRY LIMITATIONS. Regardless of the method of entry (at a sales location or online), each person may enter only one of the Regional Sweepstakes and may enter a Regional Sweepstakes or the Grand Prize Sweepstakes only one time. All entries become the property of Sponsor and will not be acknowledged or returned. By entering any Sweepstakes, entrants grant the Sponsor the non-exclusive, royalty-free, and irrevocable rights to validate and verify the entry. Entries must comply with all applicable laws, rules, and regulations. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.

ENTRANTS’ PERSONAL INFORMATION. Information collected from Sweepstakes entrants is subject to Sponsor’s privacy policy (https://www.eaton.com/content/eaton/us/en- us/company/policies-and-statements/privacy-cookies-and-data-protection.html.html).

SELECTION OF WINNERS. (A) First Prizes. The potential winner of the Regional Prize for each Regional Sweepstakes will be selected by a random drawing from among all eligible entries to that Regional Sweepstakes. All of these drawings will take place on or around February 1, 2021. The potential winner of each Regional Prize will be notified by mail, email or phone after the date of the random drawing, using the information provided to Sponsor by such person when entering the Regional Sweepstakes. If a potential winner cannot or does not satisfy the conditions described in the “Eligibility” section above, or refuses to accept the prize, an alternate potential winner for a Regional Prize will be selected in the same manner as the first potential winner was selected. (B) The Grand Prize. The potential winner of the Grand Prize will be selected by a random drawing from among all eligible entries the Grand Prize Sweepstakes. This drawing will take place on or around February 1, 2021. The potential winner of the Grand Prize will be notified by mail, email or phone after the date of the random drawing, using the information provided to Sponsor by such person when entering the Grand Prize Sweepstakes. If a potential winner cannot or does not satisfy the conditions described in the “Eligibility” section above, or refuses to accept the prize, an alternate potential winner of the Grand Prize will be selected in the same manner as the first potential winner was selected. For the Regional Prizes as well as the Grand Prize, if it becomes necessary to select alternate potential winners as described above, Sponsor will do so only five times. If no person selected as a potential winner satisfies all Eligibility requirements or accepts the prize after these five additional attempts, Sponsor may not award the prize to any person for that Sweepstakes. VERIFICATION OF POTENTIAL WINNERS. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION OF ELIGIBILITY BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.

304251543 v7 AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY, AND THE POTENTIAL WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

PRIZES AND ODDS OF WINNING.

(A) Regional Prizes. Sponsor will award one (1) Regional Prize to one (1) winner for each of the Regional Sweepstakes. The winner of any Regional Sweepstakes may choose any one (1) of the following prize packages:

• Fender Telecaster® Guitar, with custom art by Art That Rocks, including a hard-carrying case. Estimated retail value $775.00. Painting style is chosen by Art That Rocks.

• Four (4) Eaton Home Automation Bundles (two (2) RF95KIT44’s and two (2) RF95KIT11’s) and two (2) Samsung SmartThings hubs; two (2) Z-Wave Plus wireless dimmers (RF9640-NDW); and two (2) Z-Wave Plus wireless switches. Estimated retail value $840.00.

• Rock and Ride Basket consisting of (a) Audio-Technica® record player (AT-LP60XBT); (b) Apple® AirPods Pro (2nd generation); (c) one JBL® by Harmon Charge 4 portable speaker and (d) a Harley-Davidson® Roadway Waterproof Fleece Jacket. Estimated retail value of the Rock and Ride Basket is $770.00.

Odds of winning any Regional Prize will depend on the number of eligible entries submitted to the specific Regional Sweepstakes; one Regional Prize will be awarded to one winner of each Regional Sweepstakes.

(B) Grand Prize. Sponsor will award one (1) Grand Prize to one (1) winner. The Grand Prize winner will be selected through a random drawing from all eligible entries to the Grand Prize Sweepstakes. The Grand Prize will be one (1) 2021 Harley-Davidson® Sportster® motorcycle, estimated retail value of $8,999.00. Odds of winning the Grand Prize will depend on the total number of eligible entries to the Grand Prize Sweepstakes; one Grand Prize will be awarded to one winner.

(C) More Information and Conditions on All Prizes. No cash equivalent and all prizes are non- transferable. No winner of a prize may obtain a prize substitution except in Sponsor’s sole discretion. However, Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason, subject to applicable law. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of a prize are the sole responsibility of each winner of the prize. PUBLICITY. Except where prohibited by law, participation in any of the Sweepstakes constitutes the winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

ADDITIONAL CONDITIONS AND RELEASE. By entering any of the Sweepstakes, each entrant agrees for the entrant and for the entrant’s heirs, executors, and administrators (a) to be bound by these Official Rules and to interpretation of these rules by Sponsor; (b) to release and hold harmless Sponsor, and their respective officers, directors, and employees (collectively, “Released Parties”) from any

304251543 v7 liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in any of the Sweepstakes and/or his/her acceptance, possession, use, or misuse of a prize or any portion thereof (including any travel related thereto); and (c) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize supplier that are sent along with a prize. Failure to comply with these conditions may result in disqualification from all of the Sweepstakes at Sponsor’s sole discretion.

ADDITIONAL TERMS. Sponsor reserves the right to permanently disqualify from any Sweepstakes any person Sponsor believes has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

Sponsor reserves the right to cancel, modify, or suspend any of the Sweepstakes or any element thereof (including, without limitation, these Official Rules) if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In the event of cancellation, modification, or suspension, Sponsor reserves the right to select winner(s) in a random drawing from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Sweepstakes Homepage. Sponsor may prohibit any entrant or potential entrant from participating in the Sweepstakes, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

DISPUTES: THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

LIMITATIONS OF LIABILITY. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in

304251543 v7 whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry into a Sweepstakes is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry into the Sweepstakes, if possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

WINNERS’ LIST/RULES REQUEST. For the names of the winner of any of the Sweepstakes, including the Grand Prize winner, which will be available after approximately February 1, 2021, send a self-addressed, stamped envelope to be received by April 1, 2021 to: Eaton Commercial & Residential Distribution Solutions Division 1000 Cherrington Pkwy, Moon Township, PA 15108. A copy of these Official Rules also may be obtained by writing to the above address by April 1, 2021.
