E Bylaw Changes – Membership Dues At the MCI April 2016 Spring Seminar the proposed By-Laws changes as published in the March 2016 Talk of the Towns were approved as proposed. There were several changes made. The most important with regard to membership is that dues R will now be paid on an annual basis and will run on the calendar year beginning in January 2017. E If you are a current paid member for 2015-2016 your dues will carry you through December 31, 2016. The newly established year will begin on January 1, 2017. P I will be sending the dues statements via eBlast in November 2016 for the convenience of those municipalities that only meet one time per month. This should provide enough time to get the dues statement into the bills que for payment by January 1. O

If you do not receive a dues statement by the end of November please check the MCI database to be certain that your correct email is on file. If you are a current active member the system uses the email record in your file. R

Talk of the Towns - June, 2016 7 INSTITUTE TRAINING COMMITTEE

The Institute Training Committee along with our Program Coordinator/Institute Director, Peggy Brown and her staff from EIU met in April at the Spring Seminar in Fairview Heights. Preparations for Institute and Academy in October are under- way. The evaluations received from the 2015 Institute and Academy were discussed and taken into consideration as we plan the 2016 programs. Rita Jurgensmeyer has been hard at work obtaining vendors and 4 vendors have already sent in their checks.

The Institute Training Committee is committed to offer the best training to our fellow clerks. As we look forward to 2016 C Institute and Academy I would like all of you to consider running for the Institute Training Committee. The requirement is that you have your CMC and Clerks as well as Deputy Clerks are eligible to run. This year we will elect one new member. O The term is for 4 years, with the Secretary and Treasurer positions filled from the committee membership. The fourth year you would serve as Chairperson. Most of the work is done by Debby Brown and her staff from EIU then presented to the M Committee for discussion before being submitted to IIMC for final approval. Meetings are at the discretion of the commit- tee. The final responsibility of the year is coordination with the Peggy Brown and her EIU staff in overseeing the programs during the Institute and Academy. If you would like to discuss becoming a member of ITC please contact me, one of the M committee or one of the past chairpersons. I Congratulations to District VII, VIII & IX for a great Spring Seminar. The presentations were informative and well received. It was nice to see so many of our southern clerks who often aren’t able to come north.

8 June, 2016 - Talk of the Towns MCI LEGISLATIVE COMMITTEE The Illinois Municipal League’s 2016 Springfield Legislative Day was Wednesday, May 4, 2016. The Legislative Briefing will began at 9:00 a.m. with short presentations by Darin LaHood, Illinois’s newest U.S. Senator, representing IL-18. Cong. LaHood spoke about the need for fiscal discipline and generating economic growth as means of addressing the $19 Trillion deficit in the United States. He is very excited to work with his constituents on this difficult endeavor.

Secondly, we heard from the newest State Director of the Department of Commerce and Economic Opportunity, Sean McCarthy. Dir. McCarthy was appointed to this position when DCEO Director Schultz became the chief executive officer of Governor Rauner’s new Illinois business and Economic Development Corporation. McCarthy noted that since 2003, Illinois has lost 277,000 in population and in March, 2016 alone, we lost 100 jobs a day. It seems like the focus of the day C was fiscal issues. He looks forward to collaborating with Schultz to further economic development in Illinois. O Comptroller Leslie Munger also spoke about fiscal issues impacting Illinois economy. She reported that a state cannot go bankrupt such as municipalities can. Further, she noted that a state cannot print money like the United States can. M Therefore, Illinois is going to have to come up with a means of generating money and economic growth to help solve this financial crisis. She noted that it would not be rational to raise taxes because it would take a 7.5-8% increase to help gen- erate enough money to fund the $110 Billion in unfunded pension payments alone. Some of her recommendations were M for every state department to cut budgets by 10% and grow the economy. Average growth could create $19 Billion a year. I Lastly, Lt. Governor Evelyn Sanguinetti talked about the Task Force on Unfunded Mandates and Consolidation within the units of government. She reported that schools alone have 150 unfunded mandates. She said that within the last fifteen years, 135 unfunded mandates have been issued. Since 1987 there has been no annual review of the unfunded mandates. T The Task Force study created a 200 page report and recommendations for municipal savings within Illinois. She reported that in Naperville alone, $600,000 could be saved by reducing unfunded mandates. T After a brief update from IML, attendees headed to Capitol Hill to visit their legislators and in the afternoon, a contingency E of MCI Clerks and President Janet Gray met with the Governor Rauner to accept his Proclamation for Municipal Clerks Week. 2017 Municipal Clerks of Illinois SCHOLARSHIP FUND DAILY DRAWING C Hello Fellow Amazing Clerks, Yes, really! – Soon it will be time to sell our Scholarship Fund Daily Drawing tickets. This will be our 7th year for the O Scholarship Fund Daily Drawing and we have had outstanding success with this fundraiser every year. Our profit last year was $15,000.00. AWESOME!!! $5,000.00 was given to the Institute Training Committee to assist in putting on the Institute / Academy and the balance will go to scholarships. This will give MCI an additional $10,000.00 for scholarships to Institute M & Academy. It is so exciting knowing how many clerks will benefit from everyone’s ticket selling efforts.

MUNICIPAL CLERKS OF ILLINOIS BERTHA ELEANOR ROHRBACH SCHOLARSHIP

AWARD POLICY

1. The Municipal Clerks of Illinois will award scholarships annually for attendance at the Municipal Clerks of Illinois Institute. The number awarded will be determined based on the money available in the scholarship fund and the number of applicants. If possible, only the interest and monies raised during the year should be used for scholarships. All applicants must be current paid members.

2. Preference will be given only to applicants needing full scholarships. Applicants should apply to the municipality first.

Additional expenses (i.e. housing, additional meals, travel, etc.) will be the responsibility of the recipient and his or her municipality.

3. Scholarships will be awarded on a need and merit basis with preference given to Clerks. Priority will be given to applicants planning to attend Year I of the Institute. Should money be available for additional scholarships, consideration will be given in the following sequence: Year II, Year III, and Academy. Should further funds be available, applicants who are member Deputy Clerks will then be given consideration in the same sequential order: Year I, Year II, Year III, and Academy.

4. Scholarships granted must be used in the year awarded. The Scholarship Committee will administer the program, with the selection process completed and announced at the summer meeting of the MCI Board of Directors.

5. The intent of the scholarship fund is to provide benefits derived from attendance at the Institute and by assisting in developing and maintaining the high level of administrative experience needed for successful operation of the clerk’s office.

6. Only those applications submitted on the scholarship form within the set deadline will be considered.

BY-LAWS MUNICIPAL CLERKS OF ILLINOIS

ARTICLE I – NAME

The name of this organization shall be MUNICIPAL CLERKS OF ILLINOIS (MCI).

Municipal Clerk means any elected or appointed Clerk, Deputy Clerk, or Assistant Municipal Clerk unless superseded by language in these By-Laws.

ARTICLE II – OBJECTIVES

The objectives of this organization are to encourage membership, to educate the membership concerning statutory and other adopted duties and best management practices, to promote intergovernmental and intra-governmental cooperation and communication, to strive for uniform methods of procedures, to cooperate with municipal and higher authorities in administering the provision of law.

ARTICLE III – MEMBERSHIP AND DUES

Section 1. Membership.

A paid membership shall consist of a calendar year. The membership shall be held by the person position for which the dues are paid. If a member vacates office, their successor will assume their membership through the end of the paid calendar year.

Section 2. Membership shall consist of three categories.

1. Any person holding the Office of Municipal. Deputy, or Assistant Municipal Clerk, either elected or appointed, shall become an active voting member, upon payment of dues.

2. Any duly appointed Deputy or Assistant Municipal Clerk shall be a voting member upon payment of dues.

If a duly elected or appointed Municipal Clerk chooses not to become a member of MCI, then the duly appointed or elected Deputy Clerk may become a voting member dues.

ARTICLE IV – OFFICERS AND DIRECTORS

Section 1. Officers – The officers of this organization to be elected shall be President, Vice- President, Secretary and Treasurer. The Immediate Past President shall serve as an officer.

All officers shall be voting members with a minimum of three (3) years as a member of MCI. and one (1) year experience as a Municipal Clerk. All Officers and Directors shall serve without compensation.

Section 2. District Director – There shall be one District Director to be elected from each District.

Section 3. Limitation on Offices – No MCI member shall serve on the Executive Board and Institute Training Committee concurrently.

Section 43. Term of Office and Vacancy

The office of President, Vice President and Secretary shall be one year terms. The office of Treasurer shall be a two year term. Any officer may hold the office for two consecutive terms. This does not preclude the current Treasurer (2015-16) from serving a total of four consecutive years.

In the event that there is a vacancy in any office, except Immediate Past President, the President shall appoint a replacement to serve for the remainder of the term. In filling vacancies for unexpired terms, an officer who has served more than half a term in an office is considered to have served a full term.

District Directors shall be elected for a two-year term. Even numbered MCI districts (2, 4, 6, and 8) shall elect a director in even numbered years. Odd numbered MCI districts (1, 3, 5, 7, and 9) shall elect a director in odd numbered years. In the event that there is a vacancy in a directorship, either by resignation or lack of nomination, the presiding director may be reappointed to serve until the position is filled by election or appointment.

If a District Director is elected or appointed to an Officer position the MCI Executive Board or the Institute Training Committee during their term, they must resign the District Director position. If the office was not filled by appointment before the annual MCI annual meeting, nominations will then be accepted from the floor to fill the unexpired term of the District Director. If the District Director position becomes vacant for any other reason, the MCI President shall appoint, with the approval of the MCI Executive Board, a District Director to serve until the next MCI election date.

A District Director shall be allowed to seek no more than two consecutive two-year terms. Section 5. Installation of Officers – Officers shall take office immediately upon election.

Section 6. Duties of Officers and Directors:

President – The President shall preside at all meetings of the organization, be an ex-officio member of all committees, except the Election Committee, appoint all committees with the advice and consent of the Executive Board, be authorized to sign checks, and shall perform all other duties pertaining to the office. The President shall prepare the printed agenda for the Annual Meeting to be received by the MCI Membership thirty (30) ten (10) days prior to the Annual Meeting.

The President shall ensure that all Officers, Directors, and Committee Chairpersons transfer all records pertaining to their positions to their successors within thirty (30) days of the Annual Meeting.

Vice-President – The Vice President shall serve as Chair of the Program/Education Committee and forward attendance roster and seminar program to the International Institute of Municipal Clerks following each seminar. The Vice President shall serve as an assistant to the President, and, in the absence or inability of the President, shall perform the duties of the office. The Vice-President shall serve as President, in the event the office of President is vacant.

Secretary – The Secretary shall keep minutes of the proceedings of all official meetings of the organization, execute official correspondence under the direction of the President, and perform such other duties as usually pertain to the office. The Secretary shall serve as Chair of the The By-Laws/Policy/Standing Rules CommitteeBy-Laws Committee. Treasurer – The Treasurer shall be the custodian of all funds, receive all money of the organization, and deposit all funds in a financial institution approved by the Executive Board. The Treasurer shall report the financial condition of the organization at each meeting, and disburse only such funds as authorized by the Executive Board. The Treasurer’s books shall be open for inspection and shall be audited annually. Immediate Past President – The Immediate Past President shall serve as an advisor to the President and Executive Board. The Immediate Past President shall serve as Chair of the Professional Status Committee.

District Director – The District Director shall conduct a seminar in conjunction with one or more Districts, encourage an increase in membership and shall serve onin some major a committee capacity. Directors shall contribute information for each Talk of the Towns and prepare written reports to the President as requested.

Executive Board – The Executive Board shall consist of the Officers, Directors and Immediate Past President. The Executive Board shall conduct the Business of the organization between annual meetings. Votes of the Board may be by mail, facsimile, e- mail, or, in an emergency situation, by telephone.

Section 7. Ex-Officio Board Members – The Membership Chairperson and the Talk of the Towns Editor shall be Ex-Officio Members of the Executive Board.

Section 8. Other Elected or Nominated Positions:

Director for International Institute of Municipal Clerk, Region VII – MCI shall endorse or nominate one candidate for Region VII Director of IIMC. The general membership shall make the selection by ballot at the Annual Meeting when Illinois nominates a Director. Each candidate considered by the membership shall meet the qualifications as set forth by IIMC, and shall follow MCI’s current Election Policy. The Executive Board shall communicate that endorsement by Resolution to the candidate nominated. The other states represented in Region VII shall also by notified.

Illinois Institute Training Committee MemberTrustee – There are five members of the Institute Training Committee and the guidelines in MCI’s current Election Policy shall be followed when a term is open for selection. The Executive Board shall forward the name(s) recommended by the membership to the Governor for appointment. Every member shall be a Certified Municipal Clerk (see attached Illinois Compiled Statute). Any vacancy occurring on the Committee shall be filled as stated in the current Illinois Compiled Statutes. Every member shall begin serving immediately upon election.

ARTICLE V – MEETINGS

Section 1. Annual Meeting – The annual meeting shall be held in conjunction with the Institute/Academy, and shall be for the purpose of electing officers, receiving reports of officers and committees and for any other business that may arise, including a meeting of newly elected officers.

Section 2. Special Meetings – Special Meetings of the organization may be called by the President or upon the written request of five (5) members of the organization no less than fifteen (15) days prior to the date of the Special Meeting. Notice shall state the time, date, location and purpose of the Special Meeting. A quorum shall consist of thirty (30) voting members and two (2) officers. Section 3. Executive Board Meetings – The Executive Board shall meet in conjunction with the District Seminars.

Section 4. Seminars will be held three times annually – being winter, spring and summer and are the responsibility of the District Directors. Seminars shall have at least six hours of educational content.

Members of the Committee shall serve without compensation. (See Article IV Section 1 and Article VII Section 1.

ARTICLE VI – ELECTIONS

Section 1. Elections for all positions shall follow MCI’s current Election Policy.

Section 2. A plurality shall elect.

ARTICLE VII – COMMITTEES

Section 1. Committee Membership – All members of Committees shall serve without compensation. The Standing Committees of this organization are:

The Annual Minutes Committee shall review the minutes of the Annual and Special Meetings of the organization.

The Auditing Committee shall conduct an annual audit of the Treasurer’s records within 30 days of the close of business June 30 each year.within thirty (30) days of the end of the fiscal year. The fiscal year is October 1 to September 30. The audit shall be submitted to the President by August 15 for placement on the Annual Meeting Agenda. Should the audit not be approved at that time, the Executive Board shall approve, and publish it in the Talk of the Towns.

The Awards/Retirement Committee shall be responsible for the policies and procedures related to awards and recognition of active and retired members of the Municipal Clerks of Illinois.

The By-Laws / Policy / Standing Rules Committee shall review the By-Laws, Policies, and Standing Rules at least yearly, and make recommendations to the Executive Board. The secretary shall serve as the Chair of the The By-Laws/Policy/Standing Rules Committee Formatted: Font: Not Italic By-Laws Committee.

The Balloting/Election Committee shall conduct all votes by ballot at the Annual Meeting, and/or Special Meetings. The Election Committee shall place a Notice of Election in the summer issue of the MCI Talk of the Towns, review all candidate applications to see that each candidate meets the qualifications for office, present all qualified nominees for each office to the MCI Membership for vote at the Annual Meeting, and assist the President with the conduction of the election in accordance with MCI’s current Election Policy.

The Legislative Committee shall monitor pending legislation, draft and propose legislation approved by the Executive Board, and may work in cooperation with the Illinois Municipal League.

The Manuals Committee shall be responsible for the update and distribution of the Municipal Clerk’s Manual upon the recommendation of the Executive Board. Fees to be established annually, after review.

The Membership Committee shall be responsible for the development of membership including the maintenance of membership records.

The Mentor Committee shall be responsible for the review and coordination of the Mentor Program. At least one past President shall serve on this committee.

The Program/Education Committee shall assist District Directors in the planning of seminar topics, conduct evaluations at the seminars, and oversee the Registered Municipal Clerk Program. A “Newly Elected/Appointed Seminar” shall be held at least every four years after the Municipal Election, and, if deemed necessary by the Executive Board, every two years. Other members of the Committee shall include the Registered Clerk Coordinator, the Chairman of the Institute Training Committee, and at least one District Director.

The Scholarship Committee shall be responsible for the selection of scholarship recipients for Institute/Academy known as the Bertha Eleanor Rohrback Scholarship, as well as the “Becoming the Clerk They Won’t Want to Replace” hosted by CIMCO bi-annually and the annual IIMC Conference Scholarship. The scholarship fund shall be known as the Bertha Eleanor Rohrback Scholarship fund. The Vice-President and Treasurer shall serve on the Committee.

The Professional Status Committee shall be responsible for enhancing the image of the Municipal Clerk through education.

The Advertisers/Exhibitors Committee shall be responsible to seek advertisers and exhibitors for Institute/Academy/Talk of the Towns.

The Finance Committee shall be responsible for inspecting and reviewing the Treasurer’s report and assess the needs for fiscal responsibility.

The Fund Raising Committee shall be responsible for selection of merchandise, seeking methods to increase the income of the organization.

The Historian Committee shall be responsible for documenting history of the organization.

The Pins/Badges Committee shall be responsible for providing organization pins and MCI Identification badges.

The Public Relations Committee shall be responsible for promoting the image of the organization through press releases or other forms of media.

Section 2. Ad Hoc Committee – Ad Hoc Committees may be appointed to carry on the objective and interest of the organization. Such committees may include but not be limited to Redistricting and Strategic Planning.

Section 3. Special Committee – The Illinois Institute Training Committee, who shall consist of five members (Trustees) elected by the membership for staggering four-year terms. Qualified candidates for Membership onTrustee to the Illinois Institute Training Committee shall be elected by the general membership.

ARTICLE VIII – PARLIAMENTARY AUTHORITY

Section 1. Rules of Order – The rules contained in Robert’s Rules of Order, Revised (Current Edition) shall govern this association and in which they are not inconsistent with the By-Laws and any special rules of order adopted by the organization.

ARTICLE IX – DISSOLUTION

Section 1. Dissolution – In the event the organization dissolves or otherwise is discontinued, all funds remaining after the expense of dissolution or discontinuance shall be donated to the Municipal Clerks Education Fund of the International Institute of Municipal Clerks with the stipulation that all such funds shall be used to develop and conduct programs for the benefit of Municipal Clerks.

ARTICLE X – AMENDMENTS

Section 1. Amendments – These by-laws may be amended at the annual or a special meeting of the organization, providing amendments have been sent to the membership no less than thirty (30) days prior to the meeting.

Section 2. Effective Dates for Changes – All by-laws changes shall be effective immediately unless otherwise stated.

65 Illinois Compiled Statutes – 50/2. Municipal Clerk Training Institute Committee Section 2. There is created the Municipal Clerk Training Institute Committee composed of five (5) municipal clerks, appointed by the Governor as provided herein, and nine (9) ex-officio members, designated as provided herein, as representatives of public colleges and universities in this State. Each member appointed by the Governor after the effective date of the amendatory Act of 1987 shall be a certified municipal clerk recommended by the Executive Board of the Municipal Clerks of Illinois and serving as a municipal clerk at the time he or she is so recommended and appointed. The two additional municipal clerks appointed pursuant to the provisions of the amendatory Act of 1987 both shall be appointed to serve until the third Monday in January, 1992, or until their successors are appointed and qualified. Of the three municipal clerks serving as members of the Committee on the effective date of the amendatory Act of 1987, they shall determine by agreement or by lot one who shall continue to so serve until the third Monday in January 1989, a second who shall continue to so serve until the third Monday in January 1990, and a third who shall continue to so serve until the third Monday in January 1991; provided, that each shall serve until his or her successor is appointed and qualified. Any vacancy occurring in the office of a Committee member appointed by the Governor, whether by death, resignation or otherwise, shall be filled by appointment by the Governor from a recommendation or recommendations made by the Executive Board of the Municipal Clerks of Illinois, in the same manner as original appointments. A member appointed to fill a vacancy shall serve for the remainder of the unexpired term or until his or her successor is appointed and qualified. In the event the Governor refuses to appoint a municipal clerk recommended by the Executive Board of the Municipal Clerks of Illinois to either a full term or, in cases of vacancy, to the remainder of an unexpired term on the Committee, such Executive Board shall promptly recommend one or more additional qualified persons to the Governor or such appointment. The terms of the three committee members designated by the Board of Trustees of the University of Illinois and serving on the effective date of the amendatory Act of 1987 shall terminate on that effective date, and the four ex-officio members designated pursuant to the provisions of this amendatory Act of 1987 shall be designated as follows: one representative of the University of Illinois designated by the Board of Trustees of that University; one representative of Southern Illinois University designated by the Board of Trustees of that University; one representative designated by the Board of Governors of State Colleges and Universities of the several universities and colleges under its governance; and one representative designated by the Board of Regents of the several regency Universities under its jurisdiction. The terms of the two ex-officio members designated as representatives of the Board of Governors of State Colleges and Universities and the Board of Regents shall terminate on the effective date of the amendatory Action of 995. The two ex-officio members whose terms are terminated by this amendatory Act of 1995 shall be replaced by seven additional ex-officio members, one representing the Board of Trustees of Chicago State University, one representing the Board of Trustees of Eastern Illinois University, one representing the Board of Trustees of Governors State University, one representing the Board of Trustees of Illinois State University, one representing the Board of Trustees of Northeastern Illinois University, one representing the Board of Trustees of Northern Illinois University, and one representing the Board of Trustees of Western Illinois University. The nine ex-officio members representing the public colleges and universities shall serve in an advisory capacity to the members appointed by the governor, and each such ex-officio member shall serve at the pleasure of the governing board designating them to membership on the committee. Purpose: The municipal clerk must be a duly elected or appointed municipal clerk of a municipality in the State of Illinois and be a current member of MCI in good standing.

Nominations: Nominations may be submitted by the applicant peers, staff from their municipality, other municipal officer or a fellow clerk.

Judging Standards: The Rookie of the Year Award will be chosen on the following Criteria: 1. City/Town/Village Clerk who has been in the profession for five years or less. 2. Performed an outstanding job in his/her community. 3. Resolved a difficult problem in his/her community. 4. Provided strong leadership during a crisis. 5. Brought new vitality and professionalism to his/her community. 6. Commitment & Involvement to the Municipal Clerks of Illinois.

Awards/Selection Committee: A selection committee of three impartial judges will review all nominations. Judges must have been a municipal clerk or deputy for at least two terms or eight years.

One previous recipient and two impartial judges will be selected by the current President of the Municipal Clerks of Illinois and approved by the Executive Board of the Municipal Clerks of Illinois.

In the event any judge is unable to complete his/her service and a replacement must be selected prior to the next meeting of the MCI Board of Directors, the replacement judge will be appointed by the President of the Municipal Clerks of Illinois.

The April NIMCA Meeting was hosted by Marie Rombouts, Sterling and Melanie Schroeder, Morrison at the Wagon Wheel in Sterling. It was an evening meeting designed in an effort to attract clerks who find it difficult to get away from the office during the day. The gathering was a huge success and plans are being made to offer an evening meeting on a regular basis in the future.

NIMCA’s Summer Seminar Scholarship recipients were announced. Congratulations to Melanie Schroeder, Morrison and Mary Beth Hyde, Galena. Kim Tatu, Burlington and Marty Suhr, Poplar Grove were chosen as the alternates. Congratulations to the recipients!
