GENERAL PURPORT OR EFFECT OF THE ABOVEMENTIONED STATUTORY RULES (1) Building Regulations 2014 These regulations – (a) make provision for the following matters under the Building Act 2000 relating to building: (i) restrictions on buildings; (ii) matters relating to building permits; (iii) requirements to perform building work; (iv) inspection and enforcement in relation to building work; (v) occupancy requirements; (vi) maintenance of certain features; (vii) other miscellaneous matters; and (b) are made consequentially on the repeal of the Building Regulations 2004 under section 11 of the Subordinate Legislation Act 1992.

(2) Plumbing Regulations 2014 These regulations – (a) make provision for the following matters under the Building Act 2000 relating to plumbing: (i) permits for plumbing work; (ii) restrictions on plumbing work; (iii) matters relating to plumbing permits; (iv) requirements for carrying out plumbing work; (v) inspection and enforcement; (vi) maintenance and management of plumbing work; (vii) other miscellaneous matters; and (b) are made consequentially on the repeal of the Plumbing Regulations 2004 under section 11 of the Subordinate Legislation Act 1992.

(3) Defamation Order 2014 This order declares, for the purposes of section 35(1) of the Defamation Act 2005, $366 000 to be the maximum amount of damages for non-economic loss that may be awarded from 1 July 2014 in defamation proceedings.

(4) Environmental Management and Pollution Control (Miscellaneous Noise) Regulations 2014 These regulations – (a) make provision for regulating the emission of certain noises and in particular for the regulation of such noises caused by – (i) the operation of motor vehicles in off-street areas near residential premises; and (ii) the operation of motor vessels near residential premises; and (iii) the operation of chainsaws near residential premises; and (iv) the operation of aquatic events, racing events and recreational activities; and (b) are made consequentially on the repeal of the Environmental Management and Pollution Control (Miscellaneous Noise) Regulations 2004 under section 11 of the Subordinate Legislation Act 1992. 25 June 2014 TASMANIAN GOVERNMENT GAZETTE 935 (5) Gas Infrastructure (Planning Permit Exemption) Regulations 2014 These regulations prescribe certain gas infrastructure development work that, providing the work meets the criteria prescribed in these regulations, does not require a planning permit under the Land Use Planning and Approvals Act 1993.

(6) Gas (Safety) Regulations 2014 These regulations – (a) prescribe technical and safety requirements for the safe operation of regulated activities; and (b) provide for the reporting of incidents; and (c) provide for safety and operating plans, and the safety management system, to be observed; and (d) provide for standards to be followed relating to gas infrastructure installations and gas-fitting work; and (e) are made consequentially on the repeal of the Gas (Safety) Regulations 2002 under section 11 of the Subordinate Legislation Act 1992.

(7) Gas Pipelines Regulations 2014 These regulations – (a) provide, amongst other miscellaneous matters, for – (i) applications for a pipeline licence; and (ii) the safe operation of regulated activities; and (iii) the contents of a facility safety case; and (iv) the standards and codes with which the holder of a pipeline licence must comply; and (b) are made consequentially on the repeal of the Gas Pipelines Regulations 2002 under section 11 of the Subordinate Legislation Act 1992.

(8) Penalty Units and Other Penalties Order 2014 This order, made under section 4A(3) of the Penalty Units and Other Penalties Act 1987, increases the value of a penalty unit to $140 from 1 July 2014.

(9) Poisons Amendment Regulations 2014 These regulations amend the Poisons Regulations 2008 by adding – (a) narcotic substances to the list of substances that a medical practitioner must not issue a prescription for, or supply to a patient, without the authority of the Secretary; and (b) restricted substances to the list of substances that are specified psychotropic substances for the purposes of section 38(1)(b) of the Poisons Act 1971.

(10) Property Agents and Land Transactions Amendment (Exemptions) Regulations 2014 These regulations amend the Property Agents and Land Transactions Regulations 2006 by exempting certain persons who are acting as property managers, in relation to property that is held by the Director of Housing on behalf of the Crown and in respect of which a residential management agreement is in force, from the application of the Property Agents and Land Transactions Act 2005.

(11) Proclamation under section 2 of the Registration to Work with Vulnerable People Act 2013 This proclamation fixes 1 July 2014 as the day on which the provisions of the Registration to Work with Vulnerable People Act 2013 commence.

(12) Registration to Work with Vulnerable People Regulations 2014 These regulations – (a) prescribe a child care service to be a regulated activity for the purposes of section 3 of the Registration to Work with Vulnerable People Act 2013; and (b) prescribe certain classes of persons as not being required, for specified periods, to be registered to engage in a child care service; and (c) prescribe the matters to be included on registration cards issued under that Act; and (d) prescribe fees payable in respect of certain matters under that Act; and (e) prescribe infringement notice offences for the purposes of that Act and the penalties payable for those infringement notice offences. 936 TASMANIAN GOVERNMENT GAZETTE 25 June 2014 (13) Vehicle and Traffic (Vehicle Operations) Regulations 2014 These regulations, which are made consequentially on the repeal of the Vehicle and Traffic (Vehicle Operations) Regulations 2001 under section 11 of the Subordinate Legislation Act 1992, make provision in relation to – (a) mass and dimension limits of vehicles; and (b) the towing of vehicles; and (c) loads on vehicles; and (d) driving hours; and (e) the issuing of exemptions; and (f) other miscellaneous matters.

(14) Vehicle and Traffic (Vehicle Standards) Regulations 2014 These regulations – (a) prescribe nationally consistent vehicle standards for Tasmania and generally set out the obligations that drivers and other vehicle users have in relation to those standards; and (b) are made consequentially on the repeal of the Vehicle and Traffic (Vehicle Standards) Regulations 2001 under section 11 of the Subordinate Legislation Act 1992.

(15) Vehicle and Traffic (Driver Licensing and Vehicle Registration) Amendment Regulations 2014 These regulations amend the Vehicle and Traffic (Driver Licensing and Vehicle Registration) Regulations 2010 by – (a) prescribing certain circumstances where a visitor to Tasmania ceases to have an exemption from the requirement to hold a drivers licence; and (b) prescribing certain offences as offences that may regress a provisional licence holder; and (c) providing for changes in the fire service levy to be automatically adjusted in certain prescribed fees; and (d) clarifying certain provisions and effecting minor statute law revision.

(16) Vehicle and Traffic (Driver Licensing and Vehicle Registration) Amendment (Vehicle Standards) Regulations 2014 These regulations amend the Vehicle and Traffic (Driver Licensing and Vehicle Registration) Regulations 2010 by updating certain legislative references and effecting minor statute law revision.

(17) Vehicle and Traffic (Review of Decisions) Amendment (Vehicle Operations) Regulations 2014 These regulations amend the Vehicle and Traffic (Review of Decisions) Regulations 2010 by providing for the review of certain decisions under the Vehicle and Traffic (Vehicle Operations) Regulations 2014.

(18) Road Amendment Rules 2014 These rules amend the Road Rules 2009 by updating certain legislative references.

(19) Traffic (Compliance and Enforcement) Amendment Regulations 2014 These regulations amend the Traffic (Compliance and Enforcement) Regulations 2011 by revising the schedule of traffic infringement notice offences in line with the commencement of the Vehicle and Traffic (Vehicle Operations) Regulations 2014 and the Vehicle and Traffic (Vehicle Standards) Regulations 2014.

(20) State Service (Restructuring) Order (No. 3) 2014 This order effects a restructuring of the State Service by – (a) establishing a new State authority; and (b) amalgamating certain parts of Government departments with other Government departments.

(21) State Service (Agencies and Heads of Agencies) Order 2014 This order omits Schedule 1 to the State Service Act 2000, which specifies the Agencies and Heads of Agencies, and substitutes a new Schedule 1. 25 June 2014 TASMANIAN GOVERNMENT GAZETTE 937 (22) Administrative Arrangements Order (No. 3) 2014 This order – (a) assigns to Ministers of the Crown the administration of Government departments and State authorities and Acts, or parts of Acts, and other instruments of a legislative character; and (b) specifies which Government department or State authority is responsible to a Minister in relation to the administration of those Acts or parts of Acts and other instruments.

(23) Annulled Convictions Order 2014 This order amends the Annulled Convictions Act 2003 by inserting additional items into the Schedule that lists activities or work for which annulled convictions are required to be disclosed.

(24) Registration to Work with Vulnerable People (Risk Assessment for Child-related Activities) Order 2014 This order specifies certain matters relating to the conduct of a risk assessment, under the Registration to Work with Vulnerable People Act 2013, in respect of a person applying for registration under that Act to engage in a regulated activity in respect of a child.

In accordance with the provisions of section 19(1) of the Electricity Reform Act 2012, I, the Honourable Peter Carl Gutwein, Treasurer, give notice of the transfer of the assets, rights and liabilities of Transend Networks Pty Ltd (ACN 082 586 892) (Transferor) detailed in this Notice to Tasmanian Networks Pty Ltd (ACN 167 357 299) (Transferee) with effect at Midnight on 1 July 2014, subject to the terms and conditions specified in this Notice. Intent 1. Purpose The purpose of this Notice of Transfer is to transfer all assets, rights and liabilities of Transend Networks Pty Ltd to Tasmanian Networks Pty Ltd. Interpretation 2. Definitions: (a) Act means the Electricity Reform Act 2012. (b) Midnight on 1 July 2014 means 00:00 time between 30 June 2014 and 1 July 2014. (c) State means State of Tasmania. (d) Transfer Order means an Order made in writing by the Treasurer under section 21(1) of the Act transferring the employment of an employee of the Transferor to the Transferee. (e) Transfer Time means Midnight on 1 July 2014. (f) Unless a contrary intention is apparent, words, phrases or terms used in this Notice have the same meanings given to them in the Act. Terms and conditions 3. Consideration and Accounting Treatment: (a) The assets, property and liabilities transferred by this Notice are transferred for nil cash consideration. (b) The transfers under this Notice must be recorded in the financial accounts: (i) in the case of the Transferor, as a distribution to the State of Tasmania; and (ii) in the case of the Transferee, as a contribution by the State of Tasmania. (c) The value to be ascribed to the distribution and contribution respectively will be the net asset value as recorded by the Transferor.

4. Retirement Benefits and Superannuation - Prescribed Authority: (a) The Transferee may participate in a superannuation scheme provided for under the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999 in respect of employees transferred under a Transfer Order who were members of those schemes immediately before the Transfer Time. (b) If the Transferee participates in a superannuation scheme provided for under the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999, the Transferee is taken to be a prescribed authority for the purposes of the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999 in respect of any of its employees who are subject to the scheme. Assets, Rights and Liabilities Transferred 5. Assets: All assets of the Transferor as at the Transfer Time. 6. Rights: All rights of the Transferor as at the Transfer Time, including: (a) Electricity Supply Industry Transmission Licence issued by the Tasmanian Economic Regulator under section 19 of the Electricity Supply Industry Act 1995 effective 21 December 2008; and (b) the Transferor’s registration by the Australian Energy Market Operator under the National Electricity Rules as a registered participant in the categories of ‘Network Service Provider’ and ‘Special Participant - System Operator’ effective 30 March 2005. 7. Liabilities: All liabilities of the Transferor as at the Transfer Time. 8. Intent

1. Purpose: The purpose of this Notice of Transfer is to transfer all assets, rights and liabilities of Aurora Energy Pty Ltd to Tasmanian Networks Pty Ltd except those assets, rights and liabilities required by Aurora Energy to enable it to continue operation from 1 July 2014 as a Retail Business.

Interpretation

2. Definitions: (a) Act means the Electricity Reform Act 2012. (b) Authorisation includes any licence, approval, registration, permit or authority issued by a government, or any department, commission, authority, instrumentality or agency of a government, or the Australian Energy Market Operator Limited (ACN 072 010 327). (c) Distribution of electricity has the meaning given in the Act. (d) Distribution Business means the activities and operations of the Transferor as at the Transfer Time relating to or associated with the Distribution of electricity, including the construction, maintenance and operation of the Distribution Network. (e) Distribution Network has the meaning given in the Act. (f) Electricity Infrastructure has the same meaning as in the Electricity Supply Industry Act 1995. (g) Midnight on 1 July 2014 means 00:00 time between 30 June 2014 and 1 July 2014. (h) Real Property includes land, buildings and other structures permanently affixed to and forming part of the land. (i) Real Property Interest includes all estates, interests, rights, easements, privileges or benefits in respect of or relating to Real Property including, without limitation, rights arising under any freehold interest, leases, licences, way-leaves, mortgages, covenants, interest protected by caveat, agreements to grant easements and other agreements, arrangements, understandings or undertakings relating to ownership of, access to, or any kind of interest in 1 25 June 2014 TASMANIAN GOVERNMENT GAZETTE 941

(o) Transfer Order means an Order made in writing by the Treasurer under section 21(1) of the Act transferring the employment of an employee of the Transferor to the Transferee. (p) Transfer Time means Midnight on 1 July 2014. (q) Unless a contrary intention is apparent, words, phrases or terms used in this Notice have the same meanings given to them in the Act.

Terms and Conditions

3. Consideration and Accounting Treatment: (a) The assets, property and liabilities transferred by this Notice are transferred for nil cash consideration. (b) The transfers under this Notice must be recorded in the financial accounts: (i) in the case of the Transferor, as a distribution to the State of Tasmania; and (ii) in the case of the Transferee, as a contribution by the State of Tasmania. (c) The value to be ascribed to the distribution and contribution respectively will be the net asset value as recorded by the Transferor. (d) The distribution and contribution respectively will be from/to retained earnings, reserves and issued capital.

4. Accounts and facilities held with Financial Institutions: (a) The Westpac Banking Corporation bank account, account number (037001- 473685) held by the Transferor as at the Transfer Time will become an account of the Transferee.

(b) The following accounts and facilities with Westpac Banking Corporation held by the Transferor as at the Transfer Time will become an account of the Transferee: (i) Bpay Facility (003564); (ii) Merchant Services Facility (24269045); and (iii) Corporate Card Facility (facility ID 44437). (c) The Mastercard Smartgen system held by the Transferor as at the Transfer Time will become an account of the Transferee. (d) The Processing Payment Service (185965) held by the Transferor as at the Transfer Time will become an account of the Transferee. (e) The accounts specified under (b)(i) and (ii), (c) and (d) will have a nil balance.

5. Records Access: (a) Where Records are not provided by the Transferor to the Transferee because the property and rights are held jointly and severally by the Transferor and the Transferee or because the Transferor is required by law to retain the Records, the Transferor must give the Transferee reasonable access to the Records as required by it from time to time and may where it is considered necessary remove or redact information which does not relate to the Distribution Business or Telecommunications Business (for example without limitation where this is necessary for confidentiality or legal reasons including ring fencing). (b) Where Records are received by the Transferee pursuant to this Notice, the Transferee must give the Transferor reasonable access to the Records as required by it from time to time to meet any legal obligations. (c) Records, other than Records in which the property and rights are held jointly and severally by the Transferor and Transferee or Records which the Transferor is required by law to retain, must be physically provided by the Transferor to the Transferee by: (i) If they are hard copy records leaving them at the real property that transfers to the Transferee under this notice or transferring their ownership to the Transferee where they are held by a third party records management facility; (ii) If they are electronic records by leaving them in any system that transfers to the Transferee under this notice or if the relevant system is not transferring by providing electronic access to it, to the extent this is not achieved at the Transfer Time, it must be provided as soon as reasonably possible after a request from the Transferee.

6. Retirement Benefits and Superannuation - Prescribed Authority: (a) The Transferee may participate in a superannuation scheme provided for under the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999 in respect of employees transferred under a Transfer Order who were members of those schemes immediately before the Transfer Time.

(b) If the Transferee participates in a superannuation scheme provided for under the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999, the Transferee is taken to be a prescribed authority for the purposes of the Retirement Benefits Act 1993 or the Public Sector Superannuation Reform Act 1999 in respect of any of its employees who are subject to the scheme.

Assets, Rights and Liabilities Transferred

7. Shares: (a) Two (2) shares being the whole of the fully paid up share capital in Ezikey Pty Ltd (ACN 095 780 715) held by the Transferor as at the Transfer Time. (b) Two (2) shares being the whole of the fully paid up share capital in Auroracom Pty Ltd (ACN 117 987 925) held by the Transferor as at the Transfer Time.

8. Insurance Policies:

(a) The Transferor must do all things reasonably necessary to have the Transferee listed as a named insured on the policies referred to in (b).

(c) The Transferor’s rights and interest in the following insurance policies:

(i) all workers compensation policies insuring the Transferor from 1 July 1998 until the Transfer Time; and (ii) all workers compensation policies insuring the Hydro-Electric Corporation to 30 June 1998, to the extent necessary to provide indemnity to the Transferee for any liability transferred to it. For the avoidance of doubt, the Transferor retains its rights and interest in the policies in relation to any liability retained by the Transferor by operation of this Notice in which case the Transferor remains entitled to indemnity under such policies.

9. Current Assets: All current assets of the Transferor as at the Transfer Time, excluding the following: (a) all cash and cash equivalents held by the Transferor, whether in bank accounts or otherwise, with the exception of the cash held in the bank accounts specified in clauses 4(a) and 4(b)(iii) of this Notice; (b) all unbilled energy income accrual and Retail Receivables, and bad and doubtful debt provisions; (c) all PAYG smart card inventories; (d) all renewable energy certificates held as inventory; (e) mark to market of electricity derivative contracts; (f) GST receivable; and (g) any prepayments that relate to the Retail Business.

10. Real Property: (a) All Real Property of the Transferor as at the Transfer Time including, but not limited to, the Real Property listed in Schedule A. (b) All Real Property Interests of the Transferor as at the Transfer Time.

11. Electricity Infrastructure: (a) All property rights in relation to Electricity Infrastructure held by the Transferor as at the Transfer Time. (b) All right, title and interest in, and obligations and liabilities pursuant to, all construction works in progress including, without limitation, all inventory, materials, and intellectual property on account of each such project.

12. Property Plant and Equipment: All property, plant and equipment of the Transferor as at the Transfer Time, with the exception of: (a) the property, plant and equipment of the Retail Business;

(b) the PAYG pay-guard units, back office systems, POS terminals and card readers; and (c) the following motor vehicles:

13. Intellectual Property and Patents:

14. Information Technology Infrastructure: All information technology infrastructure, including servers, storage devices, back-up devices, network equipment, and applications that would normally reside in a data centre or server room will transfer to the Transferee, with the exception of the following information technology infrastructure: Shared applications and software technologies:

(c) The Transferor’s registrations by AEMO under the National Electricity Rules as a Metering Provider-B and Metering Data Provider-D for Type 617 meters. (d) The Transferor’s Contractor Licence for Plumbing, Electrical and Gas-fitting (GF114) under the Occupational Licensing Act 2005. (e) The Transferor’s Electrical Safety Management Scheme issued under Part 8 of the Electricity Industry Safety and Administration Act 1997. (f) The Authorisations and Permits listed in Schedule I.

19. Financial Obligations: The debt liabilities and swap derivatives as at the Transfer Time as listed in Schedule J.

20. Dividends: (a) The obligation of the Transferor to pay to the State a dividend payment equal to the interim dividend for the year ended 30 June 2014 as determined by Special Resolution of the Transferor’s Members. (b) The dividend is to be paid by the Transferee in December 2014.

21. Current Liabilities: All current liabilities of the Transferor as at the Transfer Time, excluding the following: (a) Energy payables to AEMO or for any Counterparties for Electricity Derivatives; (b) Accrued Unbilled Use of System charges; (c) income received in advance and security deposits under any electricity supply agreement; (d) Aurora Energy’s group restructuring provision as at 30 June 2014; (e) income tax payable other than that which relates to the Distribution Business for the 2013-14 year; (f) mark to market of electricity derivative contracts; (g) creditors that relate to the Retail Business; (h) GST payable for years up until 2013-14; (i) Payroll Tax payable for years up until 2013-14; (j) Fringe Benefit Tax payable for years up until 2013-14; and (k) any other accrued expenses that relate to the Retail Business.

22. Other Non-current Liabilities: All non-current liabilities of the Transferor as at the Transfer Time, excluding the following: (a) any deferred tax balances at 30 June 2014 that relate to the Retail Business; and (b) any other non-current liability that relates to the Retail Business.

23. Superannuation: The rights and liabilities of the Transferor in respect of contingent liabilities in relation to employer contributions under the Retirement Benefits Act 1993 which relate to: (a) persons who have been employed by the Transferor prior to the Transfer Time but who are not employed by the Transferor immediately prior to 1 July 2014; (b) persons who are employed by the Transferor immediately prior to the Transfer Time and are transferring to the Transferee under the Transfer Order; and (c) persons who were employed by the Hydro-Electric Corporation prior to 1 July 1998 where the contingent liabilities in relation to employer contributions under the Retirement Benefits Act 1993 transferred to the Transferor under the Notice of Transfer of 25 June 1998.

24. Nominated Litigation: The rights and liabilities of the Transferor in relation to the actions listed in Schedule K.

25. Legal Claims: Any and all other rights and liabilities in which the Transferor has any legal interest, including but not limited to legal actions in progress or contemplated, filed in any Court or Tribunal both State and Federal, in which the cause of action arises any time prior to the Transfer Time relating to the Distribution Business.

26. Employee Liabilities and Claims: The rights and liabilities of the Transferor, other than entitlements accrued in the audited accounts, in relation to persons who have been employed by the Transferor prior to the Transfer Time and who are not employed by the Transferor as at the Transfer Time but only with respect to persons who, immediately prior to ceasing to be an employee of the Transferor, were not employed by the Transferor in the Retail Business.
