DECLARATION OF MARTIN LEWIS IN SUPPORT OF APPLICATION OF DEBTOR INTELSAT JACKSON HOLDINGS S.A. FOR ENTRY OF AN ORDER AUTHORIZING THE RETENTION AND EMPLOYMENT OF ALIXPARTNERS, LLP AS FINANCIAL ADVISOR TO INTELSAT JACKSON HOLDINGS S.A. EFFECTIVE AS OF MAY 29, 2020

I, Martin Lewis, make this Declaration pursuant to 28 U.S.C. § 1746, and state:

1. AlixPartners, LLP (“AlixPartners”) has been retained to provide independent

advisory services at the sole direction of the Special Committee of Directors (the “Special

Committee”) of Intelsat Jackson Holdings S.A. (“Intelsat Jackson”) in the above-captioned chapter

11 cases. Except as otherwise noted, I have personal knowledge of the matters set forth herein.

Qualifications and Independent Contractor Agreement

2. I am an international corporate tax expert in the area of restructuring. Attached

hereto as Exhibit A is my curriculum vitae.

3. I have been asked by the Special Committee and AlixPartners to assist AlixPartners,

primarily to provide tax advisory support to the Special Committee. This support includes, but is

not limited to, reviewing certain Luxembourg tax papers and assisting in analyzing the treatment

and use of Luxembourg tax losses and COD income to provide expertise and advice as a “tax

translator” to the Special Committee. Although I cannot be certain at this time, I anticipate that I

will not spend more than 50 hours of time providing services in connection with this matter.

Attached hereto as Exhibit B is a copy of the independent contractor agreement, dated as of

January 3, 2016 (the “Lewis Agreement”) by and between AlixPartners and myself.

Professional Compensation

4. In consideration of the services that I will provide to AlixPartners, pursuant to the

Lewis Agreement, AlixPartners will compensate me for my independent contractor consulting

services performed at the rate of GBP £325 per hour for each billable hour (the “Fee Structure”).

This amount will be passed through to the Special Committee and the Debtors without mark-up.

5. I will forward monthly invoices to AlixPartners and I will maintain records in

support of any fees (in 1/10th of an hour increments), costs, and expenses incurred in connection

with services rendered in the chapter 11 cases. Records will be arranged by category and nature of

the services rendered and will include reasonably detailed descriptions of those services provided.

I understand that these records will be attached to the fee applications that will be filed by

AlixPartners in this matter.

6. Other than providing tax advisory services to a limited number of private SME

clients in the United Kingdom, I do not have any employment other than the work I perform for

AlixPartners under the Lewis Agreement.

Disinterestedness

7. In connection with the proposed retention of AlixPartners by Intelsat Jackson in

these chapter 11 cases, and in my capacity as an independent contractor to AlixPartners who will

be assisting with its role as restructuring advisor to the Special Committee in these chapter 11

cases, I undertook a lengthy review to determine whether I have any conflicts or other connections

that might cause me not to be disinterested or to hold or represent an interest adverse to the Special

Committee of Intelsat Jackson, the Debtors, or their estates. Specifically, through AlixPartners, I

obtained from the Debtors, and/or their representatives, the names of individuals and entities that

may be parties-in-interest in these chapter 11 cases (the “Potential Parties-in-Interest”).

AlixPartners provided me with a copy of the Potential Parties-in-Interest list, which is attached

hereto as Schedule 1.

8. Based on that review, I represent that, to the best of my knowledge, I know of no

fact or situation that would represent a conflict of interest for me with regard to the Debtors. As a

result of my review, I wish to disclose the following connections, all of which are in matters

unrelated to Debtors:

• Personal depository or investment relationships: I have had a regular checking account with Barclays Bank Plc (“Barclays”) since 1982. I hold no equity in Barclays. • Professional service firms who have retained me in recent years (no current active engagements): I am a former employee of Deloitte, and I left Deloitte in 2003. I hold no equity in Deloitte. I am a former employee of ADP. I left ADP in 2000 and hold no equity in ADP.

9. I have been in the past, and likely will be in the future, engaged in matters unrelated

to the Debtors or these chapter 11 cases in which I work with or in opposition to other professionals

involved in these chapter 11 cases. Moreover, I might have referred work to other professionals

who are retained in these chapter 11 cases. Likewise, certain such professionals who are retained

in these chapter 11 cases might have referred work to me. To the best of my knowledge,

information and belief, insofar as I have been able to ascertain after reasonable inquiry, none of

these business relationships constitute interests adverse to the Special Committee of Intelsat

Jackson or the Debtors or their estates.

10. To the best of my knowledge, information and belief, insofar as I have been able to

ascertain after reasonable inquiry, except as otherwise disclosed herein, I do not have any

connection with the Debtors, their creditors or any other Potential Parties-in-Interest in these

chapter 11 cases and I am not related or connected to any United States Bankruptcy Judge for the

Eastern District of Virginia, any of the District Judges for the Eastern District of Virginia who

handle bankruptcy cases, the U.S. Trustee or any employee in the Office of the U.S. Trustee, except

as otherwise set forth herein.

11. I do not hold any of the Debtors’ securities.

12. I have not been retained to assist any entity or person other than AlixPartners and

the Special Committee of Intelsat Jackson on matters relating to, or in direct connection with, these

chapter 11 cases.

13. Despite the efforts described above to identify and disclose the connections that I

have with the parties-in-interest in these chapter 11 cases, because the Debtors are a large

enterprise with numerous creditors and other relationships, I am unable to state with certainty that

every client relationship or other connection has been disclosed.

14. In accordance with Bankruptcy Code section 504 and Bankruptcy Rule 2016,

except as specifically identified in this Declaration, and other than the Lewis Agreement that I

entered into with AlixPartners, I have not entered into any agreements, express or implied, with

any other party in interest, including the Debtors, any creditor, or any attorney for such party in

interest in these chapter 11 cases, (a) for the purpose of sharing or fixing fees or other compensation

to be paid to any such party in interest or its attorneys for services rendered in connection therewith,

(b) for payment of such compensation from the assets of the estates in excess of the compensation

allowed by this Court pursuant to the applicable provisions of the Bankruptcy Code, or (c) for

payment of compensation in connection with these chapter 11 cases other than in accordance with

the applicable provisions of the Bankruptcy Code.

15. Accordingly, insofar as I have been able to determine, (a) I do not have any

connections with the Debtors or Parties-In-Interest (other than as disclosed herein) or hold or

represent any interest adverse to the Special Committee of Intelsat Jackson or the Debtors or their

estates, and (b) I am a "disinterested person" as that term is defined in Bankruptcy Code section

101(14), as modified by Bankruptcy Code section 1107(b), in that I: (i) am not a creditor, equity

security holder, or insider of the Debtors; (ii) I was not, within two years before the Petition Date,

a director, officer or employee of the Debtors; and (iii) I do not have an interest materially adverse

to the interest of the Special Committee of Intelsat Jackson, the Debtors’ estates or any class of

creditors or equity security holders, by reason of any direct or indirect relationship to, connection

with, or interest in, the Debtors, or for any other reason.

16. If I discover additional information that requires disclosure, I will promptly file a

supplemental disclosure with this Court as required by Bankruptcy Rule 2014.

17. I reserve the right to supplement this Declaration in the event that AlixPartners

discovers any facts bearing on matters described in this Declaration regarding AlixPartners’

employment by the Special Committee of Intelsat Jackson.

This engagement letter is an update to the letter signed on 31 March 2015.

This letter and the attached appendices set out the terms on which we offer our corporate tax services and other tax advice. You should therefore ensure that you have fully considered all of the terms in this letter and the appendices.

Our services

We will advise generally on UK corporate tax matters that are referred to by an authorised staff person from APS or any other entity within the AlixPartners group of companies. The scope of the work includes (this is not an exhaustive list):-

1. Corporation tax compliance services on cases where a member of APS is the Joint Administrator or Joint Liquidator. This will include preparing and filing as appropriate pre and post insolvency tax returns.

2. Tax advisory and support on all formal cases where APS (or partner of APS) has been appointed as Joint Administrator or Joint Liquidator.

3. Ad hoc tax advisory support on APS or AlixPartners group cases which are not formal insolvency cases. This will included advising on tax consequences of business reviews and restructuring tax cases. 4. Ad hoc tax advisory support on any tax matter where there has been an instruction from a partner or employee of APS.

It is our intention that the tax engagement team will primarily be Martin Lewis, but we reserve the right to change the personnel involved if necessary, especially if other tax specialist skills are needed.

We will involve Amanda Solomon and Lorraine Davies on ad hoc tax matters. We will involve Andrew Needham for all matters relating to VAT matters.

Fees

Our fees for the work set out in this letter will reflect the complexity of the assignment and the need for specialist input. They will be based on the time spent and the seniority of the staff involved, together with our out of pocket expenses. As previously discussed, we expect our average billing rate for this type of work to be approximately £325 per hour.

This fee will be subject to a 5% increase on 1 January 2018 and thereafter every 2 years.
