OVERSEAS REGULATORY ANNOUNCEMENT ANNOUNCEMENT IN RELATION TO MAJOR CONTRACTS

This announcement is made by China CNR Corporation Limited (the “Company”, together with its subsidiaries, the “Group”) pursuant to Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

It is hereby announced that the Group has recently entered into certain major contracts with an aggregate value of approximately RMB24.258 billion. Details of such contracts are set out as follows:

1. Railway Vehicle Co., Ltd.* (長春軌道客車股份有限公司), a non-wholly owned subsidiary of the Company, entered into: sales contracts for various models of high-speed MUs with Corporation* (中國鐵路總公司) with a total amount of approximately RMB4.334 billion; advanced MUs maintenance contracts with the railway bureaus under China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB2.743 billion; sales contracts for MU accessories with the railway bureaus under China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB902 million; cars sales contract for the Yanfang Line of the rail transport with Beijing Rail Transit Construction and Management Co., Ltd.* (北京市軌道交通建設管理有限公司) with a total amount of approximately RMB446 million; the Kuala Lumpur articulated EMU export contract with Express Rail Link Sdn. Bhd. with a total amount of approximately RMB267 million.

2. Tangshan Railway Vehicle Co., Ltd.* (唐山軌道客車有限責任公司), a wholly-owned subsidiary of the Company, entered into: a sales contract for high-speed MUs with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB2.983 billion; sales contracts for MU accessories with the railway bureaus under China Railway Corporation*

—1— (中國鐵路總公司) with a total amount of approximately RMB109 million; metro cars sales contract for the Metro Line No.5 with Tianjin Metro Group Co., Ltd.* (天津市地下鐵道集團有限公司) with a total amount of approximately RMB930 million; advanced MUs maintenance contracts with the railway bureaus under China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB1.434 billion; passenger coach maintenance contracts with China Railway Investment Corp.* (中國鐵路建設投資公司) with a total amount of approximately RMB410 million; contract for the “-Meizhou-Shantou, Sanmao 25G-type AC380V power supply and generation car purchase” project with Guangzhou Railway (Group) Corporation* (廣州鐵路(集團)公司) with a total amount of approximately RMB49 million; passenger coach export contract for the Tanzania Zambia Railway with China Civil Engineering Construction Corporation* (中國土木工程集團有限公司) with a total amount of approximately RMB50 million.

3. CNR Dalian Locomotive & Rolling Stock Co., Ltd.* (中國北車集團大連機車車 輛有限公司), a wholly-owned subsidiary of the Company, entered into: sales contracts for 6-axis 7200kWAC freight locomotives, 4400 hp AC shunting diesel locomotives and HXN3 transition high-land diesel locomotive with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB1.556 billion; a sales contract for 6-axis 7200kW electric locomotives in a total amount of approximately RMB404 million with Daqin Railway Co., Ltd.* (大秦鐵路股份有限公司); a sales contract for HXN3 transition high-land diesel locomotives with Qinghai-Tibet Railway Company* (青藏鐵路公司) with a total amount of approximately RMB350 million; an inspection and maintenance contract for HXN3 diesel locomotives with Shenyang Railway Bureau* (瀋陽鐵路局) under China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB223 million.

4. CNR Qiqihar Rolling Stock Co., Ltd.* (北車齊齊哈爾鐵路車輛有限責任公司), a wholly-owned subsidiary of the Company, entered into: a general freight wagon maintenance contract with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB192 million; an ore car export contract with Hamersley Iron Pty Limited with a total amount of approximately RMB138 million; an export contract to provide freight wagons for the Ministry of the Interior and Transport of Argentina with China Machinery Engineering Corporation* (中國機械設備工程股份有限公司) with a total amount of approximately RMB356 million.

—2— 5. CNR Datong Electric Locomotive Co., Ltd.* (中國北車集團大同電力機車有限 責任公司), a wholly-owned subsidiary of the Company, entered into a sales contract for 6-axis 7200kW freight locomotives with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB449 million.

6. Xi’an Railway Vehicle Equipment Co., Ltd.* (西安軌道交通裝備有限責任公司), a wholly-owned subsidiary of the Company, entered into a freight wagon maintenance contract and a passenger coach maintenance contract with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB114 million and RMB265 million, respectively.

7. CNR Shenyang Locomotive & Rolling Stock Co., Ltd.* (中國北車集團瀋陽機車 車輛有限責任公司), a wholly-owned subsidiary of the Company, entered into a freight wagon maintenance contract and a T11BK long rail wagon supply contract with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB369 million and RMB49 million, respectively.

8. Taiyuan Railway Transportation Equipment Co., Ltd.* (太原軌道交通裝備有限 責任公司), a wholly-owned subsidiary of the Company, entered into a sales contract for railway catenary railcars and a freight wagon maintenance contract with China Railway Corporation* (中國鐵路總公司) with a total amount of approximately RMB125 million and RMB87 million, respectively.

9. Changchun Railway Vehicle Equipment Co., Ltd.* (長春軌道客車裝備有限責任 公司), a subsidiary of the Company, entered into a passenger coach maintenance contract with the railway bureaus under China Railway Corporation* (中國鐵路 總公司) with a total amount of approximately RMB493 million.

10. Beijing Feb. 7th Railway Transportation Equipment Co., Ltd.* (北京二七軌道交通裝備有限責任公司), a wholly-owned subsidiary of the Company, entered into an export contract to provide diesel locomotives for the Belgrano railway renovation project in Argentina with China Machinery Engineering Corporation* (中國機械設備工程股份有限公司) with a total amount of approximately RMB194 million.

11. CNR Import & Export Corp., Ltd.* (北車進出口有限公司), a wholly-owned subsidiary of the Company, entered into: a DMU export contract with the relevant national railway authority of the Republic of Ghana with a total amount of approximately RMB69 million; and a metre gauge DMU spare parts supply contract with the Ministry of the Interior and Transport of Argentina with a total amount of approximately RMB50 million.

—3— 12. CNR MA Corporation, a subsidiary of the Company, entered into an export contract in relation to the red and orange lines of Boston Subway with the Massachusetts Bay Transportation Authority of the United States of America with a total amount of approximately RMB4.118 billion.

The total value of the aforementioned major contracts accounted for approximately 24.95% of the operating revenue of the Company for the year 2013.

In addition, Tangshan Railway Vehicle Co., Ltd.* (唐山軌道客車有限責任公司), a wholly-owned subsidiary of the Company, won the bid for the metro cars procurement project relating to the East extension of Tianjin Metro to National Exhibition and Convention Center, with a total amount of approximately RMB656 million. The contract for the project will be executed soon. Details will be disclosed in subsequent announcement.
