NOTICE OF MODIFICATION OF VIDEO SERVICE AREA TO ADD MUNICIPALITIES OF JACKSONVILLE, CHATHAM, TREMONT, CREVE COEUR, NORTH PEKIN, MARQUETTE HEIGHTS, AND PARTS OF UNINCORPORATED SANGAMON, MORGAN AND CHAMPAIGN COUNTIES

1. Pursuant to Section 401(g) of the Cable and Video Competition Law of 2007, as amended (the “Law”) (220 ILCS 5/21-401(g)), iTV-3, LLC (“iTV-3” or “Applicant”) hereby notifies the Illinois Commerce Commission (the “Commission”) of a modification of the video service area footprint described in ITV-3’s Application for State-Issued Authorization to Provide

Video Service (“Application”) in the above-captioned docket that was granted on May 10, 2016.

2. Since filing its initial Application, ITV-3 has filed several modifications expanding its service area. With this Notice, ITV-3 is further modifying and expanding that service area footprint to include the municipalities of Jacksonville, Chatham, Tremont, Creve Coeur, North

Pekin, and Marquette Heights. iTV-3 is also adding parts of unincorporated Sangamon County,

Morgan County and additional parts of Champaign Counties contiguous to municipalities already covered. These unincorporated areas are depicted in the maps attached as Exhibit 3. (Together with the newly-listed municipalities, these constitute the “Modified Service Area Footprint”). Attached as Exhibit 1 is a list of all of the municipalities that will comprise the Modified Service Area

Footprint, including this new list of areas.

3. Concurrent with the filing of this Notice, ITV-3 has served the municipal

governments impacted by this Modification with a copy of this Notice.

4. For the purposes of this Notice, ITV-3 is not an “incumbent cable operator,” within the meaning of Section 21-201(m) of the Law (220 ILCS 5/21-201(m)) with to any part of the Modified Service Area Footprint and is eligible to seek this state-issued authority pursuant to

Sections 301 of the Law (220 ILCS 5/21-301).

5. As shown below and in the attached Verification, Applicant satisfies the requirements of Section 401(b)(4) of the Law (220 ILCS 5/21-401(b)(4)) and, therefore, is eligible to obtain a State-issued authorization for the Modified Service Area Footprint.

6. Biographical information for key personnel responsible for managing ITV-3’s local cable service operations and network in the Modified Service Area Footprint is attached as

Exhibit 2.

7. The United States Census Bureau’s estimate of the number of low-income households, as defined in Section 201(p) of the Law (220 ILCS 5/21-201(p)), located within the municipalities included in the Modified Service Area Footprint as follows:

VERIFICATION OF BRIAN OLSON

I, Brian Olson, Chief Operating Officer, certify and affirm the following:

1. am currently the Chief Operating Officer of ITV-3, LLC (“Applicant” or

“ITV-3”). As COO, I oversee ITV-3’s operations.

2. The purpose of my Verification is to provide support for ITV-3’s Notice of

Modification of Video Service Area (the “Notice”) to provide video services filed pursuant to

Section 401(g) of the Cable and Video Competition Law of 2007 (the “Law”). (220 ILCS

5/21-401(g)).

3. This Verification and supporting Exhibits provide the affirmations and information required by Section 401(b)(4) of the Law (220 ILCS 5/21- 401(b)).

4. I have knowledge of the facts stated in this Verification and accompanying supporting Exhibits 1 and 2. I am competent to testify to them and I have authority to make this

Verification on behalf of and to bind ITV-3.

5. On May 10, 2016, ITV-3’s Application for State-Issued Authorization to Provide

Video Service was granted, with respect to the Service Area Footprint identified as the Village of

Dunlap.

6. On July 18, 2016, ITV-3 filed a modification of its State-Issued Authorization to

Provide Video Service was granted, with respect to the Service Area Footprint identified as the Cities

of Urbana and Champaign.

7. On October 8, 2019, ITV-3 filed a modification of its State-Issued Authorization to

Provide Video Service was granted, with respect to the Service Area Footprint identified as the City

of Springfield.

8. On April 8, 2020, ITV-3 filed a modification of its State-Issued Authorization to

Provide Video Service was granted, with respect to the Service Area Footprint identified as the Cities

of Chillicothe and Leland Grove.

9. On July 1, 2020, ITV-3 filed a modification of its State-Issued Authorization to

Provide Video Service was granted, with respect to the Service Area Footprint identified as the unincorporated portions of Champaign and Tazewell counties.

10. With the Notice, ITV-3 is modifying the Service Area Footprint to include the municipalities of Jacksonville, Chatham, Tremont, Creve Coeur, North Pekin, Marquette Heights, and parts of unincorporated Sangamon, Morgan and Champaign Counties (the “Modified Service

Area Footprint”). Attached as Exhibit 1 is a list of the municipalities that will comprise the

Modified Service Area Footprint, including this new list of areas.

11. Exhibit 2 lists biographical information for key personnel responsible for managing

ITV-3’s local video service operations and network in the Cities of Chillicothe and Leland Grove.

12. Exhibit 3 is series of maps depicting the unincorporated areas of Sangamon, Morgan

and Champaign Counties added by this Notice.

13. For purposes of the Notice, ITV-3 is not an “incumbent video operator,” within the meaning of Section 21-201(m) of the Law (220 ILCS 5/21-201(m)) with respect to the Modified

Service Area Footprint and is eligible to seek this state-issued authority pursuant to Sections 301

of the Law (220 ILCS 5/21-301).

15. With respect to the Modified Service Area Footprint, ITV-3 will begin to operate pursuant to the State-Issued Authorization granted it on March 23, 2020 after the date of the

Notice.

16. Concurrently with the filing of the Notice, ITV-3 has served the municipalities listed above with a copy of the Notice.

Under penalties as provided by law pursuant to Section 1-109 of the Code of Civil

Procedure, the undersigned certifies that the statements set forth in this instrument are true and

EXHIBIT 2 Key Personnel

The following ITV-3 management personnel are responsible for ITV-3’s operations and network serving the Modified Service Area:

Sam Valencia, Chief Financial Officer. Sam has over 30 years of experience with PricewaterhouseCoopers LLP (the world’s largest accounting firm) where he was an Assurance Partner. Sam served clients in multiple industries, nearly all of which were middle-market sized businesses. One of his practice specialties was assisting clients with M&A transactions. This will provide significant value to the Buyer in the completion of the i3 Broadband transaction and in preparing the company for the future. Sam’s experience will also serve to guide us in the establishment of a secure internal control environment and accurate and complete financial reporting system.

Brian Olson, Chief Operations Officer, is a Telecommunication veteran with 20 years of experience in all facets of the company’s operations. Brian manages all Illinois personnel, company operations, product development and continued work with various community stakeholders/leaders to assist with digital inclusion strategies, community mentoring programs and other broadband initiatives. Brian has overseen early stage development of the company to become Central Illinois’ largest fiber to the home provider serving tens of thousands of residents, businesses, critical government operations and other carriers across i3 Broadband's footprint.

Jamie Griffin, Director of Technology at i3 Broadband, has over 14 years of experience designing and deploying complex telecommunications networks with an expert emphasis DOCSIS, HFC Cable System engineering. Jamie also has extensive experience and expertise with IP networking, Linux and Windows server administration, MPEG-TS video delivery, SIP, optical networking, satellite communications, and CPE device configuration as well as previous experience as server administrator and systems engineer for various types of business customers. Jamie has designed and managed enterprise networks as well as small busines and general customer devices. He has been responsible for all project designs and upgrades for the i3 Broadband’s cable TV system, which includes the transition from DOCSIS 2.0 to DOCSIS 3.0 and most recently, to DOCSIS 3.1, which focuses on increased bandwidth speeds to every business and residential customer in the entire serving area. With the system wide launch of DOCSIS 3.1 to enable 1Gbps, customers have enjoyed faster and more reliable speeds. Most recently, Jamie has been leading a system-wide upgrade to provide increased upload speeds to meet rapidly growing customer demand for services such as telemedicine, distance learning and e-learning, work-from-home employees, videoconferencing, and other emerging services which demand higher upload speeds. Jamie has also led projects to introduce in-home MoCA networks, deploy Metro Ethernet services, upgrade back-office systems, implement extensive monitoring systems, and migrate from analog to all- digital TV. During his time as Director of Technology, i3 Broadband's Rhode Island network has experienced more than a 100x increase in broadband capacity. Jamie has been a frequent competitor in the SCTE IP Challenge and won the championship in 2014. He has been published in SCTE Interval and has appeared in SCTE training videos.
