GLOBAL METRO PROJECTS REPORT 2012 Metropolitan railways (metros) are high capacity electric transport systems that operate on dedicated routes, and can thereby achieve high service speed and frequency. Over the last few years, metros (also known as subway, underground or tube) have evolved as an efficient and effective urban mobility solution in addressing the growing concerns of urbanisation and climate change. This is supported by the fact that despite high capital requirements the sector witnessed a compound annual growth rate (CAGR) of 6.7 per cent between 2005 and 2010. In high density urban areas, metros form the backbone of integrated public transport systems and offer proven economic, social and environmental benefits. Given the huge investment requirement and long life span, metro systems have always been a driving force for technological and financial innovations. Government and metro operators are constantly seeking solutions to improve reliability and customer service, lower fuel and maintenance costs, as well as increase efficiency and safety levels in operations. The Global Metro Projects Report provides updated information on the world's top 101 metro projects that present significant capital investment opportunities. These projects have a total existing network length of about 8,900 km and a proposed length of over 8,000 km. The report covers 51 countries representing about 80 per cent of the world’s gross domestic product. It presents the key information required to assess investment opportunities in the development of new lines, extension and upgrade of existing lines, rolling stock procurement and refurbishment, power and communication systems upgrades, fare collection, as well as station construction and refurbishment. -

[For Immediate Release] Asiaray Announces 2020 Annual Results * * * Steps Up Innovation in Pioneering O&O New Media Further Expands Business Portfolio and Clientele through Excellence (Hong Kong, 29 March 2020) – Asiaray Media Group Limited (“Asiaray” or the “Group”; stock code: 1993), an outstanding out-of-home (“OOH”) media company with a strategic focus on mega transport adverting media management, including airport, metro line and high speed rail line, has announced its annual results for the financial year ended 31 December 2020 (the “Year”). In the wake of the COVID-19 pandemic and subsequently sharp economic downturn, despite the challenging business environment, the Group’s financial resources remains sound and achieved a net cash position for the seventh consecutive years, with cash and cash equivalents of HKD412.3 million (As at 31 December 2019: HKD445.0 million). It therefore has the capacity to withstand the current headwinds to turn crises into opportunities to lay a solid foundation for future development. The Group’s revenue recorded by a decline of 17.1% to HKD1,557.1 million in the Year. Gross profit amounted to HKD347.5million, with gross profit margin at 22.3%. EBITDA (Earnings before interest, taxes, depreciation and amortization) totaled HKD1,034 million, while the combined revenue, which provides a broader and more accurate representation of total business scale by including consolidated revenue and revenue from all associated companies, amounted to HKD2.212 billion (FY2019: HKD2.630 billion) for the Year. As several new projects of the Group were still at a ramp-up stage and were affected by the pandemic, particularly in Hong Kong, the Group’s performance was inevitably suffered, as reflected by a loss amounting to HKD141.4 million for the Year. -

Pursuant to the Exclusive Concession Rights Agreement, Shanghai Asiaray and Kunming Railway agreed that the exclusive rights to use and operate the Advertising and Media Resources in Kunming Metro Line 3 shall be assigned to the Newly Formed PRC Company to be established by Shanghai Asiaray and Kunming MTR, a wholly-owned subsidiary of Kunming Railway. The Newly Formed PRC Company will become the indirect non-wholly owned subsidiary of the Company. LISTING RULES IMPLICATIONS According to Chapter 14 of the Listing Rules, as the highest applicable percentage ratio of the transaction under the Exclusive Concession Rights Agreement is higher than 5% but lower than 25%, the entering into of the Exclusive Concession Rights Agreement constitutes a discloseable transaction of the Company and is subject to reporting and announcement requirements under Chapter 14 of the Listing Rules, but exempt from the shareholders’ approval requirement. -
