Overview: Currently, there are 79 diesel-powered transit buses that have exceeded their useful life. The replacements are necessary to support a safe and reliable fleet, including the HART on-going commitment to alternative fuels and a more positive emissions impact on the environment. The Jacksonville Transportation Authority (JTA) conducted a procurement to purchase buses for a consortium of transit agencies in , including HART, in accordance with public procurement policies and procedures.

Recommendation: That the Operations and Safety Committee review the action item authorizing the Interim Chief Executive Officer to purchase up to sixteen forty-foot CNG powered heavy-duty transit buses from Gillig LLC, in a not-to exceed Amount of $9,413,485; and advance this item to the full HART Board of Directors at the November 2, 2020 regular Board of Directors Meeting. Overview: The purpose of this item is to request authorization to purchase up to four (4) Proterra forty- foot Battery Electric Buses (BEB) with charging equipment and requisite charging infrastructure. This purchase will move forward HART’s on-going commitment to alternative fuels and a more positive emissions impact on the environment. The battery electric buses are necessary to evaluate, monitor and collect data for a future successful deployment of low and zero emission vehicles.

The role of the Operation and Safety Committee is to review and make recommendations to the full Board of Directors on policies related to the efficient, safe, and reliable operation of HART. The Operations and Safety Committee also provides oversight and strategic direction on safety, security, and emergency management.

Subject Areas:

a. The Operations and Safety Committee reviews and monitors performance indicators for service and operations, including ridership, customer service and satisfaction, customer and employee safety and security standards, practices and procedures, and facility and vehicle maintenance. b. Ensures that HART’s vehicle purchase, disposition, and fleet management strategies are aligned with the overall organizational vision and goals. c. Ensure compliance with Title VI and ADA requirements. d. Ensure compliance with federal as well as state safety and security requirements including but not limited to Safety Management Systems and Transit Asset Management. e. Review and make recommendations to the full Board of Directors on route and service standards and productivity; f. Review and recommends adjustments to fare and service structures. Membership: The Committee shall be comprised of seven members.

Meeting Frequency: The Operation and Safety Committee meets on a monthly basis.

This meeting location was changed from in-person at the HART Administrative Office to a virtual meeting pursuant to Executive Order Number 20-69, issued by the Governor of the State of Florida on July 29, 2020, and section 120.54, Florida Statutes. Due to social distancing, the Board room in the Ybor Administrative Office was only accessible for personnel facilitating the meeting.

CALL TO ORDER AND PLEDGE OF ALLEGIANCE The meeting was called to order at 9:01 a.m. by Committee Chair Melanie Williams. Pledge of Allegiance followed.

Danielle Arthur, Board Administrator, performed the roll call for attendance. Committee members Kemp, Mechanik, Overman, Schisler, and Williams were present. Committee member McClain were absent.

Julia Mandell, HART General Counsel, read the Rules for Committee Participation into the record.

APPROVAL OF MINUTES Committee member Schisler moved and Committee member Overman seconded approval of the minutes from the May 18, 2020 Operations and Safety Committee virtual meeting. Ms. Arthur performed a roll call vote. Committee members Kemp, Mechanik, Overman, Schisler, and Williams voted aye. The motion passed unanimously.

Committee member Schisler moved and Committee member Overman seconded approval of the minutes from the June 15, 2020 Joint Operations and Safety and Finance and Audit Committee virtual meeting. Ms. Arthur performed a roll call vote. Committee members Kemp, Mechanik, Overman, Schisler, and Williams voted aye. The motion passed unanimously.

PUBLIC COMMENT ON AGENDA ITEMS (3 MINUTES PER SPEAKER) Ms. Mandell read the Rules for Public Participation into the record. 7 Hillsborough Transit Authority Operations and Safety Committee Virtual Meeting August 17, 2020 Continued…

Ms. Arthur read the following public comment into the record from Karen Kress:

“The Tampa Downtown Partnership is requesting that HART renew our contract to provide a downtown circulation system utilizing the Downtowner service through the end of this year. Due to the schedule for the new contract HART will be awarding, the original deadline of October 1 will be missed. This does NOT have a financial impact as the Downtowner has created an austerity plan to make the current funding stretch another 3 months. Bottom line we would be providing the same amount of service for the same amount of funding over a longer period of time. The cutbacks during Safer At Home policies enabled this to happen. Karen Kress, Director of Transportation and Planning, Tampa Downtown Partnership.”

PRESENTATIONS

Monthly Safety and Security Update Colin Mulloy, Director of Safety, provided an overview of accidents and security altercations for the month of May 2020. A full copy of the presentation is available upon request from the Board Administrator at [email protected].

Committee member Mechanik asked what training an Operator receives when two patrons involved in either a verbal or physical conflict.

Mr. Mulloy stated that the Operators receive de-escalation technique training from the Transportation Safety Institute and the Hillsborough County Sheriff’s Office. He added that this training is provided at onboarding, with refresher quarterly trainings and follow-up after incidents trainings. Mr. Mulloy responded that is incidents occur, Operators contact the Control Center who then reach out to a Transit Supervisor who responds to the scene to assist the Operator. He noted that if a situation escalates, then law enforcement is contacted.

Committee member Mechanik inquired about the average response times for the Transit Supervisors and what the Operator does during that time.

Mr. Mulloy stated that the responses times vary on the type of event occurring and that the transit supervisors respond in similar fashions as that of law enforcement. He continued that the transit supervisors are all over the service area in zones to quickly respond. Mr. Mulloy explained that while the Supervisor is responding, the Operator is using their discretion on whether to continue on the route or stop the bus, but they are instructed not to become overly involved in a confrontation.

Ruthie Reyes Burckard, Deputy Chief of Transportation, noted that the Operators are trained to stop the bus and open all the doors if there appears to be any imminent threats of dangers to themselves or other patrons.

Committee member Overman stated that she is the Chair of the County Human Trafficking Committee and inquired what the Human Trafficking program is, and in what stage of development or implementation it is in.

8 Hillsborough Transit Authority Operations and Safety Committee Virtual Meeting August 17, 2020 Continued… Mr. Mulloy stated his excitement for this worthwhile cause that the Agency received a grant for. He explained that the program has many activities, such as training Operators on the signs of possible human trafficking and how to report to the correct community agency. Mr. Mulloy spoke about the partnering collaborations that will be adding to the success of the program. He stated that he will distribute the specific details.

Committee member Overman noted that her committee is partnering with the same groups. She added that she would like to make sure that she is collaborating with HART and adding to the success of the program.

Mr. Mulloy stated that he will bring back a presentation on the subject matter to the committee.

Committee Chair Williams spoke about a facility tour that she took on August 6, 2020 and applauded the leadership and staff for their hard work on safe and clean procedures.

COMMITTEE ACTION ITEMS a. Authorize the Interim Chief Executive Officer to Execute a Public Transportation Grant Agreement (PTGA) between Hillsborough Transit Authority (HART) and the Florida Department of Transportation (FDOT) to Accept Transit Urban Corridor Funds to Assist with the Operating Cost of Route 20X –Pasco/Lutz Express in the Amount of $285,915

Christopher Cochran, Director of Service Development, presented that this item is an annual FDOT grant received for transit corridor funding assistance that are provided for the limited express route 20 that runs from the Target north on Dale Mabry Highway into downtown. He explained that while staff is currently looking to reduce some routes during the service changes in January 2020, these grants still need to be executed in the case that these routes are not changed. Mr. Cochran stressed that this grant requires no match of HART funds.

Committee member Mechanik moved and Committee member Schisler seconded a motion to forward the action item Authorize the Interim Chief Executive Officer to Execute a Public Transportation Grant Agreement (PTGA) between Hillsborough Transit Authority (HART) and the Florida Department of Transportation (FDOT) to Accept Transit Urban Corridor Funds to Assist with the Operating Cost of Route 20X –Pasco/Lutz Express in the Amount of $285,915 to the full HART Board of Directors at the Regular Board Meeting on September 14, 2020.

Committee member Schisler inquired how much of the total expense the grant covers.

Mr. Cochran stated that, to his knowledge, this grant covers almost the entirety of the expense of the route, since the route does not have extensive service hours.

Committee member Schisler asked what will happen to the funds if the route is shorten and does not require the full amount of the grant.

Mr. Cochran explained that staff has requested FDOT to consider the ability for HART to reallocate the funds. He noted that FDOT will be meeting later in the week to discuss and hopefully make a decision.

9 Hillsborough Transit Authority Operations and Safety Committee Virtual Meeting August 17, 2020 Continued… Committee member Schisler stated that he would like to know FDOT’s decision before the final vote for approval at the Board meeting.

Committee member Kemp stated that she will not support this item for many reasons. She explained that the route has changed from its original alignment and now mostly serves Pasco residents. Committee member Kemp stressed that the HART stretched resources should not go towards service in other counties. She noted that she never saw ridership evidence to change this route for the benefit for the community. Committee member Kemp spoke of the need for new service vehicles and the fact that this route has low ridership for the number of miles and wear and tear placed on the vehicles. She asked if the maintenance needed for these vehicles and the cost of the Operator are factored into the cost of this route almost covered by the grant.

Cyndy Stiglich, Interim Chief Financial Officer, responded that this grant is only used for the cost of the Operators’ salary and fringe benefits. She added that it does take into consideration the fully allocated cost of the route.

Committee member Kemp asked for a confirmation that HART resources will be used for the cost of fuel and maintenance required because of the extensive miles on this route. She commented that this route appears to be FDOT dictated and makes no sense for HART to taking this route on. Committee member Kemp stressed that HART is the most underfunded transit agencies in the nation and should not be using resources for these kinds of routes.

Committee member Overman stated that she is supportive of service to MacDill Air Force Base, but understands Committee member Kemp’s position of why HART is solely operating the service. She voiced her concern that the grant only covers the costs of the Operators, not the maintenance. Committee member Overman inquired about stops along the alignment of the route.

Mr. Cochran clarified that this route travels from the Target on County Line Road in Lutz to Marion Transit Center to MacDill Air Force Base.

Committee member Overman asked what portion of the route has the highest ridership.

Mr. Cochran stated that he did not currently have that information, but he would transmit it at a later time.

Committee member Overman stressed that the Committee’s role is to properly deploy HART operational resources regardless of FDOT assistance. She inquired about a deadline for the grant as she would like to defer the item, if possible. Committee member Overman noted that clarity is need for negotiations with FDOT and better deployment of operational funds. She stated that she does not want to turn resources away, but she does want to ensure that the resources are used where it is most appropriate. Committee member Overman said that she believes there should be a partnership with Pasco County on this route.

Ms. Stiglich stated that the funds for these grants became available with the start of the State’s fiscal year, on July 1; so staff thought it prudent that to get these funds allocated for the budget. She explained that staff planned to have this item at the August committee meetings to be approved at the September Board meetings. Ms. Stiglich explained that there is no deadline, but the grant agreement does have to be executed in order for the Agency to bill against it. She further explained

Committee member Schisler stated his concern that the grant does not cover the fully allocated cost of the route and requested a full cost breakdown of the route at the Board meeting. He also stated that another concern of his is the population that the route is serving and asked to have that information at the Board meeting requesting final Board approval.

Ms. Stiglich explained that FDOT used to allow for the transit agencies to bill at the fully allocated costs, but recently changed so that only the Operator expenses can be billed now. She added that FDOT has been allowing the residual amount from this grant be used towards the funding for the route 275XL.

Committee member Schisler said he would like to know what percentage of the route expenses are covered by this grant.

Mr. Cochran noted that he will have the information at the Board meeting.

Committee member Mechanik amended his motion to refer the action item Authorize the Interim Chief Executive Officer to Execute a Public Transportation Grant Agreement (PTGA) between Hillsborough Transit Authority (HART) and the Florida Department of Transportation (FDOT) to Accept Transit Urban Corridor Funds to Assist with the Operating Cost of Route 20X – Pasco/Lutz Express in the Amount of $285,915 to the full HART Board of Directors at the Regular Board Meeting on September 14, 2020 without a recommendation for approval or disapproval, but rather for a staff presentation and Board discussion on the full cost to HART. Director Kemp seconded.

Committee member Mechanik noted that he would like to know for all future approval on grant items what the cost to HART is even if it is not in the form of a formal match is not needed. He continued that the Board needs to know about the circumstances and the costs. Committee member Mechanik pointed out that, with cuts coming in January of 2021, the Board has to be careful about making commitments that could impact the much needed and more worthwhile service.

Committee member Kemp commented that there was too little information presented to the committee in relation to this item and asked for ridership information. She inquired if route will go further into Pasco County, past Lutz.

Mr. Cochran clarified that the route will not change as the grant is tied to that alignment. He explained that the scope of the grant is tied to that alignment. He noted that the route is not currently operating because of the service modifications in place in relation to the COVID-19 pandemic.

Committee member asked for a confirmation that the bus serviced MacDill Air Force Base.

Mr. Cochran answered affirmatively adding that there were two trips in the morning and two trips in the afternoon.

She commented that this grant is not a benefit, but a cost that the Agency takes on at the expense of other routes in the service area.

Mr. Cochran stated that he will have the ridership information in the presentation. He further stated that all the of the ridership costs are included in the monthly Board meeting packets.

Committee member Kemp stated that she knows that staff has been requesting answers from FDOT for some time regarding this money and stated that it would be wise to get the Board involved if there still no answer next month.

Committee member Overman spoke of other transit options that are available for the MacDill Air Force Base employees and stated that she would like to know exactly how many patrons disembark at MacDill Air Force Base as opposed to the other stops along the way.

Committee member Kemp moved and Committee member Overman seconded a motion to forward the action item Authorize the Interim Chief Executive Officer to Award a Contract for a Transit Unit Digital Security Camera and Audio System to IVS, Inc. dba Angel Trax for a Total Not-to-Exceed Amount of $1,990,601.04 to the full HART Board of Directors at the Regular Board Meeting on September 14, 2020.

Committee member Overman inquired if this camera and audio system upgrade integrates with the other upgraded systems that HART currently has or will it be separate.

Mr. Mulloy explained that this would replace the current system in place. He added that this will be the system for the fleet while the facilities use a Cisco-based system.

Committee member Overman asked why there could not be one system used for both facilities and fleet.

Mr. Mulloy noted that the system for the fleet is specialized for that usage which differs from that needed at the facilities.

A RESOLUTION APPROVING THE HART PUBLIC TRANSPORTATION AGENCY SAFETY PLAN (PTASP) AND CERTIFICATION TO FEDERAL TRANSIT ADMINISTRATION (FTA)

WHEREAS, Congress requires operators of public transportation systems that receive funds from the Federal Transit Administration to develop and implement a Public Transportation Agency Safety Plan (49 U.S.C. § 5329(d)); and WHEREAS, PTASP implements a Safety Management System and documents SMS processes in HART Safety Plan; and

WHEREAS, staff has developed the PTASP in accordance with FTA standards; and

WHEREAS, FTA delayed the initial compliance date of July 20, 2020 to December 31, 2020 due to COVID-19;

NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE HILLSBOROUGH TRANSIT AUTHORITY THAT:

Section 1. HART Public Transportation Agency Safety Plan (PTASP) and certification to Federal Transit Administration (FTA) is hereby approved.

Section 2. Proper officers of HART are authorized to do all things necessary and required in order to submit the PTASP and certification to FTA by December 31, 2020.

Section 3. This Resolution shall take effect immediately upon its adoption.

2020 Compressed Natural Gas (CNG) & Battery Electric Bus (BEB) Purchase

HART’s Maintenance team continuously services, maintains and repairs more than 300 fleet vehicles for fixed route and paratransit services. Currently there are 79 diesel-powered transit buses that have exceeded their useful life. The replacements are necessary to support a safe and reliable fleet, including the HART on-going commitment to alternative fuels and a more positive emissions impact on the environment. OVERVIEW Currentl,y there are 79 diesel-powered transit buses that have exceeded their useful life. The replacements are necessary to support a safe and reliable fleet, including the HART on-going commitment to alternative fuels and a more positive emissions impact on the environment. The Jacksonville Transportation Authority (JTA) conducted a procurement to purchase buses for a consortium of transit agencies in Florida, including HART, in accordance with public procurement policies and procedures.

RECOMMENDATION That the Operations and Safety Committee review the action item authorizing the Interim Chief Executive Officer to purchase up to sixteen forty-foot CNG powered heavy-duty transit buses from Gillig LLC, in a not-to exceed Amount of $9,413,485; and advance this item to the full HART Board of Directors at the regular Board Meeting on November 2, 2020.

FINANCIAL IMPACT The contract will be funded with the FY19 Discretionary Grant ($4.3M), FY21 Surface Transportation Block Grant ($4M), HART 15% Match ($750,824) with FTA Reinvestment (Bus 1708 $354,661) revenues to be appropriated in the FY21 HART capital budget. All prices were determined fair and reasonable and a contract was awarded by JTA on May 24, 2019, to Gillig LLC.

BACKGROUND In order to support HART operations, 16 forty-foot CNG powered heavy-duty transit buses are required to replace vehicles that have outlived their useful life of 12 years or 500k miles. PROCUREMENT CONSIDERATIONS In July 2018, (JTA) issued a Request for Proposal procurement as a State of Florida Purchasing Schedule for Heavy-Duty Transit Buses. The solicitation was issued in accordance with public procurement policies and procedures. It included all federally required clauses. On September 12, 2018, three proposals were received and technical evaluation was completed by an evaluation committee comprised of seven Florida transit maintenance professionals. The committee was made up of two non-voting members and five voting members. Negotiations were conducted by the lead agency and a price analysis was completed making determination of the price to be fair. On May 24, 2019, JTA awarded a contract to Gillig LLC. The contract term is two years with three one-year options to renew.

The battery electric buses are necessary to evaluate, monitor and collect data for a future successful deployment of low and zero emission vehicles.

RECOMMENDATION That the Operations and Safety Committee review the action item authorizing the Interim Chief Executive Officer to purchase up to four (4) forty-foot Proterra battery electric buses (BEB), including charging equipment and requisite charging infrastructure, in a not-to exceed Amount of $5,485,350; and advance this item to the full HART Board of Directors at the November 2, 2020 regular Board of Directors Meeting.

FINANCIAL IMPACT In April 2020 HART applied for a discretionary FTA Bus and Bus Facilities Program grant (Section 5339b) for electric buses, and was awarded $2,742,675 in August 2020. The award amount requires a $2,742,675 local match, which will be equally shared between HART and Tampa Electric (TECO), for a total project cost of $5,485,350. HART’s portion of the match will be funded with ad valorem revenue, as appropriated in the adopted FY21 HART capital budget.

BACKGROUND In order to support HART’s future commitment to low or zero emissions vehicles, Four (4) forty- foot battery electric powered heavy-duty transit buses are required to evaluate, research and collect data to confirm a successful future deployment of low an Zero emmisions vehicles. The buses have a lead-time of 14-16 months with tentative delivery dates starting in April/May of 2022.

PROCUREMENT CONSIDERATIONS The Virginia Department of General Services awarded a State Contract (Contract E194-81688) with Proterra Electric buses from July 1, 2019 through June 30, 2021. The Code of Virginia authorizes the use of this contract by state agencies, public institutions of higher education, and other public bodies per § 2.2-1110. After the passage of the FAST Act in 2015, transit agencies are able to use state purchasing schedules located outside of the state they are located in: Meets all requirements of the FAST Act & FTA Circular 4220.1F and allows FTA-funded transit agencies (and other public entities) to purchase electric buses from Proterra without a separate competitive solicitation.

OVERVIEW Two bus stops at Orient Road adjacent to the Florida State Fairgrounds and two complimentary landing pads at Orient Road and Cayuga Street require substantial work to bring them up to standard. This project is critical for HART services and county support to the Fairgrounds.

RECOMMENDATION That the Operations and Safety Committee review the action item authorizing the Interim Chief Executive Officer to award a contract for construction services to D-Mar General Contracting for the construction of two bus bays with shelter pads and two landing pads at Orient Road adjacent to the Florida State Fairgrounds and Orient Road at Cayuga Street in the amount of $123,711.16, plus a contingency of $12,371.12, for a total not-to-exceed amount of $136,082.28; and advance this item to the full HART Board of Directors at the Regular Board Meeting on November 2, 2020.

FINANCIAL IMPACT Funding for this contract is provided by Hillsborough County Zone 04 Impact Fees and Federal Grants currently appropriated in the FY2020 HART Capital budget.

BACKGROUND Currently, HART has bus stops located on Orient road adjacent to the Florida State Fairgrounds. These bus stops are a vital part of HART, providing services to all the significant events that take place at the Fairgrounds. The current condition of the bus stops requires substantial work to bring them up to standard. The priority of this project required it to be listed as one of HART’s top request for Hillsborough County impact fees for Zone 4. HART has also received several See- Click-Fix requests to fix the stops on Orient road at Cayuga street up to the ADA standard. Since these four stops are so close in proximity, it is more cost-effective to have all four stops done simultaneously. To rectify these issues, the HART Project Management Office seeks to construct two complimentary bus bays with shelter pads at Orient road adjacent to the Florida State Fairgrounds and two complimentary landing pads at Orient road and Cayuga street.

PROCUREMENT CONSIDERATIONS IFB-41968 was issued for the construction of two (2) complimentary bus bays with shelter pads at Orient road adjacent to the Florida State Fairgrounds and two (2) complimentary landing pads at Orient road and Cayuga street. The solicitation notice was posted to HART’s website and DemandStar and published on Bonfire on July 29, 2020. Thirty-one contractors downloaded the

81 Hillsborough Transit Authority Operations and Safety Committee Virtual Meeting October 19, 2020 solicitation. Five firms, D-Mar General Contracting, Flores Construction, Gillam Construction, RL Burns and Right of Way Contracting, submitted bids on August 20, 2020.

HART’s consultant, Ayres Associates, reviewed the bids submitted. The bid submitted by D-Mar General Contracting was determined to be fair and reasonable in accordance with local market values and current industry pricing. D-Mar has been determined to have submitted a bid acceptable and advantageous to HART, cost and all other factors considered, and has the capacity to perform all of the requirements of the project scope and contract terms.

A RESOLUTION AUTHORIZING THE INTERIM CHIEF EXECUTIVE OFFICER TO AWARD A CONTRACT FOR CONSTRUCTION SERVICES TO D-MAR GENERAL CONTRACTING FOR THE CONSTRUCTION OF TWO BUS BAYS WITH SHELTER PADS AND TWO LANDING PADS AT ORIENT ROAD ADJACENT TO THE FLORIDA STATE FAIRGROUNDS AND ORIENT ROAD AT CAYUGA STREET IN THE AMOUNT OF $123,711.16

WHEREAS, Hillsborough Transit Authority (HART) has a need for construction services for the two bus bays and the two landing pads; and

WHEREAS, HART issued an Invitation for Bid IFB-41968 in compliance with HART’s procurement policies; and

WHEREAS, bids were received and evaluated in accordance with HART’s procurement policies and State of Florida Statutes; and

WHEREAS, D-Mar General Contracting was determined to have the capacity to perform the work, and the price they offered was determined to be fair and reasonable; and

WHEREAS, funding for this contract is available through Impact Fees and Federal grants;

NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE HILLSBOROUGH TRANSIT AUTHORITY THAT: Section 1. The Interim Chief Executive Officer is authorized to award a contract for construction services to D-Mar General Contracting for the construction of two bus bays with shelter pads and two landing pads at Orient Road adjacent to the Florida State Fairgrounds and Orient Road at Cayuga Street in the amount of $123,711.16.

Section 2. Proper officers of HART are authorized to do all things necessary and required in order to implement the terms of the aforementioned contract.

Section 3. This resolution shall take effect immediately upon its adoption.

COMMITTEE ACTION ITEM Approval of the Fourth Extension of the Memorandum of Understanding between Hillsborough Transit Authority (HART) and Pinellas Suncoast Transit Authority (PSTA) for Collaboration Opportunities

OVERVIEW This item extends the MOU for partnership opportunities between the agencies, allowing for annual automatic renewals of the agreement.

RECOMMENDATION That the Operations and Safety Committee review the action item approving the fourth extension of the Memorandum of Understanding between Hillsborough Transit Authority (HART) and Pinellas Suncoast Transit Authority (PSTA) for Collaboration Opportunities; and advance this item to the full HART Board of Directors at the November 2, 2020 regular Board of Directors meeting.

FINANCIAL IMPACT There is no financial impact.

BACKGROUND On October 31, 2016, HART and the PSTA Executive Committees met and agreed to enter into a Memorandum of Understanding (MOU), an inter-agency agreement to memorialize HART and PSTA commitment to continuous coordination between the agencies to eliminate redundancies by integrating certain operational areas.

The MOU went into effect on February 6, 2017, through December 31, 2017. For this MOU to be extended, it must be re-approved annually by each governing body, subsequent to a submittal by respective staff summarizing the actions taken in furtherance if this MOU on or before December 1 of each year so considered, unless terminated sooner pursuant to its terms, or extended by mutual written agreement of the parties.

The first extension to the MOU was approved by the Resolution #R2018-01-01, for the term of one year, through December 31, 2018. In February of 2019, both Agencies approved the second and current extension of the MOU that expires on December 31, 2019. The third extension of the MOU was approved by the PSTA Board of Directors on January 29, 2020.

Throughout 2019, HART and PSTA staff HART jointly participated in technical steering and advisory committees for the Regional Premium Transit Study, which is now completed and managed by TBARTA.

In 2020, HART and PSTA staff continued to collaborate on the promotion and marketing for the regional fare collection project (Flamingo); as well as various HR-related programs.

HART and PSTA staff recommend renewal of the MOU, with the only change from the third extension adding a clause making the MOU “evergreen”, i.e. with annual automatic renewals unless either party decides to cancel it.

WHEREAS, both HART and PSTA agree to commit to continuous coordination between the agencies to eliminate redundancies by integrating certain operational areas; and WHEREAS, HART and PSTA will research areas for further collaboration; and

MEMORANDUM OF UNDERSTANDING BETWEEN HILLSBOROUGH TRANSIT AUTHORITY (HART) AND PINELLAS SUNCOAST TRANSIT AUTHORITY (PSTA) FOR COLLABORATION OPPORTUNITIES

This Memorandum of Understanding (MOU) made and entered into this day of

, 2020, by and between the Hillsborough Transit Authority, (HART), a regional transit authority under the laws of the State of Florida, and the Pinellas Suncoast Transit Authority

(PSTA), an independent special district of the State of Florida, created by Chapter 2002-341, Laws of Florida, as amended.

W I T N E S S E T H:

WHEREAS, HART and PSTA are actively engaged in improving the mass transit systems servicing their transit areas; and

WHEREAS, HART and PSTA are transit leaders within their transit areas and are committed to facilitating regional connectivity; and

WHEREAS, collaboration between HART and PSTA increases efficiency across the region and fosters regional connectivity benefiting transit riders throughout Hillsborough and

Pinellas counties; and

WHEREAS, HART and PSTA are currently collaborating on various joint contracts and projects;

the agencies to eliminate redundancies by integrating certain operational areas.

NOW, THEREFORE, in consideration of such further collaboration set forth herein, the parties hereby memorialize the following understandings:

Section 1. The above recitals are true and correct and are incorporated herein by

reference.

Section 2. HART and PSTA will continue to work together collaboratively on the existing joint contracts and projects recited above pursuant and subject to the terms contained therein. HART and PSTA will endeavor to continue to increase the connectivity and cooperation between the two agencies in furtherance of the goals of the communities and larger region served.

Section 3. HART and PSTA will research areas for further collaboration including:

Bus Maintenance, Purchasing, Paratransit Contracting, Innovative Mobility Solutions,

P l a n n i n g , M a r k e t i n g a n d C o m m u n i c a t i o n s , Human Resources, Information

Technology (IT), Government Relations, Fare Payment Systems, and Service Usage and

Information from a Customer Perspective.

Section 3a. HART and PSTA will continue to endeavor to develop a strategic coordination plan related to customer-focused service data integration, specifically a regional smartphone app that delivers one platform for mobile fare payment, ticketing, trip planning, and real time passenger information in Hillsborough and Pinellas counties.

Section 3b. HART and PSTA will continue to endeavor to identify functional areas for possible functional combination during the term of this MOU.

Section 3c. HART and PSTA intend to focus their efforts on improved regional cooperation and

88 efficiency in order to provide cost-effective, high-quality regional transit services.

Section 3d. HART and PSTA will continue to endeavor to jointly participate in regional

initiatives and studies.

Section 4. This MOU shall be effective on the first day and year written above and shall continue in full force and effect unless terminated sooner pursuant to its terms., Either party may terminate this MOU without cause upon thirty (30) days’ written notice to the other party. Upon termination or expiration, this MOU shall be of no further force or effect.

Section 5. Nothing in this document constitutes HART’s approval authorizing a merger or consolidation with PSTA or a regional tax measure.
