We truly believe in the oldest form of - “Dhrupad”. In the present times, “Dhrupad” Music needs to be preserved and extensively propagated and researched upon. Keeping these objectives in mind, this trust is being constituted to conserve this ancient leading form of music and make it popular among the masses to keep this cultural heritage alive.

“History of Dhrupad”

“Dhrupad” is the oldest form of ancient Indian Classical Music which is still alive in its aboriginal form. In the sixteenth century, it was in its golden period during the reign of Raja Man Singh Tomar, the king of . Legendary musicians of our country like “Baiju Baavra” and “” were “Dhrupad” singers. Since the independence of our country, Dhrupad Musicians lost their patronage and with that, this demanding form of music started losing large numbers of its scholars and musicologists.

For the establishment of this trust Umakant and Ramakant Gundecha have put forth their self- acquired amount, a sum of Rs. 11,000/- from their firm “Gundecha Bandhu”.

Our family, friends, supporters, fond listeners of “Dhrupad” and generous citizens have assured pecuniary contributions and have lifted our spirits.

For the fulfilment of our objectives and to give it a definite form, the prevalent rules and enacted laws of the state necessitates to reduce it in writing. Therefore, by this deed, we hereby declare that, we shall now adopt the aforementioned property of the sum of Rs. 11,000/- (Eleven thousand rupees only), in the form of the “Trust”.

Constitution of the trust is as follows:

1. Name: The name of this trust shall be “Dhrupad Sansthan, Bhopal”.

2. Area of operations: The area of operations of this trust shall be the whole world.

3. Office: 3.1 The main office (headquarter) of the trust shall be at the following address: ‘Sundaram’ 15, Professors’ Colony, Bhopal – 462002 (), India

3.2 In future the trustees may change the main office and as per the need, establish additional sub-headquarter.

4. Objectives: 4.1 Making the public at large aware of “Dhrupad” Music and preserve and popularise it.

4.2 Researching on practical and theoretical aspects of “Dhrupad” and constructing and operating an institute based on “-Shishya tradition” for imparting higher-quality education of “Dhrupad”.

4.3 Establishing an audio-video and literature museum on “Dhrupad”.

4.4 Providing scholarship to students for learning “Dhrupad”.

4.5 Organising concerts, seminars and workshops on “Dhrupad”.

4.6 Using various means of mass communication for the creation of audio-visual content related to “Dhrupad” and publication of literature related to “Dhrupad”.

4.7 Working towards the teaching, preserving and promoting other art forms related to “Dhrupad”, like , Veena, Pakhawaj etc.

4.8 Cooperating with other organisations with similar objectives.

4.9 Felicitating and financially supporting artists.

5. Assets and Income:

5.1 Trust Fund The initial trust fund is the sum of Eleven Thousand Rupees, put forward by Umakant Ramakant Gundecha.

5.2 Trust fund/assets shall increase from time to time monetary contributions by the trustees and their family, friends, associates, Dhrupad connoisseurs and organisations.

5.3 Interest or other incomes from the disinvestment of trust properties.

5.4 Donations or savings from the fulfilment of any or more objectives of this trust or from special events.

6. Trustees of the trust:

6.1 At the time of this declaration, Umakant Gundecha, Ramakant Gundecha, Chandmal Gundecha, Akhilesh Gundecha and Suryanarayan Sharma are the trustees and it shall be called the “Board of Trustees”. To achieve the objectives of this trust, the Board of Trustees may increase the number of trustees from ‘five’, but it shall not be more than “11” {Eleven}.

6.2 At present there shall be five trustees in the trust and they shall appoint, from among themselves the following office bearers to carry out the ordinary course of business of the trust – one Chairperson, one Secretary and one Treasurer, which are as follows:

Chairperson: Mr. Chandmal Gundecha (Lifetime) Secretary: Mr. Ramakant Gundecha (Lifetime) Treasurer: Mr. Akhilesh Gundecha (Lifetime)

6.3 The trustees shall work with complete dedication and devotion without receiving any animate or inanimate personal benefits. However, if the trust utilises professional services from any of the trustee, he/she may be entitled to adequate honorarium for that work. The trust may reimburse the trustees for any expenses that they have incurred in favour or on behalf of the trust.

7. Appointments to the vacant posts of trustees –

7.1 The post of a trustee shall be vacated upon his death, or submission of his resignation or on unaccounted absence from three consecutive meetings. However, the office of the chairperson shall be vacated only upon his death or submission of his resignation.

7.2 The office of the Chairperson, if so vacated, the trustees shall with majority, appoint any person from the Gundecha family as the new chairperson.

7.3 If the post of any trustee falls vacant, the new appointment shall also be made with the majority of the other trustees.

7.4 The decision to increase the existing number of trustees shall be made with the majority of the trustees.

8. Operations of the Trust –

8.1 Quorum: The quorum of the Board of Trustees shall be of ‘three’ trustees and if the number of trustees is increased, consequently the quorum shall be half of the number of the Board of trustees.

8.2 Decisions: All the decisions taken in the meetings shall, to the best of possible, be unanimous or otherwise by majority.

8.3 In the event of a deadlock, the chairperson shall have the right to cast decisive vote.

8.4 The trustees shall meet mandatorily at least three times in a year and the secretary may call meeting, as per the needs.

8.5 The trust may constitute committees or sub-committees for any special purpose which may consists of the other persons in addition to the trustees.

9. Rights and Duties of the trustees:

9.1 Chairperson: To preside over the meetings of the Board of Trustees. In the event of a deadlock, to cast his decisive vote. To sanction the expenditures of the trust and to operate the bank account of the trust with the secretary and the treasurer.

9.2 Secretary: The secretary shall be the manager and the chief executive of the trust. With the permission of the chairperson, to appoint the employees of the trust, discipline them and ensure their performance. 9.2.1 Abide by the Trust Act and rules and regulations made thereunder. 9.2.2 To call the trust meetings, and documenting the minutes of the meetings. Obtain the signature of the trustees. Operate the trust and ensure the execution of the works undertaken by the trust as per the decisions taken in the Board meetings. With the permission of the Chairperson, incur expenditures, as per the decision of the Board of Trustees. On behalf of the trust, by his signature, to make correspondence with the government offices and other personnel, Operate the bank account of the trust. Carry out the trust activities and to do other essential works, in the ordinary course of business of the trust.

9.3 Treasurer: To maintain the Books of Accounts of the trust. With the permission of the Chairperson and the Secretary, spend the approved budget. Operate the bank account with the Chairperson and the Secretary. After the end of the financial year, within 03 months, to get the Books of Accounts of the trust be audited and present in the meeting of the Board of Trustees.

9.4 Trustee: It shall be the duty of every trustee to give their support in achievement of the objectives of the trust and to give their guidance while attending the meetings of the Board of Trustees.

9.5 The Board of Trustees may delegate any special work to any trustee and may take any other decisions for the trust.

9.6 The Board of Trustees, in its meeting, may invite a special person, but such invitee shall not have any right to vote.

10. Financial Year and Bank account: 10.1 The Financial year of the trust shall begin from the 1st day of the month of April of every calendar year and end on the 31st day of the month of March of the following calendar year. 10.2 The bank account of the trust shall be kept in any nationalised bank or cooperative bank which is recognised by the Reserve Bank of India 10.3 The Chairperson, the Secretary and the Treasurer shall be the signatories for operation of the Bank Account of the trust. Minimum of two signatories shall be mandatory for the operation of the bank account of the trust.

11. Rule Sub-rule: 11.1 The trust, to achieve its objectives, if so required, may make the necessary amendments to the rules and regulations of the trust.
