INTENT The intent of this bid is to establish a contract for the furnishing and delivery of office papers and envelopes to the schools and offices of the Washington County Public Schools (WCPS). Orders will be placed on an “as needed” basis throughout the contract period. Delivery shall be made to the schools and offices within three (3) business days after receipt of the purchase order.

AUTHORITY The Board of Education of Washington County (“WCBOE”) is the legal entity and governing authority that will award any resulting contract.

The official response to any requests for information or questions about this solicitation will be made by issuance of written addenda to this bid solicitation.

PROCUREMENT SCHEDULE A pre-bid meeting will be held at 10:00 AM, Thursday, February 5, 2015, at the WCPS Center for Education Services, 10435 Downsville Pike, Hagerstown, Maryland 21740. Plan to attend this important meeting for a discussion of the paper specifications, delivery logistics, site conditions, etc. Attendance at this meeting is encouraged but not required.

The deadline for submitting written questions about this bid to the Supervisor of Purchasing is 4:30 PM Monday, February 9, 2015.

Bids are due by 2:00 PM, Thursday, February 19, 2015. Bids must be submitted in a sealed envelope, marked to the attention of the Supervisor of Purchasing, at the Center for Education Services prior to 2:00 PM February 19, 2015 in order to be considered.

The Bid is tentatively planned for award by Washington County Board of Education in its public business meeting March 3, 2015. Orders will be placed as needed for the effective period starting April 1, 2015.

INCURRING COSTS WCPS is not responsible for any expenses incurred by a Bidder or other party in the preparation or mailing of the bid or provision of samples. Such expenses are borne exclusively by the Bidder or other party.

USE OF ELECTRONIC VERSIONS OF THIS DOCUMENT This IFB (Invitation for Bids) solicitation document is made available by electronic means to any /all prospective bidders. If a Bidder electronically obtains the document, the Bidder acknowledges and accepts full responsibility to insure that no changes are made to the

document. In the event of a conflict between a version of the IFB document in the Bidder’s possession and the Purchasing Office’s version of the IFB, the Purchasing Office’s version shall govern.

ADDENDA The official response to any request for information not addressed in this IFB solicitation document, or for any interpretation or clarification of information within the document, will be made by addenda posted to the WCPS Purchasing website: www.wcpspurchasing.com. All bidders are required to acknowledge receipt of each and every addendum.

QUALIFICATIONS Companies who wish to submit a bid must be a registered vendor on the WCPS Purchasing web site (www.wcpspurchasing.com). Notifications about this bid will be publicly posted to the WCPS Purchasing web site and will not be mailed or emailed directly to any company.

Washington County Public Schools may make such reasonable investigations as deemed proper and necessary to determine the ability of a bidder to furnish the products and services requested herein. The bidder shall furnish to WCPS any data and information requested to assist WCPS in determining the bidder's ability to perform under this bid. WCPS retains the right to inspect the bidder’s facilities prior the award. WCPS may reject a bid if the evidence submitted by, or investigation of such bidder fails to satisfy WCPS that such bidder is sufficiently qualified to carry out the obligations of the contract and to furnish the items contemplated herein.

DELIVERY ADDRESSES Enclosed is a listing of schools and addresses. Items in this bid will be ordered by individual schools and offices as needs arise throughout the contract period. Individual offices of the CES administration building will order directly with a single “ship-to location” in this bid. (Distribution within the CES will be handled by WCPS staff.) Pricing shall include the cost of inside delivery of every order to each of the schools and the CES building.

WCPS purchases most of the colored bond and cover papers for the Print Shop located on the ground floor of the CES.

DELIVERY CONDITIONS Delivery shall be freight pre-paid, inside the building and set-in-place to the specific location as directed by the building facility manager. Delivery shall be made between 9:00 AM – 3:00 PM, local time, Monday through Friday, except holidays and scheduled closings. (In the recent past, WCPS has been closed on Fridays during the summer break.) Delivery must be accomplished by supplier truck or van and shall not be made as a routine practice by a third party carrier such as UPS, Federal Express or USPS.

Delivery of items in this bid is required to be accomplished within three (3) days after receipt of the purchase order.

Bidders should assume order quantities of not less than a single full case of paper or box of envelopes will be purchased.

Each shipment shall include a packing list containing the following information: Name and Address of Company; Name and Address of “Ship-to” Location (from Purchase Order); Purchase Order Number; Items Shipped, and Items Backordered (if any.)

SAMPLES Do not submit samples of products at this time. After the bids are tabulated, the Supervisor of Purchasing or her designee will request by telephone or email message to individual bidders the request for samples for testing and further evaluation. Samples are required to be provided upon request at no cost to WCPS. As a cost saving measure, WCPS will request samples only as needed from the lowest and second lowest priced, responsive and responsible bidders. Samples must be delivered within two business days of any request. Samples will be required for no more than 2 reams of colored paper, 1 box of each size envelope, and 1 case of #1 multipurpose paper. Samples must be properly labeled with the bidder’s name, bid item number, manufacturer name and product number, and “Bid No. 2015-35 Sample.”

SUBMISSION OF BID PROPOSAL The following items shall be submitted as the bid submission: 1. Signed Proposal Form accurately filled out. 2. Manufacturer literature /specification 3. Bid Proposal Affidavit 4. Mandatory Contract Addendum A. The Bidder or their authorized representatives are expected to fully inform themselves as to the conditions, requirements, circumstances, prerequisites, qualifications and/or specifications before submitting their bids. A Bidder's failure to fully inform itself is at the Bidder's sole and complete risk of loss. The Bidder shall have no right to any damages, cost and/or any other remedy at law or equity against WCPS for any miscalculation, misunderstanding, error (either omissions or commissions), mistake, misinterpretation, and/or the failure by the Bidder to obtain an award of bid, award of contract and/or profits, fees or money from WCPS when the Bidder failed to fully inform itself. B. In the case of error in extension of prices in the bid, the unit price shall govern. C. The Proposal Form must indicate the ordering number and if different the corresponding manufacturer part number for reference. D. Bidder shall explicitly indicate in the Proposal Form each line item where the proposed packaging varies from the specified packaging of a product. Bidder is responsible to note a change in quantity and calculate extended prices according to the proposed packaging. A bidder who fails to note a packaging difference and extend the unit price based upon revised quantities is subject to rejection. E. Only slight differences (not more than 20% variance) in packaging will be considered. Variances of greater amounts should be brought to the attention of the Supervisor of Purchasing in advance of bidding as a question.

CONTRACT TERM This contract shall be effective from April 1, 2015 through March 31, 2016. The WCBOE retains the unilateral right and option to renew this contract for additional one-year periods for up to four (4) years for a total term not to exceed 5 years.

ESCALATOR CLAUSE Prices shall remain fixed and firm through June 30, 2015. Requests for price increase must be submitted at least thirty (30) days prior to the proposed effective date. Prices shall not increase more often than twice annually. Requests for price increase must be submitted in writing and include supportive documentation. Price increases shall not exceed the most current change in the cost of paper according to the Producers Pricing Index.

When a manufacturer announces a price reduction, the contracted supplier is required to notify and extend that rate of decrease to WCPS. Failure to administer this escalation clause in good faith is ground for cancellation of the contract.

SUBSTITUTIONS UNDER THE CONTRACT The brand and quality of products proposed and accepted by the WCBOE must be the exact products delivered during the contract term. No substitution of product will be allowed without first obtaining the authorization of the contract monitor or supervisor of purchasing.

The products and prices shall be subject to change only at the discretion of the WCPS. The contracted supplier shall notify the WCPS Supervisor of Purchasing in writing of any potential issues of concern regarding supply or service performance under the contract. If a product is discontinued by the manufacturer, WCPS will consider an alternate product from the contractor provided it meets the bid specifications. The product would only be accepted as a substitute under the contract after a thorough evaluation of its technical specifications and performance testing. Changes to the contract shall be made in writing and must be executed by authorized representatives of both parties.

COOPERATIVE BUYING WCPS retains the right to utilize another government agency or State’s contract for any office paper product in this bid. Purchases could be made on a one time occurrence basis or ongoing basis. If multiple purchases are contemplated, WCBOE would move to terminate the contract in advance.

MINIMUM ORDERS WCPS will order bond papers in not less than case cartons and envelopes by boxes.

“OR EQUAL” CLAUSE WCPS has specified certain products because they are currently in use in our schools with favorable experience. All bidders are required to submit detailed descriptive information or manufacturer specification data with the bid. Upon inquiry by WCPS, a Bidder may be required

to provide additional information to inform the evaluation. The determination of equivalency of alternate products will be made by the Supervisor of Purchasing whose decision will not be grounds for filing an objection to the bid.

SUBCONTRACTORS Proposed subcontractors are to be identified in writing on the Pricing Proposal Form. It is important to WCPS that the successful bidder selects subcontractors who can give firm commitments and are experienced in this type of contract. The contractor shall remain fully liable and is responsible for the work completed by any/all subcontractors. The bidder will endeavor at all times to ensure compliance with all contract requirements. Bidders may not substitute for a named subcontractor unless such substitution is approved in writing in advance by the Supervisor of Purchasing.

BONDS Bonds are not applicable to this project.

E-BID MARKETPLACE Public school systems in Maryland are required to publish notices of procurements and procurement awards on the State of Maryland’s “eBid Marketplace” web portal. All prospective offerors /bidders are required to register and maintain registration on eBid Marketplace if actively bidding public school projects. For registration requirements, visit www.ebidmarketplace.com to register and “join Maryland’s gateway” to bidding opportunities throughout the State. Awards can only be posted to registered companies. As such, award of this contract is contingent upon the Offeror being registered on Maryland’s eBid Marketplace.

DURATION OF OFFER Proposals shall be held as firm offers for a period of ninety (90) days from the date of submission allowing time to evaluate the bids.

AWARD Award of this contract is tentatively planned for the March 3, 2015 Board of Education meeting. The contract shall be awarded to the lowest responsive and responsible bidder(s), by item, group or collectively, complying with all of the provisions of the invitation, and provided the bid price(s) are reasonable and in the best interest of WCPS. Complete discretion is reserved by WCPS in determining completeness and/or timeliness of bids, advantages attributable to acceptance of higher prices, allowance of submission of additional data or information, and any other procedures determined by the WCPS to be in its best interest.

OBJECTION TO AWARD Any company objecting to the RFP procedure or the recommendation for award has five (5) business days following the date of award by the Board of Education to file a written protest with the Superintendent of Schools. It is the company’s responsibility to ascertain and confirm the date/time of the pertinent Board Meeting. The written appeal must be submitted on company letterhead, dated and signed by the senior officer in the company. The protest letter

must include a request for review and ruling by WCPS, a detailed statement of the legal and factual grounds for the protest, including the resulting prejudice to the company, copies of relevant documents, and a statement of the form of relief being requested. Failure to comply with these instructions may result in the protest being deemed “not filed.” Bid protests received later than five (5) days of the Board of Education Meeting will result in the protest being deemed “not timely.” The WCPS will not respond or address bid protests that do not conform to these instructions.

SUPPLIER'S RESPONSIBILITIES UNDER THE LAW The Board endorses the provisions of Public Law 100-690, Title V, Subtitle D (Drugs-Free Workplace Act of 1988) and Public Law 101-226 (The Drug-Free Schools and Communities Act of 1989) and regulations promulgated there under and establishes a drug-free and alcohol-free workplace and school system.

Maryland State Law (COMAR 13A.02.04) provides that each local school system is required to maintain a tobacco-free school environment.

The contractor shall advise the Washington County Public Schools (WCPS) of the intention to use any employees that are hired or obtained from any penal pre-release or work-release programs. In the event such employees are used, notification to WCPS shall include name and violation for each individual. The contractor shall take reasonable precautions when selecting such individuals and provide whatever safeguards are necessary for effective supervision.

Potential contractors/vendors of WCPS are advised that Maryland law now provides the following mandatory restrictions regarding registered sex offenders performing work or services on school system property:

"A person who enters into a contract with a county board of education or a nonpublic school may not knowingly employ an individual to work at a school if the individual is a registrant. A person who violates this section is guilty of a misdemeanor and on conviction is subject to imprisonment not exceeding 5 years, or a fine not exceeding $5,000, or both."

Persons or entities awarded contracts with WCPS are required to certify that no employee, subcontractor, subcontractor employee, or material supplier that is a registered sex offender, will be allowed to enter onto school system property at any time in the performance of the work or services for which the contract is awarded. Such certification is a condition precedent to any contract award, and failure to so certify will be grounds for not awarding a contract. It will be the responsibility of contractors to obtain similar certification from all sub-contractors and material suppliers performing work or services on school system property, and to monitor adherence to this requirement. In the event that WCPS determines that a registered sex

offender has entered upon school system property in the performance of work for a contractor/vendor, such will be grounds for termination of the contract.

Supplier shall comply with all federal, state, and local laws, statutes, ordinances, rules, and regulations applicable to the products and services to be rendered under this agreement. Supplier's violation of any of these laws, statutes, ordinances, rules, or regulations constitutes a breach of this agreement and entitles the WCPS to terminate this agreement immediately upon delivery of written notice of termination.

All Contractors shall conform to all OSHA/MOSHA standards and guidelines.

INSURANCE The Contractor must maintain throughout the life of this contract and pay for insurance to protect from claims under the Worker's Compensation Act and from claims for damage because of bodily injury to others (including employees of WCPS), death to others, damage to the property of others, and claims for damages arising during the performance of the contract whether caused by him or anyone directly or indirectly employed by him. The limits of liability insurance shall not be less than $500,000/$1,000,000 Bodily injury and $500,000 Property damage. The certificate of insurance shall be made in favor of "The Board of Education of Washington County, Hagerstown, Maryland 21740." The certificate of insurance must be provided to the Supervisor of Purchasing, Purchasing Office, WCPS, 10435 Downsville Pike, Hagerstown, Maryland 21740, within seven (7) business days after notice of award and before any deliveries are made under this contract.

WARRANTY Contractor warrants to WCPS that the products furnished and delivered under this contract will be as described, will conform to the requirements of this bid, be of specified quality and shall be free from all defects and faults of any kind. This warranty period shall begin from WCPS’ final acceptance of the product and extend beyond the stated product warranty should a longer period be available at no additional cost.

All deliveries shall be performed by qualified and competent personnel, in a proper and professional manner, without interruption to school/staff activities in the buildings.

HOLD HARMLESS The Contractor, during the life of the contract shall assume entire responsibility and liability for any and all damage or injury of any kind or nature whatsoever (including death resulting there from) to all persons, whether employees of the Contractor or otherwise, and for any and all damage to property caused by, resulting from, arising out of, or occurring in connection with the execution of the work provided for in this contract; and if any person shall make a claim for any damage or injury (including death resulting there from) as herein above described, whether such claim be based upon the Owner’s or the Contractor’s alleged, active or passive negligence or participation in the wrong or upon any alleged breach of any statutory duty or obligation on the part of the owner or the Contractor, the Contractor agrees to indemnify and save harmless

the WCPS, its agents, servants, and employees from and against any and all loss, expense, damage, or injury that the WCPS may sustain as a result of any such claim and the Contractor agrees to assume, on behalf of the WCPS the defense of any action at law or in equity which may be brought against them.

CONTRACT FORM If WCPS accepts a bid proposal and awards a contract, the bidder’s submission, addenda, and other documents associated with this bid solicitation/submission/award process will become part of the contract. Notification of the contract award will be made by letter after Board approval. Subsequently, the purchase order and agreed upon schedules or other submittals associated with this bid will become part of the contract as well.

This agreement may not be modified orally, and no modification or any claimed waiver of any of the provisions hereof shall be binding unless in writing and signed by the party against whom enforcement of such modification or waiver is sought.

This Agreement shall be construed by and governed under the laws of the State of Maryland.

Included in the bid solicitation document is a legally required “Mandatory Contract Addendum”, which is part of any resulting agreement and governs all work authorized under the official Purchase Order.

RIDER CLAUSE It is the intent of Washington County Public Schools to make this bid available to any and all governmental and educational agencies within the State of Maryland. This shall include public schools, private schools, parochial schools and/or state, community and private colleges within the State of Maryland. A copy of the contract pricing and the bid requirements incorporated in this contract will be supplied to the requesting agencies. Any resulting agreement would be governed by these same bid terms and conditions. Each participating agency would enter into its own agreement with the contractor and this contract shall be binding only upon the principals signing such an agreement.

CONTRACT ADMINISTRATION Mr. Robert Scotto, Supervisor of Print Shop, or his designee, will administer this contract for WCPS. Contact information will be provided to the selected vendor with notification of award of the contract.

CANCELLATION OF CONTRACT This agreement may be terminated for convenience by the Board, without any liability, upon sixty (60) days prior written notice to the Contractor, provided that Contractor shall be

compensated for products and services rendered prior to the date of termination. Contractor would not be entitled to any anticipatory profits.

ADDITIONAL PRODUCT PURCHASES WCPS may purchase paper products not listed in this bid, but in the same product family as items awarded under this bid, from the contracted supplier during the contract period. The Contracted supplier agrees to provide firm written quotes for these additional products at the same competitive rates as originally bid for the same product family. Both parties agree that all applicable provisions of this bid will apply to any/all additional product purchases.

EVALUATION CRITERIA Evaluation of the bid proposals will be based upon the following criteria: product meets or exceeds bid specification; pricing is competitive; product storage/delivery plan; references; ability to maintain consistent quality of product and stable distribution channel.

ESTIMATED QUANTITIES The quantities listed in the bid are estimates of anticipated future purchases under any resultant contract. The Contracted supplier is responsible for fulfilling all requirements as needed and ordered during the contract term. WCPS is not obligated to the purchase of any listed quantity or total expenditure under the resultant contract.

RECYCLED PRODUCTS WCPS supports and encourages the purchase and use of recycled products when economically feasible. Upon request, the bidder shall provide in writing the specific amount of recycled content of any paper product. Additionally, the Bidder of any non-recycled product shall upon request submit in writing a copy of the manufacturer’s resource conservation practices including green certification and all efforts to improve the production process.

In accordance with the EPA’s Comprehensive Procurement Guidelines, WCPS may express preference for “green” or environmentally friendly alternate products. All bidders are encouraged to submit pricing for alternate products which are environmentally superior in the production and disposal attributes than any product specified herein.

PAYMENT TERMS Item 1 Multipurpose Bond- Payment will be made within ten (10) days from the date of receipt of a proper invoice. All other items will be paid within thirty (30) days from the date of receipt of a proper invoice.

EXCEPTIONS By submitting a bid, the bidder is deemed to have accepted all the terms, conditions, and requirements set forth in this IFB and addenda unless an exception is noted in the proposal.

NON CONFLICT OF INTEREST

It is unlawful for any officer, employee or agent of the Washington County Public Schools to participate personally in his/her official capacity through decision, approval, disapproval, recommendation, advice or investigation in any contract or other matter in which he/she, his/her spouse, parent, minor child, brother or sister, has a financial interest, or to which any firm, corporation, association or other organization in which he/she has a financial interest, or in which he/she is serving as an officer, director, trustee, partner, or employee or agent has previously complied with the provision of Maryland Annotated Code, Article 40A, SS1-1010 et. Seq. The contract supplier agrees that during the term of this contract and for twenty-four months after it ends the successful bidder and its employees, agents, and representatives shall not, with or without compensation, take any action in connection or receive any benefit with any specific matter, finding or recommendation associated in any way with the contract except with the written consent of WCPS.

ASSIGNMENT This contract may not assign or transfer any interest or claim except as expressly authorized in writing by WCPS.

TECHNICAL SPECIFICATIONS Product specifications are incorporated in the Price Form of Proposal. In addition, be advised of the following technical details:

Truckload Purchases – Item #1, Multipurpose Bond Paper The Contracted supplier will be required to demonstrate its ability to maintain inventory/supply sufficient to meet a maximum 3-business day window from ordering to delivery. This paper will be ordered in full cartons and shall be shipped complete in a single shipment. Backorders are not acceptable. If required by the Contracted supplier, WCPS will order and pay for a full truckload of paper for supplier’s inventory in advance of the ordering and delivery by the schools and office. Under this arrangement, WCPS would pay for the full truck load based upon evidence of its receipt at the Contracted supplier’s storage facility. The Contracted supplier shall provide WCPS with periodic inventory reporting and annually at the end of the fiscal period in late June. This arrangement allowing for the purchase of multipurpose bond paper will be considered for Item #1 Multipurpose Bond Paper only and does not apply to other products in this bid.

All Paper Products Paper must be suitable for commercial production printers, high speed multifunction devices, high speed copiers, inkjet and laser jet printers, faxes, and scanners. Paper products must be acid free.

Paper shall lie flat before and after processing through all laser and inkjet printers, copiers, and fax machines, with either not tendency to curl or with a curl which can be overcome with reasonable working adjustments in the equipment.

All reams of paper shall be wrapped in a moisture resistant wrapping. A laminated wrapper, for moisture barrier, is preferred. Each individual ream must be labeled with brand, size, color, number of sheets, substance weight and grain. Also, if the manufacturer recommends a side to load on top, the wrapper should indicate by arrow which way the paper should be loaded into the copier/printer.
