Message of the Presidente of the Board of Directors

In 2017, The Mexican Center for Philantrophy proved, once more, its commitment with México by contributing to the reconstruction of social fabric after the earthquakes and floods, during the last months of the year, that affected people of numerous communities in several regions of the country.

Natural disasters mobilized a large part of the population throughout the country. Thousands of volunteers joined to support the most needy, and civil society-organized and spontaneous- showed its generosity by supporting others, becoming a reference of solidarity world wide.

During the emergency, the University Network for Disaster Prevention and Attention (Unired) was activated, whose Executive Secretariat is in the hands of Cemefi, providing volunteers, opening collection centers for food and all kinds of humanitarian aid, and making a bank account available to the public for cash donations. Aditionally, Cemefi opened another account with the same purpose and an online portal to disseminate the actions of civil society organizations and socially responsible companies, and link them with the needs of the moment.

Beyond the contingency, the association continued promoting philantrophy and corporate social responsibility, operating successfully its programs and events in order to link the different social actors that have a common interest: build a better country and raise the welfare state of its inhabitants. Regarding the relationship with the public sector, stands out the presence of senior Federal Government officials in the meetings of our Board of Directors to make synergies throughout the year.

As President of the Board of Directors, I thank all the members of our membership, partners and affiliates for their commitment with the institution, as well as those who are part of the Board of Directors and their work Committees who acompanied my management in 2017, especially to the members of the Executive Committee. I thank, as well Cemefi´s operative team, headed by its Executive President, Jorge Villalobos, for their daily work in our programs and projects.

I want to take advantage of this opportunity to invite all of you to join the greatest proyect of Cemefi in 2018, the construction of the House of Philantrophy and the Corporate Social Responsibility, a place were we all grow. In the historic moment we are living today, it becomes necessary to unite as a country and project that union as a strenght symbol. The House will be a sample of how different social actors join efforts to advance for the public good. Your contribution is more than a donation, it shows your commitment to build a future with a more solidary and prosperous society. We want you to leave your mark in the House of all.

Message of the Executive President

It is a pleasure to present the Annual Report 2017, with the results of the principal activities carried out by the association guided by its mission and the strategic planning.

This was a fruitful year in which we strenghten our ties with all the publics we serve. In a particular way, we tighten the ties with our Regional Allies, strategic actors, through which we promote the Accreditation in Institutionality and Transparency (AIT) and the SRE (Socially Responsible Enterprise) Distinctive, in several states of the country.

Together with the Business Coordinating Council of Irapuato, our Regional Allie in Irapuato, we carried out in March in that city the First International Forum of Socially Responsible SMEs. In this event, the SRE Distinctive was delivered to 727 micro, small and medium enterprises that operate in México and that joined the 830 large companies that received the award during the10 Latinamerican Reunion of Socially Responsible Companies, carried out in May in México City.

Another of the publics we consider strategic to promote philantrophy and social corporate responsibility is the university community. In February, we delivered for the first time, the Recognition of Best University Practices in the Promotion of Citizenship, in order to help and stimulate activities of this nature in higher education entities in our country to collaborate in the training of citizens committed to their environment and society.

We thank, as always, the participation of our members in the iniciatives we promoted throughout the year. Particularly in the moments in which the mexican society required unity and a prompt response of the philantropic sector, as it ocurred in September, when thousands of families were affected by natural disasters. With the support of socially responsable enterprises, foundations and affiliated organizations, Cemefi launched the Platform I want to Help, wich was an effective bridge to coordinate the humanitarian aid that society provided during the emergencies.

In 2017, work continued on preparation for the construction of the House of Philanthropy and Corporate Social Responsibility, having covered all the requirements so that construction could begin in the first days of 2018. The event merited a celebration with the attendance of around three hundred people who witnessed the beginning of the work in the field.

In December 2018, Cemefi will be acomplishing 30 years of service to the mexican society, thus from the second semester of the year we will promote actions to commemorate and celebrate this anniversary that will conclude with the inauguration of The House of Philanthropy and CSR, by the middle of 2019.

I want to express my gratitude to all the people who have trusted Cemefi and who have supported it with their time, talent, resources and relationships, to carry out the programs undertaken throughout its 30 years of history, as they have made possible the growth of the culture of philanthropy and social responsibility in México and the permanence of the association.

Many thanks to the foundations and associations, companies and individuals that make up Cemefi´s membership, and especially to those who voluntarily serve the association such as the government bodies and their committees. Thank you. Let us celebrate this anniversary together to gain momentum and continue to serve our country through an organized civil society.

Independent Auditors’ Report to the Assembly of Associates of the Centro Mexicano para la Filantropía, A. C.

Opinion

We have audited the accompanying financial statements of Centro Mexicano para la Filantropía, A. C. (the “Association”), which comprise the statements of financial position as of December 31, 2017 and 2016, and the statements of comprehensive income, statements of changes in equity and statements of cash flows for the years then ended, and notes to the financial statements, including a summary of significant accounting policies.

In our opinion, the financial statements present fairly, in all material respects, the financial position of the Association, as of December 31, 2017 and 2016, and its financial performance and its cash flows for the years then ended in accordance with Mexican Financial Reporting Standards (MFRS), issued by the Accounting Standards Board.

Basis for Opinion

We conducted our audits in accordance with International Standards on Auditing (ISAs). Our responsibilities under those standards are further described in the Auditors’ Responsibilities for the Audit of Financial Statements section of our report. We are independent of the Entity in accordance with the International Ethics Standards Board for Accountants’ Code of Ethics for professional Accountants (IESBA Code) and with the Ethics Code issued by the Mexican Institute of Public Accountants (IMCP Code), and we have fulfilled our other ethical responsibilities in accordance with the IESBA Code and IMCP Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Other matter

The accompanying financial statements have been translated into English for the convenience of readers.

Responsibilities of Management and Those Charged with Governance for the Financial Statements

Management is responsible for the preparation and fair presentation of the accompanying financial statements in accordance with MFRS, and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, management is responsible for assessing the Association’s ability to continue as a going concern, disclosing, as applicable, matters, related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Association or to cease operations, or has no realistic alternative but to do so.

Those charged with governance are responsible for overseeing the Association’s financial reporting process.

Auditors’ Responsibilities for the Audit of the Financial Statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs will always detect a material misstatement when it exists.

Annual Report 2017 18 Centro Mexicano para la Filantropía

Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

As part of an audit in accordance with ISAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

• Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Association’s internal control.

• Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.

• Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Association’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditors’ report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditors´ report. However, future events or conditions may cause the Association to cease to continue as a going concern.

• Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

(the “Association”) is dedicated to the development of philanthropic activities and all types of activities that aim to provide assistance to communities and persons, as well as to promote the financing, material and moral assistance to organizations with philanthropic objectives.

The services rendered by the Association include the support to donors, both in terms of consultation and the receipt of donations and their subsequent channeling to the cause or institution determined by the respective donor. When the donation is not immediately applied, a special account is opened where the donation is deposited and reported as deferred revenue until it is delivered to its final destination.

2. Important event In 2015 the Association formed a Construction Committee responsible for monitoring the project to build the new headquarters of the Association. The objective of this project is to have a privileged meeting place for individuals, associations and companies interested in promoting philanthropy, volunteerism and social responsibility; to strengthen the civil society and its efforts to achieve better conditions for Mexican people. Following the recommendation of the Construction Committee, in the second half of 2016, four architectural firms were convened, to develop proposals of the architectural project for this new building. At the year-end, the architectural project carries a 90% progress.

The construction will take place with an estimated investment of $50 million pesos. The resources to start the project come from the endowment fund of the association, and the entire investment will come from a campaign donation. As of December 31, 2017 the Association had all the construction permissions.

3. Basis of presentation

Explanation for translation into English - The accompanying financial statements have been translated from Spanish into English for use outside of Mexico. These financial statements are presented on the basis of Mexican Financial Reporting Standards (“MFRS”), which are comprised of accounting standards that are individually referred to as Normas de Información Financiera, or “NIFs”). Certain accounting practices applied by the Association that conform with MFRS may not conform with accounting principles generally accepted in the country of use.

Cumulative inflation rates over the three-year periods ended December 31, 2017 and 2016 were 9.87% and 10.52%, in each period. Accordingly, the economic environment is not inflationary in either such period and no inflationary effects were recognized in the accompanying financial statements. Inflation rates for the years ended December 31, 2017 and 2016 were 6.67% and 3.36%, respectively.

Annual Report 2017 23 Centro Mexicano para la Filantropía

a. Accounting changes As of January 1, 2017, the Association adopted the following improvements to NIF 2017:

NIF D-3, Employee benefits Improvements to NIF 2017

NIF D-3, Employee benefits - Is modified to establish, as a basic principle, that the discount rate to be used in the determination of the present value of the long-term labor liability should be a free market rate with a very low credit risk, which represents the value of money over time.

At the date of issuance of these financial statements, the adoption of these improvements did not have a material effect on the Association’s financial information.

b. Recognition of the effects of inflation - Beginning on January 1, 2008, the Entity discontinued recognition of the effects of inflation in its financial statements. However, non-monetary assets and liabilities and stockholders’ equity include the restatement effects recognized through December 31, 2007.

c. Cash and cash equivalents - Cash and cash equivalents consist mainly of bank deposits in checking accounts and short-term investments, highly liquid and easily convertible into cash, which are subject to immaterial value change risks. Cash is stated at nominal value and cash equivalents are valued at fair value; any fluctuations in value are recognized in comprehensive financing income of the period. Cash equivalents consist primarily of investments in mutual funds.

d. Investments in securities - From the time of their acquisition, investments in securities, both debt and equity, are classified based on the intention of the Association into one of the following categories:

(1) trading, when they are debt or equity instruments, and the Association intends to trade them in the short term before their maturity; these investments are valued at fair value and the fluctuations in valuation are recognized in results of the period; (2) held to maturity, when the Association has the intention and financial capacity to hold them throughout their effective term; they are recognized and kept at the amortized cost; and (3) available-for-sale. These investments include those that are classified neither as trading nor held-to-maturity. These investments are stated at fair value

As of December 31, 2017 and 2016, the Association only holds investments in securities available for sale (see Note 4).

e. Property, furniture and equipment - Property, furniture and equipment are recorded at acquisition cost. Balances from domestic acquisitions made through December 31, 2007 were restated for the effects of inflation by applying factors derived from the National Consumer Price Index (“NCPI”).

Annual Report 2017 24 Centro Mexicano para la Filantropía

% Annual depreciation

Building 5% Office furniture and equipment 10% Transportation equipment 25% Computer equipment 30% Installation costs 10%

The relative liability and the annual cost of benefits are calculated by an independent actuary according to the bases defined in the plans, using the projected unit credit method.

10. Income taxes Since the Association is a not-for-profit organization, it is not subject to income tax as established in Title III of the ISR law. However, if it makes distributions in cash or in kind to its members, the distributions must be considered as a taxable distributable surplus. No distributions have taken place since the date of the establishment of the Association. As there was no distribution of surplus among Association members, the only distributable surplus of the Association for tax purposes was originated by the expenses incurred that are not deductible in accordance with this title. The ISR incurred on such distributable surplus in 2017 and 2016 was $153,332 and $144,855, respectively, as shown in the statements of income and expenses.

11. Net worth of the association As of December 31, 2017 and 2016, the net worth of the Association consists of contributions of $15,020,628 (nominal value).

The Association is a Mexican entity, and any interest or share in the Association acquired by a foreigner is considered to be from Mexican origin.

The assets of the Association shall be used strictly to fulfill the purposes of the Association. Upon dissolution, the assets will be given to a similar not-for- profit association or institution designated by the Board of the Association.

12. New accounting principles As of December 31, 2017, the CINIF has issued the following NIFs and Improvements to NIFs which may affect the financial statements of the Association:

a. Improvements to NIF 2018 - The following improvements were issued which generate accounting changes effective as of January 1, 2018:

NIF B-2, Statement of cash flows – For liabilities from financing activities, requires disclosure of the relevant changes in cash flows, and preferably the initial and closing balances of such items should be reconciled.

NIF B-10, Effects of inflation – Also requires disclosure of the accumulated inflation percentage for three years, which includes the previous two years and the period referred to in the current financial statements that will be used as the basis to classify the economic environment in which the entity will operate in the following year.

NIF C-6, Property, plant and equipment and NIF C-8, Intangible assets – The depreciation and amortization method based on revenues cannot be used, except where the revenues and the consumption of the economic benefits from the assets follow a similar pattern.

b. The following NIF were issued and are effective January 1, 2018:

NIF B-17, Determination of fair value NIF C-3, Accounts receivable NIF C-9, Provisions, contingencies and commitments

Following is included a brief description of each new NIF:

Annual Report 2017 29 Centro Mexicano para la Filantropía

NIF B-17, Determination of fair value – Defines fair value as the exit price that would be received from selling an asset or paid to transfer a liability in an orderly transaction between market participants at the valuation date (in other words, a current value based on an exit price). To determine the fair value the following must be considered: a) The specific asset or liability being valued; b) for a nonmonetary asset, the highest and best use of the asset, and, if the asset is used in combination with other assets or on an independent basis; c) the market in which an orderly transaction would take place for the asset or the liability; and d) the appropriate valuation technique or techniques to determine the fair value, which should maximize the use of relevant observable entry data and minimize non-observable entry data.

NIF C-3, Accounts receivable – The main changes consist of specifying that: a) the accounts receivable based on a contract represent a financial instrument; b) the allowance for bad debts for commercial accounts is recognized from the time the revenue is accrued, based on the expected credit losses; c) the time value of money should be considered as of the initial recognition; consequently, if the effect of the present value of the account receivable is material based on its term, it should be adjusted based on such present value, and d) required disclosures include an analysis of the change between the opening and closing balances of the allowance for bad debts.

NIF C-9, Provisions, contingencies and commitments – The term probable replaced the term virtually avoidable in the definition of liabilities. The first-time application of this NIF does not generate accounting changes in the financial statements.

At the date of issuance of these financial statements, the Association has not completed its evaluation of the potential effects of adopting these new standards on its financial information
