PROPOSAL OF AN EQUITY-BASED LOYALTY SCHEME Against the background of the unprecedented effects of the Covid-19 pandemic and the uncertainty on the broader economic conditions, the Board of Directors of Compagnie Financière Richemont SA ("Richemont" or the "Company"), earlier this year, decided to remain prudent and retain as much flexibility as possible in view of the limited visibility as to the prevailing economic situation. Consequently, the Board of Directors proposed to the shareholders of the Company (the "Shareholders") to reduce the cash dividend to CHF 1.00 per registered "A" share having a par value of CHF 1.00 (each an "A Share") and CHF 0.10 per registered "B" share having a par value of CHF 0.10 (each a "B Share" and together with the A Shares the "Shares"). This proposal was accepted by the Shareholders at the Company's 2020 Annual General Meeting, which was held on 9 September 2020. Richemont further announced the introduction of a Shareholders' loyalty scheme, which would take the form of a distribution of tradable warrants (each a "Warrant") to its Shareholders, allowing their holders to acquire new Shares in three years, at a price that reflects the market price of the A Shares before the Shareholders' decision on the scheme. The Shareholders' loyalty scheme will allow those who will have held the Warrants until maturity to benefit from the upside in the market price of Richemont's A Shares during the lifetime of the Warrants. The implementation of this loyalty scheme is subject to the Shareholders approving the creation of the necessary conditional capital (as further detailed in Section 5 below) at an Extraordinary General Meeting of the Company (the "EGM"), which will be held on 17 November 2020.
