QIA and Brookfield Still Not Singing Songbird's Tune QIA and Brookfield still not singing Songbird’s tune Qatar Investment Authority; AUM: $256bn Brookfield Asset Management; AUM: ca. $200bn Introduction After rejecting a preliminary takeover approach of £2.2bn, Songbird Estates, the majority owner of east London business district Canary Wharf, has just received a higher offer from the two bidders Qatar Investment Authority and Brookfield Property Partners. The new offer values the company at 350p a share, for a total amount of £2.6bn. According to the buyers, representing a 15% premium on Songbird’s net asset value, which is still far from being satisfactory for the real estate firm, which put its value at 381p a share. Reaction and motivation David Pritchard, Songbird’s independent chairman, said the proposal “significantly undervalues Songbird and does not reflect the inherent value of the business and its underlying assets”. “The group has an exceptional management team with a clear vision to deliver additional shareholder value”, he also underlined. This is confirmed by Songbird’s latest results statement, released in September, which showed its property portfolio rising by 8.4% over the previous six months, up to £6.3bn. Additionally, the company is also diversifying away from its origins as an office developer. Indeed, it is currently working on several plans, as for example the Crossrail station construction, the retail mall expansion, together with a 3,100-home residential scheme called Wood Wharf and the redevelopment of the Shell Centre on London’s South Bank. Part of the reason for the deal’s rocky proceedings arises from several complicating factors. Firstly, the structure of Songbird that includes two layers of shareholders has been a minor issue. Nevertheless, this has caused the shares to trade at a discount to their net asset value, and has actually made Songbird a more attractive acquisition target in the process. The second, and more problematic factor, is that any deal would have to be agreed on by Songbird’s other major shareholders: Simon Glick and China’s Sovereign Wealth fund who hold 26% and 15.8% respectively. Behind the scene at Qatar Investment Authority This prospective deal comes at the same time as a shakeup has been occurring in the QIA’s leadership. Wednesday, Qatar appointed Sheikh Abdullah bin Mohamed bin Saud al-Thani, a member of the ruling family, to the position of chief executive for the fund. In addition a reshuffle of the QIA’s board of directors has been ordered. The board is composed of Sheikh Abdullah bin Hamad al-Thani, chairman, Sheikh Ahmed bin Jassim bin Mohamed al-Thani, vice chairman, Ali Sharif al-Emadi, Sheikh Abdullah bin Saud al-Thani and Hussein Ali Al Abdullah. The fund already owns some of the most renowned distribution channels in London, such as Harrods in Knightsbridge, as well as several stakes in prestigious companies like Barclays (12.7%) - which is also headquartered in Canary Wharf -, Volkswagen (17%) and P.S.G football club through its Qatar Sports Investments branch, and it is planning to expand even further. QNA (Qatar News Agency), the official news agency, mentioned that the replacement of Ahmed al- Sayed would not change the $170bn fund’s strategy, which includes investing $15-20bn in Asia over the next five years. In this case we will see if Sayed’s reputation as an aggressive negotiator and dealmaker will pay off in the bid for Songbird.     DRAFT Chapter 5 242–276 Oxford Street John Prince’s Street to Holles Street A block-size commercial development dating from 1959–63 dominates this section of Oxford Street today, stretching back to encompass frontages facing John Prince’s and Holles Streets and half the south side of Cavendish Square. Very typical for its period, it consists mostly of offices and shops. The presence of the London College of Fashion over the Oxford Street front adds a dash of more adventurous architecture. Early history This was among the first sections of the Cavendish-Harley estate to attract building, early in the reign of George I. In connection with the plan to begin that development in and round Cavendish Square, the whole block was leased in 1719 by the Cavendish-Harley trustees to John Prince, so-called master builder, and the Estate’s steward, Francis Seale. But Seale soon died, and Prince’s ambitions seem to have gone unrealized, though he was still active in the 1730s. As a result it took the best part of two decades for the block to be completed by the usual variety of building tradesmen.1 An undated plan shows the layout as first completed, with the apportionment of property between Seale’s executors and Prince apparently indicated. First it provides some basic facts and history about London’s tallest buildings Secondly it looks back at trends and developments affecting high rise construction over the past 100 years or so Finally it assesses what has happened in the last decade or so and looks ahead to the 250 high rise buildings that currently have been approved or are in the pipeline So first some historical perspectives starting with the Norman invasion in 1066 and the construction of the Tower of London by William the Conqueror and his successors. So this history of tall buildings in London begins with the completion of the White Tower, a part of the Tower of London, in 1098. For over a hundred years between 1098 and 1310 the White Tower in the Tower of London was London’s tallest structure. It was 90 feet high or 27 metres (of course in those days the French were not using metres!) The White Tower’s claim to be the tallest building only fell when the old St Paul’s Cathedral was built and completed. Although there is some debate and no absolutely authentic measurement records there are reports that the spire of the old St Paul’s was 493 feet high (160 metres). That spire was destroyed by lightning in 1561 100 years before the Great Fire of London.
