(Jointly Administered) DECLARATION OF DISINTERESTEDNESS OF ELISE S. FREJKA I, Elise S. Frejka, pursuant to 28 U.S.C. § 1746, hereby declare that the following is true to the best of my knowledge, information and belief: 1. I am a member of the law firm of Frejka PLLC (the “Firm”) and admitted to practice law in the State of New York. 2. I submit this Declaration to establish that I am a “disinterested person” as that term is defined in 11 U.S.C. § 101(14) in connection with my appointment as Fee Examiner (Docket No. 2204) in the above-captioned chapter 11 cases of Sports Authority Holdings, Inc. and its affiliated debtors (collectively, the “Debtors”). 3. Unless otherwise stated in this Declaration, I have personal knowledge of the facts set forth herein. 4. With respect to my “disinterestedness” under Section 101(14) of the Bankruptcy Code, I provide the following information: a. Neither the Firm nor I is, and has not been, during the pendency of these chapter 11 cases, a creditor, equity security holder or insider of any of the Debtors. 1 The Debtors and the last four digits of their respective taxpayer identification numbers are as follows: Sports Authority Holdings, Inc. (9008); Slap Shot Holdings, Corp. (8209); The Sports Authority, Inc. (2802); TSA Stores, Inc. (1120); TSA Gift Card, Inc. (1918); TSA Ponce, Inc. (4817); and TSA Caribe, Inc. (5664). The headquarters for the above-captioned Debtors is located at 1050 West Hampden Avenue, Englewood, Colorado 80110. Case 16-10527-MFW Doc 2243 Filed 06/22/16 Page 2 of 30 b. Neither any attorney at the Firm nor I is, and has not been, a director, officer or employee of any of the Debtors. c. Neither the Firm nor I has an interest materially adverse to the interests of these bankruptcy estates or any class of creditors or equity security holders by reason of any direct or indirect relationship to, connection with or interest in any of the Debtors, or for any other reason. d. Neither any attorney at the Firm nor I is a relative of any Bankruptcy Judge of the United States Bankruptcy Court for the District of Delaware, the Office of the United States Trustee for Region 3 or any person employed by the Office of the United States Trustee for Region 3 except that, prior to January 30, 2009, Juliet Sarkessian and I were both associates in the Bankruptcy, Business Restructuring and Reorganization department at Dechert LLP. e. Neither the Firm nor I represents or has represented in the past any of the Debtors or any of their affiliates. f. Neither the Firm nor I represents or has represented in the past any party in interest in connection with the Debtors’ chapter 11 cases. g. Neither the Firm nor I has any connection with any of the professionals listed on Schedule A which have been retained by the Debtors or the Official Committee of Unsecured Creditors (the “Retained Professionals”), except that prior to March 9, 2015, while employed at Kramer Levin Naftalis & Frankel LLP, I represented Deloitte Tax LLP, the Debtors’ proposed Tax Services Provider, and Deloitte & Touche LLP, an ordinary course professional of the Debtors (collectively with their affiliated entities, the “Deloitte U.S. Entities”), in matters wholly unrelated to the Debtors’ chapter 11 cases and, since March 9, 2015, the Firm has represented the Deloitte U.S. Entities in matters wholly unrelated to the Debtors’ chapter 11 cases. In addition, both the Firm and I have, in the past, and from time to time, in the future, will likely have numerous interactions with the Retained Professionals, hire a Retained Professional as an expert or consultant on behalf of one of our clients or represent a client in a matter in which a Retained Professional represents an adverse party or serves as an expert or consultant for an adverse party. However, other than the Deloitte U.S. Entities, neither the Firm nor I currently represents any of the Retained Professionals and neither the Firm nor I is currently working with any of the Retained Professionals on behalf of a client. h. Neither the Firm nor I has any connection with any of the members of the Official Committee of Unsecured Creditors or the interested parties set forth on Exhibit 1, except that the wife of my colleague Jason Rappaport is employed by a subsidiary of The Related Companies, one of the Debtors’ landlords, and The Related Companies’ affiliated entity, Related Management. I do not believe that any of the disclosures set forth in paragraph 4 above will in any way compromise my disinterestedness as Fee Examiner in the Debtors’ chapter 11 cases. 6. The Village Center is centered around the Metra Station (Chicago Suburban rail commuter transit system) and is the central business district featuring many restaurants and specialty stores. The Village is situated along the shores of Lake Michigan and the Wilmette Park District owns and manages two beaches serving the community. The Village is a professionally managed full-service organization which provides Administration, Fire/EMS, Police, Community Development, Engineering and Public Works, Water Management, Finance, Cable, and Historical Museum services. The Fire Chief is appointed by and reports to the Village Manager. The Village has a $100 million budget for Fiscal Year 2021. Department ➢ Including the Fire Chief, the Wilmette Fire Department has 44 sworn, full-time shift personnel working three (3) shifts out of two fire stations on a 24/48 schedule. But it wasn’t. In fact, it was the opening of Old Orchard Shopping Center, a much more seductive, but equally damaging, modern weapon meant to destroy or at least cripple Evanston’s status as the retail and business center of the North Shore. Old Orchard had what shoppers seemed to be longing for: a critical mass of retail space which acted like a powerful magnet; a sophisticated mix and physical arrangement of retail goods; the beauty of coordinated Entry Pylon architecture and landscaping that caught peoples’ attention; the cosmetic appeal and marketing that few could resist; the highway accessibility that Evanston lacked; and the killer agent–unlimited free parking. The biggest psychological blow was that Old Orchard’s major anchor was Marshall Field’s–destined to replace Evanston’s older, smaller Marshall Field’s which had served customers of the North Shore and southeastern Wisconsin for decades.
