C-36, AS AMENDED NOTICE OF MOTION (Re: Recognition of Foreign Order & Substitution of Information Officer) (Returnable January 26, 2021) The Applicant, Imerys Talc Canada Inc. (“ITC”), will make a motion to a judge presiding over the Commercial List on January 26, 2021 at 12:00 noon or as soon after that time as the motion can be heard by videoconference due to the COVID-19 crisis. The videoconference details can be found in Schedule “A” to this Notice of Motion. Please advise Nicholas Avis if you intend to join the hearing of this motion by emailing [email protected]. PROPOSED METHOD OF HEARING: The motion is to be heard orally by videoconference. THE MOTION IS FOR: 1. An order recognizing and enforcing in Canada the following order of the United States Bankruptcy Court for the District of Delaware (the “US Court”) made in the insolvency proceedings of the Debtors under chapter 11 of title 11 of the United States Bankruptcy Code: Order Authorizing Continuance of Debtor Imerys Talc Canada Inc. Under Business Corporations Act (Quebec), entered on January 8, 2021 [Docket No. 2735] (the “Continuance Order”); and 2. An order: (a) abridging the time for and validating service of this Notice of Motion and supporting materials such that the motion is properly returnable on January 26, 2021, and dispensing with further service thereof; - 2 - (b) approving the reports of Richter Advisory Group Inc. (“Richter”) filed in respect of the CCAA recognition proceedings to date, and the Tenth Report, to be filed, in its capacity as the Information Officer, and the activities set out therein; (c) discharging Richter as Information Officer in these proceedings effective as of 5:00 p.m. on the date the order sought is granted; (d) releasing Richter from liability upon termination of its role as Information Officer; (e) approving the professional fees and disbursements of the Information Officer and its legal counsel; and (f) appointing KPMG Inc. (“KPMG”) as the Information Officer effective as of the time of Richter’s discharge as Information Officer; and (g) such further and other relief as counsel may advise and this Court deems just. THE GROUNDS FOR THE APPLICATION ARE: 1. Capitalized terms not otherwise defined herein have the meaning ascribed to them in the Affidavit of Anthony Wilson, to be sworn (the “Wilson Affidavit”); Generally 2. The Debtors are market leaders with respect to talc production in North America, representing nearly 50% of the market; 3. On February 13, 2019, the Debtors filed voluntary petitions for relief under title 11 of the United States Code with the US Court (the “US Proceeding”); 4. On February 14, 2019, the US Court made various orders in the US Proceedings (the “First Day Orders”), including an order authorizing ITC to act as foreign representative of the US Proceedings and an order placing the Debtors under joint administration in the US Proceedings; 5.
