Public Comment Period At 6:30 p.m., immediately preceding Call to Order, the Village Board of Trustees will hold a public comment period for the purpose of allowing the non-elected general public the opportunity to address the Board on any subject of concern that is not the topic of a current or previous Public Hearing before the Village Board. Each person who wishes to address the Village Board of Trustees may do so at the podium for a maximum of 3 minutes. The Board will only receive comments during Public Comment. The Public Comment portion of the meeting is scheduled for a total of 15 minutes in length but will end sooner if the Village President has determined that there is no one else present who still wishes to speak. After Public Comment has ended, there will be a short recess to begin broadcast of the Board of Trustees Meeting.

Action Item: Discussion and Possible Action on the adoption of an Ordinance amending the cross references contained in Sections 122-308(d)(1) and 122-646(a). At its meeting on August 2, 2016 the Plan Commission unanimously recommended this Ordinance be approved.

Attachments Sept 2016 BID I have met with the new owner, Mike of The Alumni Club (formerly Tornado Brewing). He is on his 3rd dumpster. He is completely overhauling the space including removing a wall to open up the dining area. He plans on making the club very Men. Falls related including pictures and furnishings both past and present. He does not want to be known as a sports bar. 3‐4 month opening date from now.

 Commercial space is available on Main St. right next to the Farmers Market.

 The Cherry Pit Studio on Appleton Ave. is available.

 There is a space available in the Hillside Commons Center (where Pop’s is located). This space is 1,340 sq. ft.

Everyone should be aware that Colonial Plaza is getting prepared for the Fresh Thyme Farmers Market Store, the old Associated Bank building is giving the demolition crew a hard time getting it down to ground zero, and the fence went around the old Griddler’s location today. The new municipal parking lot next to the Karate American building is almost complete.

WEBSITE – We have been working on our new website and are planning on presenting it at the next BID Board meeting in October. The site looks very up to date and we have been checking the operation of it on tablets and smartphones to make sure everyone can use it conveniently.

Store Directory – we should have a new downtown directory by the end of October.

FARMERS MARKET – BOTH THE WED AND SUNDAY MARKETS ARE OPEN THRU OCTOBER. THIS SUNDAY THE MARKET WILL BE CLOSED FOR THE CHEERY CHERRY FAIR BUT WILL BE BACK IN BUSINESS FOR THE WHOLE MONTH OF OCTOBER.

Halloween Downtown – Thursday October 27 ‐ Trick or Treat 4 – 7. Spooky Walk (is back) 7 – 8:30 – Accompany of Kids will perform during Spooky Walk. They are being sponsored by WaterStone Bank. And the first 700 kids will get a glow necklace sponsored by Krueger’s Entertainment Center. There will be a contest during Trick or Treat – kids ages 5 ‐12 will need to stop at my office and enter for a chance to ride in the Christmas Parade. We will then hand out a coupon to each for one free ride on the horse & wagon during our Christmas event.

Christmas Downtown & Small Business Saturday – held Nov. 26 from 11 – 4 ‐ featuring store open houses, the horse & wagon ride complete with local history from Pete Sorenson, Santa, Accompany of Kids, Patio Players and new this year we will have a business decorating contest. Applications will be going out shortly for specialty vendors to place in some of our businesses. I applied for us to be an American Express “Small Business Saturday” community and we were accepted. We will receive materials to help us market this event from American Express.

Motion by Trustee Jeremy Walz, second by Trustee Bonnie Lemmer to convene into closed session in the Administrative Conference Room #2244, to confer with the Village Manager, Assistant Village Manager, Protective Services Director, Village Attorney and Village staff concerning the following matters: Under Wisconsin Statutes § 19.85(1)(c) to consider employment, promotion, compensation and performance evaluation data of certain Village staff related to and part of a possible Village staff reorganization; and Under Wisconsin Statutes § 19.85(1)(e) to consider the negotiation strategy to be adopted by the Village in negotiations with Waukesha County over the terms of a Community Development Block Grant and HOME Mutual Cooperation Agreement. Information Subject: Resolution exempting the Village from the Waukesha County Library Levy 2016 tax for 2017 purposes.

Background Information: This request is made on an annual basis and exempts the Village of Menomonee Falls from the county library tax. Please note that WCFLS (Waukesha County Federated Library System) became Bridges Library System as of January 1, 2016.

Key Issues for Consideration: The county library rate for the prior year is $0.283021 per $1,000 of Equalized Value. Using the 2016 Equalized Value of the Village of Menomonee Falls, the threshold amount is $1,338,230.

Action By Committee or Village Board: Approve the resolution exempting the Village from the Waukesha County Library Levy 2016 tax for 2017 purposes.

Annually Waukesha County sets a special levy for library services. The funds are distributed to libraries to compensate them for items borrowed by non-residents of their communities. State law (ss. 43.64(2) Wisc. Statutes) provides that communities with libraries may avoid double taxation and exempt themselves from this special levy if they meet certain conditions:

 Exempting library communities must levy and expend an amount equal to or greater than the mill rate set by Waukesha County in the preceding year with the exception of joint libraries whose participating municipalities have an alternate option for exempting which is to levy and expend an amount not less than the average of the previous 3 years (ss.43.64 (2)(c)).  Exempting library communities are required to provide written notification to the county annually.  The County Code requires that the notification be from the local governing body rather than from the clerk alone.  The Code also requires a deadline date of September 30 so that the County Executive Budget available to supervisors and the general public can properly reflect the county library taxation levels in the Adopted Budget in November.  For 2017 tax purposes, exempting communities must also have a library that meets or exceeds minimum county standards as certified by the library board. (The libraries have already received their standards certification letters.)

If you would like to exempt your community from the Waukesha County library tax, the form (on page 2), Notice of Exemption from Waukesha County Library Levy 2016 Tax for 2017 Purposes must be approved by the Municipality’s governing body, signed, and returned to Bridges Library System no later than September 30, 2016. Also include a copy of your adopted municipal ordinance or resolution certifying that your library appropriation meets or exceeds the requirements. Email submission is acceptable as long as the form includes the actual signature.

We recognize that, pursuant to ss 43.64 Wisconsin Statutes, to obtain an exemption from the 2016 county library levy for 2017 purposes, the municipality must certify that during budget year 2017, its library will be provided and be allowed to expend no less than the county library tax rate in the prior year, $0.283021 per $1,000 Equalized Value.

In the case of joint library, an alternate exemption option exists pursuant to ss 43.64 (2) (c). Under this language, each participating municipality in the joint library has the option to certify that during its budget year 2017, the library will be provided and allowed to expend no less than the average of the funding levels of the previous 3 years.

We further recognize that, pursuant to state law, listed funding must be only from municipal sources, not the entire library budget. Reported amounts must exclude fines, fees, and other revenues. Capital expenditures are excluded as well.

I am authorized to certify that the governing body of the municipality has enacted an ordinance or resolution pledging that it will appropriate and allow the library to expend no less than a rate of $0.283021 per $1,000 of the actual state Equalized Value amount for the community that is published by the state on or about August 15, 2016 or, in the case of a joint library whose municipality may choose this option, that the participating municipality will appropriate and allow the library to expend no less than the average of the funding levels of the previous 3 years.

The community meets its requirement stated above and is therefore eligible for exemption from the 2017 Waukesha County library levy.

A RESOLUTION EXEMPTING THE VILLAGE FROM THE WAUKESHA COUNTY LIBRARY LEVY 2016 TAX FOR 2017 PURPOSES

WHEREAS, as a county expending money for public library services to its inhabitants, Wis. Stats. §43.64(1) authorizes the Waukesha County Board to levy a tax to provide funds for such service, and

WHEREAS, Waukesha County intends to impose and collect a 2016 county library levy for 2017 purposes under Wis. Stats. §43.64(1); and

WHEREAS, Wis. Stats. §43.64(2) provides any city, town, village or school district in a county levying a tax for public library service under Wis. Stats. §43.64(1) shall, upon written application to the county board of the county, be exempted from the tax levy, if the city, town, village or school district making the application levies a tax for public library service and appropriates and expends for a library fund during the year for which the county tax levy is made a sum at least equal to an amount calculated pursuant to a formula set out in Wis. Stats. §43.64(2); and

WHEREAS, the Village of Menomonee Falls will appropriate and expend for a library fund during the year for which the county tax levy is made a sum at least equal to an amount calculated pursuant to a formula set out in Wis. Stats. §43.64(2); and

WHEREAS, the Village of Menomonee Falls has received a letter dated August 2, 2016 from Bridges Library System requesting that the Village Board adopt an exemption resolution Wis. Stats. §43.64(2) by September 30 of this year, and to authorize official to execute and return to it a document entitled Notice of Exemption from Waukesha County Library Levy 2016 Tax for 2017 Purposes.

NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of the Village of Menomonee Falls as follows:

1. The Village of Menomonee Falls hereby certifies that it will appropriate and allow the library to expend no less than a rate of $0.283021 per $1,000 of the actual State Equalized Value for the Village of Menomonee Falls.

2. The Village of Menomonee Falls is therefore eligible for exemption from the county library levy.

3. The Village Clerk-Treasurer is hereby authorized to forward certified copies of this resolution to the Waukesha County Board and to Bridges Library System. 4. The Village Manager or such other Village official or employee as he may designate is hereby authorized to execute and return to Bridges Library System the document from that entity entitled Notice of Exemption from Waukesha County Library Levy 2016 Tax for 2017 Purposes.

5. A certified copy of this resolution shall be considered to be the written application to the Waukesha County Board under Wis. Stats. §43.64(2) to exempt the Village of Menomonee Falls from the Waukesha County Library Levy 2016 Tax for 2017 Purposes.

AN ORDINANCE CORRECTING THE CROSS REFERENCES IN THE SECTIONS 122-308(d)(1) AND 122-646(a) OF CHAPTER 122 OF THE MUNICIPAL CODE OF THE VILLAGE OF MENOMONEE FALLS.

WHEREAS, it is deemed to be in the best interest of the Village of Menomonee Falls that the Municipal Code of the Village of Menomonee Falls be further modified and amended in the manner hereinafter more particularly set forth; NOW, THEREFORE, the Board of Trustees of the Village of Menomonee Falls does hereby ordain as follows: Section 1. Paragraph (1) of Subsection (d) [Conditional Uses] of Section 122-308 [I-3 Executive Office / Light Industrial District] of Division 4 [Industrial Districts] of Article VI [District Regulations] of Chapter 122 [Zoning] of the Menomonee Falls Municipal Code is hereby amended by adding the double underlined language (addition), and deleting the language highlighted with the strikeout feature (delete) as follows: (1) The proposed use and related improvements, including, but not limited to, location, size, design and vehicle and pedestrian traffic and circulation must be compatible with the permitted uses under subsection (d)(b) of the I-3 district and the principal or permitted uses in any neighboring district. Section 2. Subsection (a) of Section 122-646 [Unenclosed Storage] of Subdivision I [In General] of Division 3 [General Use Restrictions] of Article VII [Supplemental District Regulations] of Chapter 122 [Zoning] of the Menomonee Falls Municipal Code is hereby amended by adding the double underlined language (addition), and deleting the language highlighted with the strikeout feature (delete) as follows: (a) No more than one of the following: mobile home, motor home, camper, boat, or other recreational vehicle or trailer, not exceeding 35 feet in length may be stored in the open on a lot in a single-family residential district, and then only in accordance with the open storage provisions of sections 122-687(3)(a)(4) and 122-622(2). Section 3. Except as specifically modified and amended by this ordinance, the Municipal Code of the Village of Menomonee Falls shall remain in force and effect exactly as originally adopted and previously amended. All ordinances or parts of ordinances inconsistent with or in contravention of the provisions of this ordinance are hereby repealed. Section 4. This ordinance shall take effect and be in full force from and after its passage and publication. Section 5. SEVERABILITY. RESOLUTION TO APPROVE ADDITIONAL FUNDING FOR THE ELECTRONIC RECORDS MANAGEMENT SYSTEM AND TRANSFER FUNDS

WHEREAS, the 2015 General Fund operating surplus of $1,843,862 was transferred to the Municipal Facilities & Equipment Fund; and

WHEREAS, the Electronic Records Management System (ERMS) project noted in Appendix 1 is in need of funding in the amount of $160,000; and

WHEREAS, the Board of Trustees finds that it is desirable and in the best interest of the Village to use $160,000 of the General Fund surplus to fund the ERMS project.

NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of the Village of Menomonee Falls as follows:

Section 1. The Finance Director is hereby authorized to transfer $160,000 from the Municipal Facilities & Equipment Fund to the Capital Projects Fund for the ERMS project described in Appendix 1.

Electronic Records Management System - ($160,000)

In 2013 the Village began a records management project with initial funding of $115,000. An additional amount of $70,000 was approved in 2015 for scanning of existing documents (back scanning). To date the records management system has 2,160,368 files. The records management system is changing the way that we work at village hall. Departments that are using records management include Administration, Legal, Engineering, Community Development, Water Utility Billing Clerks, Public Works, Information Technology, and Clerk Services.

Additional funding in the amount of $160,000 is needed to continue implementation of this project which is mainly needed for the continued conversion of our records into electronic format and support services. There will also be the purchase of a forms product that will help automate the Clerk Services licensing process. We continue to make progress on this long-term project.

The software has changed the way departments file and store documents. All of the documents that are created on a daily basis are our mainstay as we conduct day-to-day business, react to requests from citizens, and preserve our history. The software allows departments to keep documents in a digital format for ease of searching and preservation. The benefits of records management are:

 Disaster Recovery – there will no longer be single copy originals. Documents will be digital for storage and retrieval if needed;  Efficiency – staff time will be saved because documents will be searchable. Documents can easily be printed or e-mailed. Some communities boast that research for some projects that took a week or more now take several hours. This will also apply to requests from citizens for documents;  Compliance – storage of documents will meet any compliance requirements such as Wisconsin Administrative Code Chapter 12;  Knowledge Base – documents that sometimes get misplaced or lost over the years are preserved;  Security – provides different levels of access to documents within an organization.

Information Subject: Consideration of the Solid Waste Collection Fund 215 - and a Special Charge for Refuse and Recycling Services for 2017. Appearance: Arlyn Johnson, Assistant Manager/Director of Public Works.

Background Information: In 2007, a Special Charge was set aside on the tax bills for garbage collection and disposal in the amount of $85.00 per residential unit for all residential properties of up to 4 units in size. Each year since the special charge was adopted, the amount of the special charge has been insufficient to cover all of the costs associated with collection and disposal of garbage and recyclable materials. In 2009, the State of Wisconsin imposed new taxes on the disposal of the Village’s solid waste. The solid waste disposal tax (or Generator Fee) went from $5.90 per ton to $13.00 per ton, an increase of 120%. To cover these cost increases, the special charge for refuse and recycling services increased to $97.48 for 2010.

Key Issues for Consideration: In 2013, the State enacted Act 20, which required that on or after July 2, 2013, to the extent a municipality adopts a new fee or an increase in an existing fee for garbage collection (which was partly or wholly funded by levy), the municipality must reduce the amount of its levy limit by the amount of the new fee or the increase in the existing fee. Due to the restrictions of State Act 20 above, we recommended no changes for 2014, 2015 or 2016 and once again, we are recommending no changes to the special charge for refuse and recycling services for 2017. $ 90.64 Base Charge $ 9.48 State Generator Fee $100.12 Total Special Charge per residential unit Based upon a special charge in the amount of $100.12, the projected costs in this fund exceed the projected revenues by approximately $635,500. Any remaining costs could be covered by transfers from the Municipal Facilities Fund, the General Fund or any combination of these funds. In order to cover the costs for Refuse and Recycling collection in 2017, the Special Charge would have to increase to approximately $152 per residential unit.

Background Information: This project consists of installing landscaping for the Pilgrim Road Reconstruction project. This project approved in the 2016 Capital Budget is for the landscaping along Megal Court, including the roundabout island and median, the adjacent detention pond area and portions of Falls Parkway.

Key Issues for Consideration: Bids for this project were received by the Village on September 15, 2016 with one contractor, Blaze Landscape Contracting, Inc., submitting a bid. A copy of the bid tabulation is attached for your reference. The single bid in the amount of $154,316.00 is over the Engineer’s Estimate of $148,100.00 and the money budgeted for the project. Due to the time of year and the possibility that landscaping contractors have already filled their schedule for this fall, Staff believes that there will be more interest in the project if it were re-bid next spring and that costs would be lower with a spring re-bid. Staff will also be taking another look at the intensity of the plantings as well as size of trees to try to find additional cost savings.

Action By Committee or Village Board: Because of the high bid price and limited bidding participation, it is the recommendation of the Engineering Department that the Village rejects the bid and re-bid the project next spring to see if the project attracts additional interest.

Key Issues for Consideration: Bids for this project were received on September 15, 2016 with one contractor, Blumel’s Maintenance Services Inc., submitting a bid. A copy of the bid tabulation is attached for your reference. In reviewing the bid, there is $105,000 available in the budget for construction and the Engineering Estimate for the project was $95,000. The Bid came in at $114,122.50 which is over both the money budgeted and the Engineers Estimate.

Rubber surface and playground installation is a specialized field with few contractors biding on projects. As a result, contractor’s schedules are quickly filled for the year and would have attributed to the limited bid participation and high bids.

A similar situation happened in 2011 where the Village advertised a comparable project for Rotary Park. That project had only two contractors submitted bids. The low bidder for the Rotary park project in 2011 was Blumel’s Maintenance Services Inc who is the only bidder on this project. They did a good job for us on the Rotary Park project.

Action By Committee or Village Board: Recommendation: Because of the price being over the Engineers Estimate and there being only one bidder on the project, it is the recommendation of the Engineering Department that the Village reject the bid and re-bids the project next spring to see if the project attracts additional interest.

INTRODUCTION This memorandum and the related materials are the result of a series of discussions with the Village Manager concerning the Community Development Authority (the “CDA”) bylaws. The current by-laws were adopted by the CDA when it was created in 1987. They have remained largely the same, though there were some minor changes in 2003. Initially, my discussions with the Village Manager centered on simply adding to the existing by-laws an alternative procedure for executing CDA documents when the Chairperson is unavailable. However, after reviewing state laws and local ordinances applicable to the CDA, and the procedures of other Wisconsin community development authorities, I suggested to the Village Manager that the CDA consider updating the by-laws. In line with that, I am submitting with this memorandum a resolution that would approve replacing the current by-laws with revised and restated ones. The resolution contains two exhibits. Exhibit A contains the proposed updated by-laws, which I refer to below as the “proposed by-laws”. Exhibit B contains the current by-laws, which I refer to below as the “2003 by-laws”. If the CDA concludes that the proposed by-laws should be approved, it would accomplish this by adopting the resolution. The resolution adopts the proposed by-laws and authorizes the Executive Director to submit them to the Village Board for approval. The proposed by-laws take effect when the Village Board approves them. I have attached two appendixes to this memorandum as additional background materials. Appendix A contains the ordinances in Chapter 2 of the Municipal Code related to the CDA. Appendix B contains the State statute governing community development authorities. I have set out below an overview of the proposed by-laws. I will be attending the CDA meeting to review them with the commissioners.

OVERVIEW OF PROPOSED BY LAWS

1. ARTICLE 1 - THE AUTHORITY. a. Section 1 – Name and Office of Authority. The title of Article 1 (The Authority) remains the same in both the 2003 by-laws and the proposed by-laws. Section 1 of the proposed by-laws updates and replaces Sections 1 (Constitution of Authority) and 2 (Office of the Authority) of Article 1 of the 2003 by-laws. b. Section 2 – Powers and Duties. Section 2 of the proposed by-laws updates, expands and replaces Section 3 (Powers) of Article 1 of the 2003 by-laws. Proposed Subsection (a) (Powers and Duties of the Authority) of Section 2 updates and replaces the primary text of the CDA’s powers set out in Section 3 of the 2003 by- laws. It also updates the references to the current Village ordinances. Proposed Subsection (b) (Employees and Contract Services) of Section 2 is largely identical to Section 6 of Article 2 in the 2003 by-laws. I moved it here because it seemed to make more sense here than in the section on CDA offices. I have updated it to include a reference to the current Village ordinance. Proposed Subsection (c) of Section 2 deals with the by-laws and amendments to the by-laws. It replaces Article 7 of the 2003 by-laws. It also changes the procedure for amending the by-laws. As proposed, the by-laws would be amended by majority vote of the members of the CDA and the subsequent approval of those changes by the Village Board. The current system sets out a timeline for submitting proposed amendments, requires a three-quarters vote of the CDA to adopt the amendments, and does not require approval of the Village Board. c. Section 3 – Compensation of Commissioners. This proposed section essentially sets out the state law restricting compensation of CDA commissioners. It is currently found in Section 6 (Compensation) of Article 3 (Meetings) of the 2003 by-laws. It seemed that it made more sense to be in this section.

2. ARTICLE 2 - OFFICERS. a. Section 1 – Presiding Officers. The title of proposed Article 2 remains the same in both the 2003 by-laws and the proposed by- laws. I have however substantially revised and updated the various sections comprising this article. Proposed Section 1(Presiding Officers) contains provisions regarding the CDA Chairperson and Vice-Chairperson. Proposed Subsection (a) of Section 1 is new, and more specifically describes the duties of the Chairperson or Vice-Chairperson when presiding over meetings of the CDA. Proposed Subsection (b) of Section 1 sets out the duties of the Chairperson. It is almost identical to the current language found in Section 2 of Article 2 of the 2003 by-laws. The Chairperson is the chief presiding officer of the CDA, and has authority to execute certain documents on the CDA’s behalf. The chief difference is that I have included in the proposed by-law the authority to sign checks on CDA’s behalf. I am suggesting this change to bring the language in line with current CDA practice. Proposed Subsection (c) of Section 1 sets out the duties of the Vice-Chairperson. The Vice- Chairperson’s only duties would be to preside at CDA meetings when the Chairperson is either absent or is otherwise unable to do so.

Proposed Subsection (d) of Section 1 deals with elections, terms of office and vacancies for the Chairperson and Vice-Chairperson. It contains two changes from a similar provision found in Section 5 of Article 2 of the 2003 by-laws. First, I have revised it to have the Chairperson and Vice-Chairperson elected annually in June. I have also added language to make explicit the long- standing practice of the CDA to elect the Chairperson and Vice-Chairperson from among the commissioners who are not also members of the Village Board. b. Section 2 – Executive Director/Secretary. Article 2 of the 2003 by-laws contains a section providing for a Secretary and a Treasurer elected from among the commissioners. I have made several revisions to the provisions dealing with these two offices. I have divided those provisions into separate sections to deal with the offices separately. I have also updated the language to comport with current practices. Proposed Section 2 is new, and deals with the role of the Executive Director. Under its provisions, the Village Manager is by virtue of his office (‘ex-officio”), the Executive Director of the Authority. This is consistent with past actions of the Village Board, which approved having the Village Manager be the Executive Director of the CDA. I have also added a proposed provision that has the Executive Director also serve as the CDA Secretary. This is consistent with practices in other communities, and with the actual day to day duties of the Executive Director here. I have also add a proposed provision that would allow the Executive Director to execute contracts, deeds, and other instruments or forms of obligations made by the Authority in the absence or incapacity of the Chairperson. I have defined the term “absence” to include situations where the Chairperson is temporarily absent for 24 hours or longer from the corporate limits of the Village. Finally, this section also authorizes the Executive Director to countersign checks signed by the Chairperson. This is consistent with current Village and CDA practices. c. Section 3 – Treasurer. Proposed Subsection (b) of Section 3 is largely language taken from the 2003 by-laws. It lists the duties of the Treasurer. Subsections (a) and (c) are new. Proposed Subsection (a) of Section 3 makes the Village Treasurer ex-officio the Treasurer of the Authority. This comports with the current Village practice of having the CDA’s finances overseen by the Village Treasurer and the Finance Department. In addition, the process in the 2003 by-laws for the appointment of a CDA member as the Treasurer was largely ineffective. The other new provision is proposed Subsection (c) of Section 3. This subsection authorizes the CDA Treasurer to seek the assistance of such members of the Village staff as the Village Manager authorizes. This comports with current Village and CDA practice. d. Section 4 – Attorney. Proposed Section 4 is not in the 2003 by-laws. The language is taken from the redevelopment authority statutes that are incorporated by reference in the CDA statute (Wisconsin Statutes § 66.1335). This statute authorizes the CDA of a city or village to utilize the municipal attorney for legal services.

3. ARTICLE 3 – Meetings and Meeting Procedures. a. Section 1 – Annual Meeting. Proposed Article 3 updates and replaces Article 3 (Meetings) of the 2003 by-laws. Proposed Section 1 is identical to Section 1 of Article 3 of the 2003 by-laws. It authorizes an annual meeting

As noted above, the revised by-laws on the election of the Chairperson and Vice- chairperson would have both offices filled by election at this meeting. b. Section 2 – Regular Meetings. Proposed Section 2 is an updated and revised version of Section 2 of Article 3 of the 2003 by-laws. The first sentence of proposed subsection (a) of Section 2 contains the language from the 2003 by- laws. It provides for regular meetings to be held at a place, time and date fixed by the Authority. In addition, I revised that section to allow for an alternative means of establishing regular meetings by the Chair and the Executive Director if the CDA does not itself make that determination. Proposed Subsection (b) of Section 2 is new. It would authorize the Executive Director to cancel a regularly scheduled meeting if it is not needed. This language mirrors a similar provision in the Village ordinances allowing the Village Manager to cancel a Village Board meeting, subject to the ability of the Trustees to hold the meeting if they object to cancelling it. c. Section 3 – Special Meetings. Proposed Section 3 on special meetings is largely the same as Section 3 of Article 3 of the 2003 by-laws. The only proposed change is to allow the Executive Director in addition to the Chair to call special meetings. d. Section 4 – Quorum. Proposed Section 4 is identical to the second sentence of Section 4 of Article 3 of the 2003 by- laws. It provides that four commissioners shall constitute a quorum for the purpose of conducting business. I moved the first sentence of Section 4 of Article 3 of the 2003 by-laws to proposed Subsection (a) of Section 2 of Article 1 on the powers and duties of the CDA. That sentence says simply that the powers of the CDA are vested in the CDA commissioners. e. Section 5 – Conduct of Business; Voting. Proposed Section 5 is intended to update and replace Section 5 of Article 3 of the 2003 by-laws. Proposed Subsection (c)2 is largely the same as the language in the 2003 by-laws. It applies Robert’s Rules of Order as the primary rules of procedure for CDA meetings. I have added two other provisions. One is proposed Subsection (c)1, which notes that CDA meetings are subject to the Wisconsin Open Meetings Law. I moved that language here from another section of the 2003 by-laws. The other is proposed Subsection (c)3. It is new, and is intended to be an exception to the requirement in Robert’s Rules of Order that discussion take place after a motion has been made and seconded. Instead, proposed Subsection (c)3 authorizes the commissioners to discuss an agenda item at a meeting before taking formal action on it. 4. Article 4 – ECONOMIC DEVELOPMENT MASTER FUND This section is a slightly revised version of Article 4 of the 2003 by-laws. The only change I have made is to the first sentence. The purpose of the change is to update the language so it comports with the current economic development master fund requirements. Under the 2003 by-laws, this master fund is available only within Tax Incremental District No. 2. Since these by-laws were last amended in 2003, Tax Increment District No. 2 was closed, and the fund was revised to deal with business expansion and start-up projects in Tax Incremental Districts No. 6 and Tax Incremental District No. 9.

Appendix A Ordinances Relating to the Community Development Authority

Chapter 2. Administration Article VI. Boards, Commissions and Authorities Division 4. COMMUNITY DEVELOPMENT AUTHORITY

Sec. 2-261. - Creation.

Pursuant to Wis. Stats. § 66.1335, there is hereby created a housing and community development authority which shall be known as the community development authority of the village.

Sec. 2-262. - Status as a public body.

The community development authority (CDA) is deemed to be a public body having all the powers, duties and functions granted to licensing authorities, redevelopment authorities and housing and community development authorities by applicable laws of the state.

Sec. 2-263. - Appointment, confirmation and term of commissioners; vacancies.

The seven commissioners of the community development authority shall be appointed by the village president and confirmed by the village board as follows: (1) Two of the commissioners shall be members of the village board and shall serve during their term of office as members of the village board. (2) Five of the commissioners shall be village residents and shall be appointed for terms of four years. Commissioners who are not members of the village board shall serve until a successor has been appointed and qualified, unless such commissioner's term is vacated earlier because of change of residence, removal, resignation or death. (3) Vacancies shall be filled by appointment of the village president and confirmation by majority vote of the village board.

(Code 1963, § 29.03) Sec. 2-264. - Bylaws.

The community development authority may adopt and from time to time amend or repeal such bylaws and other rules and regulations consistent with applicable law as it deems necessary in the performance of its functions.

Sec. 2-265. - Officers, agents and employees.

(a) The community development authority shall annually elect a chairperson and vice-chairperson from among the commissioners. Vacancies occurring in the office of chairperson or vice-chairperson shall be filled from among the commissioners for the unexpired portion of the term. (b) The community development authority may contract with the village or any other agency or entity, public or private, for the provision of any necessary services associated with or required by the community development authority in the performance of its duties and functions. Any services provided to the community development authority by the village pursuant to such contract shall be coordinated through the village manager.

Sec. 2-266. - Powers and duties.

(a) Overall economic development plan. The community development authority shall implement the retention and development activities as identified in the initial village overall economic development program plan adopted by the village board on April 20, 1987. The community development authority shall be responsible for an annual review of the overall economic development program plan, and shall implement any changes or additions to the plan approved by the village board. (b) Housing authority. The community development authority shall have all the powers, duties and functions of a housing authority as set forth in the Housing Authorities Law (Wis. Stats. § 66.1201) and all housing projects initiated by the community development authority and approved by the village board shall be undertaken and carried out pursuant to such sections. (c) Redevelopment authority. The community development authority shall have all the powers, duties and functions of a redevelopment authority as set forth in Wis. Stats. § 66.1333. All redevelopment projects initiated by the community development authority and approved by the village board shall be undertaken and carried out in accordance with the Urban Redevelopment Law (Wis. Stats. § 66.1301) or Wis. Stats. §§ 66.1331, 66.431, 66.1337 or 66.1105, as determined appropriate to each project by the village board.

The community development authority shall submit an annual budget to the village manager, and such budget shall be subject to review by the village manager prior to submission to the village board. The approval of the community development authority budget by the village board permits the community development authority to spend budgeted funds for the purposes designated. (e) Reports. The community development authority shall advise the village board of funds or assets received by the community development authority from all sources, and provide a monthly accounting of expenditures to the village board for information purposes. The community development authority shall be subject to the village accounting and auditing procedures. (f) Other powers and duties. In addition to the foregoing powers, duties and functions, the community development authority shall have such other powers, duties and functions related to housing, community and economic development as are granted to it by the village board.

Sec. 2-267. - Transfer of village housing authority to community development authority.

The housing authority of the village created by resolution of the village board, adopted on November 5, 1984, shall terminate, and its programs, projects, debts, demands, obligations, liabilities and authorities shall be transferred to the community development authority as provided in Wis. Stats. § 66.1335(5).

Sec. 2-268. - Construction.

All powers, duties, and functions of a housing and community development authority, as set forth in Wis. Stats. § 66.1335, are deemed to have been granted to the community development authority as though set forth in this division, and the powers granted under this division shall be constructed liberally to effectuate its purposes.

Wisconsin Statutes § 66.1335 Housing and community development authorities

(1) Authorization. A city may, by a two-thirds vote of the members of the city council present at the meeting, adopt an ordinance or resolution creating a housing and community development authority which shall be known as the “Community Development Authority” of the city. It is a separate body politic for the purpose of carrying out blight elimination, slum clearance, urban renewal programs and projects and housing projects. The ordinance or resolution creating a housing and community development authority may also authorize the authority to act as the agent of the city in planning and carrying out community development programs and activities approved by the mayor and common council under the federal housing and community development act of 1974 and as agent to perform all acts, except the development of the general plan of the city, which may be otherwise performed by the planning commission under s. 66.1105, 66.1301 to 66.1329, 66.1331 or 66.1337. A certified copy of the ordinance or resolution shall be transmitted to the mayor. The ordinance or resolution shall also do all of the following:

(a) Provide that any redevelopment authority created under s. 66.1333 operating in the city and any housing authority created under s. 66.1201 operating in the city, shall terminate its operation as provided in sub. (5).

(b) Declare in substance that a need for blight elimination, slum clearance, urban renewal and community development programs and projects and housing projects exists in the city.

(2) Appointment of members. Upon receipt of a certified copy of the ordinance or resolution, the mayor shall, with the confirmation of the council, appoint 7 resident persons having sufficient ability and experience in the fields of urban renewal, community development and housing, as commissioners of the community development authority.

(a) Two of the commissioners shall be members of the council and shall serve during their term of office as council members.

(b) The first appointments of the 5 noncouncil members shall be for the following terms: 2 for one year and one each for terms of 2, 3 and 4 years. Thereafter the terms of noncouncil members shall be 4 years and until their successors are appointed and qualified.

(c) Vacancies shall be filled for the unexpired term as provided in this subsection.

(d) Commissioners shall be reimbursed their actual and necessary expenses including local travel expenses incurred in the discharge of their duties, and

may, in the discretion of the city council, receive other compensation.

(3) Evidence of authority. The filing of a certified copy of the ordinance or resolution referred to in sub. (1) with the city clerk is prima facie evidence of the community development authority’s right to transact business and the ordinance or resolution is not subject to challenge because of any technicality. In a suit, action or proceeding commenced against the community development authority, a certified copy of the ordinance or resolution is conclusive evidence that the community development authority is established and authorized to transact business and exercise its powers under this section.

(4) Powers and duties. The community development authority has all powers, duties and functions set out in ss. 66.1201 and 66.1333 for housing and redevelopment authorities. As to all housing projects initiated by the community development authority it shall proceed under s. 66.1201, and as to all projects relating to blight elimination, slum clearance, urban renewal and redevelopment programs it shall proceed under ss. 66.1105, 66.1301 to 66.1329, 66.1331, 66.1333 or 66.1337 as determined appropriate by the common council on a project by project basis. As to all community development programs and activities undertaken by the city under the federal housing and community development act of 1974, the community development authority shall proceed under all applicable laws and ordinances not inconsistent with the laws of this state. In addition, if provided in the resolution or ordinance, the community development authority may act as agent of the city to perform all acts, except the development of the general plan of the city, which may be otherwise performed by the planning commission under ss. 66.1105, 66.1301 to 66.1329, 66.1331 or 66.1337.

(5) Termination of housing and redevelopment authorities. Upon the adoption of an ordinance or resolution creating a community development authority, all housing and redevelopment authorities previously created in the city under ss. 66.1201 and 66.1333 terminate.

(a) Any programs and projects which have been begun by housing and redevelopment authorities shall, upon adoption of the ordinance or resolution, be transferred to and completed by the community development authority. Any procedures, hearings, actions or approvals taken or initiated by the redevelopment authority under s. 66.1333 on pending projects are deemed to have been taken or initiated by the community development authority as if the community development authority had originally undertaken the procedures, hearings, actions or approvals.

(b) Any form of indebtedness issued by a housing or redevelopment authority shall, upon the adoption of the ordinance or resolution, be assumed by the community development authority except as indicated in par. (e).

(c) Upon the adoption of the ordinance or resolution, all contracts entered into

between the federal government and a housing or redevelopment authority, or between these authorities and other parties shall be assumed and discharged by the community development authority except for the termination of operations by housing and redevelopment authorities. Housing and redevelopment authorities may execute any agreements contemplated by this subsection. Contracts for disposition of real property entered into by the redevelopment authority with respect to any project are deemed contracts of the community development authority without the requirement of amendments to the contracts. Contracts entered into between the federal government and the redevelopment authority or the housing authority bind the community development authority in the same manner as if originally entered into by the community development authority.

(d) A community development authority may execute appropriate documents to reflect its assumption of the obligations set forth in this subsection.

(e) A housing authority which has outstanding bonds or other securities that require the operation of the housing authority in order to fulfill its commitments with respect to the discharge of principal or interest or both may continue in existence solely for that purpose. The ordinance or resolution creating the community development authority shall delineate the duties and responsibilities which shall devolve upon the housing authority with respect to that purpose.

(f) The termination of housing and redevelopment authorities pursuant to this section is not subject to s. 66.1201(26).

(5m) Tax exemption. Community development authority bonds issued on or after January 28, 1987, are declared to be issued for an essential public and governmental purpose and to be public instrumentalities and, together with interest on the bonds and income from the bonds, are exempt from taxes.

(6) Controlling statute. The powers conferred under this section are in addition and supplemental to the powers conferred by any other law. To the extent that this section is inconsistent with any other law, this section controls.

(7) Construction. This section shall be construed liberally to effectuate its purposes and the enumeration of specific powers in this section does not restrict the meaning of any general grant of power contained in this section nor does it exclude other powers comprehended in the general grant.

WHEREAS, the Village of Menomonee Falls (the “Village”) previously created the Community Development Authority of the Village of Menomonee Falls (the “Authority”), pursuant to § 66.1335 of the Wisconsin Statutes; and WHEREAS, pursuant to Wisconsin Statutes § 66.1335, the Authority may exercise any and all powers, duties and functions of a redevelopment authority as enumerated in Wisconsin Statutes § 66.1333; and all powers, duties and functions of a housing authority as enumerated in Wisconsin Statutes § 66.1201; and WHEREAS, pursuant to what is now Village Ordinance § 2-264, the Authority is empowered to adopt and from time to time amend or repeal such by-laws and other rules and regulations consistent with applicable law as it deems necessary in the performance of its functions; and WHEREAS, attached as Exhibit B is a copy of the current by-laws of the Authority, which were adopted in 1987 and revised in 2003; and WHEREAS, the Village Manager and the Village Attorney have recommended that the current by-laws be revised and updated, and have further recommended that the Authority adopt the revised and restated by-laws attached as Exhibit A to this resolution; and WHEREAS, based on the above, the Authority finds that it is in the best interest of the Authority to adopt the proposed revised and restated by-laws attached hereto as Exhibit A in place of and superseding the current by-laws attached as Exhibit B; and WHEREAS, the proposed revised and restated by-laws call for amendments and revisions to also be approved by the Village Board of Trustees. NOW THEREFORE, BE IT RESOLVED by the Commissioners of the Community Development Authority of the Village of Menomonee Falls as follows: 1. Subject to the approval of the Village Board of Trustees, the proposed revised and restated by-laws attached as Exhibit A are approved. These by-laws will become effective on the date they are approved by the Village Board of Trustees. 2. The Executive Director is authorized and directed to submit the approved revised and restated by-laws to the Village Board of Trustees and to request that the Board of Trustees approve these revised and restated by-laws. COMMUNITY DEVELOPMENT AUTHORITY OF MENOMONEE FALLS, WISCONSIN BY-LAWS

ARTICLE I – THE AUTHORITY

Section 1 – Name and Office of Authority.

a. Name. The name of the authority shall be the Community Development Authority of the Village of Menomonee Falls.

b. Office. The principal office of the Authority shall be within the Village Hall of the Village of Menomonee Falls.

Section 2 – Powers and Duties.

a. Powers and Duties. The powers of the Authority shall be vested in the commissioners thereof. The Authority shall exercise all powers conferred, and perform all duties imposed, by state statutes and the ordinances of the Village of Menomonee Falls, and shall perform such further and other duties as may properly be required by the Village Board from time to time. The Authority shall have all powers, duties, and functions of a housing authority and all powers, duties, and functions of a redevelopment authority as set forth in Wisconsin Statutes and inVillage Ordinances 2-266 through 2-268. The Authority shall also have the power to undertake any additional acts which may be convenient or necessary to the powers and duties conferred upon it and which not contrary to law. The Authority may ratify after the fact any action which it could have otherwise approved.

b. Employees; Contract Services. The Authority may, from time to time, contract for services, or employ such personnel as it deems necessary to exercise its powers, duties and functions. The selection of, and compensation for such services or personnel shall be determined by the Authority subject to Village Ordinance 2-265 and to the laws of the State of Wisconsin.

c. By-laws; Amendments.

1. These by-laws are adopted pursuant to the authority granted in Village Ordinance 2-264. All provisions of the Wisconsin Statutes and ordinances or resolutions of the Village of Menomonee Falls as may be enacted from time to time shall take precedence over these by-Laws.

2. The by-laws may be amended from time to time upon a concurring vote of a majority of all members of the Authority and the subsequent approval of the amendment by the Board of Trustees.

Section 3 – Compensation of Commissioners.

Commissioners shall receive no compensation for their services, but shall receive actual and necessary expenses incurred in the discharge of their duties pursuant to the Authority’s reimbursement policies. BY-LAWS COMMUNITY DEVELOPMENT AUTHORITY OF MENOMONEE FALLS, WISCONSIN Page 2 of 4

ARTICLE 2 – OFFICERS

Section 1 – Presiding Officers.

a. Duties of the Presiding Officer. The presiding officer shall preside at all meetings of the Authority and shall have the right to vote and make motions; shall rule on matters of procedure, subject to appeal from such rulings by proper motion; shall conduct the meetings in accordance with the these by-laws; shall have such powers and duties as may be necessary for the conduct of orderly meetings; and such other powers and duties as set out in these by-laws, or as may be assigned.

b. Chairperson. The Chairperson shall be the presiding officer at all meetings of the Authority. Except as otherwise authorized by the Authority, the Chairperson shall sign on behalf of the Authority all checks, contracts, deeds and other instruments or forms of obligation made by the Authority.

c. Vice-chairperson. The vice-chairperson shall preside at meetings of the Authority in the absence or incapacity of the Chairperson.

d. Election, Terms of Office, Vacancies, Removal. The Chairperson and vice-chairperson shall each be elected annually in June of each year from among the commissioners who are not members of the Village Board of Trustees. The commissioner so selected remains in office until his or her successor is selected under this subsection. Should an office become vacant before the term expires, the commissioners shall select a successor from among the remaining eligible members to serve for the remainder of the unexpired term. Removal from office shall be by a ¾ vote of the total membership of the Authority.

Section 2 – Executive Director/Secretary.

a. The Village Manager shall ex officio be the Executive Director of the Authority. The Executive Director shall serve the Authority as its secretary and advisor and shall perform all duties requested by the Authority. The Executive Director may utilize such members of the Village staff as the Executive Director deems necessary to carry out the duties and obligations assigned under these by-laws.

b. The Executive Director shall act as secretary of the meetings of the Authority and record all votes, and shall keep a record of the proceedings of the Authority in a journal of proceedings to be kept for such purpose. The Executive Director shall handle all correspondence and clerical work of the Authority, and shall keep the records of the Authority.

c. In the absence or incapacity of the Chairperson, the Executive Director shall sign on behalf of the Authority all contracts, deeds and other instruments or forms of obligation made by the Authority. The term “absence” as used in this Section and in Section 1 of this Article shall include but not be limited to situations in which the Chairperson is temporarily absent from the corporate limits of the Village of Menomonee Falls for twenty-four hours or longer. d. All checks for the payment of money shall be countersigned by the Executive Director.

Section 3 – Treasurer.

a. The Village Treasurer shall ex officio be the Treasurer of the Authority.

b. The Treasurer shall handle and keep a record of all financial dealings of the Authority. The treasurer shall have the care and custody of all funds of the Authority in such bank or banks as the Authority may determine. The treasurer shall keep regular books of accounts showing receipts and expenditures and shall render to the Authority at regular meetings, or on request, an account of the transactions and a statement of the financial condition of the Authority.

c. The Treasurer may utilize such members of the Village staff as the Village Manager authorizes to assist the Treasurer to carry out the duties and obligations assigned under these by-laws

Section 4 – Attorney.

The Authority may call upon the Village Attorney for legal services.

ARTICLE 3 – MEETINGS AND MEETING PROCEDURES

Section 1 – Annual Meeting.

The annual meeting of the Authority shall be held during June of each year at the call of the Chairperson.

Section 2 – Regular Meetings.

a. Regular meetings shall be held at a place, time and date fixed by the Authority. In the absence of such a determination by the Authority, the meetings shall be held at the call of the Chairperson or of the Executive Director at such time and place as the person calling the meeting directs.

b. The Executive Director is authorized to cancel a regular meeting when the Executive Director deems it appropriate and determines that any pending matters could be delayed to a subsequent regular meeting and do not require action by the Authority at the particular meeting to be cancelled. The Executive Director shall give notice of such cancellation to the commissioners at least seven calendar days before the regular meeting to be cancelled. If at least two commissioners object to the Executive Director's decision to cancel a meeting under this subsection, the meeting will proceed as provided in this article. To be effective under this subparagraph, a commissioner's objection must be in writing, must state at least one item to be placed on the agenda for the meeting, and must be filed with the Executive Director no later than five days before the regular meeting to be cancelled. Section 3 – Special Meetings.

The Chairperson or the Executive Director may, when deemed expedient, and shall, upon the written request of two members of the Authority, call a special meeting of the Authority for the purpose of transacting only that business designated in the call. No other business shall be considered at such a special meeting.

Section 4 – Quorum.

Four commissioners shall constitute a quorum for the purpose of conducting business.

Section 5 – Conduct of Business; Voting.

a. Agenda. The Executive Director shall prepare the agenda with direction and advice from the Chairperson.

b. Voting. Provided a quorum is present and except as otherwise by law or these rules provided, the affirmative vote of a majority of the members present shall be required to decide any matter up for consideration.

c. Procedures.

1. The Authority shall be subject to the Wisconsin Open Meetings Law as amended from time to time.

2. Except as provided in (d)(3) below, meetings of the Authority shall be conducted in accordance with parliamentary procedure as determined by the most recent edition of Robert’s Rules of Order.

3. Notwithstanding (d)(2) above, the commissioners may discuss any matter listed on the meeting agenda at that meeting before taking action on it.

ARTICLE 4 – ECONOMIC DEVELOPMENT MASTER FUND

The Authority shall be responsible for the administration of the Economic Development Master Fund for business expansion and start-up projects within Tax Incremental District No. 6 and Tax Incremental District No. 9. The administration of this program shall be consistent with the underwriting procedures described in the most current version of the Economic Development Master Fund Plan. As described in the Plan, selected underwriting criteria may be waived with the consent of the Authority. The request for a waiver of the underwriting criteria shall be made by the business in writing and shall justify the need for such a waiver. The waiver of any such criteria shall require the affirmative vote of a two-thirds majority of the commissioners present and voting on the proposed change at a regular or special meeting of the Authority.

BY-LAWS OF THE COMMUNITY DEVELOPMENT AUTHORITY Of the Village of Menomonee Falls, Wisconsin

ARTICLE I – THE AUTHORITY

Section 1 – Constitution of Authority. The name of the authority shall be The Community Development Authority of the Village of Menomonee Falls, and shall consist of seven commissioners as provided by statute. These By-Laws are adopted pursuant to Section 66.1335, Wisconsin Statutes.

Section 2 – Office of the Authority. The office of the Authority shall be in the Village of Menomonee Falls, Waukesha County, Wisconsin. The mailing address of the Authority shall be the designated office of the Authority, Village of Menomonee Falls, Wisconsin, 53051.

Section 3 – Powers. The Authority shall have those powers set forth in Ordinance A- 520-87 adopted by the Village of Menomonee Falls Board of Trustees on September 21, 1987 entitled An Ordinance Creating the Community Development Authority of the Village of Menomonee Falls, Wisconsin. The Authority shall also have the power to undertake any additional acts which may be convenient or necessary and not contrary to law. The Authority may ratify after the fact any action which it could have otherwise approved.

ARTICLE 2 – OFFICERS

Section 1 – Officers. The officers of the Authority shall be a chairperson, and a vice- chairperson. The Village Clerk/Treasurer shall serve ex-officio as secretary/treasurer of the Authority. The Authority may appoint at its discretion such other officers as may be deemed necessary.

Section 2 – Chairperson. The chairperson shall preside at all meetings of the Authority. Except as otherwise authorized by the Authority, the chairperson shall sign all contracts, deeds and other instruments made by the Authority.

Section 3 – Vice-chairperson. The vice-chairperson shall perform the duties of the chairperson in the absence or incapacity of the chairperson.

Section 4 – Secretary/Treasurer. The secretary shall keep the records of the Authority, shall act as secretary of the meetings of the Authority and record all votes, and shall keep a record of the proceedings of the Authority in a journal of proceedings to be kept for such purpose.

The treasurer shall have the care and custody of all funds of the Authority in such bank or banks as the Authority may determine. All checks for the payment of money shall be countersigned by the chairperson. ARTICLE 7 – AMENDMENTS

Amendments to By-Laws. Proposed amendments to the by-laws of the Authority shall be in writing, and shall be delivered to all commissioners at least five days in advance of the date of the meeting when action on the proposed change(s) is scheduled. All action on by-laws shall be by a ¾ vote of the total membership of the Authority.

These By-Laws were duly adopted by the Community Development Authority of the Village of Menomonee Falls on November 10, 2003.
