3. •Bidders who are empanelled against Public Tender Ref: MSO/ENG/PT-01/2015-16 & WRCC/2018-19/PT/23 and have submitted permanent EMD, shall have to upload the Scanned copy of the Cash Receipt of permanent EMD in e-Tender website at appropriate place.

Note: Bidder who has submitted Permanent EMD in the form of BG will have to submit EMD separately. 4. Earnest Money Deposit •Exempted Categories :

Parties who have applied for registration or renewal of registration with any of the above agencies / bodies, but have not obtained the valid certificate as on close date of the tender, are not eligible for exemption of EMD. Against UAM, copy of acknowledgement generated online shall be acceptable.

• Bidders who have not submitted the permanent EMD & who are not exempted from EMD shall have to submit EMD amount as mentioned above Online as per the provision given in the E- tender portal & as instructed in the tender/ portal, before due date & time of submission of tender. The rates shall remain valid up for 120 days from date of opening of the Tender. The Lowest Acceptable rate (i.e. the rate finalised L-1 rate with the successful Bidder, with or without 10. Validity of Tender negotiations) shall remain valid throughout the entire period of Contract once the Letter Of Acceptance (LOA) / Work Order is placed on the successful bidder.

b. E-tender in single bid system consisting of Techno-commercial and Price Bid is invited from reputed, established and financially sound parties for the works as above.

PRICE BID/SOR: The price bid shall be on percentage basis i.e., bidders have to quote percentage above or below or at par our offered rate in the Price Bid (attached separately as BoQ). The percentage rates shall 16. be applicable on all the items given in the price bid/SOR. Escalation shall not be considered and paid for this Tender / Contract. GST CLAUSES : DEFINITIONS

1 Contractual period / Work Completion Period /Contractual Delivery Date / Contractual Completion Period shall mean the Scheduled Delivery / Completion Period as mentioned in the LOA (Letter of Acceptance) or Purchase Order or Work Order and shall also include approved extensions, if any.

GENERAL 17. 1 Where any portion of the GCC/any other section of tender, is repugnant to or at variance with any provision of the Standard Taxation Condition (STC), then the provision of the STC shall be deemed to override the provisions of the GCC and shall, to the extent of such repugnance or variations, prevail.

2 For the purpose of this STC, the term “tax” in addition to tax imposed under CGST (Central Tax)/SGST (State Tax)/IGST (Integrated Tax)/UTGST (Union Territory Tax)/ GST Compensation Cess Acts, also includes any duties, cess or statutory levies levied by central or state authorities.

3 Rate variation in Taxes and any new promulgated taxes after last date of the submission of price bid only on the final product and/or services (applicable to invoices raised on IOCL) within the contractual delivery date /period (including extension approved if any) shall be on IOCL’s Account against submission of documentary evidence.

Further , in case of delay in delivery of goods and/or services, any upward rate variation in Taxes and any new promulgated taxes imposed after the contractual delivery date shall be to the Seller’s / Contractor’s Account.

Similarly in case of any reduction in the rate(s) of the Taxes between last date of submission of price bid relevant to the Contract and the date of execution of activities under the contract, the Contractor shall pass on the benefit of such reduction to IOCL with the view that IOCL shall pay reduced duty/Tax to Govt.

4 Wherever any escalation / de-escalation linked to raw material price (Basic price excluding taxes) is allowed as per terms of the contract, Variation to the extent related to escalation / de- escalation of value of material shall be allowed without Tax unless specified otherwise.

5 It would be the responsibility of the contractor to get the registration with the respective Tax authorities. Any taxes being charged by the Contractors would be claimed by issuing proper TAX Invoice indicating details /elements of all taxes charged and necessary requirements as prescribed under the respective tax laws and also to mention his correct and valid registration number(s) along with IOCL’s registration number as applicable for particular supply on all invoices raised on IOCL.

Contractor to provide the GSTIN number from where the supply is proposed to be under taken. Further the HSN Code / Service Accounting Code (SAC) as applicable for the subject tender needs to be provided in the columns provided in the technical bid.

In case the contractor is opting for Composition scheme under the GST laws (i.e Section 10 of the CGST Act, 2017 and similar provisions under the respective State / UT law), the contractor should confirm the same. Further the contractor to confirm the issuance of Bill of Supply while submission of tender documents and no GST will be charged on IOCL.

In case the contractor is falling under Unregistered category, the contractor should confirm the same.

6 The contractor would be liable to reimburse or make good of any loss/claim by IOCL towards tax credit rejected /disallowed by any tax authorities due to non deposit of taxes or non updation of the data in GSTIN network or non filling of returns or non compliance of tax laws by the Contractor by issuance of suitable credit note to IOCL. In case, contractor does not issues credit note to IOCL, IOCL would be constrained to recover the amount including interest payable alongwith Statutory levy/Tax, if any, payable on such recovery.

7 Tax element on any Debit Note / Supplementary invoice, raised by the contractor will be reimbursed by IOCL as long as the same is within the permissible time limit as per the respective taxation laws and also permissible under the Contract terms and conditions. Contractors to ensure that such debit Notes are uploaded while filing the Statutory returns as may be prescribed from

time to time.

8 The contractor will be under obligation for quoting/charging correct rate of tax as prescribed under the respective Tax Laws. Further the Contractor shall avail and pass on benefits of all exemptions/concessions/benefits/waiver or any other benefits of similar nature or kind available under the Tax Laws. In no case, differential Tax Claims due to wrong classification of goods and/or services or understanding of law or rules or regulations or any other reasons of similar nature shall be entertained by IOCL.

9 In case, IOCL’s Input Tax Credit (ITC) is rejected on account of wrong levy of tax i.e. payment of Integrated Tax in place of Central Tax+ State/Union Territory Tax or vice versa, the contractor is liable to make good the loss suffered by IOCL by issuance of suitable credit note to IOCL. In case, contractor does not issue credit note to IOCL, IOCL would be constrained to recover the amount including interest payable alongwith Statutory levy, if any, payable on such recovery.

10 In case the contractor is opting for Composition scheme under the GST laws, in such event the evaluation of his bid will be based on the Quoted Price.

In case the contractor is falling under Unregistered category, then GST liability, if any, on IOCL will be included for the purpose of evaluation.

11 In case, IOCL is eligible to avail Input TAX Credit (ITC), the same shall be reduced from the delivered price to arrive at the net landed cost.

12 IOCL shall reimburse GST levied as per invoice issued by the Contractor as prescribed under section 31 of the CGST Act and respective states and Rules.

13 To enable IOCL to avail ITC, the contractor/supplier shall furnish/submit any and all certificates, documents and declarations as are required by IOCL to avail of the ITC with respect to GST reimbursed by IOCL on materials sold to IOCL.

14 Invoice should be raised as per Tax Rates mentioned in the BIDs and in case at the time of raising Invoice if the invoices raised are not as per Tax rates mentioned in the bid, payment will be limited to the rate quoted as per BID subject to increase /decrease in Rates after last date of submission of Price Bid provided delivery is within the Contractual period.

15 CUSTOM DUTY (These clauses will not be applicable wherever port clearances are in the scope of IOC and IOC is to take delivery at Port) applicable for Global Tender

15.1 Custom Duty for this clause shall mean Basic Custom Duty, Additional Duty of Customs levied under Section 3 of the Customs Tariff Act equivalent to the IGST and Education Cess and Secondary and Higher Secondary Cess.

15.2 The contractor shall within 7 (seven) days of dispatch /shipment of any such materials forward to the owner, the following documents.

(i)Supplier’s /Vendor Invoice indicating item wise price of the materials for the purpose of assessing customs and other Import duties (ii) Bill of lading/Airway Bill

(iii) Package wise packing list (iv) Certificate of origin and other relevant documents relating to the identification of the materials. (v) Other relevant documents for the assessment of customs duties and the clearance of goods through Customs.

15.3 The Contractor shall also be fully responsible for Port and Customs clearance including stevedoring, handling, unloading, loading and storage and for satisfying all Port and Customs formalities for the clearance of the goods , including preparation of the BILL(s) of Entry mentioning the applicable GSTIN of IOCL and other documents required for import and or/clearance of the goods. The applicable GSTIN shall be advised by IOCL. The Contractor shall also be fully responsible for any delays, penalties, interest, demurrages, shortages and any other charges and losses, if any in this regard.

15.4 The Custom Duty payable shall be reimbursed on production of supporting documents or paid directly to the Customs Authority, as the case may be.

15.5 IOCL shall pay the CUSTOM DUTY within 1 (one) working day or specified under Customs law, after the day on which the CONTRACTOR furnishes the complete necessary documents including duty requisition slip along with BILL of ENTRY to the IOCL’s designated office for release of requisite materials/ equipment from Customs.

However additional cost on account of delayed payment of Custom duty due to IOCL’ s fault shall be paid by IOCL.

15.6 IOCL will not bear liability towards payment of safeguard duty, Anti Dumping duty, Protective Duty or Countervailing Duty on subsidized articles or any other such duties of Customs imposed by the Government of under Custom Tariff Act 1975 applicable on such materials in India.

15.7 All other costs towards Port and Customs Clearance shall be the contractor’s responsibility including appointment and payment to clearing agents and no reimbursement will be made by IOCL except as quoted in the price bid.

15.8 The contractor shall provide IOCL with all documents necessary for IOCL to claim Input Tax Credit (ITC) of the IGST levied under Section 3 of the Custom Tariff Act. Should the contractor fail to provide any such document(s) resulting in a shortfall in the ITC available to IOCL, the shortfall shall be made good by the contractor by issuance of suitable credit note to IOCL. In case the contractor does not issue credit note to IOCL, in such case, IOCL would be constrained to recover the amount along with interest and statutory levy, if any, and such recovery would be without pre-judice to any other mode of recovery from the Running Account or other bills or payments to the Contractor.

15.9 The input tax credit available to IOCL will be reduced to arrive at the net Landed cost in the hand of IOCL for evaluating the Bids.

15.10 In case the bidder is availing any exemption under the prevailing customs law, then necessary documentary proof for availing the said exemption is required to be submitted. In the event of non submission of the requisite documents as per the conditions for availing the exemption by the

successful bidder, then the additional outflow on account of various taxes and duties will be recovered from the bidder.

15.11 The Tariff Head under which the goods will fall should be clearly mentioned along with the Custom Duty Rate at the time of submission of Bid.

15.12 Tenderer to confirm on their letter head whether they are registered in GST (Yes/ No). If yes then they should provide GSTIN. Also to confirm whether they are opting for composite scheme (Yes/ No). If yes, bidder to confirm that bill of supply will be issued and no GST will be charged (Yes/No). 16 ROAD PERMIT /WAY BILL

16.1 IOCL will issue Road Permit/Way Bill, by whatever name it is called, to the Contractor only in those cases where materials is purchased by IOCL directly and/or IOC is statutorily required to issue the Road permit/Way Bill, by whatever name it is called. Contractor will be under obligation for proper utilization of road permits for the specific supply and in case of seizure of goods/vehicle; the Contractor will be wholly responsible for release and reimburse the litigation cost to IOCL.

16.2 IOCL shall on no account be responsible for delay or hold up due to the timely non availability of such documents as are required to be furnished by the owner to obtain the Road Permit/Way bill, by whatever name it is called. However, IOCL shall make best efforts to provide sufficient number of Road Permits/way bill, by whatever name it is called. on demand to avoid any delay or Hold up.

17 Works Contract / Composite Supply / Mixed Supply

17.1 Works contracts as defined under the GST law includes Contracts for Building, Construction, Fabrication, Completion, Erection, Installation, Fitting out, Improvement, Modification, Repair, Maintenance, Renovation, Alteration or Commissioning of any immovable property wherein transfer of goods is involved in the execution of such contracts.

Composite Supply has been defined as supply in which two or more supply of goods or service or both or any combination are naturally bundled and supplied in conjunction with each other in the ordinary course of Business, and then the rate as applicable for principal supply will be applicable on the entire transaction.

Mixed supply has been defined as supplies of goods or service or both which are made in conjunction with each other for a single price and which does not constitute a composite supply then the rate as applicable for the highest rate will be applicable.

In view of the above various definitions under GST law, bidders are required to evaluate the jobs to be undertaken covered under the tender and quote accordingly by taking in to account the nature of Job read with the legal provision.

17.2 The place of supply in relation to an immovable property shall be the location at which the immovable property is located or intended to be located. Hence the bidders have to seek registration at the locations where the work is intended to be carried out.

17.3 In case, IOCL is eligible to avail Input TAX Credit (ITC), the same shall be reduced from the

delivered price to arrive at the net landed cost. IOCL shall reimburse GST levied as per TAX invoice issued by the Contractor as prescribed under respective GST Acts and Rules. In case the contractor is not permitted to issue Tax Invoice the same should be clearly mentioned in the price Bid.

17.4 To enable IOCL to avail ITC, the contractor/supplier shall furnish/submit any and all certificates, documents and declarations as are required by IOCL to avail of the ITC with respect to VAT reimbursed by IOCL on materials sold to IOCL

17.5 Invoice should be raised as per Tax Rates mentioned in the BIDs and in case at the time of raising Invoice if the invoices raised are not as per Tax rates mentioned in the bid, payment will be limited to the rate quoted as per BID subject to increase /decrease in Rates after last date of submission of Price Bid provided delivery is within the Contractual period.

TAX IMPLICATIONS:

18.1 The composition scheme option for above work contract is not applicable. Hence, vendor needs to be registered as normal assessee and to provide GSTIN.

18.2 For the said work ITC would be available to IOC is 0.00% out of estimated cost as other items are of civil capital nature. Hence the comparison and evaluation shall be done on net landed cost basis. Sample calculation is as below.

METHODOLOGY OF FINALIZATION OF TENDER a) The bid of all the bidders submitting their bids through e-tender website before due date and time shall be opened on due date & time of opening. b) Bidders are advised to submit their most competitive lowest quote in fixed percentage above (+) / below (-)/ at par (0) over the total amount indicated in the ‘Price Schedule’/’BOQ’ (Price Bid) at appropriate place as per format of price bid (excel file) of e-tender attached with tender documents. The quoted rate in percentage shall be applicable uniformly on all items of Schedule Of Rate (SOR)/ Purchase Requisition (PR) attached separately with the tender document. c) Comparative statement of qualified bidders shall be made based on the ascending order of the valid bids received. d) The L-1 rate i.e. the lowest percentage quote (on net landed cost basis) obtained with or without negotiations as per the policy of the Corporation shall be the Lowest Acceptable Rate. e) Based on the offers received from the bidders, a merit list of all bidders will be prepared and they will be arranged in merit list from lowest quote to the highest quote i.e. a merit list shall be prepared in ascending order of their quotes L-1, L-2, L-3, …. SPECIAL TERMS AND CONDITIONS

1.0 NATURE OF WORK

1.1 GENERAL

1.1.1 The scope of work shall be applicable for development /construction of New and / or Up-gradation (modernization) of existing Retail Outlets (ROs)/ including carrying out all required Civil, Mechanical and Electrical jobs in the states of Maharashtra.

1.1.2 Letter of Intent / Acceptance shall be issued to the successful tenderer after finalization of tender. The tenderer shall be required to complete the contractual formalities including signing of contract and submission of Initial Security Deposit (ISD) / Security Deposit (SD) within 10 days from the date of LOI / LOA. The successful tenderer shall take action to takeover site simultaneously.

1.1.3 The tender will be valid for a period of 120 days from the date of opening the tender.

1.2 IOCL’S SCOPE OF WORK

1.2.1 In case of new ROs, IOCL shall hand over a clear demarcated site to the Contractor.

1.2.2 In case of up-gradation sites, which will continue to operate during up-gradation, the work front will be released in parts. Stages, at which the work fronts will be released, shall be decided during the kick-off meeting which will be attended by IOCL representative, TPI (Third Party Inspection) Agency, Contractor and our RO dealer.

1.2.3 IOCL shall make available mild steel oil storage tanks (if proposed to be used at the RO) and dispensing pumps to the Contractor at site.

1.2.4 IOCL shall make arrangements for obtaining all required statutory approvals like: Explosive approval Local authorities’ approval on the construction plan / layouts. NH authorities’ approval on the construction plan / layouts. MSEB approval for permanent power connection / enhancement of existing load.

1.2.5 IOCL shall provide permanent bench-mark and contour map of the existing plot.

1.2.6 IOCL shall provide detailed drawings for all the features of construction along with the tender.

1.2.7 IOCL shall provide detailed specifications for all the works to be carried out under this tender.

1.2.8 IOCL shall provide a Quality Assurance Plan (QAP) along with the tender for maintaining quality of work at site.

1.3 CONTRACTOR’S SCOPE OF WORK

1.3.1 The list of facilities included in the Contractor’s scope of work is summarized under “Scope of Work”. Unless and until any work is excluded from the scope in “Scope of Work”, all works as per tender drawings / SOR / BOQ / Scope of Work shall be in the Contractor’s scope.

1.3.2 Any job mentioned in the “Scope of Work” is necessarily included in the scope of the tendered work irrespective of whether the same is also indicated in the drawings.

1.3.3 IOCL shall furnish to the Contractor only four (or more) corners of the job site and level Bench Mark and the Contractor shall at his own cost set out the works to the satisfaction of the site engineer/ TPI, but shall be solely responsible for such setting up.

1.3.4 The Contractor shall provide, fix and be responsible for all stakes, templates, level marks and shall take all precautions to maintain them till the work is complete. Contractor shall also be responsible for the maintenance of all survey marks, boundary marks whether existing or supplied by the Contractor.

1.3.5 The Contractor shall provide and maintain, at or about the job site, an office for the working accommodation of the Contractor’s Engineers and Staff, such office shall remain open and attended at all hours during which the work is being performed at the job site, for the receipt of instructions, notices and other communications.

1.3.6 The Contractor shall at his own cost and initiative construct temporary building or other accommodation or works necessary. Any land provided by the owner to the Contractor for this purpose shall not create any right, title or interest whatsoever for the Contractor.

1.3.7 The Contractor shall at his own cost and initiative, arrange for and provide access to the work area and/ or other yards for labour, equipment and materials as may be necessary. He shall also obtain all necessary permissions, permits, consents and licenses as may be necessary to transport the materials, tools, equipment, machinery and labour by any means of transport.

1.3.8 The Contractor shall plan well in advance for the collection of materials and equipment and erection of such tarpaulins, sheds, wind breakers and other protection as shall or may be necessary for working during adverse weather condition. He shall also bring such special equipment as may be necessary to enable work during monsoon or adverse weather conditions and shall at his own cost arrange for de-watering the job sites so as to keep the construction sites and the areas to be worked upon free of water. He shall not be entitled for any extra compensation on this account.

1.3.9 Contractor shall mobilize additional manpower, equipment, tools & tackles if so instructed by IOCL in the interest of program of work.

1.3.10 The Contractor shall maintain at each job site (in addition to any records or registers required to be maintain by the Contractor under any law, rule or regulation having the force of law) such records and registers as the Engineer-in–Charge or Site Engineer/TPI shall or may require the Contractor to keep and or maintain from time to time.

1.3.11 The contractor shall maintain the following records and shall be available at all times at the work site.

a) Site instruction book (in Triplicate) b) Hindrance Register c) Copy of work order with all relevant drawings d) Material procurement Register e) Material utilization Register f) All Test Reports for procured materials g) Field Test Reports

1.3.12 If necessary the Contractor shall work overtime or in two or three shifts in a day. The Contractor shall not be entitled to any extra compensation or remuneration for overtime or double or triple shift working. The Contractor shall be expected to work on Sundays and Holidays, if necessary, without extra compensation.

1.3.13 The Contractor shall provide and keep at all times during the progress of work proper means of access to the work for inspection or measurement. On no account shall the Contractor proceed with cover up or otherwise place beyond reach of inspection or measurement, any work before inspection and measurements are taken. Should the Contractor do so, the same shall be uncovered at Contractor's risk and expense for carrying out the inspection and measurement.

1.3.14 The Contractor shall deploy experienced and qualified engineers for supervision of work. The Contractor shall also ensure deployment of trained and skilled personnel and other labour as required by the job.

1.3.15 The Contractor shall make arrangements for water and Electrical Power required for construction at their own cost without any liabilities on the part of owner. Contractor shall mobilize DG sets if required, without any extra cost to IOCL.

1.3.16 Contractor’s scope of supply includes all the required materials, fittings, fixtures and equipments unless otherwise specifically mentioned in either price bid or special terms and conditions to complete all land/ driveway development, civil, electrical and mechanical works shown in the detailed drawings provided with the tender documents and/or as in the price-bid. It will be the responsibility of the Contractor to provide at their cost all required workers/labour, equipment, machinery and all required materials so as to complete the job as per our drawings and specifications.

1.3.17 All external electrical and civil works required for Retail Visual Identity (RVI) features as Monolith, Facility signage, Directional signages, Backlit fascia and Spreaders as shown in the electrical drawings.

1.3.18 Dismantling all old facilities including walls, structures, driveways, electrical cables and fittings, pipelines, exhuming tanks etc. for the area shown in yellow colour on the layout plan/contour plan of the RO.

1.3.19 The contractor shall deploy a licensed electrical contractor for doing the electrical works. After completion of the work, a certificate to this effect as prescribed under “Indian Electricity Rules” shall be furnished by the contractor for submitting to the State Electricity Board to facilitate power connection.

1.4 ITEMS EXCLUDED FROM THE SCOPE OF CONTRACTOR 1.4.1 Supply of Underground Mild Steel storage tanks. 1.4.2 Supply of Dispensing units. 1.4.3 All RVI features as main signage, facility signage, directional signages, backlit fascia, front lit canopy and

building fascia, spreaders, building and column cladding shown in the layout or any other drawing.

2 PERIOD OF COMPLETION

2.1 COMPLETION PERIOD 2.1.1 Completion period for works shall be as mentioned in the NIT from the date of commencement. The date of commencement shall be 10th day from the date of work order or date of actual handing of site whichever is earlier. Contractor shall have to complete the construction activity within this time limit including dismantling of existing facilities, additions/ alteration to existing facilities that are to be retained.

2.1.2 In case of any delay on the part of TPI/IOCL to carry out the inspection and clear the hold points, IOCL shall give extra time, for completion of work, equivalent to such delays.

2.1.3 The contractor shall submit a bar chart detailing the planned execution of work. Such bar charts shall be got approved by IOCL before commencement of work. For ready reference these charts shall be displayed in the site office at all times.

2.1.4 In case of new Retail Outlet, the contractor can work round the clock and program of work should be made accordingly. The contractor shall continue the work accordingly except for the critical activities such as concrete casting, testing of tanks, pipelines etc. which should be executed preferably during daylight & under IOCL supervision, as decided by IOCL. The completion time mentioned above includes all days of the week including holidays.

2.1.5 The contractor shall submit progress Photographs on fortnightly basis during execution till completion of work.

2.2 PRICE-ADJUSTMENT FOR DELAY

2.2.1 The stipulated time of completion shall be strictly adhered to, failing which shall be applicable in line with clause No. 4.4.0.0 under PRICE ADJUSTMENT FOR DELAY IN COMPLETION of Form of Contract cum General Conditions of Contract. (Refer Page No. 36 of Form of Contract cum General Conditions of Contract). In partial modification of clause 4.4.0.0.of GCC price adjustment for delay in completion shall be deducted at applicable percentage from RA bills , on cumulative values of work done up to the concerned RA Bill. However , in case of abandonment of site/Termination , price adjustment for delays shall be applied inline with GCC clause no. 7.0.9.0 on total contract value as specified in the acceptance of tender .

3.0 METHODOLOGY OF FINALIZATION OF TENDER

As mentioned in the NIT.

4.0 AUTHORIZED REPRESENTATIVE:

The successful tenderer within 10 days of receipt of acceptance of tender, name any graduate engineer responsible for the job at site on behalf of the contractor as per clause 4.0.3.0 and 4.0.3.1, Performance of work, section 4, of GCC. Bidder should give in writing to the Corporation, the name of his authorized and qualified engineer who will supervise the work and shall remain at the site during execution of the job.

Required qualification for the engineer shall be Engineering Graduate with minimum 3 years experience. Alternatively he may be a diploma in Engineering with minimum 5 years experience. Non-compliance of this shall attract recovery of Rs. 30,000.00 per month from the contractor’s bills for the period of non- availability of qualified Engineer.

5.0 ISSUE OF MATERIALS

5.1 Mild Steel storage Tanks (if proposed at the RO) and dispensing pumps to be issued to the Contractor by IOCL. Transportation of the same from IOCL defined Stock points shall be under the scope of Contractor. Contractor shall keep it in safe custody till the time of handing over of completed facility to IOCL. If any material is found to be missing or short from the list of materials handed over, the Contractor shall be responsible for the same and shall have to make up for the losses.

5.2 In case of up-gradation sites, the Contractor shall jointly make a list of assets available at the RO along with the dealer and IOCL representative.

5.3 The Contractor will not have any legal ownership on materials issued for Corporation works.

5.4 The Contractor will submit the name of his authorized representative with his attested signature to engineer in charge for issue of materials.

5.5 Contractor will preserve MIN (Material Issue Note) / MRN (Material Receipt Note) till the submission of final bill for individual works. The consumption of material for work will be settled on the basis of MIN/MRN if any material is found short, the Corporation will recover its cost at the rate of book value plus 10% or market rate, whichever is higher.

6.0 DEALING WITH OUTSIDE PARTIES

6.1 The Contractor should purchase all material from the market, which they require for the work allotted to them, in cash or credit in their own firms’ name only.

6.2 In case of any default on the part of the Contractor to clear the payments of their vendors / suppliers / sub-contractors, the Corporation, to protect its name and image, shall recover the amount from Contractor’s pending bills or security deposit and may make the payment to the concerned party.

6.3 Contractor in his own interest should purchase material from the authorized sources and should fulfill all their obligations of all taxes etc. If the Corporation has reasons to believe that any material has been brought to its premises from unauthorized sources, the Corporation can refer the matter to police for verification.

6.4 The Contractor can be debarred from corporation and EMD/SD shall be forfeited for such lapses.

7.0 QUALITY CONTROL

7.1 Entire work shall be executed as per the IOCL specifications for civil, electrical & mechanical works. All the bought out items used in the construction shall be sourced from the approved vendors of IOCL. However, on the specific request of the Contractor, IOCL may approve name of any other vendor not included in the approved list. List of approved vendors is enclosed with the tender.

7.2 IOCL may appoint Third Party Inspectors (TPI) for inspection of work at various stages of construction and as per the QAP and IOCL specifications. The fee of TPI will be paid by IOCL. Proforma of the QAP is enclosed. .

7.3 Hold Points in the QAP have been so planned that it would require twelve (12) visits of the TPI Agency during the course of work. The contractor must ensure that entire QAP is implemented by him during these visits. For this purpose the contractor must inform the TPI in advance regarding his proposed schedule of offering hold points. In case the TPI Agency has to make extra visits for inspecting the hold points, Rs.5000/-(Rs. Five Thousand Only) per extra visit shall be deducted from the bill amount payable to the contractor.

7.4 Over and above the inspections carried out by TPI, the work will also be inspected by the engineers from our Divisional Office and Maharashtra State Office of IOCL.

7.5 Contractor shall provide all necessary assistance to the TPI / IOCL engineers for carrying out inspections/ tests / measurements of work without any extra cost to IOCL.

7.6 All the materials shall be got approved before use. In case defective/sub standard materials are brought at site and rejected by TPI / IOCL site Engineer, the same shall have to be removed immediately within 3 days from the site at their own cost. IOCL shall not entertain any claim from the Contractor on this account. In case, Contractor fails to remove such materials from the site, within 15 days after issue of notice in writing, IOCL reserves the right to dispose of such materials at the entire risk and cost of the Contractor.

7.7 The Contractor shall make arrangements for retention of samples of approved materials till completion of work.

7.8 Contractor shall bear all expenses towards testing of materials as per QAP and IOCL specifications. Repeat tests if required, as per the opinion of IOCL/TPI shall also be conducted by the Contractor at no extra cost. The lab tests shall be carried out at any reputed government approved test house or PWD lab. However, at its discretion, IOCL may advise to carry out tests at a particular laboratory, which shall be binding on the Contractor.

7.9 Contractor shall provide all the necessary equipments required for field tests to maintain the quality of work as per QAP and IOCL specifications. The following instruments should be available at all times during the execution of work: (i) Measuring Cylinder (Calibrated) (ii) Slump Cone (iii) Weighing Instrument (iv) Gauge for measuring Dry Film Thickness (0-1000 µ) (v) Vernier/ Micrometer Screw Gauge (vi) Surveying Instruments (vii) Levelling Instruments (viii) Earth Megger (ix) Concrete Cube Moulds – 6 nos. (x) Weld Gauge

7.10 The Contractor shall maintain records of all the quality checks / tests at site. The format for such records will be as agreed by the Contractor / TPI / IOCL.

7.11 If the IOCL Engineer / TPI, on inspection or tests is not satisfied with the quality or workmanship of any work or any part thereof, the Contractor shall re-perform, replace, re-erect or re-install such work.

7.12 Should the Contractor fail to re-perform, replace or re-erect as the case may be, any of the works or structure, it has been rejected within a stipulated time period by the Site Engineer, the Contractor shall be deemed to be in the breach of contract and IOCL shall be entitled upon expiry of the stipulated period to demolish and remove the defective works and re-perform or re-erect the same through an alternate agency at the risk and cost of the Contractor. In such cases, IOCL shall be entitled to recover the cost incurred by IOCL together with a supervision charge of 15%. The same shall be deducted from on account running bills or final bill of the Contractor.

7.13 The Contractor shall ensure that the quality system is clearly understood and faithfully implemented at all levels in his organization.

7.14 The Contractor shall develop quality consciousness among all personnel working for the contract.

7.15 The Contractor shall evolve a comprehensive system of planned and documented audit to verify whether various performed activities comply with detailed procedures, specifications, guidelines etc. and to determine the effectiveness of QUALITY SYSTEM.

7.16 Throughout all stages of the scope of contract, the Contractor's procedures, documents, activities, products & services and those of his Sub-contractors' shall be subjected to Quality surveillance and audit by Owner. Such surveillance and audit are optional and shall not relieve the Contractor of his contractual obligations and liabilities.

7.17 The Contractor shall submit all quality records (generated during activity execution) and audit results on well laid formats / pro forma for IOCL review. The rights of such review are reserved by IOCL. IOCL may review it in full, parts or selectively. However, complete correctness of the Quality Assurance (Q.A.) records shall be the sole responsibility of the Contractor irrespective of its review by IOCL.

7.18 The Contractor shall get similar Q.A. System implemented at his sub-contractors' works/ office. Q.A. records from the Sub-Contractor shall be reviewed and certified for compliance by the Contractor before submitting to Owner for information.

7.19 All personnel shall be assigned tasks commensurate with their qualification. Specialized operators shall be qualified and certified.

8.0 SECURITY OF MATERIALS / EQUIPMENTS

8.1 The Contractor shall arrange for their own watch and ward to take care of their materials / equipments.

8.2 The Contractor shall also be responsible for safety and security of the Corporation’s assets handed over to them either at a time of handing over of site or subsequently. 9.0 RATE & EXTRA ITEM

9.1 RATES

9.1.1 The rates quoted by the Contractor against this tender shall be valid for 120 days from the date of opening of tender.

9.1.2 Once the work order is placed on the successful bidder, the rates contained in the work order shall be valid till the entire work is complete and handed over to IOCL. No escalation in rates will be allowed under any circumstances.

9.1.3 All the rates shall be inclusive of Octroi, royalty, levies and transportation etc. and no extra cost will be paid to the Contractor over and above the quoted rates except GST, which shall be paid separately as per applicable rates. Payment of GST shall be entertained only when proof of having GST Registration is submitted to IOCL.

9.1.4 IOCL shall not issue any Road Permit/way bill, Form C or Form D to the contractor

9.2 EXTRA ITEMS AND DEVIATION IN SCOPE OF WORK

9.2.1 The Contractor shall not deviate from the standard drawings and scope of work and specifications unless specific instruction in writing is given by work order issuing authority.

9.2.2 If the changes in drawings or scope of work result into change in particular items of work, recovery or additional payment shall be made on the basis of IOCL’s estimated schedule of rates uploaded with this tender (HO SOR of the area). However, if rates for such items are not available in the above rate schedule, the same will be decided after proper rate analysis. Decision of IOCL on the rate for extra item shall be binding on the contractor. The above schedule of rates is enclosed along with the tender documents (It may be noted that the above schedule is only for the purpose of calculating the financial implication arising out of any allowed change in scope of work).

9.2.3 If need is felt during the execution of work to execute some items not originally covered in the scope of work or not shown in the drawings, the Contractor shall execute the same based on procedure mentioned at 9.2.2.

10.0 PAYMENTS

10.1 PAYMENT SCHEDULE: Progressive payment shall be released as decided by site engineer upto a maximum of 90% for Running bills. Balance 10% on completion of work and handing over of facilities. All Running Account / Final Payment shall be made on submission of the bills along with supporting tax invoice and challans etc. duly certified and cleared by Third Party Inspection Agency / IOCL Engineer.

10.2 Income Tax and surcharge applicable thereon, Works Contract Tax and any other Statutory /State Govt/ Central Govt Tax, as applicable shall be deducted by IOCL at prescribed rates as per the prevailing laws from the bills of Contractor. The amount so deducted by IOCL shall be paid directly to the Statutory Authorities. 10.3 Statutory cess towards BOCW (Building and other construction worker) cess act 1996 is applicable for this tender. Hence, upon receipt of the work order, successful tenderer should obtain the BOCW registration no. and submit the same to our office. 10.4 All payments shall be made by NEFT (National Electronic Fund Transfer)/ RTGS after submission of required details as per IOCL’s policy. Alternately crossed Account payee cheques may be issued to the Contractor. IOCL shall deduct income tax and Works Contract Tax as applicable at prescribed rates as per the prevailing laws. The amount so deducted by IOCL shall be paid directly to the Statutory Authorities.

11.0 DEFECT LIABILITY & SECURITY DEPOSIT

11.1 All the works carried out by the Contractor shall be covered under defect liability period for a period of 12 (twelve) months from the date of Completion of Work.

11.2 The Contractor shall make Security Deposit for an amount equivalent to 10% of the Contract value within 10 days of placement of Letter of Intent (LOI)/ Letter of Acceptance (LOA). Such Security Deposit shall be held by IOCL as Security for the due performance of the Contractor’s obligations under the Contract.

11.3 THE SECURITY DEPOSIT CAN BE MADE IN ONE OF THE FOLLOWING MODES:

11.3.1 Through DEMAND DRAFT: The Contractor will pay an amount equivalent to 25% of the total security deposit, in the form of Demand Draft before commencement of work (called initial security deposit) and remaining 75% of security deposit will be recovered from the running bills @10% of the bill amount, till the entire amount of security deposit is recovered. Alternatively, the entire amount of SD may be furnished by way of Demand Draft.

11.3.2 By Bank Guarantee (Only if the quantum of security deposit is in excess of Rs.1, 00,000.00): Entire amount of security deposit (worked out on the basis of work order value) should be covered by BG as per the format issued by the Corporation and should be submitted prior to commencement of work. The BG will be valid for a period of 3 months beyond the end of defects liability period (12 months from the date of successful completion of works as per contract). This BG shall be submitted directly by the bankers under their covering letter to the office of the Corporation in a sealed cover.

The security deposit collected as per the terms shall be released after a period of 12 Months from the date of completion of works subject to the relevant clauses of the GCC. The SD shall not carry any interest.

11.4 In the event of the Contractor failing to submit the SD within 10 days of the placement of work order, the same may be cancelled without any further reference.

12.0 OBSERVATION OF STATUTORY REGULATIONS

12.1 Before commencement of wok the Contractor shall apply and obtain all necessary declarations and clearances required under law for construction work.

12.2 The Contractor shall maintain all the statutory records at site, as required and shall be required to execute indemnity bond undertaking and declarations as per enclosed format for Provident Fund and Contract Labour Acts. 12.3 If requested by the contractor, Form –V shall be issued from our concerned Divisional Office. Labour license if required for such sites shall be obtained by the contractor.

12.4 The contractor shall ensure compliance of “The Building and Other Construction Workers (Regulation of employment and conditions of Service) Act 1996. 12.5 The Contractor shall keep the Owner indemnified from and against all personnel and third party claims whatsoever (inclusive of all costs incurred between attorney and client) arising out of any act, omission or inter omission on part any sub-Contractor or agent, sub-agent, IOCL or employee of the Contractor or

any sub-Contractor, whether committed, omitted or arising within or without the scope of the contract, sub-contract, agency or employment, as the case may be.

12.6 The contractor shall sign a declaration that they will not engage any child labour, for the corporation’s work, as per various labour laws applicable to them. In case the claim is found to be fake at a later date, the contract shall be terminated forthwith.

12.7 C & A Verification The contractor shall have to submit character and antecedents (C & A) verification for all the personnel’s employed by them, at site, for the corporation’s work.

12.8 During the execution of works, the contractor should ensure adherence to safety systems and procedures. In the event of any non-adherence of the same following penalty for non-compliance will be levied on the contractor: Violation of applicable Safety, Health and Environment related norm, a penalty of Rs.5, 000/-per occasion.

Violation as above resulting in:  Any physical injury, a penalty of 0.5% of the contract value (maximum of Rs.2, 00,000/-) per injury in addition to Rs.5,000/-as in item 1.

 Fatal accident, a penalty of 1% of the contract value (Maximum of Rs.10, 00,000/-) per fatality in addition to Rs.5, 000/-as in item 1.

13.0 EXECUTION OF WORK

Broad sequence of completion of various facilities shall be as under:

13.1 Land development, compound wall, installation of tanks, installation of pumps, laying of pipelines, WBM, approach culverts, approach roads and electrification of pumps shall be the first priority.

13.2 Construction of RCC driveway/ Laying of paver blocks, construction of sales building, electrification of building and yard lights, electrification of signages, drains, canopies and painting and other miscellaneous works shall be the second priority.

13.3 The Contractor may carry out the work on all the fronts if work fronts are available with no obstruction to the sales operation.

13.4 Notwithstanding the above, the entire work shall be completed within the time limit specified in the contract.

13.5 The Contractor shall provide sufficient labour, staff, tools and equipment whatsoever necessary for the proper performance of work and to ensure the rate of progress as envisaged in the progress schedule. If in the opinion of Engineer-in-Charge the works is not progressing satisfactorily to achieve the completion as per the progress schedule, he may instruct the Contractor to employ / provide additional resources to achieve the required progress and the Contractor shall comply with such instructions.

13.6 The Contractor shall not assign, sub-contract any part of the work in any manner without the prior written approval from IOCL.

13.7 The Contractor shall preserve cash receipts/ invoices of purchases of materials/equipments for the project and shall be obliged to produce the same on demand by IOCL.

13.8 The Contractor shall be required to commence work at all the sites simultaneously if the sites have been handed over to them (i.e. in case of more than 1 site).

13.9 Under some special circumstances, the Corporation may advise postponement of commencement date or suspension of work or to carry out the work in stages, in which case the time of completion shall be determined suitably depending upon the actual delay/interruptions caused. The Corporation will not however be liable under any circumstances for payment of compensations of any nature to the Contractor for such delay or interruptions.

13.10 If the Contractor fails to complete work within the completion period or does not show sufficient progress as per time schedule fixed for completion of the work, in line with the provisions of the General Conditions of Contract (GCC), Corporation may terminate the contract by giving 15 days notice by a registered letter and get the full or remaining job done through any other Contractor at higher rate and recover the difference from the Contractor's pending bill/security deposit.

13.11 Checklist titled “Do’s and Don’ts for construction site at Retail Outlet” and “Construction Safety Checklist for Retail Outlet” must be strictly enforced and adhere to during all construction activities. 14.0 CERTIFICATIONS OF MEASUREMENTS & PAYMENTS

14.1 All measurements shall be made in metric system and except where indicated to the contrary in the Contract. All measurements shall be taken jointly by the Third Party Inspectors / Site Engineer and the Contractor. The Contractor shall be bound to be present himself or his authorized representative wherever so required by the TPI / Site Engineer. If the Contractor abstains himself for any reason whatsoever on any date fixed for joint measurements the joint measurements shall be taken by the Site Engineer / TPI in the absence of Contractor and the same shall be final and binding on the Contractor.

15 GCC contains provisions for ‘Arbitration and Alternative dispute resolution machinery’ under section 9, which stands deleted. Further, the reference to arbitration and alternative dispute resolution machinery provision contained in any other term and condition in GCC, which may be general or special in nature shall also stand deleted to the extent the said contents are applicable to the arbitration provisions.

Further, the bidders hereby agree that the Court in the city of Mumbai, Maharashtra alone shall have the jurisdiction to entertain any application or other proceedings in respect of any dispute arising under this tender.

16 Mobilization Advance: Mobilisation advance clause shall not be applicable for this contract. No mobilization advance shall be given to the contractors. This clause shall supercede any other clause on mobilization advance if mentioned elsewhere in the tender documents.

17 GENERAL CONDITIONS OF CONTRACT NON-APPLICABILITY /MODIFICATIONS :

I. The clause nos. 2.6.1.0, 2.6.2.0 under section 2 of GCC and all clauses under 4.5.0.0 and Clause no.3.0 of ‘Instruction to Tenderers’ of General Conditions of Contract are not applicable.

Clauses 4.5.1.1 – The clause shall partly be modified. Duration of 30 days shall be read as 20 days.

II. In partial modification of GCC clause no. 5.5.0.0. , the completion certificate shall be issued by DGM(E), on written request by the CONTRACTOR on successful completion of works and after completion of documentation as listed in clause 5.5.2.0. of GCC and including release of final bills within 15 days from the date of receipt of written request for completion certificate by the CONTRACTOR.

18.0 BLACK LISTING / HOLIDAY LISTING / BANNING / REMOVING FROM APPROVED PANEL:

A party may be put on holiday list for any one or more of the following reasons: i) Has indulged in malpractices such as bribery, corruption, fraud and pilferage ii) Is bankrupt or is being dissolved or has resolved to be wound up or proceedings for winding up or dissolution have been instituted. iii) Has submitted fake, false or forged documents / certificates iv) Has substituted materials in lieu of materials supplied by IOCL or has not returned or has short returned or has unauthorizedly disposed off materials / documents / drawings / tools or plants or equipment supplied by IOCL. v) Has obtained official company information or copies of documents, in relation to the tender / contract, by questionable methods / means. vi) Has deliberately violated and circumvented the provisions of labour laws / regulations / rules, safely norms or other statutory requirements. vii) Has deliberately indulged in construction and erection of defective works or supply of defective materials. viii) Has not cleared IOCL’s previous dues. ix) Has committed breach of contract or has failed to perform a contract or has abandoned the contract. x) Has refused to accept fax of Acceptance / Letter of Acceptance / Purchase Order / Work Order after the same is issued by IOCL within the validity period and as per agreed terms and conditions. xi) After opening of Price Bid, on becoming L1, withdraws / revises his bid upwards within the validity period. xii) Has parted with, leaked or provided confidential / proprietary information of IOCL given to the party only for his use (in discharge of his obligations against an order) to any third party without prior consent of IOCL. xiii) Any other ground for which in the opinion of the Corporation makes it undesirable to deal with the party.

In case if a party put on holiday list, no tender enquiry / bid / work order will be issued to the party as long as the party’s name is on the holiday list. The period of holiday listing may be for one or more years depending on the sole discretion of IOCL. The holiday listing will be party specific and when the party is put on holiday list, all the offices of the party shall be on holiday for all locations of IOCL and for all services / locations of the party. If the party placed on holiday, is proprietary concern, all the concerns of the same proprietor shall also be considered to be on holiday and if that proprietor is the managing partner of any firm, such firm shall also be considered to be on holiday. The Functional Director may however, if he considers this to be in the interest of the Corporation, remove the bar in respect of any specific service / location.

Every bidder shall, at the time of submission of bid, give a declaration the bidder has not been placed on holiday list by IOCL or its Administrative Ministry. If the bidder is a Proprietary Concern, the Proprietor shall also give a declaration at the time of submission of the bids that none of the other concerns of which he is a Proprietor or Managing Partner has been placed on holiday by IOCL or its Administrative Ministry. In case the declaration of a party indicates that either the company or a proprietorship concern of the same proprietor or a partnership firm in which the proprietor is also a managing partner has been placed on Holiday either by IOCL or its Administrative Ministry, the party shall be considered to be on holiday.

19 GCC, Safety conditions, Civil Specifications Part I & II, Mechanical Specifications, Electrical Specifications, Standard drawings, Check lists, etc given the tender shall be forming part of the order and will given along with the order to the successful bidder.

20 The schedule of Rates shall be read in conjunction with materials & job specifications & in case of any irreconcilable conflict between them, provision in the item under Schedule of Rates/Quantities will override corresponding provision only of the material and job specifications, which cannot be reconciled. In such cases, the decision of the Engineer-in-Charge shall be final and binding on the contractor.

21 In case of contradiction between Indian Standards, General Conditions of Contract, Special Conditions of Contract, Specifications, Drawings, Schedule of Rates, the following shall prevail in order of precedence. a. NIT b. Telex/Telegram of intent, detailed letter of intent. c. Schedule of Rates and Quantities (BOQ/PR) d. Special Terms and Conditions of Contract e. Job specifications f. Drawings g. General Conditions of Contract. h. Indian Standard/Technical/Material Specifications.

In case of difference in specifications of material/works at different places of tender, stringent specifications as decided by PMC (Project Management Consultant) /IOCL will be considered for execution.

22 Wherever taxes are charged on IOCL, the Contractor Shall Provide Tax Invoice in compliance to laws to enable IOCL to avail tax benefits and all bills shall be accompanied by a valid Tax invoice indicating following Minimum details:

a) Invoice/Bill/Challan should be signed by the person authorized to sign such invoice/Bill/Challan b) Invoice/Bill/Challan should be serially numbered. c) Invoice to contain name address and the registration number of service provider d) Invoice to contain name and address of service receiver e) Invoice to contain description, classification and value of taxable service provided f) The party shall also be required to mention the GST details required to be paid by IOCL at the time of submission of bills as per the provision of Law prevalent at the time of Payments.

(ii) The Corporation shall have the fullest liberty without reference to the Bank and without affecting in any way the liability of the Bank under this Guarantee/ Undertaking, at any time and/ or from time to time to amend or vary the Contract and/ or any of the terms and conditions thereof or relative to the said initial Security Deposit or to extend time for performance of the said Contract in whole or part or to postpone for any time and/ or from time to time any of the obligations of the Contractor and/ or the powers or remedies exercisable by the Corporation against the Contractor and either to enforce or forbear from enforcing any of the terms and conditions of or governing the said Contract or the said Initial Security Deposit or the securities available to the Corporation or any of them and the Bank shall not be released from its liability under these presents and the liability of the Bank hereunder shall remain in full force and effect notwithstanding any exercise by the Corporation of the liberty with reference to any or all the matters aforesaid or by reason of time being given to the Contractor or any other forbearance, act or omission on the part of the Contractor or of any indulgence by the Corporation to the Contractors or of any other act, matter or thing whatsoever which under the law relating to sureties or otherwise which could but for the provision have the effect of releasing the Bank from its liability hereunder or any part thereof and the Bank hereby specifically waives any and all contrary rights whatsoever.

(iii) The obligations of the Bank to the Corporation hereunder shall be as principal to principal and shall be wholly independent of the contract and it shall not be necessary for the Corporation to proceed against the Contractor before proceeding against the Bank and the Guarantee/ Undertaking herein contained shall be enforceable against the Bank notwithstanding the existence of any other Guarantee/ undertaking or security for any indebtedness of the Contractor to the Corporation (including relative to the said Security Deposit) and notwithstanding that any such undertaking or security shall at the time when claim is made against the Bank or proceedings taken against the Bank hereunder, be outstanding or unrealized.

(iv) The amount stated by the Corporation in any demand, claim or notice made with reference to this guarantee shall as between the Bank and the Corporation for the purpose of these presents be conclusive of the amount payable by the Bank to the Corporation hereunder.

(v) The liability of the Bank to the Corporation under this Guarantee/ undertaking shall remain in full force and effect notwithstanding the existence of any difference or dispute between the Contractor and the Corporation, the Contractor and the Bank and/ or the Bank and the Corporation or otherwise howsoever touching or affecting these presents for the liability of the Contractor to the Corporation, and notwithstanding the existence of any instructions or purported instructions by the Contractor or any other person to the Bank not to pay or for any cause withhold or defer payment to the Corporation under these presents, with the intent that notwithstanding the existence of such difference, dispute or instruction, the Bank shall be and remain liable to make payment to the

IT IS THEREFORE THE INTENT OF THIS INDEMNITY BOND UNDERTAKING BY THE CONTRACTORS to indemnify and keep indemnified the Corporation as stated hereinafter. 1. The Contractor hereby undertake to furnish a certificate with regard to the number of labourers employed by them in the Corporation in other ordination throughout the country to the Location in-charge of the Corporation where the work is undertaking by the Contractors.

2. The Contractors hereby confirm and state that they are duly registered under Contract Labour (Regulation and Abolition) Act 1979 as amended from time to time and that they undertake to furnish a certified copy of the requisite License obtained by the Contractors from the competent authority to the corporation’s representative.

3. The Contractors hereby undertake to keep proper record of attendance of his labourers and will give opportunity to the officers of the Corporation to supervise the same and confer upon the Corporation’s representative the right to countersign the said register. The Contractors shall provide a copy of pay sheets to the Location in-charge of the Corporation and also confer the right of wages to the labourers on the spot whenever required by the Corporation.

4. The Contractors state that they are fully aware of the provisions of the Provident Fund Act, particularly with regard to the enrolment of labourers as a member of Provident Fund. The Contractors further confirm that they are aware of the provisions and that they are obliged to recover Provident Fund contribution from the eligible labourers engaged by them and after adding their own contribution, remit the same to RPFC. The contractors state and confirm that are fully aware of their obligation remit the said amounts on account of Provident Fund to the RPFC within the prescribed period and that they have obtained a separate code number from the Regional Provident Fund Commissioner which is bearing Sanction No. dated ...…...... from ..……...... RPFC.

5. The Contractors will afford all opportunities to the Corporation whenever required to verify that the Provident Fund is actually deducted by the Contractors from the wages of the labourers and the same together with the Contractors’ contribution has been duly remitted by the Contractors to the concerned P.F. Commissioners. The Contractors also undertake to provide photocopy of the receipt issued by the concerned P.F. Commissioner for having received the P.F. contribution from the Contractors.

6. In the event the location in-charge of the Corporation is not satisfied about the payment of wages made and the recovery of P.F. etc. from the labourers employed by the Contractors, the Contractors hereby agree and authorize the contractor’s complete all their obligations.

7. Notwithstanding the provisions contained in clause 6 above, the Corporation hereby undertake and authorize the Corporation to recover dues payable by the Contractors to the labourers employed

8. The Contractors hereby agree, confirm and declare that they have fully complied and will comply with the provisions of various labour laws, particularly those referred to herein above and that no violation of the provisions of various amenities and facilities to the workers under different laws has been done by them and in the events of any past or future violation of the various labour laws, the contractors shall indemnify and keep the Corporation duly indemnified against all losses, damages, costs, expenses, penalties, suits or proceeding which the Corporation may incur, suffer or be put to.

9. The contractors hereby agree that the aforesaid indemnity undertaking are in addition to and not in substitution of the terms and conditions contained in the tender documents and the work order and also the Agreement executed by the Contractors with the Corporation.

10. The Contractors hereby confirm, agree and record that these terms of undertaking and indemnity shall be irrevocable and unconditional and shall be binding on their heirs, executors, administrators and legal representatives and shall ensure for the Corporation’s benefit and for the benefit of its successors and assigns.

4. The Contractors state that they are fully aware of the provisions of the Provident Fund Act, and the rules made there under. The Contractors hereby confirm that the said act and the rules made there under are not applicable to them since they have not employed labourers exceeding ______at any time and that the labourers so far employed were also not on continuous basis. The contractors further confirm in this regard that no worker employed by them is in service for circumstances none of the workers employed by them is eligible for P.F. benefits under the said Act. The Contractors therefore state that they are exempted from the purview of the said ACT and the rules made there under an they are therefore not required to obtain a separate code No. from the R.P.F.C.

5. The Contractors hereby undertake and agree that in event of any claim on account of P.F. liabilities arising in future, they shall keep the Corporation duly indemnified against all losses, damages, charges, expenses, penalties, suits or proceedings which the Corporation may incur, suffer or be put to on that account.

On the expiration of the contract or any earlier termination thereof, we shall forthwith remove our employees who are on the Corporation’s premises or any part thereof failing which, our employees, agents, servants etc. shall be deemed to be trespassers and on their failure to leave the Corporation’s premises, the Corporation shall be entitled to remove all persons concerned (if necessary by use of force) from the Corporation’s premises and also to prevent them (if necessary by use of force) from entering upon the Corporation’s premises.

4. We hereby undertake and declare that, in the event the workmen/employees/person engaged by us (“the Contractors’ employees”) to carry out the purpose hereof, attempt to claim employment with the Corporation or attempt to be declared as employees of the Corporation or attempt to become so placed, then in all such cases, we shall assist the Corporation in defending all such attempts of the Contractor’s employees AND we shall bear and pay solely and absolutely all costs, charges and expenses including legal charges incurred or which may be incurred in defending all such attempt and in any appeal or appeals filed by the Corporation therein or relating thereto AND we hereby indemnify for ever the Corporation against all such costs, charges and expenses including legal charges and against all and any loss, expenses or damages, whether recurring or not, financial or otherwise, caused to or incurred by the Corporation, as a result of such attempt by the Contractors’ employees.

ARTICLE 2 WORK TO BE PERFORMED 2.1 The CONTRACTOR shall perform the said work upon the terms and conditions and within the time specified in the Contract Document.

ARTICLE 3 COMPENSATION 3.1 Subject to and upon the terms and conditions contained in the Contract documents, the OWNER shall pay CONTRACTOR compensation as specified in the Contract documents upon the satisfactory completion of the work and/or otherwise as may be specified in the Contract documents.

ARTICLE 4 JURISDICTION 4.1 Notwithstanding any other court or courts having jurisdiction to decide the question(s) forming the subject matter of the reference if the same had been the subject matter of a suit, any and all actions and proceeding arising out of or relative to the contract shall lie only in the Court of Competent Civil Jurisdiction in this behalf at Mumbai and only the said Court(s) shall have jurisdiction to entertain and try any such action(s) and/or proceeding(s) to the exclusion of all other Courts.

ARTICLE 5 ENTIRE CONTRACT 5.1 The Contract Documents mentioned in Article-1 hereof embody the entire Contract between the parties hereto, and the parties declare that in entering this Contract they do not rely upon any previous representation, whether express or implied and whether written or oral, or any inducement, understanding or agreement of any kind not included within the Contract document and all prior negotiations, representation, contract and/or agreements and understandings and hereby cancelled.
