Administrative Office-2, Network-1, Bengaluru Circle of State Bank of India, invites sealed tenders from reputed Consultants ( HVAC category only) for procurement of consultancy services for the above mentioned project under “two stage ” i.e. Technical bid and price bid system.

Interested Firms/ Individuals satisfying the Prequalification Criteria as mentioned in Technical Bid should apply in the formats available at Banks website www.sbi.co.in under Procurement news up to 3.00pm on 26/02/2018. Both the envelopes be marked Technical Bid and Financial Bid respectively and put in single cover marked “ Offer for PROVIDING CONSULTANCY SERVICES for VRV/VRF based Air Conditioning services Administrative Office-2, Building at K.G.Road in BANGALORE” shall be submitted to the Office of “Deputy General Manager(B&O), AO-2, NW-1, 6th Floor, SBI K G Road Building , Bangalore-56009. Tenders received beyond 3.00pm on 26/02/2018 will not be considered.

The technical bids should be accompanied with a pay order/demand draft of Rs. 500/- in favour of ‘State Bank Of India’ payable at Bengaluru. Tenders without pay order/ demand draft of Rs. 500/- are liable to be rejected. Technical bids will be opened at 3.30pm on last date of submission of tenders i.e. on 26/02/2016 in the presence of bidders or duly Authorized representatives of the bidders, who wish to be present. The financial bids will be opened only for the bidders who have met the qualifications laid by the Bank on later date. Successful bidders will be informed separately. No correspondence in this regard will be entertained. General Conditions: 1.1 Interpretation:- 1.1.1 Bank: The term Bank shall denote ‘State Bank Of India’ with their Administrative Office-2 at K G Road Bangalore, and any of its employees representatives authorized on their behalf. 1.1.2 Consultants: The term consultant shall mean ______(Name and address of the Consultants ) or in the event of his/their ceasing to be Consultants for the purpose of this contract such other person/s as the Bank shall nominate for the purpose. The Consultant with the approval of the Bank may engage a local Consultant/ Consulting Engineer for supervision and co-ordination of the work at the site. 1.1.3 Consultancy Services: Consultancy services mean and include services related to survey of Area, Submission of feasibility reports, preparation of initial and detailed estimates, Site investigation and evaluation ,resource assessment & evaluation, detailed drawings, preparation of tenders, inviting the tenders, comments on tenders received, site supervision and other related services generally rendered by Consultants. 1.1.4 Contractor: The term contractor shall mean the agency selected for construction and allied works after tendering and his/their heirs, legal representatives, assigns and successors. 1.1.5 Site: The site shall mean the site where the works are to be executed including any building and erection thereon allotted by the Bank for the contractor’s use. 1.1.6 Drawings: The work to be carried out in accordance with drawings, specifications, the schedule of quantities and any further drawings which may be supplied or any other instruction, which may be given by the Bank during the execution of the work. All drawings relating to work given to the contractor together with a copy of schedule of quantities are to be kept at site and the Bank/ Consultant/ Contractor shall be given access to such drawings or schedule of quantities whenever necessary. 1.1.7 Work: The work shall mean the work or works to be executed under this project. 1.1.8 Act of Insolvency: The Act of Insolvency shall mean any act such as defined by the Presidency Towns Insolvency Act or in Provisional Insolvency Act or any amending statutes. 1.2 Language of Bid should be English. 1.3 The rates should be quoted both in figures and words. In case of the difference between two, the amounts written in words would be considered. 1.4 It is essential to submit attested documents in support of the pre-qualification criteria as mentioned in the documents. 1.5 In case of non adherence of the Formats or partial submission of bids, the bid may not be evaluated. 1.6 Each Page of the document shall be signed by the tenderer. 1.7 Any overwriting or corrections made shall be duly signed by the tenderer. 1.8 Withdrawal/ Amendment in the bids: The Bank reserves the right to accept or reject one/all proposal(s), to amend the tender terms, to request one or more resubmission/clarifications from one or more tenderers, or to cancel the process in whole or part. 1.9 The bank also reserves the right to amend the conditions related to Consultancy

The bank may, for any reason, whether at its own initiative or in response to clarification(s) requested by a prospective tenderer, modify the content of this document by amendment. Amendment will be notified on the bank’s website and will be binding on all participating tenderers. No individual instruction shall be given in this regard. The bank shall not be liable for any communication gap. In order to provide prospective tenderers, reasonable time to take the amendment into account for preparation of their bid, the bank may, at its discretion, extend the last date for bid submission 1.10 Force Majure: This process may be terminated or can be cancelled if event like, but not limited to, by Acts of God or of Public Enemy, Acts of Government of India/State in their sovereign capacity, acts of war, fire, floods, strikes, lock outs etc, occurs. 1.11 Only the selected bidder would be intimated by way of Letter of Intent and the selected bidder consultant shall enter into an agreement with Bank within 7 days of dispatch of Letter of Intent, failing to which, it will be considered that the Consultant has no intention for acceptance of work. 1.12 In case the selected bidder consultant fails to enter into an agreement as stipulated in the forgoing clause, it would be the absolute discretion of the Bank to choose another bidder who stands second in the order of merit in the reckoning of the Bank or to cancel/revoke the whole bid process and initiate fresh bid process. 1.13 It may be noted that too low fee quoted shall be viewed with circumspection and the tender may be rejected. 1.14 In case of a tie, the bank reserves the right to choose any one of the tenderer based on merit without stating reasons.

A. SCOPE OF WORK:- Possible scope of works for the appointed consultant:-

a. Phase 1 : Preparation of Detailed Project Report. b. Phase 2 : Guidance and Support in Procurement . c. Phase 3 : Review and Validation . d. Phase 4 : Project supervision. The detailed descriptions of scope of works stages wise are elaborated as under:- A.1. HVAC DESIGN SERVICES.

1.0 Schematic Design Stage 1.1 Consult with Client to ascertain the requirements of the project. 1.2 Study all survey information provided by Client including existing over ground and under ground services. Advise Client on necessity for any additional survey, investigations & tests. Provide all necessary information to Client about the technologies available and the suitable technology for the proposed project

1.3 Establish design criteria and data, evaluate and recommend suitable systems. 1.4 Collaborate and provide all necessary information to the Client to facilitate the finalization of Schematic Design. 1.5 Develop engineering design and documents and submit the same for Client’s approval. 1.6 Provide indicative budgetary cost estimate in conjunction with PMC / Cost consultant. 1.7 Provide all necessary information to Bank’s Engineer for preparation of pre- tender estimates for Client approval Upon receiving approval of the Client, prepare drawings, technical specifications and Bill of Quantities in sufficient details for various identified work packages and submit the same to PMC / Cost Consultant for compilation of tender documents. 1.8 Develop engineering design brief report and documents and submit the same for Client’s approval 2.0 Approvals Stage:-

2.1 Provide technical clarifications as required to assist Client for preparing NIT/ Tenders & BOQ as required for prequalification etc. 3.0 Tendering and Finalization of HVAC contractors.

3.1 Assist Clients / PMC in pre-qualification of suitable contractors / suppliers. 3.2 Upon receiving the proposals from vendors, view/modify/consolidate the design for each services and the same will be reviewed with the client. Upon approval of the Client, review of tender drawings, preparation of technical specifications and Bill of Quantities in sufficient details for various identified work packages and submit the same to Client 3.3 Provide technical clarification on queries raised during the tender process. 3.4 Assist in technical evaluation of tender bids and Recommendations for award of work. 4.0 Execution /Construction Stage 4.1 Review of shop drawings and technical data sheets as submitted by the contractor. 4.2 Certification of quality of materials and work at various stages to be part of scope of work, Review of mockups, material samples and test certificates. 4.3 Make required site visits with project managers to ascertain that the construction works are proceeding in general accordance with the design intent and quality

standards. Advice Client / contractors of any remedial actions as required. Review of As-built drawings and “handing over documentation” as prepared by contractors and certified by PMC. The document includes test certificates, manuals, pre- commissioning reports, commissioning reports, as built drawings, escalation matrix, makes of material and recommended spare parts. 4.4 Issue of Virtual Completion Certificate. 5.0 TECHNICAL SCHEDULE --Engineering design review services on the following discipline

I. HVAC

1. Comfort Cooling requirement and estimation

2. Cooling requirement as per ASHRAE.

3. Equipment’s sizing as per the application.

4. Air distribution system for the office premises.

5. Design of HVAC related control circuits

6. Schematic layouts for HVAC system.

7. Schematic layouts for BMS system if required .

8. Incorporating technical details furnished by the Bank’s Engineer during the Design development stage.

II. ELECTRICAL

1. Estimation of power requirements.

2. LT distribution system for HVAC.

3. power distribution system including electrical Panels for 3 Floors

4. Incorporating technical details furnished by the client during the design development stage.

Different Stages/Phases of works:- Phase 1: Preparation of Detailed Project Report A detailed project report (DPR) for the project would be prepared by Consultant. Tasks in this phase shall cover the Site investigation and evaluation including assessment & evaluation of different schemes for HVAC, Specifically indicate the cost effectiveness & its working Principles, its Feasibility. Phase 2: Guidance and support in procurement by tendering:-

Formulation and evaluation of enquiry specifications, assisting us for selection of contractor(s). Participation in discussions between client and the contractor(s) , Preparation of responses to queries raised by contractor(s), Review of contract.

Phase 3: Review and Validation :- Review of all shop floor drawings ,overall engineering, Review of design, Review of all pilings, false ceiling cuttings etc as per site requirements as it is a running Office at 4th /5th & 6th floor of said building, civil / structural design, and Approval of design and drawings of contractor.

Phase 4: Project completion including Supervisions etc:- Monitor the project installation at the site and provide necessary quality assurance, Review of quality plan, standards, certifications & test reports, Review of project milestone / project schedule, Witness performance test for Provisional Acceptance Test, Periodic visits to site to monitor installation progress, quality and adherence to specifications & Highlighting important observations and deviations. 1. Duties/ Functions of the consultants.

1. Taking the Employer’s instructions, visiting the sites, preparing sketch designs which shall be in accordance with local governing codes/ standards/ regulations etc., (including carrying out necessary revisions till the sketch designs are finally approved by the Employer), making approximate and detailed estimate of cost, preparing reports on the scheme so as to enable the Employer to take a decision on the sketch designs. Preparing Consultancy drawings, system design, layout drawings , detailed estimates and all such other particulars as may be necessary for preparation of bill of quantities.

2. Preparing detailed tender documents for various heads of works, complete. preparation of articles of agreement, special conditions, conditions of contract, specifications, bill of quantities, including detailed analysis of rates based on present market rate, time and progress charts etc.

3. Preparing Pre-qualification and tender documents (required sets of each document & also 1 soft copy) for issue by Bank for inviting tenders for such works, attending pre bid meetings with all vendors and submitting assessment reports & comparative statement of tenders thereon, together with recommendations specifying abnormally high and low rated items.

4. Recommendation of eligible contractor after e-bidding for award of work based on the assessment report supported by proper analysis of rates with coefficients from an approved Standard Hand Book / market rates of materials and the labour.

5. Arranging award of works to L1 bidder after reverse auction procedures as per Bank’s Norms.

6. The consultant shall prepare detailed work order to be issued to the contractors on behalf of the Bank as and when advised together with contract documents for all trades for getting them executed by the contractors in consultation with the bank.

7. The Consultant shall submit a proper PERT CHART/BAR CHART incorporating all the activities required for the completion of the project well in time i.e., preparation of working drawings, detailed drawings, etc.

8. Consultant will also ensure that the contractor complies with all applicable statutory provisions/ labour laws etc.

9. Preparing for the use of the Employer, the contractor and the staff, four copies of contract documents for all trades including all the drawings, specifications and other particulars. Keeping such further details and drawings as are necessary for proper execution of the works.

10. Assuming general responsibility for supervision and proper execution of all works by the regular and specialist contractors who are engaged from time to time including control over quantities during the execution to avoid variation, if any to the minimum.

11. Checking the measurements of works at site, checking contractor’s bills, issuing periodical certificates for payments, and passing and certifying accounts, so as to enable the Employer to make payments to the contractors as detailed in the agreement. The Consultant shall endorse the above certifications in the relevant measurement books also.

12. Further the Consultants shall verify and confirm that identification marks are made on all service installations/cables/wiring etc., for easy identifications to carry out the maintenance jobs. The Consultants shall be wholly and solely responsible for the successful completion of the project in all respects consistent with safety and structural stability from the inception up to the handing over for occupation of Employer to be supported by completion certificates.

ANNEXURE - 2

AGREEMENT FOR CONSULTANCY SERVICES

This agreement made this on______between STATE BANK OF INDIA, Administrative Office -2, Network-1 , Bangalore Circle having its office at SBI, K.G. Road building Bangalore 560009 (hereinafter called ‘The Employer’ which expression shall include its successors and assigns) of the one part and ______(Hereinafter called ‘the Consultants” which expression shall include the present partners from time to time as also their respective heirs, legal representatives, administrators and assigns) of the other part. Whereas the Employer intends to the Employer is desirous of appointing the said Consultants as Consultants for the said PROJECT hereinafter called as ‘“PROVIDING CONSULTANCY SERVICES for VRV/VRF based Air Conditioning services for Administrative Office- 2, Building at K.G.Rd in Bangalore” and where as the Consultants have accepted the said appointment by their letter ______Now, therefore, this agreement witnessed that ______are hereby appointed as Consultants for ______of the said project above referred to on the following terms and conditions or all conditions stipulated in Notice inviting tenders: 1. Consultants’ Services: The Consultants shall render the following services in connection with and in regard to the said works: Taking the Employer’s instructions, visiting the sites, preparing sketch designs which shall be in accordance with local governing codes/standards/regulations etc., (including carrying out necessary revisions till the sketch designs are finally approved by the Employer), making approximate and detailed estimate of cost, preparing reports on the scheme so as to enable the Employer to take a decision on the sketch designs. It is clearly understood that the consultants services includes Site Engineer for day to day supervision to ensure that the said works are being executed as per the plans and designs/specifications given by the Consultants and provided for in the contract agreement with the appointed contractors for various trades of the project, monitoring of the project, checking the materials/works, getting various tests for materials and works executed, correct measurements of works, initial scrutiny of the contractor’s bills at the site and making recommendations to the Bank. The consultants shall involve himself from the beginning of work i.e from pre-qualification of contractors to remain fully associated with the project. the said appointment of the consultant is for monitoring various activities connected with the project and assisting the Bank in scrutiny of recommendations, reports, designs, estimates, plans etc. received from the Consultants in a view to enable the Bank to take decisions. It is expected that the Consultants work jointly as a team in good spirit with a view to get the said works completed in best possible manner and efficiently. 2. CONDITIONS OF ENGAGEMENT a) The Consultants shall submit to the employer the sketch plans, detailed plans, cost estimates, tender documents etc., within the period stipulated in the schedule here to annexed-3. b) The Consultants shall exercise all reasonable skill, care and diligence in the discharge of duties hereby covenanted to be performed by them and shall exercise such general superintendence and inspection in regard to the said works as may be necessary to ensure that the work being executed by the contractors under day to day supervision of the PMC/SITE ENGINEER is in accordance with the working drawings and specifications given by them and that the work is free from defects and deficiencies. In the event of their finding/observing any deviations there from, they shall immediately bring it to the notice of Bank’s Engineer, contractors and the Bank in writing. The Consultant’s overall responsibility will continue during the defect liability period to see that the PMC/SITE ENGINEER are persuaded to get the defects, if any, removed by the contractor and they shall give a ‘NO OBJECTION CERTIFICATE’ at the end of the defect liability period for refund of the balance retention money to the contractors after getting recommendations/clarifications from the PMC/SITE ENGINEER. c) The Consultants shall co-ordinate their activities during all stages of the work with the other consultants and the PMC/SITE ENGINEER deputed by Consultants and arrange for the completion of the works in accordance with the programmed drawn up. For this purpose the consultants shall supervise/ and attend the site meetings every week. They will assist the PMC/SITE ENGINEER to prepare minutes of discussions and instructions with a view to co-ordinate works and avoid delays.

Tender date: 12/02/2018 Page-12 of 22 Signature & seal of the consultant Tender for Hiring of consultancy services for our proposed HVAC at KG rd Building , Bangalore. d) Whenever the work is examined by the Chief Technical Examiner of the Central Vigilance Commission and if he brings to notice any defective or substandard work or any irregular / excessive payments the Consultants shall take necessary action to get the defect rectified and or recover the reply to the Chief Technical examiners queries. In case of disputes with contractors or disputes arising out of the said project execution as well as in matter of arbitration pertaining to project, the Consultants shall assist the employer from time to time by drafting replies in consultation with legal advisers and protect interest of the employer. e) The Consultants shall not make any deviation, alteration or omission from the approved design without the written consent of the Employer. The Consultants shall also not undertake, execute or carry out any variation or extra items of work in without the prior approval of the Employer, the Employer shall not be liable to pay the contractors for such additions and variations and the Consultants shall also not be entitled as of right to claim fees for such additional or deviated item of works. f) During the progress of work, the Consultant’s representative shall remain in touch with the BANK’s ENGINEER and ascertain from them whether any excess over sanctioned cost is anticipated and/or has already occurred. The Consultants shall immediately report the same to the employer with adequate justification for the same and obtain employers approval thereto. g) The Consultants shall engage within the fees finalized and agreed to in the agreement engage qualified PMC/ SITE Engineer/Engineers/Consultants for periodical supervision during the construction of works. h) The Consultant shall, on the completion of the work, supply to the Employer free of cost two copies of one eighth scale drawings (one of which shall be in tracing cloth) two complete sets of structural drawings and two sets of drawings sufficient to show the main lines of electricity, electrical installation and other essential services and also an inventory of all fittings and fixtures in the building. The Consultants shall if so required by the Employer, supply extra copies of all such drawings and the cost of such extra copies shall be reimbursed by the Employer to the Consultants. i) The Consultants shall, within the fees mentioned in clause 5 below engage qualified Structural consultants, Electrical Engineer/Consultants for other miscellaneous works (if not separately appointed by the employer) etc. to assist them in their work. The remuneration / fees of engineer / consultant appointed under this clause shall be paid by the Consultants who shall also be responsible for all the work, actions, omissions, etc., of any such engineers / consultant.

3. TERMINATION OF AGREEMENT

a) The agreement herein may be terminated at any time by either party by giving a written notice of two months to the other party. Even after the termination of their employment, the Consultants shall remain liable and be responsible for the certifications / approval of any bills submitted by the contractors at any time, in respect of the work executed before the termination of the Consultants’ appointment and consequences thereof on account of any excess/wrong payment, if any, certified/recommended by the Consultants for payments to the contractors.

b) If the Consultants shall close the business or one or more of them die or become incapacitated from acting as such Consultants, then the agreement shall stand terminated.

c) 1) If the Consultants fail to adhere to the time schedule stipulated in the schedule here to annexed or the extended time which may be granted by the employer in his sole discretion or

2) In case there is any change in the constitution of the firm of the Consultants for any reason whatsoever, the employer shall be entitled to terminate this agreement without giving any notice and entrust the work to some other Consultants. d) In case of termination under sub-clause (a), (b) or (c) the Consultants shall not be entitled to fees or compensation except the fees payable to them for the work actually done. In such cases the decision of the employer as to what is the work actually done and what is the amount of the fees due to the Consultants on the basis of the actual work done and what is the amount of the fees due to the Consultants on the basis of actual work done shall be final and binding on the Consultants. e) In case of termination under sub clause (a), (b) and (c) the employer may make use of all or any drawing or other documents prepared by the Consultants, after a reasonable payment for the same in full as provided herein.

4. TRANSFER OF INTEREST The Consultants shall not assign, sublet or transfer their interest in this agreement, without the written consent of the employer. Whether the firm is partnership firm or a company, no change in the constitution of such partnership or board of directors of the company shall be made without prior approval of the Bank.

5. SCALE OF CHARGES a) The Employer shall pay to the Consultants as remuneration for the services to be rendered by the Consultants in relation to the said works, and in particular for the services here in

before mentioned, a fee calculated at the rate of____ (Quoted in Price bids in % of the cost of the project work as indicated in sub-clause (c) of this clause plus service tax as applicable b) If the employer appoints independent consultant for the work pertaining to special installations / any other required other machineries, the Consultants shall not be paid any fees on the total value of such installations. c) The Consultants shall be paid fees referred to above. In the manner laid down in clause 6 below, in respect of the preparation of plans, drawing up of estimates, specifications, calling of tenders etc., up to the stage the work is done by them on the value of works estimated by them initially on the basis of approved tender for civil works. However, the employer shall be entitled to adjustments subsequently on the basis of actual cost of executed works so that the total fee payable to the Consultants does not exceed the aggregate of the percentages referred to in sub-clause (a) above on the value of the works actually executed and completed whichever is less. However, increase in the value of work due to increase in the scope of work authorized by the employer will be considered for payment of fees thereon

The employer shall, also, have the liberty to omit, postpone or not to execute any work and the Consultants shall not be entitled for any compensation of damages for such omission, postponement, or non execution of the work, except the fees which have become payable to them as per chart for the services actually rendered by them upto that stage.

VISIT TO THE SITE The Consultants or their representatives or their consultants shall visit the site periodically and as frequently as the works require, and inspect and supervise the said works. For this, no additional charges shall be payable by the employer in the case of projects situated out of the headquarters of the Consultants. Also in no case consultants shall be paid any out of the expenses in connection with visits from the Consultants’ headquarters to the site of works. (the consultancy charges includes full package for the PMC, supervisions, site visits, and all the above scopes as per Annexure -1 above. 3. ARBITRATION A) Any dispute and items of disagreement arising between the Consultants and the PMC/SITE ENGINEER shall be referred to the Chief General Manager or in his absence, the General Manager of SBM (Employer) and his decision on those matters will be final and binding on both the Consultants and the PMC/SITE ENGINEER.

B) If any disputes, differences, or questions shall at any time arise between the Consultants and the Employer as to the interpretation of this agreement or concerning anything herein contained or arising out of this agreement except that stated in A) above or as to the rights, liabilities and duties of the said parties hereunder, or as to the execution of the said works, except in respect of matters for which it is provided herein, that the decision of the employer is final and binding, the same shall be referred to the arbitration and final decision of the Bangalore based arbitrator to be agreed upon and appointed by both the parties or in case of disagreement as to the appointment of a single arbitrator, to the appointment of two arbitrators shall, before taking upon themselves the burden of reference, appoint and umpire. C) For the purpose of appointing the Bangalore based sole Arbitrator referred to above, the Employer will send within thirty days of receipt by them of the written notice aforesaid, to the Consultants a panel of three names of persons who shall be presently unconnected with the organization, for which the work is executed. The Consultants shall on receipt of the same select any one of the persons named to be appointed as a sole Arbitrator and communicate to the Employer, who shall thereupon without ant delay appoint the same person as the sole Arbitrator. If the Consultant fail to communicate such selective as provided within ten days, the Employer shall make the selection and appoint the selected person as the sole Arbitrator. If the Employer fails to send to the consultants the panel of three names as aforesaid within 30 days, the consultant shall send to the employer a panel of three names of Bangalore based persons who are unconnected with either party. The employer shall-on receipt of the same appoint one of the persons as the sole arbitrator within 10 days and if they fail to do so the Consultants shall be entitled to appoint one of the three persons from the panel as a sole Arbitrator and communicate his name to the Employer. If the Arbitrator so appointed is unable or unwilling to act or resigns his appointment due to any reason whatsoever another sole Arbitrator shall be appointed as aforesaid. The work under the contract shall, however, continue during the Arbitration proceedings. No payment due or payable to the Consultants shall be with held on account of such proceedings except the disputed payment of fees on account of other provisions in this agreement. The Arbitrator may from time to time, with consent of both parties enlarge the time for making and publishing the award. The arbitrator shall decide each dispute or difference in accordance with the terms of the contract and give reasoned award. The Arbitrator shall give a separate award in respect of each difference or dispute referred to him. The fees, if any, of the Arbitrator shall be borne/shared equally by both the parties.
