L’utile del Corporate and Investment Banking cresce da 222,8 a 253,9 milioni per le minori rettifiche su crediti ed il contributo dello Specialty Finance (21,6 milioni contro 16 milioni); quello del Consumer Banking balza da 153,8 a 258,2 milioni per l’aumento del margine di interesse (+9,5%) e l’ampia riduzione delle rettifiche sui crediti (-22,1%) connesse al migliorato profilo di rischio del portafoglio. L’apporto del Wealth Management aumenta da 38 a 55 milioni per effetto del consolidamento delle tre recenti acquisizioni (Cairn Capital, le attività retail italiane di Barclays ed il 50% residuo di Banca Esperia). La contribuzione del Principal Investing migliora da 373,2 a 422,1 milioni per le maggiori plusvalenze (161,6 milioni contro 119,8 milioni). Per contro, le Holding Functions registrano una perdita di 241,8 milioni (-189,3 milioni) il cui aumento è attribuibile al margine di interesse (-76,3 milioni contro -33,3 milioni) che sconta l’ampia dotazione di liquidità in un contesto di tassi negativi. L’andamento brillante del Gruppo è riflesso nei ratios patrimoniali che si posizionano ai livelli massimi dall’introduzione di CRR/CRDIV: CET1 al 13,31% e Total Capital al 16,85%. Il risultato della gestione ordinaria di Gruppo, incluse le rettifiche su crediti, cresce nell’esercizio del 16,2% (da 735,8 a 855,2 milioni) con ricavi in aumento del 7,3% (da 2.046,6 a 2.195,6 milioni), pur in una congiuntura di mercato caratterizzata dalla marcata riduzione degli spread di credito e tassi a breve stabilmente negativi; nel dettaglio: – il maggior margine di interesse (+6,7%, da 1.206,7 a 1.287,8 milioni) riflette l’incremento di Consumer Banking (+9,5%, da 746,9 a 818,1 milioni) e Wealth Management (+31%, da 186,4 a 244,1 milioni, in larga parte ascrivibile ai 10 mesi di attività del ramo ex Barclays) ed ha più che compensato la flessione delle Holding Functions (-76,3 milioni contro -33,3 milioni) che mostrano un miglioramento nell’ultimo trimestre; Relazione sulla Gestione 13 – i proventi di tesoreria flettono da 133,1 a 121,3 milioni per minori dividendi AFS (17 milioni contro 29,2 milioni, per le minori dimensioni del portafoglio) ed un calo del contributo fixed income CIB (48,9 milioni contro 64,7 milioni); – le commissioni ed altri proventi crescono del 16,1% (da 450,1 a 522,6 milioni) per gli apporti di CheBanca! (da 43,4 a 68,9 milioni, incluso 22,5 milioni ex Barclays), Specialty finance (da 20 a 42,5 milioni), Cairn Capital (da 8,9 a 27,5 milioni) e Banca Esperia (+18 milioni il contributo del IV trimestre consolidata integralmente); stabile il Wholesale Banking (207,4 milioni) ed in lieve calo il Consumer Banking (118,1 milioni contro 126,1 milioni); – l’utile delle società consolidate ad equity, pressoché integralmente riconducibile ad Assicurazioni Generali, aumenta da 256,7 a 263,9 milioni. I costi di struttura crescono del 14,8% (da 891,9 a 1.023,7 milioni), quasi interamente attribuibili alle entità neo-consolidate; a perimetro omogeneo l’incremento è di circa il 2,5%, concentrato nelle spese del personale. Le rettifiche su crediti si riducono del 24,4% (da 418,9 a 316,7 milioni) per il generalizzato miglioramento del profilo di rischio del portafoglio, in particolare nel Consumer (da 354,4 a 276,2 milioni) e nel Wholesale Banking (15 milioni di riprese contro 28,5 milioni di rettifiche). Il costo del rischio si abbassa pertanto da 124 a 87 bps con tassi di copertura che si mantengono sui livelli massimi: attività deteriorate al 54,6% e in bonis all’1,1%. Gli utili netti del portafoglio titoli aumentano a 168,6 milioni (da 124,2 milioni) ed includono le plusvalenze sulla vendita di metà della partecipazione in Atlantia (110,4 milioni) e delle azioni Koening & Bauer (28 milioni); le svalutazioni di altre attività finanziarie più che si dimezzano da 19,4 a 7,9 milioni, equamente suddivise tra titoli del banking book ed azioni. La voce altre partite (-101,9 milioni contro -104,3 milioni) si riferisce prevalentemente a 49,6 milioni di contributo straordinario al Fondo di risoluzione bancario a favore di Banca Marche, Popolare Etruria, Casse di Risparmio di Chieti e Ferrara; 25,3 milioni di contributi ordinari al Fondo di risoluzione bancario europeo; 13 milioni per la quota al fondo tutela dei depositi (DGS) relativa all’anno 2016 ed al primo semestre 2017; 24,9 milioni di spese per la definizione del contenzioso fiscale sul leasing nautico (con effetto pressoché 14 Bilancio Consolidato 30 giugno 2017 azzerato tenuto conto della quota di terzi e dell’utilizzo per 15 milioni del fondo rischi della Capogruppo); 19 milioni di oneri di integrazione (di cui 14,9 milioni per l’integrazione di Banca Esperia e 2,7 milioni per il piano di SelmaBPM). L’acquisizione del ramo Barclays Italia ha generato un provento netto di 15,2 milioni, nell’ambito dell’allocazione del badwill incassato per l’acquisto (240 milioni), saldo tra il fair value degli attivi e passivi emersi in sede di purchase price allocation (98,3 milioni) e gli oneri di ristrutturazione ed

Surprisingly, our evidence supports positive (rather than adverse) selection. Holding public information constant, firms with better private fundamentals are more likely to access bond markets. Additionally, credit conditions improve for issuers following the bond placement, compared with a matched sample of non-issuers. These results are consistent with a model where banks offer more flexibility than markets during financial distress and firms may use market lending to signal credit quality to outside stakeholders.

    Derivative Choices of Retail Investors: Evidence from Germany David Nicolaus * This version: December 16 th ,2010 Abstract: During the last few years, a strong growth of retail derivative markets has been observed in a number of financial retail markets around the world. Using a unique data set, we confront in this paper several lines of arguments that have been provided to explain the observed popularity of the instrument with data from the German secondary market. We analyze a number of determinants that are likely to affect the derivative choices of retail investors. We further analyze the performance of retail derivatives chosen by retail investors and propose a new sentiment measure to analyze the information content of the observed choices for the underlying asset. Our results support previous studies that argue that an increase in the need for specifying the characteristics of financial products and consequently an increase in retail investors’ search costs contribute to the observed popularity of retail derivatives. However, the observed pattern in derivative choices also supports other studies that argue that the retail demand for derivatives is driven by systematic deviations of retail investors from rational behaviour. Our analysis of the performance of the products chosen by retail investors further reveals that the trading behaviour that is likely to underlie the observed derivative choices results in a performance loss compared to a more diversified portfolio. We conclude that retail derivative markets emphasize the importance of situational and investor specific factors for retail investors’ portfolio choices that might counteract the welfare improving potential of this instrument.     2009 The Lehman Minibonds Crisis in Hong Kong 547 THE LEHMAN MINIBONDS CRISIS IN HONG KONG: LESSONS FOR PLAIN LANGUAGE RISK DISCLOSURE ANDREW GODWIN* I INTRODUCTION The trigger for this article was the crisis caused by the collapse of an investment product arranged by Lehman Brothers Asia Limited and marketed in Hong Kong1 under the name ‘Minibonds’. As outlined in Part III below, this product proved popular among retail investors, many of whom incurred substantial losses as a result of the collapse of Lehman Brothers Holdings Inc. and companies associated with it in September 2008.     Costs of Raising (Social) Capital Through Mini-Bonds Todd L. Ely and Christine R. Martell* Public offi cials use mini-bonds, small denomination municipal bonds, as a mechanism to broaden citizen access to tax-exempt investments that fi nance public infrastructure. Marketing debt securities to smaller investors comes with costs, but a popular expecta- tion is that such offerings strengthen local social capital. This paper provides a historical overview of the use of mini-bonds, including the rationale and challenges. It then uses a series of mini-bond issuances by the City and County of Denver from 1990 to 2014 to illustrate the differences in issuance and interest costs compared to traditional municipal bonds, as well as investor access outcomes. A series of considerations for public offi cials contemplating the issuance of mini-bonds is included. Mini-bonds present a conscious fi nancing decision where the additional and substantial costs can be quantifi ed, but the anticipated benefi ts of increased publicity about public projects and more equitable investor access are more diffi cult to value. INTRODUCTION ax-exempt municipal bonds are a primary source of long-term fi nancing for state and local governments. Traditionally, such T bonds are sold in $5,000 increments and are especially desirable to high-income investors, because they receive relatively greater fi nancial benefi t from the tax-exempt interest. Issuing municipal bonds is costly and requires the assistance of a wide range of fi nancial intermediaries. These costs of issuance decline, as a percentage of the funds raised, with increases in the amount of debt issued.
