AIRPORT COMMISSION MEETING March 12, 2019

The meeting was called to order at 5:00 pm by Chairman Daniel Drake with the following Commissioners present: Arthur Gasbarro, Jeannette Topham, and Anthony Bouscaren.

Commissioner Planzer participated remotely as her physical attendance was unreasonably difficult.

The meeting took place in the 1st floor Community room at the Public Safety Facility, 4 Fairgrounds Rd. Nantucket MA.

Airport employees present were: Thomas Rafter, Airport Manager, Noah Karberg, Assistant Airport Manager, David Sylvia, Safety & Compliance Officer, and Lillian Sylvia, Administrative Assistant.

Mr. Drake announced the meeting was being audio and video recorded.

Mr. Drake asked for comments on the Agenda; hearing none, the Agenda was adopted.

Pending Leases/Contracts – Mr. Rafter presented the following pending lease agreements and contracts:  Jacobs- Waiting for a task order for design for Concrete Apron Repairs. Will be presented at the next open meeting.  TBD- A contract for the Temporary Hold Room. Due to different interpretations of procurement law, the project was rebid as one project. Two proposals were received and are under review. Due to timing, Mr. Rafter respectively requested the Commission to authorize the Chairman to enter into a contract with the most responsible proposer in an amount not to exceed $400,000. Mr. Gasbarro asked if the components used for this work will be reusable. Mr. Rafter explained that all parts of the tent structure will be reusable.  McFarland-Johnson, Inc. Task Oder MJ-A-04- This contract was not reviewed and Mr. Rafter asked that it be removed from consideration.

Discussion: Mr. Drake asked if there should be a discussion of a possible special meeting for the Concrete Apron Repairs. Mr. Rafter explained that some things need to be clarified in executive session. Mr. Drake also mentioned that there is a possibility of having a special meeting for the award of another project. Pending Matters – Mr. Rafter reported on:  011315-2 General Fund Repayment Proposal and Discussion of In-Kind Service- Mr. Rafter reported that a letter was sent to the FAA for approval of the final amount of $3,955,087.85 to be repaid to the town. Once approved by the FAA, the Commission and Select Board will then need to approve the agreement. The initial request was for $4.6 million, but roughly $600,000 of that was denied by the FAA because it went beyond the lookback period. Mr. Drake noted that the original Memorandum of Understanding (MOU) will be amended with the correct amount.

 050916-1 Crew Quarters Development- Mr. Rafter reported that the first draft for the Request for Qualifications (RFQ) for designer services has been completed. Mr. Rafter is working on a Request for Proposals (RFP) for an Owners Project Manager (OPM). There will be a transfer of funds at Annual Town Meeting (ATM) to fund the OPM and design. McFarland and Johnson will perform a financial analysis on feasibility and return on investment.

 21219-1 Proposed Purchase & Reuse of the Nantucket Inn by the Town of Nantucket- Mr. Drake reported that the purchase of the Nantucket Inn by the Town will not be moving forward at this time.

Once complete, the plaques will be put back up, and a dedication ceremony will be planned.

MassDot ASMP Grant Award/Grant Assurances  011419-2 Seasonal Hold Room and Gates Phase II- $240,000- Mr. Rafter reported that the Seasonal Hold Room Grant has been approved by MASS DOT.

Manager’s Report – Mr. Rafter reported: Project Updates  Pipe Burst- The spec and design scope for the Administrative office flooding repairs are being finalized, and coordinated with the insurance company, and will then go out to bid.  Seasonal Hold Room Phase II- Continuing with seasonal preparations. Aircraft parking positions and TSA preparation are being finalized.  ALP Update (Geometry Analysis) – Waiting approval from FAA  EA/EIS- The engineering Task Order has begun.  Tank Compliance Services- Seeking proposals to get pricing for the removal of the underground storage tank for the air traffic control tower. The new tank is installed above ground, in the old vault.  PFC Application- Work has begun, and data is being gathered for the second application.  Crew Quarters Development- Engineers are working on developing a model that can be used to create a risk analysis for when estimates are received and plugged in.  Pavement Marking and Rubber Removal- Bids are being developed.  Bunker Road Drainage Issue- Engineers have presented short term recommendations, to deal with the drainage issue on Bunker Road, and have started to look at a long-term solution to replacing the infiltration system.  Fuel Farm Rehabilitation- Finalizing the Task Order scope of work, which should be presented at the next open meeting.

RFP/IFB Bid Status – Mr. Rafter reported the procurements being worked on include:  Pavement Markings and Rubber Removal- A continuous friction measurement was performed, indicating no need for rubber removal. This will be adjusted in the bid that is currently out and being advertised.  On call Airfield Electrical- Received one bid and is under review.  Fuel Farm Inspection- Received one bid and was rejected. Will be reissued.  HVAC/Geothermal Service- Received one bid and is under review.  IT Services- Received two bids and is under review.  Fuel Farm Supply and Rehabilitation RFP- There was a well-attended site visit, with multiple questions asked. The due date for bids has been changed to March 22, 2019.  Bunker Road Parcels- Preparing to reissue.

11/13/18AirportCommissionMeeting Page 3 of 5 Operations – Mr. Rafter reported:  Certification Inspection from FAA is scheduled for May 22, 2019 – May 24, 2019.  The contractor for the Richmond Group has begun construction for a right turn lane from Old South Road onto Airport Road. The work should take about three to four days putting down a base coat in April, and will be completed in the fall.  Annual Town Meeting (ATM) is April 1, 2019. A statement has been prepared for the Taxiway and Security Articles if they were to be called. A handout will be distributed at ATM explaining the projects and that there will be no impact on the tax base for the local citizens.  Continuing to monitor drone issues, detection and prevention.  The security system was slightly modified. Currently working with TSA for a final solution.  The maintenance department is working on replacing the landside signs from metal to more Nantucket appropriate signs.  Mr. Rafter said the the Crosswinds operator had been given a term sheet for the operation of a bar within the secure hold room and had not yet responded.  Mr. Karberg put together a tour for a familiarization event for a family with a special needs child. The Airport is looking to be able to offer this to more families on island, so that the children can get acclimated to the process of going through an Airport.

Discussion: Ms. Topham asked if ServPro has gone through the Administrative Office building and made surethere was no mold fromthe pipe burst that took place. Mr. Rafter explained that this service was done immediately after the incident.

Mr. Gasbarro asked that the Airport consult with the Sign Advisory Committee pertaining to the replacement of the metal signs to more Nantucket appropriate ones.

Statistics – Mr. Rafter reviewed the January 2019 statistics:  Operations are down 33.97% from January 2018; and down 25.82% from last FYTD.  Enplanements are down 24.39% from January 2018; and up 4.96% from last FYTD.  Jet A Gallons are up 36.98% from January 2018; and up 10.40% from last FYTD.  Jet A Gallons are up 31.28 % from February 2018.  Gallons are up.67.26% from January 2018; and up 16.28% from last FYTD.  AvGas Gallons are up 17.10% from February 2018.  Freight is up 16.83% from January 2018; and up 4.87% from last FYTD.  2 Noise Complaints were filed for January 2019 compared to 0 in January 2018.

Personnel Report- Mr. Rafter reported:  The Airport will be participating in the Job Fair at the Nantucket High School.

PROJECT DESCRIPTION: The items of work to be accomplished under this Task Order include the following and are further described on the attached Scope of Work (three page(s)):

The Nantucket Memorial Airport Commission (SPONSOR) has identified a need to study the feasibility of constructing housing at Nantucket Memorial Airport (AIRPORT). It is the SPONSOR’s goal to estimate the potential costs and revenues associated with a new employee housing development and assess the financial viability of the initial capital investment, ongoing maintenance and operation, and long-term financial performance of the project under construction The purpose of this Scope of Services is to produce a benefit/cost analysis that can help the SPONSOR make sound decisions related to the proposed project.

The consultant’s work shall be undertaken in accordance with the attached Scope of Work.

METHOD OF COMPENSATION:

Not to exceed fee based on billing rates. See attached detail contained in the Scope of Work and Fee Proposal.

AMOUNT OF COMPENSATION:

The maximum amount to be paid to the CONSULTANT by the SPONSOR under this Task Order shall be Twenty Two Thousand Eight Hundred Fifty Dollars and No Cents ($22,850.00) unless this Task Order is amended in writing and agreed to by the SPONSOR and CONSULTANT.

This Project Contract (hereinafter referred to as “Contract”) is entered into by and between the Town of NANTUCKET, MA (hereinafter referred to as “the Town” or “the Sponsor”), 14 Airport Road, Nantucket, MA 02554, and JACOBS ENGINEERING GROUP INC., a corporation or other legal entity (hereinafter referred to as “the Consultant” or “the Engineer”) organized under the laws of the State of Delaware, with its principal place of business located at 120 St. James Avenue, 5th Floor, , MA 02110 (hereinafter referred to as the “Parties”).

The Consultant agrees to be bound by the Agreement for Professional Engineering Services General Conditions, dated June 13th, 2017, as revised by Amendment No. 1, dated January 9, 2018, which are hereby incorporated by reference.

1. The Scope of Work. The Consultant agrees to complete all work as detailed in Exhibit A which is made a part of this Contract and;

The Consultant shall be responsible for furnishing all supervision, labor, equipment, tools supplies, permanent and temporary materials required to perform the work detailed in Exhibit A and;

The Sponsor shall have the right to alter the nature and extent of the work as provided in this Contract, through a written modification signed by both Parties.

2. The Fee. The Consultant agrees to complete all work for the agreed upon project fee as detailed in Exhibit B which is made a part of this Contract and;

3. Reimbursement. Upon full execution of the individual project contract, the Sponsor will reimburse the Consultant for approved expenditures incurred on the project.

4. Funding. The Parties agree that the Sponsor will assume full responsibility for costs incurred. It is assumed that the Sponsor will receive an ASMP grant from the MassDOT/AD and be reimbursed for project related expenditures.

5. Team Members. Listed below are the names of the Consultant’s Project Manager, Chief Designer, Planner(s), other key personnel, and primary Subconsultants for this Contract. No substitutions of the key Consultant Team Members are allowed without prior notification and approval by the Sponsor.

The Consultant also agrees:

First: To do any extra work, not covered by the “Exhibit A”, which may be required by the Sponsor, and to accept as full compensation the rates noted in Exhibit B or approved revision to same and related contract modifications.

Second: The Consultant will deliver to the Sponsor a signed, valid certificate of insurance proving the coverage required by this Contract and/or the Agreement for Professional Engineering Services General Conditions before any work commences under this Contract. If the level of insurance is specified in this Contract, that amount will supersede the requirements outlined in the Agreement for Professional Engineering Services General Conditions. The Sponsor shall be included as an additional insured on Commercial General Liability insurance policy carried by the Consultant.

Third: To begin and complete the work within the dates specified herein.

The Parties acknowledges that the Agreement for Professional Engineering Services General Conditions, dated June 13th, 2017, may only be amended thru a written modification approved in writing by the Massachusetts Department of Transportation, Aeronautics Division. If any provision in the Agreement for Professional Engineering Services General Conditions is altered without approval from the Massachusetts Department of Transportation, Aeronautics Division, then funding from the Commonwealth of Massachusetts may be withdrawn.

IN WITNESS WHEREOF, the Consultant, for itself, its successors and assigns, hereby execute two (2) originals of this Contract and thereby binds itself to all covenants, terms, and obligations contained in the Contract Documents.

Nantucket Memorial Airport

INSTALL CONCRETE HARDSTANDS AND APRON REPAIRS

PURPOSE AND NEED

The Airport desires to maintain a safe and operational airport. This project includes the construction and installation of the following components:

 New Portland cement concrete (PCC) hardstand on Taxilane ‘H’  PCC hardstand extensions to tiedown spots 3 and 4 on the Terminal Apron o Main hardstand extensions o Nosewheel/tug extensions  Installation of new PCC hardstands for spots 5 and 2B on the Terminal Apron

See the figures below for a graphically representation of the work to be included in this project.

The Existing hot mix asphalt (HMA) is experiencing rutting. The cause of the rutting is unknown at this time. However, since design was specified, Nantucket Memorial Airport has been the beneficiary of major service investment via JetBlue E-190 aircraft. JetBlue has operated these aircraft heavier than anticipated with full load factors and tankering fuel from their origin. These weights exceed the original design parameters, causing the pavement to rut in the areas immediately surrounding the hardstands for spots 3 and 4. Air Traffic and congestion delays, both systemwide and locally, have also led to outbound aircraft being held on Taxilane H. These static movements have placed an additional strain on these pavements causing rutting.

While the Airport has added ramp capacity to alleviate some airfield congestion issues, 2019 will see additional short haul investment by JetBlue, which will continue to exacerbate the rutting problem.

The cost for the project is as shown Exhibit B. The Project shall consist of the design, bidding, general and project administration, and construction phase services for the work required to complete the project.

ASSUMPTIONS

1. This Project, in its entirety, is eligible for MassDOT Airport Security and Maintenance Program (ASMP) funding. No FAA AIP funds are anticipated for this project.

2. No permitting services are included in this project. Any permitting required shall be defined as changes to scope and/or extra work and shall be executed as part of an amendment to the Contract.

3. The design will be in accordance with the most current FAA-AIP Advisory Circular listing dated 2/20/2019.

4. The latest Master Plan and Airport Layout Plan (ALP) will not be updated under this Contract. Any changes shall be defined as changes to scope and/or extra work and shall be executed as part of an amendment to the Contract.

5. The Exhibit A will not be updated during this Project. Any changes shall be defined as changes to scope and/or extra work and shall be executed as part of an amendment to the Contract.

6. No topographic survey will be performed in this contract. The Engineer shall use existing base mapping generated from previous projects for the purposes of design.

7. No subsurface investigation (e.g. soil borings, CBRs, monitoring wells, and pavement test cores) are included in this project. The Engineer shall use existing soils information from previous projects for the purposes of design.

8. All construction is anticipated to be performed in prior to June 30th, 2019 to meet the fiscal year requirements of MassDOT.

9. A Construction Safety and Phasing Plan (CSPP) in accordance with FAA AC 150-5370- 2F, current edition, will be prepared for the project but it will not be submitted to the FAA for review and approval. It is assumed that this project phasing will be developed in accordance with the latest FAA requirements.

10. No MassDOT Airspace Form is required for this project. It is assumed that this project is covered under the existing Airspace Form for the project.

The Project team will consist of the firms listed below, each with particular expertise in their respective fields. The term subconsultant will be used interchangeably to refer to an individual member of the Project team or the subconsultant team as a whole:

SCOPE OF WORK

The Scope of Work for this Project shall cover data collection, design, project and general administration and construction phase services.

The Engineer agrees to perform engineering services for the Owner as described in Article A through I, below, within the hours allotted for the services as listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Bidding Project Management, General Administration, and Construction Phase Services.

Subconsultant tasks are contained within the following Appendices:

• Appendix A – Breakdown of Fees – ATC Group Services LLC –Materials Testing

ARTICLE A – DATA COLLECTION

During the scoping process, it was agreed by the Engineer and Owner that no data collection services are required to be included in the Engineer’s scope of services for this project. If these services are required in the future, the services may be added by supplemental agreement.

ARTICLE B – DESIGN

Based on the information collected under Article A, and the information from the Airfield Lighting Vault and Fencing projects, the Engineer shall provide design services to the Owner for the preparations of design plans, specifications and estimate of construction costs.

The work of the Engineer shall include:

1. DESIGN COORDINATION: The Engineer shall conduct general design coordination with the Owner, MassDOT and FAA to review and discuss the project development and design related items. This task assumes that one (1) teleconference will be conducted.

2. EXISTING DOCUMENTATION REVIEW: The Engineer shall gather and review the existing plans and information from the past two (2) projects on the terminal ramp (Phase 1 and 2).

3. DESIGN CRITERIA: The Engineer shall prepare a project design criteria for the project. The design criteria shall list all FAA Advisory Circular design parameters that pertain to this project.

4. PHASING AND SAFETY DESIGN: The Engineer shall design the project phasing and safety requirements for construction in accordance with FAA AC 150/5370-2F, current edition. It is assumed that the existing CSPP from the Airfield Lighting Vault project will be utilized for the baseline of this project.

5. CONCRETE HARDSTAND DESIGN: The Engineer shall design the concrete hardstands for the project. The design will include extensions for spots 3 and 4, a new hardstand on Taxilane H, and new tiedown hardstands for spot 2B and 5. The new concrete will be designed to tie into the existing PCC hardstands for spots 3 and 4.

6. MARKINGS DESIGN: The Engineer shall design the required apron markings for the modifications to the new PCC hardstands in accordance with FAA AC 150/5340-1L.

7. DEVELOP DESIGN PLANS: The Engineer shall develop a Design plan set per the latest FAA AC’s, associated FAA Standard Specifications and MassDOT Standard Specifications, where applicable, for each designed component. The plan set shall provide sufficient detail for the review of design concepts by the Airport, FAA and MassDOT. The plan set will be developed by applying the overall preliminary design efforts outlined above to individual plan sheets and completing the drafting. It is anticipated that the Final Plan set will including 13 sheets as follows:

• Title Sheet and Drawing Index • General Plan • Overall Phasing, Safety and Operation Plan • Safety and Phasing Plans (3 sheets) • Existing Conditions Plan • Demolition Plan • Geometry Plan • Typical Sections • Miscellaneous Details • Markings Plan and Details*

* No modifications to the existing markings are anticipated as part of this project. If modifications to the existing markings are required, the Airport shall coordinate with the FAA certification inspector and the Airport’s Sign and Marking Plan should be updated as appropriate.

8. DEVELOP DESIGN SPECIFICATIONS: The Engineer shall develop and prepare a Final Design Specification book for the project. The Engineer shall develop and prepare the front end and technical portions of the specifications. The Final Design specifications are anticipated to have the following sections:

• Invitation to Bid • Instruction to Bidders • Bid Proposal • Bid Bond Forms and Bidder Certification Forms • Draft Contract Forms • General Provisions • Special Provisions • Sponsor Insurance Requirements • State Wages Rates and Provisions • Reference Documents for Contract Requirements • Forms • Technical Specifications (Estimate 8 sections)

9. DESIGN QTO AND EEOC: The Engineer shall perform a quantity take-off (QTO) on the Design plans and prepare an engineer’s estimate of cost (EEOC). Since the Engineer has no control over the cost of materials and labor or the competitive proposal process and market conditions, the EEOC provided are made based on the Engineer’s experience and qualifications, but the Engineer does not guarantee the accuracy of the estimate as compared to the contractor’s bids or final project costs.

10. DESIGN QA/QC: The Engineer shall perform an in-house QA/QC prior to the submission of the Design submission. The in-house QA/QC check shall involve review by an individual experienced in the discipline of study for the corresponding aspect or design feature of the Project. This individual shall conduct a comprehensive check on all associated documents to be included in the submittal (e.g. drawings, specifications, estimates, and supplemental reports). The in-house QA/QC shall include time and effort required for the project engineers and CADD technicians to address comments generated during the review.

Expenses for the ENGINEER shall include mileage for site visits and meetings, miscellaneous reproduction costs, and postage costs as well as the other expenses listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Bidding Project Management, General Administration, and Construction Phase Services.

Services for Article B. will be provided under a LUMP SUM basis.

ARTICLE C – ADVERTISING AND PROPOSALS

The ENGINEER shall provide bidding and associated services to the OWNER to assist in the public bidding, bid opening, review and contract award of this project. The services of the ENGINEER shall include:

1. AD FOR BID: The Engineer shall provide the OWNER with a draft copy of the Advertisement for Bid and associated documents for review and comment. The Engineer shall assist the OWNER in the advertisement of the bidding in the Central Register and publications of local circulation. The local advertising will be limited to one day. The OWNER will be responsible to pay the local advertising costs.

2. DISTRIBUTE BID DOCS TO VIEWING ROOMS: The Engineer shall distribute plans and specifications to plan viewing rooms for use by Contractors. It is assumed that two (2) sets will be distributed in this manner at no cost to the recipient.

3. DISTRIBUTE BID DOCS TO CONTRACTORS: The Engineer shall assist the OWNER in the distribution of Bidding Documents, (Bid Plans and Specifications) and collecting bid deposits from potential bidders in person and by mail. Plan sets will be available at the ENGINEER'S office. The ENGINEER will distribute all plan sets requested by FedEx.

4. PLAN HOLDER’S LIST: The Engineer shall assist the OWNER in the preparation and maintenance of a plan set holder's list. The list will be updated weekly during the bidding period with the updates being forwarded to the client’s Purchasing Department, if requested.

5. PRE-BID MEETING: The Engineer shall schedule, organize, prepare an agenda, attend, and manage a Pre-Bid Conference at the Airport in conjunction with the OWNER.

6. PRE-BID MEETING MINUTES: The Engineer shall prepare Pre-Bid Conference minutes and distribute to the MassDOT/AD and Airport.

7. BIDDER’S QUESTIONS: The Engineer shall receive and answer Bidder’s questions concerning the project during the bidding period.

8. ADDENDA: The Engineer shall prepare and distribute an Addendum, for reason of clarification, to provide answers to questions to all potential bidders, and/or administrative change in the bid documents. It is assumed that two (2) Addenda will be required.

9. BID OPENING: The Engineer shall coordinate the Bid Opening with the Owner. The Owner shall conduct the Bid Opening and report the results to the Engineer. The Engineer will not attend the Bid Opening.

10. BID TAB: The Engineer shall prepare a bid tabulation and distribute it to the OWNER, MassDOT/AD, and bidders along with the return of bid bonds of all but the three lowest bidders.

11. BID REVIEW: The Engineer shall review the bids to verify the required documentations are present, check references of the two (2) lowest bidders, and verify that the bonding company is listed on the appropriate list.

12. BID REVIEW LETTER: The Engineer shall provide a review of the bids to the OWNER in the form of a letter.

13. BID DEPOSIT REFUNDS: The Engineer shall assist the OWNER in the refund of bid deposits to plan set holders. In accordance with Massachusetts General Law, all plan sets, if returned by the potential bidder in good condition, are entitled to have their bid deposits refunded.

14. NOTICE OF AWARD: Upon written authorized from the OWNER, the Engineer shall prepare and distribute a Notice of Award (NOA) to the Contractor selected by the OWNER to perform the project. This task shall include the coordination with the Contractor.

15. CONSTRUCTION CONTRACTS: The Engineer shall prepare six (6) Contract Sets, circulate for execution, and distribute the executed originals. The contract value shall be based on the Contractor’s bid for the project.

Expenses for the ENGINEER shall include mileage for site visits and meetings, miscellaneous reproduction costs, and postage costs as well as the other expenses listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Bidding Project Management, General Administration, and Construction Phase Services.

Services for Article C will be provided under a LUMP SUM basis.

ARTICLE D – GENERAL ADMINISTRATION

The Engineer will provide general administration services to the Owner for this project. The work of the Engineer shall include:

1. PRE-DESIGN MEETING: The Engineer shall coordinate, schedule, prepare for, attend, prepare minutes, and follow up a Pre-Design meeting for the project. The Pre-Design meeting shall be conducted via a teleconference.

2. SCOPE OF WORK: The Engineer shall develop the detailed scope of work for the project. A draft scope of work shall be distributed to the Owner and MassDOT. Once review comments have been received, the Engineer will revise and finalize the scope of work.

3. PROPOSED ENGINEERING FEE: Once the scope of work has been finalized, the Engineer shall prepare a draft Engineering Fee for the project and submit it to the Owner.

4. NEGOTIATE PROJECT SCOPE AND FEE: Once the IFE has been completed, the Owner and the Engineer shall negotiate the final scope of work and Engineering Fee. The Owner shall be responsible for preparing and submitting a record of negotiations letter to MassDOT. Depending on the IFE, this may require revisions to the scope of work and proposed Engineering Fee.

5. ENGINEERING CONTRACTS: Once the final scope of work and Engineering Fee has been negotiated, the Engineer shall prepare six (6) Engineer Agreements and submit them to Owner for execution. Once the Agreements have been signed by the Engineer and the Owner, they will be forwarded to MassDOT for approval signature. Once the Agreements have been fully executed, the Engineer will distribute them to the Owner and MassDOT.

6. SUBCONSULTANT AGREEMENT: Once the Engineer Agreement has been executed the Engineer shall prepare and distribute a Subconsultant Agreement for material testing services to be performed by the material testing consultant.

7. MASSDOT PRE-APPLICATION: The Engineer shall prepare and submit a MassDOT/AD Pre-application on behalf of the Owner. This task also includes notification to the US Department of the Interior Fish and Wildlife Service. The pre-application includes a project narrative, funding breakdown, proposed schedule, check list, and site plan showing the proposed project.

8. PROJECT NOTIFICATION FORM: The Engineer shall prepare and submit Project Notification Form (PNF) of the State Historic Preservation Office (SHPO) for the project on behalf of the Owner. This includes the Proposed Schedule, Anticipated Environmental Impacts, Estimated Cost, and a Project Location Figure. Additionally, this task includes coordination required to meet the requirements of SHPO, including follow-up coordination with MassDOT/AD and MHC, review of existing MHC correspondence, and review of the EA and other permitting documents.

9. CLEARINGHOUSE LETTERS: The Engineer shall prepare and submit State Clearinghouse Letters, as required, on behalf of the Owner.

10. MASSDOT GRANT APPLICATION: The Engineer shall prepare the MassDOT grant application for the Owner. The grant application includes, but is not limited MassDOT Application form, program narrative, project cost summery, and transmittal letters. The Owner shall be responsible for filing the MassDOT grant application.

11. REIMBURSEMENT PACKAGES: The Engineer shall assist the Owner in preparing MassDOT Payment Voucher (PV) packages for federal and state grant payments. It is assumed that three (3) PV packages will be prepared for this project. This task also includes coordinating and following up with the Owner on payments from MassDOT. The Owner shall be responsible for filing all reimbursement packages.

12. PROJECT EXPENDITURES: The Engineer shall prepare and submit project financial updates, as requested by MassDOT and Owner. It is anticipated that this will be performed

quarterly throughout the project. It is assumed that two (2) project financial updates will be prepared for this project.

13. AIRPORT COMMISION MEETINGS: The Engineer shall prepare monthly updates on the project status and attend the monthly Airport Commission meetings. It is assumed that the Engineer will prepare updates for two (2) Commission meetings.

14. PROJECT COORDINATION: The Engineer shall provide general coordination to the Owner for the duration of the project. This includes updates project progress which will be telephone calls, emails, and written correspondence. The project is assumed to have three (3) months.

15. PROJECT FILES: The Engineer shall establish and maintain design and project records and documentation. The records shall be electronically retained for a minimum of three (3) years following the completion of the project. This task includes the setup of project file folders, daily filing of project documentation, and storage of the documentation upon completion of the project.

16. AS-BUILT PLANS: The Engineer shall prepare and sign "as-built" Plans prepared from information and survey data provided by the Contractor and input from the Resident Engineer. Distribute copies to the OWNER and MassDOT. Provide electronic copies in AutoCAD 2013 or newer and electronically on CD’s.

17. PROJECT CLOSEOUT: The Engineer shall coordinate, prepare, and submit project closeout documentation including the required MassDOT forms, material testing summaries, final payment vouchers, final reimbursement requests, project photographs, as-built drawings, certifications, financial information, and any other documentation required by the MassDOT/AD.

Expenses for the ENGINEER shall include mileage for site visits and meetings, miscellaneous reproduction costs, and postage costs as well as the other expenses listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Bidding Project Management, General Administration, and Construction Phase Services.

Services for Article D will be provided under a LUMP SUM basis.

ARTICLE E – CONSTRUCTION ADMINISTRATION

The duration of the Construction Contract and the degree of cooperation and competence of the Contractor will influence the time and level of effort required of the ENGINEER to provide Construction Administration services to the OWNER. It has been assumed that the construction duration will be thirty (30) days. The actual construction duration may vary from these assumptions, and the level of effort, and compensation, will vary accordingly. Further, it is assumed that the Contractor performing the work is cooperative and performs in a reasonable and customary manner. In no case shall the fees for Construction Administration exceed the total amount stated in Appendix A – Breakdown of Fees – Jacobs Engineering Group Inc. – Project Management, Construction Management and Grant Administration, without the execution of a SUPPLEMENTAL AGREEMENT.

The ENGINEER shall provide Construction Administration Services to the OWNER to assist in the management of the construction phase of this project.

The work of the ENGINEER shall include:

1. OWNER COORDINATION: The Engineer shall coordinate the construction activities with the OWNER. This task assumes a construction duration of thirty (30) days. It is assumed that daily construction activity coordination will be performed by phone, e-mail, and fax. On-site meetings will be under tasks listed below.

2. AGENCY COORDINATION: The Engineer shall coordinate the construction activities with the MassDOT. This task assumes a construction duration of thirty (30) days. It is assumed that construction activity coordination will be performed by phone, e-mail, and written correspondence.

3. PRE-CON MEETING: The Engineer shall schedule, organize, attend, and manage a Pre- Construction Conference at the Airport. It is assumed that there will be one (1) meeting.

4. SHOP DRAWINGS: The Engineer shall process shop drawings, certificates of compliance, and other Contractor submittals. This task assumes that the project will generate approximately ten (10) submittals. Work under this task includes: preparation of project submittal logs, record each submittal upon receipt from Contractor, distribution of submittal to third party (if required), review of each submittal for compliance to the applicable specifications, provide written justification for submittal revisions and/or rejection (if required), review of third party review comments (if required), record review status of each submittal on the submittal log, and distribution of reviewed submittals to Contractor and Resident Engineer.

5. REVIEW CONTRACTOR’S PAY REQUEST: The Engineer shall review and process Contractor's pay requests. This task assumes that the Contractor will submit two (2) pay request. The task assumes that the Contractor and Resident Engineer have agreed to the payment quantities.

6. CONSTRUCTION PROGRESS MEETINGS: The Engineer shall schedule, organize, attend, and manage construction progress meetings (CPMs) at the Airport. Two (2) job meetings are proposed for the project. It is assumed that Jacobs Project Manager will attend each meeting in person.

7. MONTHLY COMMISSION UPDATES: The Engineer shall prepare monthly updates for the Airport Commission’s meetings for the project. It is estimated that two (2) updates will be required.

8. REVIEW PAYROLLS: The Engineer shall review state wage rates and prepare the prevailing rate for each job classification anticipated for the project and amend rate sheet when new classifications are submitted on the certified payrolls by the Contractor. Review certified payrolls from the Contractor and all subcontractors and retaining copies for the OWNER's records. Return unacceptable certified payrolls to the Contractor and track certified payrolls to verify that payrolls are received for each workweek.

9. REVIEW OSHA: The Engineer shall review that OSHA cards have been submitted for each individual listed on each certified payroll submitted by the Contractor and all subcontractors.

10. RE SUPPORT AND COORDINATION: The Engineer shall provide assistance and support to the Resident Engineer and answer questions on Plan interpretations and minor changes.

11. CONTRACTOR’S RFI’S: The Engineer shall respond to Contractor’s questions, requests for information (RFI), and proposed project changes. It is assumed that two (2) formal requests for information will be prepared and distributed to the MassDOT/AD, Airport, and Contractor.

12. CHANGE ORDER(S): The Engineer shall process one (1) Change Order if requested by the Contractor or required by the OWNER. This task shall include coordination with the contractor, agencies and airport, review of the change order request, negotiation of the change order, preparing the change order, and processing the change.

13. PUNCH LIST: Upon written request for substantial completion from the Contractor, the Engineer shall prepare a project punch list and distribute to the Contractor and Airport.

14. PUNCH LIST FOLLOW-UP: The Engineer shall coordination and follow-up with the Contractor for a schedule to complete the punch list items. It is assumed that two (2) follow-up consultations with the Contractor will be required.

15. FINAL INSPECTION: The Engineer shall schedule, organize, attend, and manage a Final Inspection at the Airport with MassDOT/AD and Airport. Both the Project Manager and Resident Engineer will attend the Final Inspection.

16. UPDATE PUNCH LIST: After the Final Inspection, the Engineer shall update the punch list with any deficiencies identified during the Final Inspection and follow-up with Contractor to complete the punch list.

Expenses for the ENGINEER shall include mileage for site visits and meetings, miscellaneous reproduction costs, and postage costs as well as the other expenses listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Bidding Project Management, General Administration, and Construction Phase Services.

Services for Article E will be provided under a COST PLUS FIXED FEE basis.

ARTICLE F – RESIDENT ENGINEERING

F.I – Resident Engineering: The duration of the Construction Contract and the degree of cooperation and competence of the Contractor will influence the time and level of effort required of the ENGINEER to provide Resident Engineering services to the OWNER. It has been assumed that the construction duration will be thirty (30) days. The actual construction duration may vary from these assumptions, and the level of effort, and compensation, will vary accordingly. Further, it is assumed that the Contractor performing the work is cooperative and performs in a reasonable and customary manner. In no case shall the fees for Resident Engineering exceed the total amount stated in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Project Management, Construction Management and Grant Administration, without the execution of a SUPPLEMENTAL AGREEMENT.

The ENGINEER shall provide full-time, on-site Resident Engineering Services to the OWNER to observe construction for reasonable conformity with the Contract Documents to the extent of the customary practice of professional engineers for this work. It is assumed that the Contract period

Pre-Construction 1.1 - One (1) day for Pre-Con meeting 1.2 - Three (3) for layout and project startup prior to the start of construction

During Construction 2.1 - Twenty-six (26) workdays for Resident Engineering Services. o 22 Weekdays (Monday through Friday) o 4 Weekends (Saturday only)

Post-Construction 3.1 - Two (2) day for follow-up and to monitor punch list work. 3.2 - One (1) day for final inspection.

Pursuant to Federal labor laws, it is assumed the first eight (8) hours of each weekday are paid at the Resident Engineer's normal pay rate and that all additional time is considered “overtime” and is at a higher pay rate.

The Resident Engineer's responsibilities shall be as enumerated in the Construction Contract Documents and shall include:

• Preparation of daily reports. • Coordination of daily construction activities. • Maintenance of estimates of construction quantities. • Review of pay request quantities and change order requests from the Contractor and forwarding of acceptable requests to the ENGINEER for further processing. • Acting as the OWNER's representative on the construction site. • Coordination between the Contractor and the OWNER, and other Airport users. • Attendance at all project meetings during construction. • Preparation of job meeting agenda and meeting minutes. • Observation of construction.

Expenses for the ENGINEER shall include mileage for site visits and meetings, miscellaneous reproduction costs, and postage costs as well as the other expenses listed in Exhibit B – Breakdown of Fees – Jacobs Engineering Group Inc. – Engineering Design, Project Management, General Administration, and Construction Phase Services.

Services for Article F.I will be provided under a COST PLUS FIXED FEE basis.

F.II – Materials Testing: The ENGINEER shall subcontract Materials Testing and Geotechnical Engineering services and coordinate the work of the materials testing and geotechnical consultant during construction. Materials requiring testing will include: portland cement concrete (PCC), subgrades, subbase, base material, and aggregates. The materials testing firm will also be involved with and field- testing of PCC as well as field material and compaction testing. Material Testing and Geotechnical services will be on a part-time basis for fourteen (14) days. No additional fee is requested by the ENGINEER for assistance rendered to the OWNER in coordinating the materials testing consultant efforts above what is contained in this Article, rather this work shall

It is assumed that part-time material testing and geotechnical services will be required on this project for a period of fourteen (14) days. If additional services are required beyond fourteen (14) days, the additional work may be added by Supplemental Agreement.

The work of the Engineer shall include:

1. SUBCONSULTANT COORDINATION: The Engineer shall coordinate with the material testing subconsultant for the duration of construction. It is assumed that coordination will be performed by phone, e-mail, and fax. On-site meetings will be under tasks listed below.

2. MATERIAL TESTING LOG: The Engineer shall gather and log all test results prepared and submitted by the material testing subconsultant.

3. MATERIAL TESTING SUMMARY: At the completion of construction, the Engineer shall develop a material testing summary to be included in the project closeout documentation as required.

Expenses for the Materials Testing subconsultant will include mileage and pick up time. Expenses for the ENGINEER shall include mileage for the meetings, reproduction, as well as the other expenses listed in Exhibit A, Appendix A – Breakdown of Fees – ATC Group Services LLC – Geotechnical Investigation, Soils Design, and Materials Testing.

Services for Article F.II will be provided under a COST PLUS FIXED FEE basis.

1 2A AGREEMENT BETWEEN THE TOWN OF NANTUCKET NANTUCKET MEMORIAL AIRPORT AND LAKES REGION ENVIRONMENTAL CONTRACTORS INC.

This AGREEMENT, effective the tenth day of April, 2019, made by and between the TOWN OF NANTUCKET, acting by and through its Airport Commission, (hereinafter, the "AIRPORT') and Lakes Region Environmental Contractors, lnc., PO Box 1236, Belmont, NH 03220 (hereinafter, the -c0NTRACTOR',),

A. Whereas, the AIRPORT desires to engage the CONTRACTOR as an independent contractor to perform the services set forth on EXHIBIT A, attached hereto (the "Services");

B. Whereas, the CONTRACTOR agrees to accept the engagement by the AIRPORT in accordance with the terms set forth herein;

NOW, THEREFORE, the parties, in consideration of the mutual covenants contained herein, agree as follows:

1. The AIRPORT hereby retains the CONTRACTOR to perform the Services and the CONTRACTOR agrees to perform the Services as provided herein. Any written or other materials or intellectual property produced by the CONTRACTOR for the AIRPORT hereunder shall be the property of the AIRPORT and, upon the expiration or termination of this Agreement the CONTRACTOR shall deliver copies.of the originals of all such materials, as well as notes, work papers and the like, to the AIRPORT.

2. The term of this Agreement will commence on the date above and terminate on April 9, 2020, or when the performance of the Services has been completed in a manner reasonably satisfactory to the AIRPORT. The AIRPORT shall have the right to terminate this Agreement at any time and for any reason upon written notice given to the CONTRACTOR.

3. The CONTRACTOR will perfonn the Services in a first class, professional manner and in compliance with all applicable federal, state and local laws, regulations and ordinances. The CONTRACTOR shall be subject to the administrative supervision of the Airport Manager, or its designee, who shall be responsible for scheduling the work to be done by the CONTRACTOR on a daily or other basis. The CONTRACTOR shall perform the Services in cooperation with AIRPORT personnel as appropriate.

4. The AIRPORT will pay the CONTRACTOR compensation in the amount of $52,500.00 as payment in full for the Services. This agreement may be subject to budgetary limits and, in such case, the AIRPORT shall not be obligated to pay the CONTRACTOR any amount of fees or expense in excess of $52,500 without the express prior written approval of the Airport Commission, 5. The parties acknowledge that the CONTRACTOR is an independent contractor and not an employee of the AIRPORT. The CONTRACTOR shall not be entitled to any employment fringe benefits to which AIRPORT employees are entitled.

6. To the extent permitted by the CONTRACTOR'S professional liabilities and/or liability insurance, the CONTRACTOR agrees to indemnify and hold harmless the TOWN OF NANTUCKET and its agents, officers and employees from any losses, claims or costs, of whatever kind or nature, suffered by the TOWN 0F NANTUCKET or any third party which result from, or are related to, the performance (or failure to perform) by the CONTRACTOR of Services pursuant to this Agreement. The CONTRACTOR shall obtain and maintain such polices of insurance, written by companies licensed to do business in Massachusetts, as may be set forth on Exhibit A and shall add the TOWN 0F NANTUCKET/NANTUCKET MEMORIAL AIRPORT as an additional insured thereunder.

Multiple factors account for the growth in economic impacts generated by Massachusetts’ public- use airports since the completion of the 2014 Economic Impact Study. The primary driver is the overall increase in airline passenger traffic (both domestic and international) at Boston Logan. Other factors include increased spending per person by visitors arriving in Massachusetts on passenger airlines and general aviation aircraft, growth in business/air charter operations and the addition of new on-airport businesses. Similarly, strategic investments from the state had an excellent return on investment, and public private partnerships such as that with Gulfstream also had a very positive impact on the economy of the surrounding communities during this time.

2 Behind the Numbers This study collected information from airport sponsors, on- airport businesses and government agencies, visiting pilots and passengers, and other sources, all of which served as the input for an economic impact model. This model estimated each airport’s impact generated by aviation activities occurring directly on the airports, such as operations by aircraft maintenance businesses, flight schools, and concessionaires, as well as capital improvement projects.

The benefits of an airport go beyond what is seen on the airfield. As the diagram shows, there is a great deal of economic activity that takes place beyond the airport fence. LAURENCE G. HANSCOM FIELD A Vital Business, Community, and Military Hub Owned and operated by Massport, BED is strategically located 15 miles outside of Boston and adjacent to Interstate 95/128. It is the busiest general aviation airport in New England, supporting business aviation and the military.
