INTRODUCCIÓN 1. El 11 de noviembre de 2008, la Comisión recibió una notificación de una propuesta de concentración por la cual la empresa Iberia Líneas Aéreas de España, S.A. ("Iberia", España) adquiere, en el sentido del artículo 3(1)(b) del Reglamento del Consejo, control exclusivo de las empresas Vueling Airlines, S.A. ("Vueling", España) y Clickair, S.A. ("Clickair", España) mediante el intercambio y adquisición de acciones. II. LAS PARTES Iberia 2. Iberia es una compañía de transporte aéreo constituida el 28 de junio de 1927. Su actividad se centra en el transporte aéreo de pasajeros y mercancías, el mantenimiento de aviones y la asistencia en aeropuertos (handling). 1 OJ L 24, 29.1.2004 p. 1. La principal actividad de Iberia es el transporte aéreo de pasajeros, siendo ésta una compañía aérea de red (network carrier), es decir, que alimenta su hub dirigiendo el tráfico aéreo hacia el mismo para redistribuirlo posteriormente a través de conexiones hacia otros destinos. Actualmente Iberia dispone de 128 aeronaves, destinadas a vuelos de corto, medio y largo recorrido, con un total de 108 rutas. En 2007, Iberia transportó alrededor de 26,8 millones de pasajeros. Iberia es miembro de la alianza global Oneworld2, que constituye una red mundial que sirve más de 600 destinos en 130 países. 4. La Dirección de Carga de Iberia (Iberia Cargo) gestiona el transporte de carga y correo que la compañía realiza en las bodegas de los aviones de vuelos regulares, complementado con aviones cargueros y camiones. 5. La Dirección General de Mantenimiento e Ingeniería de Iberia (Iberia Mantenimiento) se encarga de realizar las revisiones y reparaciones de aviones, motores y componentes de la propia aerolínea y de los de un centenar de clientes de todo el mundo. 6. La Dirección General de Aeropuertos de Iberia (Iberia Handling) es un operador de handling responsable de los servicios de asistencia en tierra en los aeropuertos españoles (asistencia a pasajeros, equipajes, aviones y carga), tanto a terceras compañías como a Iberia. Está presente en la mayoría de los aeropuertos españoles. 7. En la actualidad, Iberia es una compañía privada que cotiza en la Bolsa española y forma parte del Ibex 35. 8. En mayo de 1997, Iberia firmó un Acuerdo de Franquicia exclusiva con Air Nostrum por un periodo de […] que se ha venido renovando desde entonces. Air Nostrum es una empresa de transporte aéreo constituida el 23 de mayo de 1994. Es una compañía de aviación regional en España, de capital 100% privado (Grupo Nefinsa), que opera 120 rutas y transporta aproximadamente 5,2 millones de pasajeros anuales. A través del acuerdo de franquicia los vuelos de Air Nostrum pasaron a ser comercializados por Iberia y se integraron en su red y en la Alianza Oneworld. Air Nostrum se presenta en el mercado como Iberia Regional Air Nostrum. El acuerdo de franquicia ha permitido a Air Nostrum incrementar su número de pasajeros de conexión y aportar a Iberia pasaje a su centro de distribución de tráfico en Madrid. 9. Conforme al acuerdo de franquicia, Air Nostrum opera una red de vuelos complementaria a la de Iberia de modo exclusivo y como parte de la red de Iberia. Sus servicios se operan bajo el código y número de vuelo comercial de Iberia y sus vuelos son comercializados íntegramente por Iberia. Air Nostrum debe utilizar las marcas propiedad de Iberia y adecuar su imagen y diseño de servicio a los estándares utilizados por Iberia. La programación de vuelos de Air Nostrum se realiza de común acuerdo 2 La Alianza Oneworld fue fundada el 1 de febrero de 1999 por American Airlines, British Airways, Cathay Pacific, Canadian Airlines, Iberia y Qantas. En el año 2007 se incorporaron tres aerolíneas más: Japan Airlines, Malév y Royal Jordanian. Los actuales miembros de la Alianza son: American Airlines, British Airways, Cathay Pacific, Finnair, Iberia, Japan Airlines (JAL), LAN Airlines, Malév Hungarian, Qantas, y Royal Jordanian. Además de los miembros de Oneworld, la Alianza dispone de 26 aerolíneas afiliadas que brindan servicios regionales en asociación con los miembros de la Alianza. Las diez compañías miembro y sus afiliadas constituyen una red mundial que sirve más de 700 destinos en más 150 países. 2 por Iberia y Air Nostrum. Air Nostrum debe abonar una comisión de franquicia a Iberia en concepto de promoción, distribución, venta e imagen de Iberia. Al ser Air Nostrum franquicia de Iberia y al estar integrado su programa de vuelos en el de Iberia, la presente decisión toma en consideración las actividades de esta compañía a los efectos del análisis competitivo de la transacción. Clickair 10. Clickair es una compañía aérea de bajo coste3 con sede y base de operaciones en el aeropuerto de El Prat de Barcelona, donde tiene el punto de partida y destino de la mayor parte de sus rutas. Clickair ofrece servicios de transporte aéreo regular de pasajeros desde octubre de 2006, y está especializada en vuelos regulares de corto y medio radio. Su actividad se centra en el mercado doméstico español y en el mercado europeo, aunque también opera rutas con destinos a varias ciudades del norte de África. Sirve un total de 49 rutas. 11. Su flota está formada por 18 aeronaves. En 2007 Clickair transportó a 4,5 millones de pasajeros. 12. Clickair no realiza actividades de asistencia en tierra (handling) ni de mantenimiento, externalizando dichas actividades a Iberia en aeropuertos donde está presente Iberia y a otras compañías en el resto. Clickair tampoco realiza actividades de transporte de mercancías. 13. Iberia posee el 20% de las acciones de Clickair pero no la controla. Otros cuatro accionistas poseen cada uno el 20% del capital social y derechos de voto de Clickair.4 14. En julio de 2006, Clickair firmó un Acuerdo de Código Compartido con Iberia en modalidad free sale por un período de […] años. Conforme a dicho acuerdo, Iberia comercializa con su propio código y número de vuelo parte de las plazas ofertadas en los vuelos operados por Clickair en ciertas rutas (son los denominados billetes de Iberia con código IB 5000). Dicha comercialización supone aproximadamente un [30-40%] del total de las plazas ofertadas por Clickair en sus vuelos. Iberia debe abonar a Clickair por cada billete vendido el precio fijado por Clickair, con independencia del precio final que Iberia cargue al pasajero que vuela con su código en un vuelo operado por Clickair. Por el acuerdo no se transfiere licencia alguna para el uso de marcas. Vueling 15. Vueling es una compañía aérea de bajo coste5 que opera principalmente desde sus dos bases ubicadas en el aeropuerto de El Prat de Barcelona, donde también tiene su sede, y en el aeropuerto de Madrid-Barajas. La principal actividad de Vueling es el transporte aéreo regular de pasajeros, operando vuelos regulares de corta y media 3 Las particularidades del modelo de negocio de bajo coste de Clickair se describen en el apartado 82. 4 En la actualidad los accionistas de Clickair son Iberostar Hoteles y Apartamentos, S.L., Agrolimen Inversiones S.C.R., S.A. (entidad española de capital riesgo que forma parte del Grupo Quercus), Cobra Ingeniería de Montajes, S.A., Nefinsa e Iberia. 5 Las particularidades del modelo de negocio de bajo coste de Vueling se describen en el apartado 82. 3 distancia entre las principales ciudades españolas y varios destinos de Europa Occidental y del Sur. Sirve un total de 56 rutas. 16. En 2007 Vueling tenía una media de 20 aeronaves y transportó a 6,2 millones de pasajeros. Accesoriamente, Vueling ofrece como complemento a sus vuelos la posibilidad de tramitar reservas de hotel, alquileres de vehículos y contratación de seguros de viaje, actuando por tanto como mero intermediario. 17. Vueling comenzó a ofrecer servicios de carga en marzo de 2008. 18. Vueling no comercializa servicios de mantenimiento y técnicos […]. Vueling tiene su propio servicio de asistencia en tierra (auto-handling) en los aeropuertos de El Prat de Barcelona, Ibiza, Valencia, Menorca, Jerez y Granada, siendo éste un servicio de uso exclusivo en régimen de autoservicio sin prestar servicios a terceros. En los otros aeropuertos en los que opera, Vueling contrata los servicios de otras compañías de handling. 19. Las acciones de Vueling cotizan en las Bolsas de Madrid, Barcelona, Bilbao y Valencia, perteneciendo el 26,840% de su capital social a la sociedad Inversiones Hemisferio, S.L. y el resto a numerosos accionistas (free float).

    Advanced Seat Reservation Iberia, Iberia Express and Iberia Regional Air Nostrum extend to all fares the possibility of advanced seat reservation from the moment of ticket purchase • The advanced seat reservation is only applicable on flights operated by Iberia, Iberia Express and Iberia Regional Air Nostrum , is only applicable to individual passengers with previously issued flight tickets and, is subject to the availability of seats at the moment of request. • This service is free of charge for passengers travelling in Business class . • For passengers in Economy class this service is voluntary and subject to charges , except for those passengers on Economy Full Fare (Y), fares B, H, K, M, Z, L, A , Club Fiesta passengers, Iberia Plus Platinum and Gold card holders and their equivalents in oneworld Emerald and Sapphire, for whom it's free of charge . • Passengers can choose their seat in the Economy cabin before checking-in online or in person at the airport, provided they have previously issued tickets. • For security reasons, the use of emergency seats, including Economy XL , continue to be subject to certain requirements. • For check-in at the airport, or through on-line check-in unreserved seats are free for all passengers. We are proud that EgyptAir, a world class airline, has chosen to join Star Alliance, thereby recognizing the importance of alliances in aviation today, commented Jaan Albrecht, CEO Star Alliance. - EgyptAir provides an ideal network fit for Star Alliance and will permit many more passengers to experience the alliance's customer benefits especially in markets, in which Star Alliance was up to now under represented, Albrecht continued. In order to implement the Star Alliance "Move under one Roof" concept at Cairo Airport, EgyptAir and the Star Alliance member carriers flying to Cairo will move to the new Terminal 3 once it opens in 2008 Within the integration process now underway, EgyptAir is set to become a full Star Alliance member carrier within the next 18 months. EgyptAir will add nine additional unique airports into Star Alliance network, bringing the overall total to more than 17,700 daily flights serving 944 destinations in 161 countries. (Figures are based on current 17 member carriers and the four carriers set to join soon - Air China, Egypt Air, Shanghai Airlines and Turkish Airlines. EgyptAir was established in May 1932 as the first airline in the Middle East and Africa and the seventh to join IATA.
