Beat Bobby Flay” Season 4/5 Application Please Read the Rules/Eligibility Requirements Before Completing This Application “BEAT BOBBY FLAY” SEASON 4/5 APPLICATION PLEASE READ THE RULES/ELIGIBILITY REQUIREMENTS BEFORE COMPLETING THIS APPLICATION. By completing this application, you agree to be bound by the Rules and represent that you satisfy all of the eligibility requirements. Please remember that any response provided by you as an applicant is subject to verification. EXHIBIT “A” RULES AND ELIGIBILITY REQUIREMENTS All applicants (“Applicants”, “you” or “your”) must sign statements acknowledging that they have read, understand and will comply with all of the following eligibility requirements (“Eligibility Requirements”) of “Beat Bobby Flay” (the “Program”) in order to proceed with the application process: RULES AND ELIGIBILITY REQUIREMENTS 1. Employees, officers, directors and agents of Rock Shrimp Productions NY LLC (“Producer”), Television Food Network, G.P. (“Food Network”), Scripps Networks, LLC, and their respective affiliates, subsidiaries, divisions, parent corporations, and joint venture partners (collectively, the “Released Parties”), all Program advertising, promotional and judging agencies, Program broadcasters and distributors and all other companies associated with the production, administration and/or exhibition of the Program and/or any of their respective licensees, assigns, parents, affiliated and subsidiary companies, divisions, and joint ventures as well as (a) the immediate family (spouse, ex- spouse, mother, father, sister, brother, daughter or son, step-parents, step-children, step-siblings, regardless of where they live) and (b) members of the same households (whether related or not) of such employees, officers, directors and agents, are not eligible to be a participant on the Program or to participate in this application process. In addition, any applicant closely acquainted with any person connected with the production or administration or exhibition of the Program is not eligible if, in Food Network’s sole discretion, the person’s participation could create the appearance of impropriety. 2. All Applicants must be at least eighteen (18) years of age at the time of application. 3. Applicants may not presently be a candidate for any type of political office (“Candidate”) and may not become a Candidate from the time the application is submitted until one (1) year after first broadcast of the last episode of the Program in which they appear. 4. All Applicants must be United States citizens or resident aliens living in the United States with a legal right to live and work in the United States. 5. All Applicants must be in excellent physical and mental health. 6. Applicants must be willing, if requested by Food Network or Producer, to (1) submit an Application to Food Network or Producer for evaluation; (2) participate in one or more telephone interviews with Food Network or the Producers; (3) provide additional videotape or be interviewed or other materials as may be requested by Food Network or Producer. 7. From among all the completed Applications Food Network or Producer receives, staff and consultants of Food Network and Producer will evaluate each application on a number of subjective factors, all of which have the aim of determining which Applicants are eligible for the Program. Food Network and Producer will be evaluating each Applicant’s personality, style, presence, ability to talk about food, ability to cook, knowledge of food and cooking, and overall performance and other related factors. 8. You must use recipes that are wholly original with you, which recipes may be either (i) known to the you and prepared from memory; or (ii) developed spontaneously throughout the production of the Program. It is strictly prohibited to use a recipe or other reference materials found in any cookbook, website, blog, vlog, food packaging or provided by any third party whatsoever, including but not limited to family recipes or recipes supplied by a friend, colleague, or family member, without prior written approval by Producer in each instance. 9. You must furnish Producer with a written version of the recipe(s) used by you in the Program at the end of filming or as otherwise requested by Producer. 1 “BEAT BOBBY FLAY” SEASON 4/5 APPLICATION PLEASE READ THE RULES/ELIGIBILITY REQUIREMENTS BEFORE COMPLETING THIS APPLICATION. By completing this application, you agree to be bound by the Rules and represent that you satisfy all of the eligibility requirements. Please remember that any response provided by you as an applicant is subject to verification. 10. You must provide One (1) legible photocopy of EITHER (A) your passport; OR (B) driver’s license AND (i) social security card OR (ii) birth certificate. 11. If you are selected to participate as a competitor in the Program (a “Participant”), (i) you will be required to film for up to two (2) days in approximately January, or February 2015 (or as otherwise scheduled by Producer). Applicants who are not available for all of those dates may be disqualified. The daily filming will entail long days (e.g., up to 12 hours or more) of on-camera cooking in a kitchen. You must comply with all of Producer’s and/or Food Network’s instructions. Non- compliance with all instructions, directives and schedules set forth by Food Network and/or Producer may result in disqualification, at Producer’s and/or Food Network’s discretion. 12. You acknowledge, understand and agree that if you are chosen to appear in the Program and/or if you are chosen to be one of the Participants, you may be recorded (including audio and/or visual recordings) up to twelve (12) or more hours for up to two (2) days while participating in the Program, which recordings may be made by means of open and hidden cameras, whether or not you are then aware that you are being videotaped and/or recorded (collectively, “Recordings”) and that such Recordings may be broadcast, exhibited, distributed, and/or otherwise exploitedin all media now known or hereafter devised, in any and all manner throughout the Universe in perpetuity. 13. You understand and acknowledge that participation in the Program, including, without limitation, the activities and events arranged by the Program coordinator (including, but not limited to, use of stoves, ovens, knives and other kitchen equipment) may expose you and other participants to risks including without limitation, the risks of death, serious injury, illness or disease and/or property damage. You must be willing and able to participate in physical activities related to working and performing in a kitchen (including using stoves, ovens, knives and other kitchen equipment), on location, on television sets, and the like. You must sign a release attesting to the fact that you understand and knowingly and willingly agree to assume such risks. You understand that by submitting the Application, you acknowledge that you accept and assume all risks known or unknown of any nature (including, without limitation, the foregoing) that may arise in any way from or relate to your participation in the selection process for and/or participation in the Program, and that the release set forth in the Release and Waiver above expressly apply to your participation in all of the foregoing activities and events. 14. You acknowledge, understand and agree that the Released Parties may disclose any information contained within or derived from your applications to third persons connected with the Program and to compile information from third parties in connection with such applications and the application process about your private, personal and public life, relationships with third persons, confidences and secrets with family, friends, significant others, including without limitation: physical appearance; personal characteristics/habits (both physical and mental); medical treatment/history (both physical and mental); educational and employment history; military history; criminal investigations, charges and records; personal views and opinions about life, food, cooking, television, the media, and the like (collectively, “Personal Information”). You acknowledge and agree that the Released Parties may reveal such Personal Information to third parties in the course of the application process and/or the Program and that you release, discharge, and hold harmless the Released Parties (as defined above) from any and all claims and damages arising from such compilation or disclosure of Personal Information. 15. You acknowledge, understand, and agree that the Released Parties’ use or revelation of Personal Information and Recordings as defined in these Eligibility Requirements may be embarrassing, unfavorable, humiliating, and/or derogatory and/or may portray you in a false light. You agree to release, discharge and hold harmless the Released Parties from any and all claims (including, without limitation, claims for slander, libel, defamation, violation of rights of privacy, publicity, personality, and/or civil rights, depiction in a false light, intentional or negligent infliction of emotional distress, copyright infringement, and/or any other tort and/or damages arising from or in any way relating to the submission of an application, participation in the selection process, participation in the Program, the use of the Personal Information or Recordings and/or the use of your name, voice, and/or likeness in 2 “BEAT BOBBY FLAY” SEASON 4/5 APPLICATION PLEASE READ THE RULES/ELIGIBILITY REQUIREMENTS BEFORE COMPLETING THIS APPLICATION.
