Title: Security Attendant Services for Hawaii State Public Library System - Statewide

Pursuant to Section 103-55, Hawaii Revised Statutes (HRS), I hereby certify that if awarded the contract in excess of $25,000, the services to be performed will be performed under the following conditions:

1. All applicable laws of the federal and state governments relating to workers' compensation, unemployment compensation, payment of wages, and safety will be fully complied with; and

2. The services to be rendered shall be performed by employees paid at wages or salaries not less than the wages paid to public officers and employees for similar work, with the exception of professional, managerial, supervisory, and clerical personnel who are not covered by Section 103-55, HRS.

I understand that failure to comply with the above conditions during the period of the contract shall result in cancellation of the contract, unless such noncompliance is corrected within a reasonable period as determined by the procurement officer. Payment in the final settlement of the contract or the release of bonds, if applicable, or both shall not be made unless the procurement officer has determined that the noncompliance has been corrected; and

I further understand that all payments required by Federal and State laws to be made by employers for the benefit of their employees are to be paid in addition to the base wage required by section 103-55, HRS.

SPECIFICATIONS

SPECIFICATIONS

Scope of Work

Contractor shall provide security attendant services to designated public libraries of the Hawaii State Public Library System (HSPLS). At the release of this solicitation, the libraries listed in Exhibit A shall be provided security services under this contract. Currently, there is no need for services for libraries on Molokai and Lanai. Exhibit B reflects the work schedule of the libraries currently requiring services.

During the course of the contract, the HSPLS may designate additional public library locations for this contract and/or delete existing public library locations from the contract. Each respective island’s inclusive unit bid price per man-hour shall apply to each location added to the contract or deleted from the contract by contract modification. The unit bid price per man-hour for the island of Maui shall be applicable to the addition/deletion of libraries on Molokai and Lanai.

General Specifications

1. Security services shall be provided for as needed according to the work schedule issued by the Contract Administrator. Contractor is advised that the schedule of days and hours will vary per location and that each location’s schedule is subject to change during the contract period. The HSPLS may either add or delete security service hours, as needed, during the term of this contract.

2. If required, and only upon written request from the HSPLS, additional security services shall be provided to the various locations under contract during or after official work hours at the inclusive unit bid price per hour per attendant per island.

Major Duties and Responsibilities

1. Contractor shall provide qualified security personnel at each public library at all times during the hours of operation. See Exhibit B for hours of operation for each library.

2. Security personnel shall be responsible for the protection of State property and the personal safety of the library users and staff at all times during each library’s scheduled security service hours of operation.

3. Security personnel shall provide the following general services: a. Perform general patrolling within the building and grounds;

b. Maintain laws, rules and regulations for the protection and security of property and provide a safe environment for library users and staff;

c. Protect property and equipment against fire, theft, vandalism and other irregularities;

d. Maintain order within the library, its meeting rooms, grounds and parking lot;

e. Report to the head librarian or designee of any problem within the library, such as suspicious persons or unusual incidents; and

f. Secure the building at closing time.

SPECIFICATIONS S-1 HSPLS IFB-19-01 4. It shall be the Contractor’s responsibility that all security personnel are: a. In proper uniform, if required, while on duty;

b. Unarmed while on duty;

c. Properly trained before assignment to the public libraries. Security personnel shall have four (4) to six (6) hours training with emphasis given to dealing with situations most likely to be encountered in the libraries. Security personnel shall be trained to interact with library patrons in a persuasive, tactful and diplomatic manner, rather than in a manner considered autocratic, condescending or overbearing. All security personnel shall exercise caution as to their conduct and relationship with library patrons, inasmuch as school age children are frequent users of the libraries;

d. Able to communicate and read simple instructions, and possess good judgment, have an even temperament and are tactful;

e. In good health and physically able to perform the assigned duties, which include standing for prolonged hours at a time;

f. Aware that while on duty they shall refrain from socializing and having visitors. Unofficial telephone calls shall be limited to emergency only.

5. Due to the nature of the security services required under this contract, the Contractor shall, within twenty (20) days after the receipt of the Notice of Award, provide the HSPLS with a listing of all Contractor’s employees who have conviction records and the nature of the convictions. Such information shall be handled in a confidential manner. The HSPLS shall notify the Contractor in writing should any of the Contractor’s employees listed be determined to be unacceptable to perform work under this contract.

6. The HSPLS shall make the decision on all questions that may arise as to the quality, manner and acceptability of the services performed.

7. The HSPLS may, in writing, require the Contractor to remove any employee the State deems incompetent, careless, or otherwise objectionable, from working under this contract. If any of Contractor’s employee is removed from one library, they shall not be reassigned to any of the other libraries.

8. The work schedule shown in Exhibit B is based on current information and is provided for bidding purposes only. Contractor is required to furnish security attendant services for any public library location made a part of this contract and for more or less hours than indicated herein. Additional locations and hours shall be provided at the inclusive hourly rate offered. In the event the hours per library is reduced or library locations are deleted, the reduction in hours and/or locations shall not constitute a basis for a price adjustment under this contract.

9. Contractor shall provide assistance and advice to the HSPLS in supervising and carrying out the security program.

SPECIFICATIONS S-2 HSPLS IFB-19-01 SPECIAL PROVISIONS

1. INTRODUCTION The Hawaii State Public Library System, (herein after referred to as “STATE”) is seeking offers for furnishing Security Services, pursuant to HRS chapter 103D, all in accordance with the Specifications, Special Provisions, and General Conditions of this Solicitation number: HSPLS IFB 19-01. The State’s General Conditions, Form AG-008, attached hereto and applicable contract forms, although not physically attached, are included by reference and made a part hereof and shall be included in the final contract to be issued upon approval of the award.

2. TERMS AND ACRONYMS USED HEREIN

Administrative Services Branch = Fiscal and procurement operations for HSPLS.

Contract Administrator = HSPLS staff providing active monitoring and communications with contractor.

Contractor = Any individual, partnership, firm, corporation, joint venture, or other entity that enters into a contract.

State = All agencies, including schools, participating in this agreement.

Bidder or Offeror = Any individual, partnership, firm, corporation, Joint Venture, or other entity submitting directly or through a duly authorized representative or agent, a bid for the good, service or construction contemplated.

3. CONTRACT ADMINISTRATOR For the purpose of this contract, Mallory C. Fujitani, or her appointed representative, is designated Contract Administrator (CA). The telephone number at which she may be reached is (808) 586-3704.

SPECIAL PROVISIONS SP-1 HSPLS IFB-14-01 4. TERM OF CONTRACT Contractor shall enter into a contract for furnishing these services for the twelve (12) month period commencing on the commencement date specified on the State’s Notice to Proceed.

Unless terminated, contract shall be extended without the necessity of re-bidding, for not more than four (4) additional twelve (12) month periods or parts thereof, upon mutual agreement in writing, at least sixty (60) days prior to expiration provided that the contract price for extended period shall remain the same or lower than the initial bid price or as adjusted in accordance with the CONTRACT PRICE ADJUSTMENT provision therein.

Upon extension of the contract, the Contractor shall be required to execute the State’s Supplemental Agreement to the Contract.

The Contractor or the State may terminate the extended contract at any time upon sixty (60) days prior written notice.

5. BIDDER QUALIFICATION In addition to meeting the legal and other requirements to this IFB, bidder must meet these bidder qualifications requirements to be considered for award.

1. Bidder must have a valid guard services license registered with the Hawaii State Department of Commerce and Consumer Affairs at the time of bid Submittal. The guard services license number shall be noted on Offer Form, Page OF-2.

2. Offeror must have been in the security guard business for a minimum of two (2) consecutive years prior to offer submittal date.

3. Offeror shall have a permanent office and representative(s) in the State of Hawaii at the time of bid opening.

6. BACKGROUND CHECK All security officers assigned to this contract shall have the following clearances:

1. Federal and State criminal clearance check. Documents of background checks shall be current and dated within thirty (30) days of submission to the HSPLS. This information shall be submitted to the CA within fourteen (14) days from receipt of the Notice of Award;

2. Traffic abstract (no Driving Under the Influence of Alcohol or Drugs or careless driving conviction).

3. No documented emotional or mental disorder;

4. No criminal convictions which might deem the candidate unsuitable for employment.

Contractor, at no extra cost to HSPLS, shall provide necessary evidence of compliance in this area. Upon review of a security officer’s background check, the HPSLS reserves the right to request additional background information.

SPECIAL PROVISIONS SP-2 HSPLS IFB-19-01 7. SITE INSPECTION Prior to submittal of an offer, Offerors may inspect the various library locations to thoroughly familiarize themselves with existing conditions, rules and regulations, and the extent and nature of work to be performed. Offeror inspection is not mandatory, however, submission of an offer shall be evidence that the Offeror understands the scope of the project and shall comply with specifications herein, if awarded the contract. No additional compensation, subsequent to bid opening, shall be allowed by reason of any misunderstanding or error regarding site conditions or work to be performed.

8. BID PREPARATION Offeror Form, Page OF-1. Offeror is requested to submit its offer using Offeror’s exact legal name as registered with the Department of Commerce and Consumer Affairs, if applicable; and to indicate exact legal name in the appropriate space on Offer Form, page OF-1. Failure to do so may delay proper execution of the contract.

The authorized signature on the first page of the Offer Form shall be an original signature in ink. If unsigned or the affixed signature is a facsimile or a photocopy, the offer shall be automatically rejected unless accompanied by other material, containing an original signature, indicating the Offeror’s intent to be bound. Bid Quotation. Unit bid price per man-hour per attendant shall be the all inclusive hourly cost to the State (including all applicable taxes) for providing the services specified.

Unit bid price per man-hour shall be applicable to any additional HSPLS locations designated during the contract period, and shall also be applicable to additional security services provided during or after work hours, subject to the State Department of Labor and Industrial Relations overtime regulations, when regularly assigned officers are specifically requested for by the State.

Tax Liability. Work to be performed under this solicitation is a business activity taxable under Chapter 237, HRS, and vendors are advised that they are liable for the GET at the current 4.166% rate for neighbor islands and 4.712% for Oahu. If, however, an Offeror is a person exempt by the HRS from paying the GET and therefore not liable for the taxes on this solicitation, Offer shall state its tax exempt status and cite the HRS chapter or section allowing the exemption.

Taxpayer Preference. For evaluation purposes, pursuant to §103D-1008, HRS, the Bidder’s tax-exempt price offer submitted in response to an IFB shall be increased by the applicable retail rate of general excise tax and the applicable use tax. Under no circumstance shall the dollar amount of the award include the aforementioned adjustment.

Offer Security. An offer guaranty (bid security) is not required for this solicitation.

SPECIAL PROVISIONS SP-3 HSPLS IFB-19-01 9. RESPONSIBILITY OF OFFERORS Offeror is advised that in order to be awarded a contract under this solicitation, Offeror will be required, to be compliant with all laws governing entities doing business in the State including the following chapters and pursuant to HRS §103D-310(c): 1. Chapter 237, General Excise Tax Law; 2. Chapter 383, Hawaii Employment Security Law; 3. Chapter 386, Worker’s Compensation Law; 4. Chapter 392, Temporary Disability Insurance; 5. Chapter 393, Prepaid Health Care Act; and 6. §103D-310(c), Certificate of Good Standing (COGS) for entities doing business in the State.

The State will verify compliance on Hawaii Compliance Express (HCE).

Hawaii Compliance Express. The HCE is an electronic system that allows vendors/contractors/service providers doing business with the State to quickly and easily demonstrate compliance with applicable laws. It is an online system that replaces the necessity of obtaining paper compliance certificates from the Department of Taxation, Federal Internal Revenue Service; Department of Labor and Industrial Relations, and Department of Commerce and Consumer Affairs.

Vendors/contractors/service providers should register with (HCE) prior to submitting an offer at https://vendors.ehawaii.gov. The annual registration fee is $12.00 and the ‘Certificate of Vendor Compliance’ is accepted for the execution of contract and final payment.

Timely Registration on HCE. Vendors/contractors/service providers are advised to register on HCE soon as possible. If a vendor/contractor/service provider is not compliant on HCE at the time of award, an Offeror will not receive the award.

Insurance. Offeror shall provide insurance information as requested on the appropriate Offer Form page.

References. Offeror shall list on the appropriate Offer Form page at least three references for whom he/she has performed subject service and who can, if necessary, attest to the offeror’s performance.

Local Office /Representative. Offerors shall provide on the appropriate Offer form page information regarding local office and/or responsible individual to be contacted on matters concerning security officers assigned to this job.

Wage Certificate. Offeror shall complete and submit the attached Wage Certificate by which Offeror certifies that the services required will be performed pursuant to Section 103- 55, HRS.

SPECIAL PROVISIONS SP-4 HSPLS IFB-19-01 10. SUBMISSION OF OFFER Offers shall be received electronically through the Hawaii State eProcurement called HIePRO. Offers received outside of the HIePRO shall be rejected and not be considered for award. To register for HIePRO, please go to http://hiepro.hawaii.gov. Offeror’s electronic response to this solicitation shall be deemed an offer to sell the specified services/construction to the State at the price(s) shown in the response and under the terms and conditions of this solicitation.

11. STATUTORY REQUIREMENTS OF SECTION 103-55, HRS Offeror shall complete and submit the attached Wage Certificate by which offeror certifies that the services required will be performed pursuant to Section 103-55, HRS.

Offerors are advised that Section 103-55, HRS, provides that the services to be performed shall be performed by employees paid at wages not less than wages paid to public officers and employees for similar work. Offerors are further advised that in the event of an increase in wage rates to public employees performing similar work during the contract period, Contractor will be obliged to provide wages no less than those increased wages.

Contractor shall be further obliged to notify its employees performing work under this contract of the provisions of Section 103-55, HRS, and of the current wage rate for public employees performing similar work. Contractor may meet this obligation by posting a notice to this effect in the Contractor’s place of business accessible to all employees, or Contractor may include such notice with each paycheck or pay envelope furnished to the employee.

To assist the bidder in determining whether the work his employees are to perform under this contract is similar to that performed by public employees, attached are class specifications for public employee positions that perform security attendant services. Effective July 1, 2018, the basic hourly wages paid to the State positions are as follows:

Class Hourly Rate Security Attendant I (SR-06) $12.74/hr.

Accordingly, bidder should consider the aforementioned wage rates when preparing his/her quote.

SPECIAL PROVISIONS SP-5 HSPLS IFB-19-01 12. PRICE ADJUSTMENT DUE TO WAGE INCREASE TO STATE EMPLOYEES 1. Contract price adjustment shall be considered: a. Only upon request by the Contractor accompanied by proof satisfactory to the State that its employees have been paid comparable wages to State employees; and

b. Only if there is a wage increase to public employees performing comparable work; and

c. Only for the contract period in which the price adjustment request is submitted (current contract period only).

Example: Original contract period: December 1, 2018 to November 30, 2019 Extension Period: December 1, 2019 to November 30, 2020

The option to extend the original contract is exercised on the period December 1, 2019 to November 30, 2020. On March 1, 2020, the State announces a pay raise retroactive July 1, 2019 and the Contractor soon thereafter submits a request for contract price adjustment accompanied by acceptable documentation. A contract modification is issued to reflect a price adjustment for the current period of the contract, December 1, 2019 to October 31, 2020. Note that the price adjustment is not applied retroactively to July 1, 2019 since the condition of this contract allows price adjustment to the current contract period only.

2. Price adjustment based on the actual dollar increase per hour per State employee shall be calculated as follows: a. Bid Price/Hr/Officer (A) = (A) for example = $15.00/hr

b. Current Hourly Wage Range (B) = (B) for example = $11.00/hr

c. New Hourly Wage Rate paid to State Employees (C) = (C) for example = $11.50/hr

d. Hourly Wage Increase to State employees (D) = (D) for example - $0.50/hr

e. Adjusted Bid Price/Hr/Officer (E) = (A) + (D), or $15.00 + $0.50 = $15.50/hr

3. In addition to the actual dollar amount of wage increase, Contractor may apply for the percentage (%) fringe benefits required by Statute. However, the resulting fringe benefit percentage shall only be applicable to the actual dollar amount of increase and the State shall only consider those benefits that are required by contract and are directly affected by the wage increase.

If request includes adjustment for wage related fringe benefits, Contractor must provide support documentation and an itemized percentage breakdown of the fringe benefits being paid.

SPECIAL PROVISIONS SP-6 HSPLS IFB-19-01 The State has determined that the applicable fringe benefits for wage related price adjustments shall be limited to: 1) Federal Old Age Benefits, 2) Worker Compensation, 3) Temporary Disability Insurance, and 4) Unemployment Insurance.

Based on past experience, it has been determined that the percentage increase be set at 16%. If Contractor is able to document that its percent for fringe is higher than 16%, the State will review and consider Contractor’s claim.

The following method of calculations shall be applied for the fringe benefits: a. 16% for Allowable Fringe Benefits

b. Adjustment for Allowable Fringe Benefits (F) = (D) x (.16) = F, or $.50 x .16 = $.08

c. Adjusted Bid Price/Hr./Officer + Fringe Benefits = (E) + (F), or $15.50 + $.08 = $15.58

4. After the contract modification for the increase is issued by the State, but before payment of an increase is made on the portion of the current contract period already performed, the Contractor shall show proof that its employees were given the retroactive wage increase.

13. CERTIFICATION OF INDEPENDENT COST DETERMINATION By submission of a bid in response to this IFB, bidder certifies as follows: 1. The costs in this IFB have been arrived at independently, without consultation, communication, or agreement with any other bidder, as to any matter relating to such costs for the purpose of restricting competition.

2. Unless otherwise required by law, the cost which have been quoted in this IFB have not been knowingly disclosed by the bidder prior to award, directly or indirectly, to any other bidder or competitor prior to the award of the contract.

3. No other attempt has been made or will be made by the bidder to indicate any other person or firm to submit or not to submit for the purpose of restricting competition.

14. METHOD OF AWARD Award, if made, will be to the responsive, responsible Offeror submitting the lowest Estimated Total Sum Bid. Offeror must bid on all items and sub-items to be considered for Award.

Only those offers that meet all of the IFB’s Specifications, Special Provisions, General Conditions, and any other IFB requirement(s) will be considered for award. Any offer that proposes terms, conditions, or requirements that are contrary to those specified herein or does not meet the qualification requirements of the IFB, as solely determined by the State and as provided for herein, may be considered non-responsive and will be rejected as provided for herein.

SPECIAL PROVISIONS SP-7 HSPLS IFB-19-01 15. ACCEPTANCE OF OFFER Acceptance of Offer, if any, will be made within sixty (60) calendar days after the opening of Offerors, and the prices quoted by the Offeror shall remain firm for the sixty day period as provided for in the General Conditions.

16. CONTRACT EXECUTION The State shall forward a formal contract to the successful Offeror for execution. The contract shall be signed by the successful Offeror and returned within ten (10) days after receipt by the Offeror. NO PERFORMANCE AND PAYMENT BONDS ARE REQUIRED FOR THIS CONTRACT.

This IFB and the successful bid will be part of the contract.

If the option(s) to extend for the twelve-month period is mutually agreed upon, Contractor shall be required to execute a supplement to the contract. The Contractor or the State, may terminate the extended contract at any time upon sixty (60) days prior written notice.

17. NOTICE TO PROCEED Work will commence on the official commencement date specified on the Notice to Proceed.

No work is to be undertaken by the Contractor prior to the official commencement date specified on the Notice to Proceed. The State is not liable for any work, contract, costs, expenses, loss of profits, or any damage whatsoever incurred by the Contractor prior to the work start date.

18. RE-EXECUTION OF WORK The Contractor shall re-execute any work that fails to conform to the requirements of the contract and shall immediately remedy any defects due to faulty workmanship by the Contractor.

Should the Contractor fail to comply, the State reserves the right to engage the services of another company to perform the services and to deduct such costs from monies due to the Contractor.

19. LIABILITY INSURANCE The Contractor shall maintain in full force and effect during the life of this contract, liability and property damage insurance to protect the Contractor and his subcontractors, if any, from claims for damages for personal injury, accidental death and property damage which may arise from operations under this contract, whether such operations be by himself or by an subcontractor or anyone directly or indirectly employed by either of them. If any subcontractor is involved in the performance of the contract, the insurance policy or policies shall name the subcontractor as additional insured.

SPECIAL PROVISIONS SP-8 HSPLS IFB-19-01 As an alternative to the Contractor providing insurance to cover operations performed by a subcontractor and naming the subcontractor as additional insured, Contractor may require subcontractor to provide its own insurance which meets the requirements herein. It is understood that a subcontractor’s insurance policy or policies are in addition to the Contractor’s own policy or policies.

The following minimum insurance coverage(s) and limit(s) shall be provided by the Contractor, including its subcontractor(s) where appropriate.

The Contractor shall obtain, maintain, and keep in force throughout the period of this Contract the following types of insurance:

a. General liability insurance issued by an insurance company in the amount of at least ONE MILLION AND NO/100 DOLLARS ($1,000,000.00) for bodily injury and property damage liability arising out of each occurrence and TWO MILLION AND NO/100 DOLLARS ($2,000,000.00) aggregate.

b. Automobile insurance issued by an insurance company in an amount of at least ONE MILLION AND NO/100 DOLLARS ($1,000,000.00) per occurrence.

The insurance shall be obtained from a company authorized by law to issue such insurance in the State of Hawaii (or meet Section 431: 8-301, Hawaii Revised Statutes, if utilizing an insurance company not licensed by the State of Hawaii).

For both the general liability and automobile liability insurance, the insurance coverage shall be primary and shall cover the insured for all work to be performed under the Contract, including changes, and all work performed incidental thereto or directly or indirectly connected therewith. The Contractor shall maintain in effect this liability insurance until the State has certified that the Contractor’s work under the Contract has been completed satisfactorily.

Prior to or upon execution of this Contract, the Contractor shall obtain a certificate of insurance verifying the existence of the necessary insurance coverage in the amounts stated above. The parties agree that the certificate of insurance shall be attached hereto as “Exhibit " and be made a part of this Contract.

Each insurance policy required by this Contract shall contain the following clauses: (1) “This insurance shall not be canceled, limited in scope of coverage or non-renewed until after 30 days written noticed has been given to the State of Hawaii, Hawaii State Public Library System, 44 Merchant St. Honolulu, Hawaii 96813.”

(2) “The State of Hawaii is added s an additional insured as respects to operations performed for the State of Hawaii.”

(3) “It is agreed that any insurance maintained by the State of Hawaii will apply in excess of, and not contribute with, insurance provided by this policy.”

The certificate of insurance shall indicate these provisions are included in the policy.

SPECIAL PROVISIONS SP-9 HSPLS IFB-19-01 The Contractor shall immediately provide written notice to the contracting department or agency should any of the insurance policies evidenced on its certificate of insurance forms be cancelled, limited in scope, or not renewed upon expiration.

If the scheduled expiration date of the insurance policy is earlier than the expiration date of the time of performance under this Contract, the Contractor, upon renewal of the policy, shall promptly cause to be provided to the State an updated certificate of insurance.

The minimum insurance required shall be in full compliance with the Hawaii Insurance Code throughout the entire term of the contract, including supplemental agreements.

Upon Contractor’s execution of the contract, the Contractor agrees to deposit with the State of Hawaii certificate(s) of insurance necessary to satisfy the State that the insurance provisions of this contract have been complied with and to keep such insurance in effect and the certificate(s) therefor on deposit with the State during the entire term of this contract, including those of its subcontractor(s), where appropriate. Upon request by the State, Contractor shall be responsible for furnishing a copy of the policy or policies.

Failure of the Contractor to provide and keep in force such insurance shall be regarded as material default under this contract, entitling the State to exercise any or all of the remedies provided in this contract for a default of the Contractor.

The procuring of such required insurance shall not be construed to limit Contractor’s liability hereunder nor to fulfill the indemnification provisions and requirements of this contract. Notwithstanding said policy or policies of insurance, Contractor shall be obliged for the full and total amount of any damage, injury, or loss caused by negligence or neglect connected with this contract.

20. PERMITS, LICENSES, AND TAXES The Contractor shall procure all permits and licenses, during the original or extended contract term, pay all charges, fees, and taxes, and give all notices necessary and incident to the due and lawful prosecution of the work.

Failure to procure and maintain valid permits and licenses required by law and these specifications may be cause for the State to terminate the contract.

21. INVOICING Contractor shall submit monthly invoices, original and three (3) copies, for actual security attendant man-hours provided under this contract by the Contractor. Invoices shall reference the contract and purchase order numbers and shall be sent to: Hawaii State Public Library System Logistics Support Section 99-143 Road Aiea, Hawaii 96701 Attn: Jan Townsend

Contractor shall submit along with the invoice, a listing of dates and man-hours of security services rendered for the previous month. Charges for additional services requested by the State, if any, shall be invoiced separately with a full description of the work performed. Charges for the additional services shall be computed at the contracted rate per hour.

SPECIAL PROVISIONS SP-10 HSPLS IFB-19-01 22. PAYMENT Section 103-10, HRS, provides that the State shall have thirty (30) calendar days after receipt of invoice or satisfactory completion of contract to make payment. For this reason, the State will reject any bid submitted with a condition requiring payment with a shorter period. Further the State will reject any bid submitted with a condition requiring interest payments greater than that allowed by §103-10, HRS, as amended.

The State will not recognize any requirement established by the Contractor and communicated to the State after award of the contract, which requires payment within a shorter period or interest payment not in conformance with statute.

Final Payment Requirement. Contractor is required to submit a “Certificate of Vendor Compliance” for final payment on the contract.

23. LIQUIDATED DAMAGES Refer to Paragraph 9 – Liquidated Damages of the General Conditions. Liquidated damages is fixed at the sum of TWENTY-FIVE DOLLARS ($25.00) per each and every calendar day per location per violation the Contractor fails to perform in whole or in part any of his obligations specified herein. Liquidated damages, if assessed, may be deducted from any payments due or to become due to the Contractor.

24. RIGHTS AND REMEDIES FOR DEFAULT In the event the Contractor fails, refuses, or neglects to perform the services in accordance with the requirements of these Specifications, Special Conditions and General Conditions herein, in additional to the recourse allowed by law, the State reserves the right to purchase in the open market, a corresponding quantity of the services specified herein and to deduct from any moneys due or that may thereafter become due the Contractor, the difference between the price named in the contract and the actual cost thereof to the State. In case any money due to the Contractor is insufficient for said purpose, the Contractor shall pay the difference upon demand by the State. The State may also utilized all other remedies provided by law.

25. PROTEST Pursuant to HRS § 103D-701, an actual or prospective offeror who is aggrieved in connection with the solicitation or award of a contract may submit a protest. Any protest shall be submitted in writing to the Contract Administrator, Mallory C. Fujitani, Hawaii State Public Library System, 44 Merchant Street, Honolulu, Hawaii, 96813.

A protest shall be submitted in writing within five (5) working days after the aggrieved person knows or should have known of the facts giving rise thereto; or upon the posting of the award of the contract as described herein; provided that a protest based upon the content of this solicitation shall be submitted in writing prior to the date set for receipt of offers.

The notice of award, if any, resulting from this solicitation shall be posted to the State Procurement Office (SPO) website: http://www.hawaii.gov/spo.

SPECIAL PROVISIONS SP-11 HSPLS IFB-19-01 26. CAMPAIGN CONTRIBUTIONS BY STATE AND COUNTY CONTRACTORS It has been determined that funds for this contract have been appropriated by a legislative body.

If awarded a contract in response to this solicitation, Offeror agrees to comply with Section 11-205.5, HRS, which states that campaign contributions are prohibited from a State and county government contractor during the term of the contract if the contractor is paid with funds appropriated by a legislative body between the execution of the contract through the completion of the contract.
