In accordance wit h Statutes, City of Vero Beach staff, assisted by the Indian River County Chamber of Commerce Economic Development Director, reviewed and selected the attached proposal t o complete the construction for a maintenance, repair, and overhaul (MRO) facility at the Airport.

BACKGROUND: The proposal is to construct a new 30,000 square foot hanga r to support increased capacity to handle large scale operators that intend to use co rporate jet aircraft at Vero Beach Regional Airport. Staff requested proposals in order to find a qualified private partner to develop airport property and construct an M RO facility in keeping with the master plan for the mid-field of the airport.

The process was as follows: • Legal advertisement for the Request for Proposals (RFP) was issued May 14, 2019. • Responses to the RFP were received and opened in a public meeting on July 18, 2019, at 2:30 pm . • One (1) firm responded to the RFP - Sheltair Aviation Vero Beach, LLC; the proposal was responsive to the City's requirements. • On July 29, 2019, the evaluation committee met to review their comments on the proposal in a public meeting at City Hall and also to interview Sheltair.

Based on the selection committee's comments and the interview process, staff recommends that we proceed with negotiations with Sheltair to complete the construction and property management of the facility. Upon approval by City Council for authorization to negotiate the contracts, Airport staff will complete negotiations. After an agreement has been reached in principle, final documents will be prepared in coordination with Sheltair, the City Purchasing Division, and the City Attorney's Office for final approval by the City Manager and City Council.

FUN DING: The total cost of the project is estimated at $5,000,000; FDOT will be funding a maximum amount of $4,000,000 (80%) and Sheltair will be responsible for the City's grant match of approximately $1,000,000 (20%) . No City funds (other than staff time) are anticipated for this project. Airport staff will manage the project and grant administration of this project. Financial accounting will be handled by the Finance Department once the FY 2020 budget is approved (Airport Construction Fund).

RECOMMENDATION: I respectfully request that this item be included on the agenda for the City Council meeting on August 20, 2019, recommending approval of the selected firm for purposes of negotiation. All final contracts and/or lease agreements will be brought before City Council at a later date for final approval.

5 PROPOSED FINANCIAL TERMS

1. State t he offering price for the property including terms of payment, anticipated lease start dat e, and any conditions, contingencies, and additional requirements that affect the lease (2-page limit)

To enable the highest possible return on investment to the City of Vero Beach, Sheltair proposes a prop- erty management agreement with the City. The City of Vero Beach will utilize Sheltair as agent for the construction phase, and Sheltair will manage the construction process under a design-build format to achieve the maximum building space and quality possible with the total $5 million maximum project in- vestment.

Immediately upon agreement of terms, Sheltair will initiate an intensive marketing period of 6-9 months, creating the business case and specifications for potential users. During that time, the City and Sheltair will work cooperatively on the permitting and design efforts. At the completion of the marketing phase, either with a tenant contract secured or a mutual agreement go-forward, the City will initiate the con- struction phase.

Sheltair will market the Vero Beach Airport Central Ramp Facility primarily for use as an Aircraft or Com- ponent Maintenance, Repair, Service, Manufacture or Assembly facility (the primary aeronautical use need identified by the City). Sheltair will also engage in marketing for use as a Flight Department facility (City high priority need), Professional Office with Hangar (City moderate priority need), or Aircraft Storage (City moderate priority need).

The City will contribute up to the $4 million FOOT grant, and Sheltair will provide up to $1 million as the local match, to be paid in three installments. The first payment of $333,333.33 will be due upon the City and Sheltair executing a property management agreement. The second payment of $333,333.33 will be due upon completion of approved 100% plans for the hangar, and the third payment of $333,333.34 will be due upon award of the construction contract by the City of Vero Beach City Council and the designa- tion of Sheltair or its named representatives as project manager, working cooperatively with the selected contractors and the City procurement staff.

Once the building is complete and occupied by a tenant or tenants, rent will be collected by Sheltair on the City's behalf. Sheltair will manage the property under the direction of the City. For its efforts, Sheltair will be compensated a base rate on a sliding scale, plus 25% of net rent. The sliding scale for the base rate is $2/sqft for tenant rent up to $7 .99/sqft; $2.50/sqft for tenant rent from $8.00 to $9.99; and, $3.25/sqft for tenant rents of $10.00 and above. Net rent will be determined after all operational expenses (not ex- pected on a triple-net lease) and the Sheltair base rate. Net rent will be paid 75% to the City and 25% to Sheltair.

Revenue to the airport would begin between July 2021-May 2022 based upon marketing, design, and construction timeline estimates, and initiation of a lease with a building tenant.

Examele

Sheltair secures a MRO tenant on a triple-net lease at a gross rent of $10/sqft. Gross rent is $300,000/yr.

Sheltair retains $3 .25/sqft ($97,500) for base property management fee.

Net rent of $202,500/yr is shared between City of Vero Beach/Airport (75%, or $151,875) and Sheltair (25%, or $50,625).

Result

With no financial risk to the City and Airport, Sheltair will contribute up to $1 million toward construction, offer its considerable construction management, property management, and marketing experience to create economic activity and generate a significant long-term revenue stream to the Vero Beach Airport.

Under this proposal, assuming $10/ft net rent (rent and base fee adjusted for 3% annual inflation), total revenue to the Vero Beach Airport could reasonably exceed $17.1 million over the life of the agreement, including options.

7 PROJECT TIME SCHEDULE

2. Time schedule for the completion of the project (1-page limit)

We estimate 1 month from selection for completing an agreement, 6-9 months of marketing period. 3-6 months to finish design and permitting, and 12-16 months for construction. Total project development time is expected to be between 22 and 32 months from Sheltair's selection.

Upon occupancy and initiation of operations by the building tenant, the specific nature of the business will determine job generation in Vero Beach. Based upon a national dataset from the US Energy Information Administration, a 25,001-50,000/sqft building typically houses one worker per 1,461sqft* . Using this median, 20-21 jobs could be expected.

Wages will be based upon use and tenant business plans. Key Personnel

Gerald M. Holland-Chairman, Chief Executive Officer, Owner and Founder

Mr. Holland founded the company in 1963 and has sustained success, targeted growth and company wellness by focusing on consistent high standards and customer service excellence. A native to Florida, Mr. Holland is a Florida Licensed General Contractor, as well as a Real Estate Broker. As CEO, Mr. Holland sets the standards, vision and culture for the company playing a critical role in leading the company's design, construction and property management.

Mr. Holland has over forty-five years of experience in the industry and provides senior management oversight of critical business decisions over all aspects of the company's operations, development and potential FBO and property expansion.

Warren Kroeppel-Chief Operating Officer

Mr. Kroeppel serves on the executive committee and is responsible for the daily operations, development of strategic growth plans and financial direction of the company. Mr. Kroeppel joined Sheltair in 2012 after a 35 year career in commercial aviation and ai rport management. He has extensive expertise in

12 BUSINESS SUMMARY PLAN aviation operations having served in many different capacities during his management tenure at New York airports, including Deputy General Manager, John F. Kennedy International Airport and ten years as General Manager of LaGuardia Airport. Warren served as the Chairperson for the Public Safety and Security Committee for Airports Council International-North America, and is also an FAA Commercial Pilot, instrument and multiengine rated and flight instructor. Warren holds an undergraduate degree in Aeronautical Science from Embry-Riddle Aeronautical University and a MBA from Adelphi University.

Todd Anderson - Senior Vice President of Real Estate and Development

Mr. Anderson oversees all the Real Estate and Development operations for Sheltair. His role includes fostering and maintaining long-term relationships with the Airports, tenants and governmental agencies. He works very closely with all operating entities to promote the organization's strategic goals and future business activities. Mr. Anderson has been employed with Sheltair since 2000 and was intimately in- volved with the overall strategic and business growth of Sheltair over the past decade.

Prior to joining Sheltair, he held the position of Assistant Director of Properties for the Greater Orlando Aviation Authority overseeing the aeronautical real estate activates for both the Orlando International and Orlando Executive Airports. Mr. Anderson holds a BS Degree in Aviation Business Administration from Embry-Riddle Aeronautical University and a MPA from the University of Central Florida.

Mr. Anderson has over thirty years of aviation and airport management experience, with over twenty-five years actively engaged in the Florida Airport Management arena. He is an Accredited Airport Executive (A.A.E.} since 1999 and has been an active member with the Florida Airports Council since 1989.

Jack Tufano-Vice President of Design and Construction

Mr. Tufano contributes his extensive project management and development experience to his role as Vice President of Design and Construction. Prior to his joining Sheltair in 2019, Mr. Tufano was Vice President, Design and Development for Cisneros Real Estate, where he was charged with all oversight of their real estate portfolio, as well as the development of new projects such as a $300 million new Four Seasons Resort. He has extensive experience with other firms that includes considerable design, development and construction functions on numerous large construction projects. Jack came to Sheltair with a Bachelor of Architecture degree from the University of Miami, School of Architecture.

Project description: Built in two phases, there are two new hangars totaling 22,600 square feet of space with 3,600 square feet of office space and a new 36,000 square foot, four-story executive terminal that dramatically expands on amenities offered to our visitors, including a new 9,000 square foot FBO executive terminal and 27,000 square feet of Class A office space featuring spectacular views.

The complex will also be the home of Banyan's Northside FBO terminal, allowing them to meet the needs of an expanding, exclusive clientele insisting on professionalism and privacy for their travel arrangements.
