In 2016, revenues increased 4% to $29.3 billion, Operating Income grew 10% to $7.5 billion and Adjusted Operating Income grew 10% to $7.6 billion, with record results at each of our divisions. Diluted Income per Common Share from Continuing Operations (“EPS”) was up 8% to $4.94 per share and Adjusted EPS was up 23% to $5.86 per share. Looking back over the past eight years, we delivered a total return to shareholders that outpaced our media and entertainment peer group average and more than doubled the S&P 500. Creatively, 2016 was another exceptional year, Jeff Bewkes with Warner Bros. leading all studios in supplying television programming to the broadcast networks and having its second-best year ever at the global theatrical box office, along with a growing consumer products business that is drawing on franchises such as DC Entertainment, LEGO and J.K. Rowling’s Wizarding World. Turner again was a leader among ad-supported cable networks, maintaining industry-leading positions at TBS, TNT and Adult Swim and garnering tremendous ratings growth at CNN. And Home Box Office continued to raise the bar in premium pay television in a year that extended its long-running streak of bringing home more Primetime Emmy Awards than any other network, while also introducing the most- watched new series in its history, Westworld, which is produced by Warner Bros. The Non-Horizontal Merger Guidelines (“Guidelines”), originally issued in 1984,1 are the governing document of U.S. vertical antitrust enforcement. They rely, however, upon outdated economic theories that not only fail to promote and protect competition, but, in some cases, obstruct appropriate antitrust enforcement. Large vertical mergers in key industries have caused harm to consumers and failed to deliver on their promised innovations, efficiencies, and public benefits. The current Guidelines’ bias toward false negatives, or non-findings of harm, enables incumbents to consolidate market power and undermine competition. Recent vertical mergers in the telecommunications and entertainment industries illustrate the deficiencies of the current regulatory regime and provide evidence of the need for new guidelines.

In this article we will explore how HBO came to legitimatise a contemporary television culture through producing distinct divisions ad infinitum, framed as being rooted outside mainstream commercial television production. In creating incessant divisions in genre, authorship and aesthetics, HBO incorporates artistic norms and principles of evaluation and puts them into circulation as a succession of oppositions— oppositions that we will explore throughout this paper.

Turner inked a long-term pact that will provide the MSO’s digital customers with access to hundreds of shows on myriad platforms at no additional cost and shorty after initial airing. Content from TNT, TBS, CNN, HLN, truTV, TCM, Cartoon Net and Adult Swim will be included, with availability planned through Xfintitytv.com, Comcast’s VOD service and Xfinity-branded mobile apps. Live streaming is also planned. And starting in the middle of this year, the Turner content on Xfinity platforms is expected to accrue to Nielsen C3 ratings across TV and the Internet (Cfax, 2/1), and eventually to phone and tablet devices. “This landmark agreement… really solidifies our partnership in this effort and really pushes forward the concept of giving consumers more access to quality on- demand content on any device they choose,” said Bewkes in a release.
