  • Abstract a Case Study of Cross-Ownership Waivers
ABSTRACT A CASE STUDY OF CROSS-OWNERSHIP WAIVERS: FRAMING NEWSPAPER COVERAGE OF RUPERT MURDOCH’S REQUESTS TO KEEP THE NEW YORK POST by Rachel L. Seeman Media ownership is an important regulatory issue that is enforced by the Federal Communications Commission. The FCC, Congress, court and public interest groups share varying viewpoints concerning what the ownership limits should be and whether companies should be granted a waiver to be excused from the rules. News Corporation is one media firm that has a history of seeking these waivers, particularly for the New York Post and television stations in same community. This study conducted a qualitative framing analysis of news articles from the New York Times and the Wall Street Journal to determine if the viewpoints expressed by the editorial boards were reflected in reports on News Corp.’s attempt to receive cross-ownership waivers. The analysis uncovered ten frames the newspapers used to assist in reporting the events and found that 80% of these frames did parallel the positions the paper’s editorial boards took concerning ownership waivers. • News Corporation's Response to the Secretary of State
Non-confidential version of Submission dated 14 January 2011 SUBMISSION TO THE SECRETARY OF STATE FOR CULTURE, OLYMPICS, MEDIA AND SPORT 1. INTRODUCTION/OVERVIEW (a) Background/decision to be taken by the Secretary of State 1.1 This submission is made on behalf of News Corporation (News) in relation to its proposed acquisition of those shares in British Sky Broadcasting Group plc (Sky) that it does not already own (the Transaction). 1.2 On 4 November 2010, the Secretary of State for Business, Innovation and Skills (Secretary of State for BIS) issued an European Intervention Notice which identified the following public interest consideration (PIC) as potentially relevant to a consideration of the Transaction: "the need, in relation to every different audience in the United Kingdom or in a particular area or locality of the United Kingdom for there to be a sufficient plurality of persons with control of media enterprises serving that audience;" (section 58 (2C)(a) of the Enterprise Act 2002) 1.3 Ofcom was required to provide advice and recommendation with regard to the PIC pursuant to Article 4A of the Enterprise Act (Protection of Legitimate Interests) Order 2003 (the Order) and OFT was required to advise as to the creation of a European relevant merger situation pursuant to Article 4(4) of the Order. 1.4 Following the revelations which emerged in the press on 21 December, indicating clear bias against News by the Secretary of State for BIS, the Secretary of State for BIS and his department were removed from a decision making role in relation to the Transaction and decision making powers were transferred to the Secretary of State for Culture, Olympics, Media and Sport (Secretary of State) who must now take the decision on whether or not to refer the Transaction to the Competition Commission (CC) under Article 5 of the Order.

  • VOTE NO at NEWS CORPORATION the Comptroller's Office
VOTE NO AT NEWS CORPORATION The Comptroller’s Office recommends that the NYC Funds vote against 9 of 15 directors at News Corporation’s annual meeting scheduled for October 21, 2011. The directors include insiders David Devoe, James Murdoch, Lachlan Murdoch, Rupert Murdoch and Arthur Siskind, and outside directors Natalie Bancroft, Viet Dinh, Roderick Eddington and Andrew Knight. Because News Corp’s dual class share structure effectively insures all directors will be re- elected, the objective is to send a strong message regarding the need to reconstitute the board. We note that the five NYC Pension Funds collectively hold shares valued at $95 million, only a small portion of which – held by BERS, Fire and NYCERS –have voting rights. News Corp Holdings at 10/12/11 close Voting Non-Voting Total BERS $ 155,610 $ 1,906,889 $ 2,062,499 Fire $ 134,235 $ 5,934,008 $ 6,068,243 NYCERS $ 518,985 $ 33,220,307 $ 33,739,292 Police $ - $ 18,326,036 $ 1,071,698 TRS $ - $ 34,913,925 $ 2,041,750 Total $ 808,830 $ 94,301,165 $ 95,109,995 Summary The growing phone hacking scandal and resulting corporate crisis at News Corp. are ultimately the consequence of a weak board that failed to exercise independent oversight of management over an extended period. The board had ample red flags over the past five years regarding improper practices not unlike those in the current scandal, including multiple payouts totaling $655 million to settle litigation alleging hacking, corporate espionage and anticompetitive behavior at a US subsidiary (New York Times, 7/17/11).

The Board has not lifted a finger to engage in any oversight of Murdoch’s rule, even when it was provided with clear and unmistakable warnings that News Corp’s business practices were not only unethical, but also illegal.

Professor John Miles Foley Assistant Professor Joanna Hearne Professor Elaine J. Lawless Professor Karen Piper Professor Sandy Rikoon Associate Professor Nancy West ACKNOWLEDGEMENTS I have heard that, under the best of circumstances, writing a dissertation is a lonely and isolating process. That has not been my experience because so many individuals have shown interest and contributed meaningfully along the way, sending material about turkeys and Thanksgiving to support my research. Certain individuals were crucial at different stages of my journey, and they should be mentioned here. Years before I began this research, Gerry Gerasimo (Augsburg College) inspired me to think critically about culture, and Michael Owen Jones (University of California- Los Angeles) caused me to fall in love with food as a serious topic of study. At the start of my dissertation research, Elisa Glick’s (University of Missouri) graduate seminar on the body led me to consider theories of embodiment in my examination of Thanksgiving’s symbols.
