Detta prospekt har upprättats av RusForest i enlighet med lagen (1991:980) om handel med finansiella instrument, Europa parla- mentets och rådets direktiv 2003/71/EG och EU-kommissionens förordning (EG) nr 809/2004. Prospektet har godkänts och registrerats av Finansinspektionen i enlighet med bestämmelserna i 2 kap. 25 § och 26 § lagen (1991:980) om handel med finansiella instru- ment. Godkännande och registrering innebär inte att Finansinspektionen garanterar att sakuppgifterna i prospektet är riktiga eller fullständiga. Företrädesrättsemissionen riktar sig inte till aktieägare i Amerikas Förenta Stater, Kanada, Ryssland, Japan eller Australien eller andra länder där deltagande förutsätter ytterligare prospekt, registrerings- eller andra åtgärder än vad som följer av svensk rätt. Prospektet får därför inte distribueras i land där distributionen kräver sådan åtgärd eller strider mot regler i sådant land. Varken teckningsrätterna, de betalda tecknade aktierna eller de nya aktierna kommer att registreras enligt United States Securities Act 1933 (”Securities Act”) eller någon provinslag i Kanada och får inte överlåtas eller erbjudas till försäljning i Amerikas Förenta Stater eller i Kanada eller till person med hemvist där eller för sådan persons räkning annat än i sådana undantagsfall som inte kräver registrering enligt Securities Act eller någon provins lag i Kanada. Prospektet innehåller uttalanden om framtidsutsikter vilka är lämnade av styrelsen och är baserade på styrelsens kännedom om nuvarande förhållanden avseende RusForest, marknadsförhållanden samt i övrigt rådande omvärldsfaktorer. Läsaren bör vara uppmärk- sam på att dessa uttalanden, liksom alla framtidsbedömningar, är förenade med osäkerhet och det lämnas inte någon försäkran om att uppskattningar och prognoser avseende framtiden kommer att infrias. Varje investerare bör konsultera sin egen rådgivare innan denne tecknar eller förvärvar teckningsrätter, betalda tecknade aktier eller aktier i Bolaget. Distribution av detta prospekt innebär inte att uppgifterna häri är aktuella vid någon annan tidpunkt än per datumet för prospektet eller att Bolagets verksamhet, resultat eller finansiella tillstånd har varit oförändrat sedan detta datum. Finansiell rådgivare i Företrädesrättsemissionen är Öhman som biträtt RusForest i upprättandet av prospektet. Öhman har förlitat sig på information tillhandahållen av Bolaget och då samtliga uppgifter i prospektet härrör från RusForest friskriver sig Öhman från allt ansvar i förhållande till aktieägare i Bolaget och avseende andra direkta eller indirekta ekonomiska konsekvenser till följd av investerings- eller andra beslut som helt eller delvis grundas på uppgifter i prospektet. Öhman är även emissionsinstitut avseende Företrädesrättsemissionen. Öhman har inga finansiella eller andra intressen i Företrädesrättsemissionen, utöver ett förutbestämt arvode för sina tjänster. RusForest förbehåller sig rätten att efter eget bestämmande avvisa eller återkalla varje teckning av teckningsrätter, BTA eller aktier i Bolaget som Bolaget eller dess uppdragstagare anser kan ge upphov till överträdelse av eller brott mot någon lagstiftning, regel eller föreskrift. Tvist rörande Företrädesrättsemissionen enligt detta prospekt skall avgöras enligt svensk rätt och av svensk domstol exklusivt varvid Stockholms tingsrätt skall utgöra första instans. Ägande av aktier eller andra finansiella instrument innebär alltid ett risktagande. En investering i RusForest innebär en betydande risk bland annat av det skälet att verksamheten bedrivs i dotterbolag i Ryssland. The reason is of course the tragic development in the eastern part of our region. One example is the article by the four leaders of the Alliance in the Dagens Nyheter on 22 April 2014. 1 In that context, the issue of a Swedish NATO accession has also arisen. As is clear from the report of the Defence Commission, The Defence of Sweden – A Stronger Defence for An Uncertain Time (Ds 2014: 20), there are widely differing opinions among the political parties in the Riksdag (The Swedish Parliament). During my years in the courts and in the government offices, 1962-1994 and thus mostly during the Cold War, I followed the defence issue with great interest. Later, during my ten years in the United Nations and then elsewhere, I lost touch with the issue until, through the debate on the "one week defence", it became clear to me how bad things were. This made me deeply worried. Not least the recent events in Europe demonstrate how important it is that a country has a strong defence. But the defence debate must be conducted in a much broader and longer-term perspective than that which apparently occurred in our country after the end of the Cold War. In the following, I will in a few short sections explain how I view this question in the light of my experiences from my years in the courts, in the government offices, in the United Nations and then in the international arena, including as legal adviser for six years to Kofi Annan in his capacity as Chairman of the Panel of Eminent African Personalities mandated by the African Union to assist in restoring order in Kenya after the violence in connection with the 2007 elections in the country.

    1 EXECUTIVE SUMMARY This group of experts from Russia, the United States and Europe held 15 online-seminars on NATO–Russia Risk Reduction in summer and fall of 2020 and offer the following ideas: To maintain strategic stability, we look forward to immediate action to extend the New START Treaty for 5 years. At the same time, we are concerned by the deterioration of the European secu- rity situation in recent years. The nuclear and conventional arms control system that took decades to build is rapidly unraveling, with nothing to take its place. Incidents in the course of military activities which bring Russian and NATO forces into close proximity are worrisome in their own right and run the risk of escala- tion. While members of our group differ over the root causes of the crisis, we are concerned that as tension builds between Russia and NATO, a real military con- frontation becomes an increasing danger. Given this situation, we call upon our countries’ leaders to demonstrate the political will necessary to take a number of urgent actions in order to reduce the risks of military conflict. These military and security actions should be pursued whether or not we make progress in reducing the serious political disputes among our countries. Indeed, these steps can contribute to an atmosphere, in which reso- lution of those difficult political issues becomes more achievable. We propose a set of measures, recognizing that not all of these steps will be immediately feasible. The detailed recommendations below address the following areas: 1. Re-establishing practical dialogue between Russia and NATO, including direct contacts between the military commanders and experts of Russia and NATO member states.

    Nord Stream, Sweden and Baltic Sea Security Nord Stream, Sweden and Baltic Sea Security Nord Stream, Sweden and Baltic In June 2006, FOI published the report: Sweden and the NEGP: a Pilot Study of the North Euro- pean Gas Pipeline and Sweden’s Dependence on Russian Energy, a base data report on a topic Sea Security Nord Stream, SwedenBaltic Seaand Security ROBERT L. LARSSON that FOI considered to be of rising importance, namely the suggested gas pipeline from Russia to Germany via the Baltic Sea. ROBERT L. LARSSON Much has happened since then and the NEGP has changed its name to Nord Stream and submit- ted an official notification on the intention of constructing the pipeline. This report constitutes an updated version of the previous report, but most of the old report still stands valid, especially concerning the historical survey of Russia’s energy policy. This new report has additional chapters and is broader in scope concerning the consequences of the project. The primary aim of the report is to discuss and analyse some of the core aspects of Nord Stream and the pipeline project with regard to the security situation of the Baltic Sea region. One conclusion is that Nord Stream would, if it is constructed, provide Europe with yet another opportunity to diversify its import channels of gas. It is however reasonable to conclude that Nord Stream also could change the strategic pattern and be a source of friction as it may rock the regional stability and reduce the potential of the new EU members to become security providers in Europe’s northern dimension.
