Sakens bakgrunn: Saksøker TV2 AS sender lineær tv gjennom kanalene TV2, TV2 Zebra, TV2 Livsstil, TV2 Humor, TV2 Nyhetskanalen og TV2 Sportskanalen. TV2 har også to premiumkanaler TV2 Sport 1 og TV2 Sport 2. TV2 yter dessutan VOD-tjenester (Video On Demand) via TV2 Sumo. TV2 får sine inntekter fra reklame, betaling fra TV-distributører (som krever betalt fra sluttkunden) og direkte fra sluttkunder via TV2 Sumo. Saksøkte har skiftet navn til Nordic Entertainment Group UK Limited (heretter NENT). NENT har i lang tid hatt rettighetene til Champions League (heretter CL) i Norge. NENT og konsernselskaper sender lineær tv gjennom basiskanalene TV3, Viasat4 og Viasat6 samt premiumkanalene Viasport+, Viasport 1, Viasport 2, Viasport 3 og ViasatFilm. NENT yter dessuten VOD-tjenester gjennom produktet Viaplay, herunder Viasport. Tv-signaler kan distribueres som en kontinuerlig programstrøm, dvs. lineær-TV, via satellitt, kabel, fiber eller digitalt bakkenett eller som VOD over internett. Tv-signaler distribueres av en rekke selskaper i Norge. Canal Digital kabel distribuerer signaler via kabler eller fiber (CATV). Det samme gjør GET. Canal Digital satellitt og Viasat distribuerer via satellitt (DTH – Direct to Home). RiksTV distribuerer via det digitale bakkenettet (DTT, Digital Terestrial Television) og Altibox distribuerer via IP- nettverk ofte fiber eller xDSL (telefonnettet) forkortet IPTV. De store VOD-aktørene i Norge er NRKTV, TV2 Sumo, HBO, Viaplay og Netflix. VOD distribueres over internett og brukerne kan se videoinnhold når de ønsker. Også direktesendinger, som i denne saken fotballkamper, kan formidlets via VOD. Sluttbrukermarkedet for tv-distribusjon i Norge er på om lag 2,2 millioner kunder. Det er opplyst at Canal Digital (Telenor) har en markedsandel på ca. 50 %, GET ca. 20 %, Altibox ca. 15 % og Rikstv ca. 12 %. Viasat har en liten markedsandel. TV2 og NENT konkurrerer i sluttbrukermarkedet, knyttet til seerandeler på TV og abonnementer på strømmetjenester (VOD). Partene konkurrerer også i distributørmarkedet ved at deres innhold selges til distributører, eks. GET og Canal Digital. NENT har siden 1992 hatt rettighetene til CL i Skandinavia alene. I forbindelse med at rettighetene for årene 2018-2021 for Norden ble utlyst våren 2017 ønsket TV2 å by på - 2 - 18-137445TVI-OBYF/2 rettighetene. Det ble opprettet kontakt mellom partene ved Kjetil Nilsen og Peter Nørrelund om et samarbeid om budgivning. Etter at disse to ble enige om prinsippene ble utformingen av avtalen overlatt til Tomas Myrbostad i TV2 og Karen Rønde i NENT. Avtaleforhandlingene varte bare noen få dager. Fristen for å inngi bud til UEFA var mandag 8. mai 2017. Den 3. mai 2017 sendte Myrbostad, på bakgrunn av samtalene mellom partene, et utkast til avtale mellom partene. Dette utkastet hadde i punkt 4.5 det i saken omstridte unntaket, som ble videreført uendret i avtalens punkt 4.6. Det fremgår av vedlegg 1 til utkastet hvilke kanaler en ønsket å sende innholdet på. Det fremgikk både for kamp 1 og kamp 2 at «Live Match» skulle sendes på TV2 Sportskanalen, TV2 Zebra eller TV2. Det fremgikk også av vedlegget at TV2 hadde 95 % distribusjon, TV2 Sportskanalen hadde 70 % distribusjon, TV2 Zebra 95 % og TV2 Nyhetskanalen hadde 75 %. Det fremgår videre at TV2 Sumo har over 350 000 abonnenter og at alt CL-innhold vil bli gjort tilgjengelig der. Den 5. mai 2017 inngikk partene avtale om «Sub-licensing of rights to Champions League in Norway», (heretter avtalen). Saksøkte er i avtalen omtalt som MTG. Avtalen gikk ut på at partene skulle samarbeidet om et bud på CL-rettighetene, se punkt 3 i avtalen. For det tilfellet budet ble akseptert av UEFA skulle partene dele rettighetene ved at TV2 fikk en sublisens, se punkt 4. Det følger av punkt 2.1 i avtalen at en så for seg å lage en utfyllende avtale. Det ble ikke gjort og det følger av punkt 2.1 at avtalen også for et slikt tilfelle er bindende mellom partene. Det følger av punkt 2.4 at avtalen er begrenset til Norge. Avtalen kan bare sies opp ved vesentlig mislighold, jf. punkt 2.3. Under bakgrunn og formål i punkt 1 står bla.: “the parties have decided to enter into this Term Sheet for the purpose of enabling MTG to secure the rights to Champions League for Norway for the period 2018-2021 as set out in the Tender (the "Rights") for the Rights Period. The Rights shall be shared between the parties for the Norwegian territory under a sub-licence agreement between MTG (licensor) and TV 2 (licensee). The Parties deem that the sub-licence agreement and sharing of rights and matches under such agreement will enable both Parties to offer additional matches on basic channels, sufficiently strengthen the editorial exposure of Champions League, thereby enabling the Parties to offer a more accessible and more attractive total offering of Champions League to the benefit of end users”. I punkt 3 reguleres budsamarbeidet. I punkt 3.1 fremgår at NENT ikke kan levere inn bud på en måte som forhindrer at TV2 får en sublisens. I 3.2 forbys TV2 å by på de aktuelle rettighetene. I punkt 3.3 står følgende: “This Term Sheet is exclusive, and neither Party shall enter into sub-Iicense agreements, joint bidding agreements, or other agreements with any third party that prevents a Party from fulfilling its obligations under this agreement”. - 3 - 18-137445TVI-OBYF/2 I punkt 3.4 fremgår det at det skal regnes som vesentlig mislighold hvis NENT ikke byr innen fristen, eller hvis TV2 ikke sikres en sublisens som avtalt. Dessuten er et brudd på punkt 3.3 vesentlig mislighold. Partene avtalte at vesentlig mislighold av punkt 3 skulle medføre en konvensjonalbot på 500 millioner NOK, se punkt 7.2. Det følger av punkt 4 at NENT mot et vederlag på 80 millioner NOK pr. sesong skal gi TV2 eksklusive rettigheter. De eksklusive rettighetene er beskrevet slik i punkt 4.2: “For the Play Offs, Group Stage Qualifications, Round of 16 and Quarter Finals, TV 2 has the exclusive Live Match Programme right to (i) the first pick match for Tuesday and (ii) the second pick match for Wednesday. If match days are changed, TV 2 shall still have one first pick and one second pick match for each round”. Og i punkt 4.3: “For the Semi-Finals, TV 2 has the exclusive Live Match Programme right to the Tuesday match». I punkt 4.4 og 4.5 gis TV2 noen ikke-eksklusive rettigheter. Partene avtalte i punkt 4.6 følgende unntak fra TV2s eksklusive rettigheter: “Regardless the exclusive rights of TV 2, MTG shall have the right to include the unaltered TV2 signal for TV 2's exclusive live matches as part of its premium offering to its own customers on (i) the OTT platform exclusively owned and controlled by MTG (currcntly known as Viaplay) and (ii) the DTH platform exclusively owned and controlled by MTG”. Den 12. mai 2017 skrev Myrbostad følgende e-post til Rønde: We have been contacted by Canal Digital regarding our agreement for Champions League 2018-2021. Apparently, Viasat in Norway has confirmed to Canal Digital that they will include the TV 2-exclusive live matches in Viasat's offering on the Canal Digital DTH and cable platforms. The Viasat offering on Canal Digital platforms (or any other distributor) is clearly not included in the exception from TV 2's exclusivity, ref. Clause 4.6 of the agreement. To avoid further discussions and misunderstandings, I kindly ask that you communicate this to your colleagues in Norway. Rønde svarte at hun ville følge opp. Det kom ingen innsigelser til denne avtaleforståelsen fra NENT. Det ble ingen sendinger på plattformer til hørende Canal Digital, med TV2s eksklusive kamper. - 4 - 18-137445TVI-OBYF/2 Den 18. januar 2018 sendte Rønde i NENT en e-post til Myrbostad i TV2 med en oppsummering av avtalt sendeplan. Det fremgår av denne oppsummeringen at TV2 skal sende tirsdagskampen i uke 1-14 av cupen på TV2 Sportskanalen eller TV2 Zebra og på TV2 Sumo. I kamper på tirsdager i uke 15 og 16 av cupen skal kampene sendes på TV2. Hvis norske lag spiller fremgår det at sendingen skal være på TV2. For onsdagskampene fremgår at disse sendes på TV2 eller TV2 Zebra og på Sumo. Finalen sendes på TV2. Høsten 2018 tok TV2 kontakt med NENTs vedrørende en endring i TV2s kanaler. TV2 har etablert kanalene TV2 Sport 1 og TV2 Sport 2. NENTS bistod TV2 overfor UEFA med endringen. I e-post av 27. august 2018 vedla Rønde et utkast til endret vedlegg 1 til avtalen. Det fremgår der at TV2, TV2 Zebra og TV2 Sport 1 (pay) og TV2 Sport 2 (pay) skal være «Designated Channels». Den 4. september 2018 skriver Myrbostad en e-post om en del praktiske forhold og skriver følgende: According to our agreement, Viasat may utilize our signal for the TV 2 exclusive matches to its own customers, as part of the premium offering on the OTT and DTH platform. We kindly ask that you describe how this will be implemented in practice, and give us comfort that all the requirements will be met. Rødne svarer 10. september uten å svare på dette direkte. Hun viser til at det er god dialog mellom partene knyttet til de ulike temaer som er tatt opp i mailen.

    Event Processing Applied to Streams of TV Channel Zaps and Sensor Middleware with Virtualization Pal˚ Evensen April 4, 2013 2 Abstract The last decade has seen an exponential increase in mobile computing devices, as well as an increasing adoption of sensor technology in process industry, homes and public spaces. The increasing amount of information made avail- able by such devices has led to a class of pervasive systems that require little or no user input. Smart home systems is an example of such pervasive systems. A main obstacle for application developers dealing with sensor-based systems is heterogeneity of devices and protocols. A common obstacle for end-users is the manual configuration of networked devices. Our first research contribution is a middleware that overcomes these obsta- cles: The SENSEWRAP middleware addresses the problem of heterogeneity in a smart home setting through the virtualization of hardware and services. Fur- thermore, it provides automatic network configuration and service discovery. The usefulness of pervasive systems usually correlates with their ability to perform their functions in the background, without user involvement. Instead, these systems base their actions on available information relevant to their appli- cation, e.g., they are information-driven. For information-driven systems, like smart-home systems and other perva- sive systems to be able to decide on the correct action at the right time, it is vital that the correct information is made available to them in a timely manner. A primary asset of publish/subscribe interactions is the immediate distribution of new information available to interested parties, and as such, it is a well-suited model for building highly scalable and flexible systems that are able to cope with a dynamic environment.

However, operators beyond the top 100 will gain subscribers over the same period. Simon Murray, Principal Analyst at Digital TV Research, said: “Most industries consolidate as they mature. The pay TV sector is doing the opposite – fragmenting. Most of the subscriber growth will take place in developing countries where operators are not controlled by larger corporations.” By end-2020, 13 operators had more than 10 million pay TV subscribers. China and India will continue to dominate the top pay TV operator rankings, partly as their subscriber bases climb but also due to the US operators losing subscribers. Between 2020 and 2026, 307 of the 503 operators (61%) will gain subscribers, with 13 showing no change and 183 losing subscribers (36%). In 2020, 28 pay TV operators earned more than $1 billion in revenues, but this will drop to 24 operators by 2026. The Global Pay TV Operator Forecasts report covers 503 operators with 726 platforms [132 digital cable, 116 analog cable, 279 satellite, 142 IPTV and 57 DTT] across 135 countries.

Starting later this year, Altibox viewers will be able to include NENT Group’s Viaplay streaming service as part of their subscriptions for the first time, while continuing to access NENT Group’s Viasat pay-TV offering and Norwegian TV channels. The agreement ensures that Altibox’s TV viewers can follow NENT Group’s coverage of the highly popular FIS winter sports events from autumn 2021. Altibox will continue to offer NENT Group’s premium Viasat film and sports pay-TV channels, along with the Viasat FilmFavoritter on-demand film library. In addition, Altibox will remain a distributor of NENT Group’s Norwegian TV channels TV3, Viasat4 and TV6.
