Videre vises det til annen skriftlig og muntlig korrespondanse i saken. (2) Konkurransetilsynet har kommet til at foretakssammenslutningen mellom TeliaSonera AB (publ) (TeliaSonera AB, også omtalt som melder), og Tele2 Norge AS (Tele2 Norge) og Network Norway AS (Network Norway) fører til en vesentlig begrensning i markedet for mobile kommunikasjonstjenester til sluttbrukere (sluttbrukermarkedet), og at foretakssammenslutningen vil forsterke en allerede vesentlig begrensning av konkurransen i markedet for tilgang til og samtaleoriginering i mobilnett (grossistmarkedet). (3) Partene har fremsatt forslag til avhjelpende tiltak, og Konkurransetilsynet har funnet at de avhjelpende tiltakene vil avbøte de konkurransebegrensende virkningene som foretakssammenslutningen kan føre til. Konkurransetilsynet har på denne bakgrunn fattet vedtak om inngrep hvor foretakssammenslutningen tillates på vilkår, jf. konkurranseloven1 § 16 annet ledd jf. § 20 fjerde ledd. 1 Innledning 1.1 Sakens bakgrunn (4) Saken gjelder foretakssammenslutning mellom TeliaSonera AB, Tele2 Norge og Network Norway, også omtalt som «partene». (5) I henhold til aksjekjøpsavtale inngått 4. juli 2014 mellom TeliaSonera AB og Tele2 Sverige AB skal TeliaSonera AB erverve samtlige aksjer i Tele2 Norge og Network Norway. Ervervet omfatter også datterselskapene til Tele2 Norge og Network Norway: Mobile Norway AS, Tele2 Butikkene AS, Officer AS og Drammen Tele AS. (6) Som en «fallback»-løsning, for det tilfellet at foretakssammenslutningen ikke skulle bli godkjent av Konkurransetilsynet, forpliktet Tele2 Norge seg, 4. juli 2014, til å ha en MVNO-avtale med TeliaSonera Norge i ----------------- regnet fra 1. oktober 2014. 1 Lov 5. mars 2004 nr. 12 om konkurranse mellom foretak og kontroll med foretakssammenslutninger. 2 1.2 Partenes hovedanførsler til varselet (7) I det følgende gis en kort redegjørelse for partenes hovedanførsler til Konkurransetilsynets varsel om inngrep.2 Anførslene vil også bli behandlet løpende i vedtaket. Når det gjelder partenes anførsler knyttet til virkningene av de avhjelpende tiltakene, vil disse bli behandlet i punkt 8.1. (8) Partene anfører i tilsvaret at Konkurransetilsynet legger feil alternativsituasjon til grunn. Partene hevder at Tele2 vil operere som en MVNO i alternativsituasjonen og at dette kan ses på som status quo. Videre anfører partene at det må legges til grunn at Tele2 har en MVNO-avtale med TeliaSonera frem til 1. april 2017, og ikke en tilgangsavtale med Telenor slik Konkurransetilsynet skriver i varselet. Partene anfører vider at Konkurransetilsynet tar feil når det i varselet legges til grunn at Tele2 ville ha bygget ut mobilnettet i alternativsituasjonen. (9) Ifølge partene må Konkurransetilsynet legge MVNO-scenarioet til grunn som utgangspunkt for konkurranseanalysen. Partene uttaler videre i tilsvaret at Konkurransetilsynet må ta innover seg hvordan de ulike avhjelpende tiltakene kan bidra til å styrke konkurransen i grossist og sluttbrukermarkedet. (10) Ifølge partene vil ikke foretakssammenslutningen begrense konkurransen vesentlig i noen berørte markeder. Partene argumenterer for at foretakssammenslutningen og de avhjelpende tiltakene vil forsterke responsmulighetene for aktører som kontrollerer det tredje nettet sammenlignet med en situasjon uten foretakssammenslutningen. Etter partenes syn bidrar dette til å styrke konkurransen i grossistmarkedet, og ettersom det er nær sammenheng mellom grossist- og sluttbrukermarkedet bidrar dette også til hardere konkurranse om kundene i sluttbrukermarkedet. (11) Partene anfører avslutningsvis at foretakssammenslutningen vil realisere betydelige samfunnsøkonomiske effektivitetsgevinster, og viser til at det er dokumentert og sannsynliggjort at disse gevinstene er fusjonsspesifikke. 1.3 Prosessuelle anførsler (12) Partene anfører i tilsvaret at varselet inneholder flere vurderinger og konklusjoner som er basert på feil ved saksbehandlingen, bevisvurderingen og rettsanvendelsen. Etter partenes oppfatning hefter det feil ved innholdet i de begrunnelser som er gitt i varselet ved at de opplysninger partene har gitt Konkurransetilsynet, ikke er realitetsvurdert eller hensyntatt i tilstrekkelig grad. Partene viser til at de gjennom meldingen, informasjonspåleggene samt på eget initiativ har innsendt omfattende dokumentasjon for å opplyse saken, og at varselet ikke har henvist til eller drøftet innholdet i disse opplysningene i tilstrekkelig grad. (13) Konkurransetilsynet har i anledning saken innhentet omfattende informasjon fra en rekke aktører i markedet, herunder partene, deres konkurrenter og kunder, og andre. Denne informasjonen har blitt grundig analysert og har dannet grunnlaget for Konkurransetilsynets vurderinger og konklusjoner i saken. Vurderingene av anførslene til partene om hvilke fakta som skal legges til grunn, er behandlet løpende i vedtaket. (14) Partene anfører videre at samarbeidet mellom Nasjonal kommunikasjonsmyndighet3 og Konkurransetilsynet ikke har skjedd i henhold til avtalen mellom tilsynsorganene, og at partenes mulighet for innsyn i konsultasjonen mellom tilsynene har vært mangelfull. (15) Til dette bemerker Konkurransetilsynet at samarbeidsavtalen med Nasjonal kommunikasjonsmyndighet legger opp til at Konkurransetilsynet kan ta initiativ til eventuell rådspørring eller annen bistand fra Nasjonal kommunikasjonsmyndighet i forbindelse med behandling av foretakssammenslutninger innenfor sektorene for post og elektronisk kommunikasjon.4 Konkurransetilsynet har initiert en slik rådspørring i foreliggende sak, og dialogen med Nasjonal kommunikasjonsmyndighet har vært i samsvar med de generelle 2 Jf. partenes tilsvar av 22. desember 2014. 3 Nasjonal kommunikasjonsmyndighet (Nkom) het tidligere Post- og teletilsynet 4 Avtale om samarbeid, samordning og oppgavefordeling mellom Konkurransetilsynet og Nasjonal kommunikasjonsmyndighet, punkt 4.5. 3 retningslinjer som er nedfelt i samarbeidsavtalen. Partene har videre fått partsinnsyn i de vurderinger Nasjonal kommunikasjonsmyndighet har formidlet til Konkurransetilsynet. (16) Konkurransetilsynet kan på denne bakgrunn ikke se at partenes anførsler vedrørende feil og mangler ved saksbehandlingen kan føre frem. 1.4 Konkurransetilsynets saksbehandling (17) Konkurransetilsynet har i anledning saken innhentet omfattende informasjon fra en rekke aktører i markedet, herunder partene, deres konkurrenter og kunder, og andre. (18) Partene har utover melding datert 18. juli 2014 besvart flere pålegg om å gi opplysninger fra Konkurransetilsynet. Det har vært avholdt møter med TeliaSonera Norge AS (TeliaSonera) og Tele2 Norge 10. juli 2014, 19. august 2014, 26. september 2014, 30. september 2014, 9. oktober 2014, 29. oktober 2014, 19. november 2014, 11. desember 2014 og 20. januar 2015. Konkurransetilsynet har videre hatt møter med TeliaSonera 5. november 2014 og 27. november 2014, og med Tele2 4. november 2014 og 11. desember 2014. I tillegg har det vært løpende kontakt med partenes advokater. Videre har Konkurransetilsynet også avholdt møter med Nasjonal kommunikasjonsmyndighet 15. august 2014, 24. november 2014, og 23. januar 2015, TDC/Get 15. desember 2014 samt ICE Norge AS (ICE) 20. august 2014, 14. oktober 2014, 21. november 2014 og 22. januar 2014. (19) Informasjonspålegg til partenes største kunder og partenes konkurrenter ble sendt 11. august 2014. Det er videre sendt oppfølgingsspørsmål til partenes konkurrenter. I tillegg ble det sendt egen informasjonsforespørsel til Nasjonal kommunikasjonsmyndighet og IKT Norge 12. september 2014. Endelig har tilsynet innhentet informasjon fra Norsk Referansedatabase (NRDB).5 (20) Melder har fremsatt tilbud om avhjelpende tiltak i brev datert 25. september 2014, 21. oktober 2014, 10. november 2014 og 14. januar 2015. Tilbudet om avhjelpende tiltak av 14. januar 2015 ble mottatt i konsolidert form 2. februar 2015. Konkurransetilsynet har foretatt en nærmere vurdering av de foreslåtte avhjelpende tiltak og har i den anledning også forelagt de avhjelpende tiltakene av 10. november 2014 og 14. januar 2015 til ICE og Nasjonal kommunikasjonsmyndighet for uttalelse. Forslaget til avhjelpende tiltak av 14. januar 2015 ble også sendt på høring til en rekke av partenes kunder og konkurrenter 20. januar 2015. 1.5 Fristberegning (21) Konkurransetilsynet mottok melding om foretakssammenslutningen 18. juli 2014. I e-post 5. august 2014 la imidlertid partene frem et nytt forslag til offentlig versjon av meldingen. Dette medførte at meldingen først kunne anses fullstendig 5. august 2014, jf. konkurranseloven § 18 syvende ledd. (22) Varsel om at inngrep kan bli aktuelt ble rettidig oversendt 9. september 2014, jf. konkurranseloven § 20 annet ledd første punktum. I henhold til konkurranseloven § 20 fjerde ledd første punktum, må Konkurransetilsynet senest innen 70 virkedager etter at meldingen ble mottatt, legge frem begrunnet forslag til inngrepsvedtak. Partene fremla forslag til avhjelpende tiltak 10. november 2014, og fristen for Konkurransetilsynet til å fatte vedtak

The increasing amount of information made avail- able by such devices has led to a class of pervasive systems that require little or no user input. Smart home systems is an example of such pervasive systems. A main obstacle for application developers dealing with sensor-based systems is heterogeneity of devices and protocols. A common obstacle for end-users is the manual configuration of networked devices. Our first research contribution is a middleware that overcomes these obsta- cles: The SENSEWRAP middleware addresses the problem of heterogeneity in a smart home setting through the virtualization of hardware and services. Fur- thermore, it provides automatic network configuration and service discovery. The usefulness of pervasive systems usually correlates with their ability to perform their functions in the background, without user involvement. Instead, these systems base their actions on available information relevant to their appli- cation, e.g., they are information-driven. For information-driven systems, like smart-home systems and other perva- sive systems to be able to decide on the correct action at the right time, it is vital that the correct information is made available to them in a timely manner. A primary asset of publish/subscribe interactions is the immediate distribution of new information available to interested parties, and as such, it is a well-suited model for building highly scalable and flexible systems that are able to cope with a dynamic environment.

However, operators beyond the top 100 will gain subscribers over the same period. Simon Murray, Principal Analyst at Digital TV Research, said: “Most industries consolidate as they mature. The pay TV sector is doing the opposite – fragmenting. Most of the subscriber growth will take place in developing countries where operators are not controlled by larger corporations.” By end-2020, 13 operators had more than 10 million pay TV subscribers. China and India will continue to dominate the top pay TV operator rankings, partly as their subscriber bases climb but also due to the US operators losing subscribers. Between 2020 and 2026, 307 of the 503 operators (61%) will gain subscribers, with 13 showing no change and 183 losing subscribers (36%). In 2020, 28 pay TV operators earned more than $1 billion in revenues, but this will drop to 24 operators by 2026. The Global Pay TV Operator Forecasts report covers 503 operators with 726 platforms [132 digital cable, 116 analog cable, 279 satellite, 142 IPTV and 57 DTT] across 135 countries.
