The Opportunity

The Upper Midwest Organ Organization (doing as LifeSource) located in Minneapolis, Minnesota, is seeking an experienced healthcare executive to serve as its next CEO. This is a rare opportunity to join a dynamic organ procurement organization (OPO) with a strong national and international reputation, driven by an extraordinary mission and a dedicated, collaborative workforce. LifeSource is recognized by its various partners and collaborators as a leader in innovation and performance excellence.

Established in 1989, LifeSource is one of 57 OPOs in the United States. Each OPO has its own designated service area to facilitate the organ donation and transplantation process. LifeSource serves the second largest geographical region, focusing on Minnesota, North Dakota, South Dakota and portions of western Wisconsin. Last year, LifeSource generated over $54 million in net service revenues, and its total operating expenses were $52.5 million, for a net income of $1.6 million. An additional $3 million in income came from investment earnings, contributions and grants. The financial performance in 2020 was down slightly from 2019 because of the impact of the pandemic but also demonstrated the agility and resilience of the organization to respond quickly to unpredictable and unprecedented changes impacting the entire health care industry

With both regulatory and technological changes occurring in the industry, the next CEO must be a visionary and innovative change leader, with a growth-oriented mindset and the ability to balance strategic and tactical skillsets. While the CEO must be a mission- and values-driven leader and a skilled communicator and storyteller, they will also need the business orientation and financial acumen to leverage data and analytics for improved business performance. Equally important is the ability to build and maintain effective relationships with multiple key stakeholders, including those with competing interests.

LifeSource seeks an authentic, accessible leader who is direct, candid and honest in communications and can effectively align people and teams around a common purpose. The CEO must be an active listener who values and appreciates ideas and viewpoints of others, fosters an environment of diversity and inclusion, is inspirational and empowering of others and can establish trust and common ground with a variety of stakeholders. The ideal candidate will bring deep experience in healthcare—ideally within the OPO space—with a demonstrated track record of leading complex within a highly-regulated environment during times of significant change and transformation.

The next CEO of LifeSource will be warmly welcomed by the organization and the broader community. This opportunity is available because of the upcoming retirement of Susan Gunderson, who founded the organization and has served as its CEO for over 30 years. As part of a robust succession planning initiative, LifeSource engaged The Development Group to provide support and guidance in advance of Ms. Gunderson's anticipated retirement. That work, which forms the basis for this leadership profile, has helped to ready the organization for the future and will better position its board, leaders and staff for this critical transition in leadership. Organization Overview

LifeSource is the non-profit organization dedicated to saving lives through organ, eye and tissue donation in the Upper Midwest, serving more than seven million people in communities across Minnesota, North Dakota and South Dakota.

LifeSource facilitates organ, eye and tissue donation between hospitals and transplant centers, supports families and patients by honoring their intentions and educates the community about the impact of donation.

LifeSource's success is dependent on a trusted network of and community participation. Its team works with nearly 300 hospitals and nine transplant centers—as well as medical examiners, coroners and funeral directors—in the three-state service area to ensure every donor and family that wants to donate one’s organs, eyes and tissues has the opportunity to do so.

LifeSource is governed by an engaged, dedicated and highly professional including diverse voices from community leaders, donor family members, transplant recipients, hospital executive leaders, transplant surgeons and business executives, all driven to advance the strategic plan. Valued medical and clinical guidance from the Clinical Policy Board enhances organizational effectiveness in delivery of expert donation services.

It takes many people working in concert to make the donation process happen in a short period of time. LifeSource manages the entire organ recovery process, and its innovative charge is to provide customers with an improved way of navigating the process. The moment a patient is identified as a possible donor, LifeSource coordinates every step for their family with care, compassion and respect.

Industry Context

The organ procurement industry is a dynamic and rapidly-changing field. Over the past four decades, it has grown into a national system of 57 OPOs. Today, the industry is impacted by all the pressures and changes shaping the broader healthcare industry, including: • Shifting healthcare policies, standards and regulatory requirements • New care delivery models • Increasing cost pressures: Insurance, reimbursement, Medicare and other payment reforms • Innovations in technology • Changing business models • Increasing expectations of consumers, patients and providers of greater transparency and timely access to high quality care

In addition, regulatory pressures and market dynamics are increasing competition among OPOs and driving anticipated OPO consolidation across traditionally distinct geographies.

LifeSource has enjoyed great success historically, with a stellar reputation, extraordinary leadership and strong support with clinical partners and others throughout the region. To ensure success going forward, LifeSource must be increasingly agile and efficient to adapt in this shifting environment and to be a leader among OPOs in this changing industry. While it has a strong and compelling mission, it must determine the best operating model for achieving its goals and meeting increasingly demanding requirements and standards. WittKieffer | 3

2020: a Year that Challenged, Compelled and Transformed the Organization

Despite many hurdles in 2020, including a global pandemic and civil unrest that upended American life and health, LifeSource experienced the second highest number of organ donations in its 30-year history and helped save more than 600 lives.

The challenges inherent in orchestrating 603 life-saving organ transplants from 185 local donors in the face of COVID-19 and the aftermath of the murder of George Floyd were significant. However, LifeSource continued to find new ways to ensure its mission to heal and save lives through donation and transplant was unimpeded. In 2020, LifeSource:

• Tested every potential donor for COVID-19; active positive results immediately disqualified them. • Worked with partners to accept donations of N-95 masks, ensuring continued on-the- ground support in donor hospitals.

• Moved all advocacy and donor registration efforts online due to driver’s license office closures and stay-at-home orders.

• Saw a 21% increase (from 2019) in donation referrals from hospitals and medical examiners.

• Supported over 1,000 grieving donor families over the phone and on Zoom when meeting in- person wasn’t possible.

Awards and Recognitions

LifeSource has been recognized as a Top Workplace by the Star Tribune, in with Energage. The Energage surveys cover seven areas, including organizational health factors that measure how well employees are working together toward a common cause. The organization has also been recognized by Tissue Processors (LifeNet, MTF, RTI) in such areas as thoroughness of donor evaluation, timely chart turnaround time, accuracy of documentation, accuracy of recovery and low contamination rates. Additionally, Susan Gunderson was recently selected as one of Minnesota’s Top 500 Business Leaders for her impact to the workplace, industry and community.

Position Summary

Reporting to the LifeSource Board of Directors, the CEO is responsible for providing strategic, financial and operational leadership and decision-making, and for implementing the organization's vision, mission and overall direction. In collaboration with the Board of Directors and senior leadership, the CEO sets the strategic vision, ensuring the appropriate allocation of resources and talent to execute successfully against the strategy. The CEO functions as the face of the organization representing and advocating for the work that is done to support the donor community.

The following executive leaders are direct reports to the CEO:

• Chief Operations Officer, including clinical operations, hospital services and donor/family aftercare

• Chief Administrative Officer, including finance, HR, IS, facilities and quality/regulatory affairs

, including DEI, communications and organizational outcomes

• Director of Transplant Center Relations

The CEO is responsible for all components and departments and must ensure the organization's leadership maintains a constant awareness of both the external and internal landscape, industry developments and standards. This oversight includes setting expectations for collaboration of cross- departmental leaders and their teams in planning and executing organizational programs and initiatives. The CEO will compel innovative process improvement practices aligned with outcomes, metrics, performance measures and strategic initiatives and will uphold accountability and adherence to all regulatory and accrediting agency standards, as well as all internal organizational policies, procedures and guidelines.

Important to the role is engaging in relationship with partners, customers and stakeholders and supporting programs aimed at ensuring satisfaction, engagement and donation growth. The CEO will also ensure the professional development of leaders to deploy interdisciplinary approaches to organizational goals and will set the tone and culture of the organization by embracing and representing the mission, vision and values.

Specifically, the CEO will:

• Provide leadership, with support from the Board of Directors, of the organization's daily operations, including implementation of policies and compliance with guidelines, regulatory requirements and local, state and federal laws.

­ Serve as an ex officio member of the Board of Directors and as a participant on all board committees including, Clinical Policy Board, Executive, Finance and .

­ Lead operational business practices and strategic growth initiatives while ensuring that the organization is circumspect in its corporate integrity.

­ Define and develop a that is responsive to a time of significant regulatory and industry change and aligned to achieve LifeSource’s mission, vision and strategic objectives.

­ Improve existing capabilities; develop new products and services; identify and leverage new technologies and best practices.

­ Provide leadership externally at all levels of government and within the community to ensure LifeSource’s place as a nationally-recognized OPO and an industry benchmark for excellence.

­ Assume accountability for all activities related to the purpose and administration of the organization, including the development and implementation of the strategic plan. • Provide oversight and workforce leadership necessary for operational success of internal key work systems and processes, applying key performance measures to oversee effectiveness and meet organizational objectives.

­ Ensure fiscal effectiveness of the organization, including adherence to approved budgets and timely financial reporting to the Board and required outside agencies.

­ Promote and support results-oriented teamwork to meet organizational goals and objectives; develop, lead and support leaders' professional development and growth.

­ Engage in activities and initiatives related to , workforce development and workforce engagement, including integration of diversity, equity and inclusion practices.

­ Ensure the organization is in good standing with all regulatory bodies and in compliance with all applicable laws, regulations and industry standards. • Represent the organization and its mission, vision and values with external stakeholders, including regulatory agencies, legislative representatives, the industry, clinical partners, community and public.

­ Provide organizational responsiveness to changing conditions, ensuring long-term viability and growth of the organization.

­ Promote an environment that supports process improvement throughout its strategic initiatives; meet or exceed requirements of regulatory and accrediting agencies.

­ Represent the organization as the liaison and spokesperson with other health organizations and community groups, and in dealing with outside agencies such as United Network of Organ Sharing/Organ Procurement Transplantation Network, Centers for Medicare & Medicaid Services, the Food and Drug Administration, Association of Organ Procurement Organizations, American Association of Tissue Banks, Eye Bank Association of America and other governmental agencies; and at all top-level meetings, national, state or local.

­ Actively focus on external activities that promote the organization within the health care community and to the public as a premier OPO. Personally, seek positions of leadership within the community.

­ Advocate for and direct state and national legislative strategy affecting the organization and organ, eye and tissue donation.

Goals and Objectives

The next CEO will ensure LifeSource’s place as a nationally-recognized OPO and an industry benchmark for excellence. The following goals and objectives have been identified as key priorities for this position:

• Ready the organization for future changes in the industry by driving transformational change with a focus on innovation and risk-taking.

­ Define and develop a business model that is responsive to a time of significant regulatory and industry change and aligned to achieve LifeSource’s mission, vision and strategic objectives.

­ Drive organizational performance to improve the effectiveness of programs and achieve CMS metrics aligned with a Tier 1 OPO classification. This will require an increased focus on operational excellence and organizational outcomes, the ability to maximize gifts of organ and tissue donation and the commitment to lead a culture of continuous improvement in which performance excellence is embraced. • Establish personal and professional credibility with all internal and external stakeholders and develop relationships based on trust, collaboration and mutual support; be viewed as highly- engaged, effective and visible. • Leverage deep experience in healthcare—ideally within the OPO space—to ensure success within a highly-regulated environment during times of significant change and transformation.

• Build and align high-performing and diverse leadership/management teams. Develop a pipeline of leaders ready to assume greater scope and responsibility.

• Improve existing capabilities, develop new products and services and identify and leverage new technologies and best practices.

• Provide leadership toward LifeSource's Bold Aims Initiatives:

­ Save 1,000 lives through organ donation and transplant in 2027, an increase of 57% over any prior year to date. This will require a reimagining of the organ donation service delivery model and sustaining annual gains.

­ Ensure LifeSource's workforce reflects the diversity of the community by 2025, meaning the percentage of people of color will need to reach 17% (up from 8% currently).

­ Work towards equity in participation in donation to ensure communities of color say yes to donation at similar rates as the majority population.

Candidate Qualifications

The CEO must possess a combination of education, experience and leadership qualifications to successfully manage the responsibilities required for this position. The ideal candidate will have the following professional qualifications and personal characteristics.

Education

• Bachelor's Degree is required. A Master's Degree in , health care administration, management or a related field is preferred. Knowledge and Work Experience

• A combination of education and experience equivalent to at least 15 years of healthcare and/or business administration and at least five years of senior leadership responsibilities.

• Experience driving transformational change in a complex and highly-regulated healthcare environment.

• Deep experience in healthcare and a keen understanding of healthcare dynamics. Clinical knowledge and experience leading clinical teams is a plus. • Knowledge of compliance and regulatory requirements. Familiarity with OPO policies and CMS regulatory oversight is preferred.

• Proven ability to establish priorities, lead transformational change and achieve measurable results against goals. • Experience establishing effective working relationships with governance oversight, including a Board of Directors, and various other constituencies.

• Demonstrated acumen in program development, and . Personal Characteristics and Leadership Skills

• An authentic, relational person who is adept at building and maintaining effective relationships with a wide range of internal and external stakeholders.

The Twin Cities is a dynamic metropolitan area that is a global economic leader, a hub for education and culture and renowned for its abundant cultural and natural resources. The Minneapolis-St. Paul metro is home to the 4th- largest concentration of Fortune 500 companies in the country as well as thriving entrepreneurial and small-business sectors. Ranked as one of the country’s leading “creative economy” communities, the Twin Cities is renowned for its arts and nonprofit sectors, as well as its many lakes, rivers and parks providing a wealth of recreational and entertainment opportunities.

With over 3 million people, Minneapolis and St. Paul make up the 14th largest metropolitan area in the country. Downtown Minneapolis is energetic, convenient and picturesque with a postcard-pretty skyline, a comfortable feel and a vivacious atmosphere, with the Mississippi River winding through it. The Saint Paul area is rich in history, natural beauty and charm, and contains many of the state’s historic sites, the state’s capitol and the Minnesota History Center. It is an area that has preserved distinctive architecture, cherished nature’s beauty and offers a wide range of shopping and dining experiences.

The Twin Cities area is considered the capital for the arts in the Upper Midwest. There is a very high per-capita attendance of theatrical, musical and comedy events across the area, which may be attributed to the large number of colleges and universities providing strong supply and demand for arts. There are more theater seats per capita here than in any other American city, except New York City.

From quaint small-town celebrations to one of the largest state fairs in the nation, there’s an event to attend every weekend no matter the time of year. Whether you’re an outdoor enthusiast, a theatergoer, or someone who loves to shop, the metro area has an activity to fit your interests and budget. Visitors will find upscale lodging, dining and award-winning theater, all in an area with dozens of parks, trails and green space, including the Mississippi National River and Recreation Area, a national park site that boasts 72 miles of public riverfront.

There are several lakes in the region, and cities in the area have some very extensive park systems for recreation. Studies have shown that area residents take advantage of this and are among the most physically fit in the country. This connectedness with the outdoors also brings a strong sense of environmentalism to many Minnesotans.
