Rezaul Ahsan Senior Manager, Organization Development, The ACME Laboratories Ltd, Dhaka, BANGLADESH ABSTRACT This paper investigates the relationship between corporate culture and attitudes toward organizational change from the perspectives of a large pharmaceutical company in Bangladesh. A structured questionnaire was developed on the basis of the competing values framework of culture typology of Cameron and Quinn (2006) and a study of Justina Simon (June 2012), which was distributed to the 55 staff members of the company. The result shows that there is a significant relationship between corporate culture and organizational change. The study reveals that the organization has adopted all four types of organizational culture and the dominant existing organizational culture is the hierarchy culture. The study also shows that the resistance to change is a function of organizational culture. The implications of the study are also discussed. The critical importance of employees’ involvement in the quality process of an organization is based on the belief that the best process innovation ideas come from the people actually doing the job. Employee involvement in quality efforts can only come about when the em- ployees know that the organization cares for them. Organizational Culture and Knowledge Management Success at Project and Organizational Levels in Contracting Firms Patrick S.W. Fong1 and Cecilia W.C. Kwok2 ABSTRACT This research focuses on contracting firms within the construction sector. It characterizes and evaluates the composition of organizational culture using four culture types (Clan, Adhocracy, Market, and Hierarchy), the strategic approach for knowledge flow, and the success of KM systems at different hierarchical levels of contracting organizations (project and parent organization level). Responses from managers of local or overseas contracting firms operating in Hong Kong were collected using a carefully constructed questionnaire survey that was distributed through electronic mail. The organizational value is analyzed in terms of the four cultural models. Clan culture is found to be the most popular at both project and organization levels, which means that the culture of contracting firms very much depends on honest communication, respect for people, trust, and cohesive relationships. Another significant finding was that the two main KM strategies for knowledge flow, Codification and Personalization, were employed at both project and organization levels in equal proportion. -

CORPORATE GOVERNANCE GUIDELINES A. Role of the Board of Directors The Board of Directors (“Board”) is elected by shareholders to provide oversight to senior management in their management of Covance Inc. (“Covance”). Consistent with its fiduciary duty, the Board exercises its oversight to enhance the long term value of Covance to its shareholders. The Board recognizes that long-term value is enhanced in part by responsibly taking account of other stakeholders and interested partners, such as customers, employees, suppliers, and the public. The Board has adopted these guidelines to set forth the principles of corporate governance under which the Board expects to operate. The Board will review these guidelines from time to time and make such changes as it deems necessary and appropriate. B. Board Responsibilities 1. General Oversight The Board’s oversight of senior management in their management of Covance will include review and discussion of the performance of Covance and its management, its strategies, plans and prospects, and other matters of significant importance. 2. Ethical and Lawful Conduct Each director shall adhere to the applicable Covance policies concerning integrity and ethical behavior which the Company’s management and employees are subject, including without limitation the Covance Code of Conduct and its policies on securities law compliance. Covance’s Code of Conduct is posted at Covance’s website (Covance.com). In exercising their oversight of Covance, the directors expect the company’s senior management and its outside advisors and auditors to act with honesty and integrity and the Board expects reasonably to rely on their honesty and integrity. If an actual or potential conflict of interest arises for a director, the director shall promptly inform the CEO and the presiding director for the pending meeting. -

The organization did not work as efficiently as it could, and senior managers have encountered various problems. We have been asked to estimate the situation, analyze it, and come up with solutions which could increase efficiency and productivity; in other words, increase organizational performance. After preliminary interview with the senior manager, we have identified our areas of the interest: organizational structure, leadership, and communication. This preliminary interview made us very interested at the situation at Laboratoriemedicin, and helped us to formulate our research question: “How do organizational structure, leadership, and communication affect productivity and efficiency of the public health-care organization?” Moreover, it made our research have two purposes, one of academic character, and one of practical character. -

POSITION DESCRIPTION CHIEF EXECUTIVE OFFICER The Chief Executive Officer ("CEO") of Precision Drilling Corporation (the "Corporation") is appointed under the authority of the Corporation's by-laws and the policies of the board of directors (the “Board” or "Board of Directors"). The CEO of the Corporation has two major roles: To direct and execute all activities of the Corporation either directly or through delegated authority; and To provide leadership in these and other areas: the creation of vision, strategic, tactical and financial plans; developing goals and measuring performance to the approved goals; organizational development; liaison to the public, investment community, government, affiliated organizations and other stakeholders; and the development of the Corporation's management and staff. RESPONSIBILITIES Authority The CEO operates under the authority granted by the Board pursuant to the Mandate set forth below and such extensions of authority as may be granted from time to time. The approval of the Board (or appropriate Board committee) shall be required for all significant decisions outside of the ordinary course of the Corporation's business, including major financings, acquisitions, dispositions, budgets and capital expenditures as set out in the Corporation's policies and procedures. Mandate The CEO possesses the highest personal and professional integrity. The CEO shall act honestly and in good faith with a view to the best interests of the Corporation and will exercise the care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances. The CEO avoids potential or actual conflicts of interest with the Corporation or other interests which are incompatible with the position of CEO.
