TAKEOVERS + SCHEMES REVIEW 2018 GTLAW.COM.AU 1 THE GILBERT + TOBIN 2018 TAKEOVERS AND SCHEMES REVIEW 2017 demonstrated a distinct uptick in activity for Australian public company mergers and acquisitions. Some key themes were: + The number of transactions announced increased by 37% over 2016 and aggregate transaction values were among the highest in recent years. + The energy & resources sector staged a recovery in M&A activity, perhaps signalling an end to the downwards trend observed over the last six years. The real estate sector made the greatest contribution to overall transaction value, followed closely by utilities/infrastructure. + Despite perceived foreign investment headwinds, foreign interest in Australian assets remained strong, with Asian, North American and French acquirers featuring prominently. Four of the five largest transactions in 2017 (including two valued at over $5 billion) involved a foreign bidder. + There was a material decline in success rates, except for high value deals greater than $500 million. Cash transactions continued to be more successful than transactions offering scrip. Average premiums paid fell slightly. + Regulators continue to closely scrutinise public M&A transactions, with the attendant lengthening of deal timetables. This Review examines 2017’s public company transactions valued over $50 million and provides our perspective on the trends for Australian M&A in 2017 and what that might mean for 2018. We trust you will find this Review to be an interesting read and a useful resource for 2018. 2

  • EMF Group of Companies, a Private Australian Fitness Group, Has Hired
Leisure 19:39 AEDT18 Dec 2018 EMF hires BlueMount Capital to assist with debt funding; potential exit in 3-5 years - co- owner Proprietary Intelligence Headline: EMF hires BlueMount Capital to assist with debt funding; potential exit in 3-5 years - co-owner Main body: EMF Group of Companies, a private Australian fitness group, has hired Brisbane-based corporate advisory firm BlueMount Capital to raise capital through debt to roll out fitness centres, ahead of a planned exit in three to five years, co-owner Scott Freeman said. The Gold Coast-based company, which currently has six sites and 9,000 members in Queensland, is seeking AUD 5m (USD 3.6m) to roll out fitness sites in retail centres in high socio-economic areas, initially south- east Queensland and then New South Wales, Victoria and Western Australia, Freeman said. EMF, with plans to have 14 centres and 34,000 members by 2021, has signed heads of agreement on a number of new sites and has started engaging with banks and other debt financiers, he added. There has been significant interest in the space, not least from private equity, with Quadrant PE for one having acquired a number of fitness centres in recent years, including Fitness First, Goodlife Health Clubs, and Jetts in 2016, and Fitness and Lifestyle in 2017, Freeman noted. EMF’s preference, however, is to raise capital through debt as opposed to equity financing, since the owners do not want to relinquish control while the company is in a key growth phase, he explained. The company was founded in 2013 by Freeman and Leigh Wetton, after leaving careers in the military.

TAKEOVERS + SCHEMES REVIEW 2017 GTLAW.COM.AU 1 TAKEOVERS + SCHEMES REVIEW 2017 GILBERT + TOBIN PRESENTS THE 2017 TAKEOVERS AND SCHEMES REVIEW 2016 was a solid but unspectacular year for Australian public company mergers and acquisitions. Some key themes were: + Number and value of transactions down from 2015 but aggregate transaction values were still higher than 2014. + 2016 saw a record number of all-cash transactions. There was a shift away from creative consideration structures. In general, target boards and shareholders seemed to value certainty in uncertain political and economic times. + Schemes of arrangement were increasingly the transaction structure of choice. + Despite negativity in respect of the Government/FIRB’s approach to the Ausgrid and Kidman transactions, foreigners continued to bid for Australian companies and were generally successful. + ASIC and the ACCC were highly active in their transaction reviews. This Review examines 2016’s public company transactions valued over $50 million and provides our perspective on the trends for Australian M&A in 2016 and what that might mean for 2017.
