Independent Audit Report to the members of Music NSW Incorporated

Report on the Audit of the Financial Report

Opinion

We have audited the Financial Report of Music NSW Incorporated (the Organisation), which comprises the Statement of Financial position as at 31 December 2020, the Statement of Profit or Loss and Other Comprehensive Income, the Statement of Changes in Equity and the Statement of Cash Flows for the year then ended, and Notes to the Financial Statements, including a Summary of Significant Accounting Policies, and the Responsible Persons' Declaration.

In our opinion, the accompanying Financial Report of Music NSW is in accordance with the Corporations Act 2001, including:

(i) giving a true and fair view of Music NSW's financial position as at 31 December 2020 and of its financial performance for the year ended; and

(ii) complying with Australian Accounting Standards and the Corporations Regulations 2001.

Basis for Opinion

We conducted our Audit in accordance with Australian Auditing Standards. Our responsibilities under those standards are further described in the Auditor's Responsibilities for the Audit of the Financial Report section of our Report. We are independent of Music NSW in accordance with the Auditor Independence Requirements of the Corporations Act 2001 and the ethical requirements of the Accounting Professional and Ethical Standards Board's APES 110 Code of Ethics for Professional Accountants (the Code) that are relevant to our Audit of the Financial Report in Australia. We have also fulfilled our other ethical responsibilities in accordance with the Code.

We confirm that the Independence Declaration required by the Corporations Act 2001, which has been given to the Committee Members of the Organisation, would be in the same terms if given to the Members as at the time of this Auditor's Report.

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Key Audit Matters

Key audit matters are those matters that, in our professional judgement, were of most significance in our Audit of the Financial Report of the current period. These matters were addressed in the context of our audit of the Financial Report as a whole, and in forming our opinion thereon, and we do not provide a separate opinion on these matters.

Responsibilities of Committee Members for the Financial Report

The Committee Members of the Organisation are responsible for the preparation of the Financial Report that gives a true and fair view in accordance with Australian Accounting Standards and the Corporations Act 2001 and for such internal control as the Committee Members determine is necessary to enable the preparation of the financial Report that gives a true and fair view and is free from material misstatement, whether due to fraud or error.

Auditor's Responsibilities for the Audit of the Financial Report

Our objectives are to obtain reasonable assurance about whether the Financial Report as a whole is free from material misstatement, whether due to fraud or error, and to issue an A R that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with Australian Auditing Standards will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of the Financial Report.

As part of an audit in accordance with the Australian Auditing Standards, we exercise professional judgement and maintain professional scepticism throughout the Audit. We also:

Identify and assess the risks of material misstatement of the financial report, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

Obtain an understanding of internal control relevant to the Audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of Music NSW a c.

Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the Committee Members.

Conclude on the appropriateness of the Committee Members use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may ca ca b Mc NSW ab c a a cc. I cc a a aerial ca , a a a a a c aca report or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained u a a . H, c a ca Mc NSW ca to continue as a going concern.

Evaluate the overall presentation, structure and content of the Financial Report, including the disclosures, and whether the financial report represents the underlying transactions and events in a manner that achieves fair presentation.

We communicate with the Committee Members regarding, among other matters, the planned scope and timing of the Audit and significant audit findings, including any significant deficiencies in internal control that we identify during our Audit.

We also provide the Committee Members with a Statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

From the matters communicated with the Committee Members, we determine those matters that were of most significance in the Audit of the Financial Report of the current period and are therefore the key audit matters. We describe these matters in our A R unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.

Chair’s Report

2020 was an extraordinary year for all arts organisations in the sector. The arrival of the COVID-19 pandemic forced all organisations to rethink their operation within the constraints of what could be delivered within lockdowns, temporary venue closures, social distancing rules, and heavily restricted movement. For an organisation with many thousands of stakeholders, this required a rapid pivot.

I am pleased to advise that MusicNSW managed to make this shift with speed and with a great deal of effectiveness. We had already been in the process of further developing our digital strategy to increase our reach and so were able to accelerate this work towards offering our usual face to face development activities in online mode. This was enabled by a refocusing of our budget and re-allocation of staff capacity towards online delivery and engagement. I would like to thank and commend all of the staff at MusicNSW on their extraordinary responsiveness to this substantial change to our operating plan. Like most organisations, the pivot to online has a silver lining, in that it has accelerated our digital presence and made our services more accessible than ever before.

Under the leadership of Managing Director Emily Collins, the organisation was also able to involve itself in a range of major advocacy projects for the sector which became urgent in the wake of the pandemic. This included, but as no limied o, he loss of msicians income from he closre of lie performance infrastructure and the closing of borders, as well as the crisis facing music venues in our state who were not able to operate for periods of time and when they could, had to operate at greatly reduced capacity. It is at these moments that the true value of MusicNSW can be seen. It is critical to have a single, trusted source of advice to stakeholders on the needs of the sector in such a tumultuous global event. I know that all stakeholders, from musicians, to venue operators, to government stakeholders have all been appreciative of the work of the organisation during this exceptional and challenging year for the entire music and arts sector.

In 2020 we expanded our reach via the establishment of new regional music officer positions. This was an important initiative, piloted from reserves, which has now secured further funding from our state government stakeholders. MusicNSW has a strong commitment to reach and impact in regional areas of NSW and we look forward to further building capacity and presence across the state, engaging directly with regional communities to achieve greater impact.

On behalf of the board, I would like to thank the staff Managing Director, Emily Collins, for her exceptional leadership, along with Laura Murdoch and Bart Denaro for their excellent work in producing and communication roles. Thanks also to our regional music officers and to the wide range of industry experts who give their time and expertise to build value through our work. Lastly, I would like to thank the MusicNSW board for the time, energy and the intellect they bring to the discussions around the current and future activities of the organisation.

Treasurers 2020 AGM Report

The 2020 brought many challenges to the entire music industry across Australia and the globe from a financial and program delivery perspective. The global shutdon diecl impaced MicNSW abili o delie i in-person programs. Early in the pandemic MusicNSW implemented a COVID safe policy and continuity plan. A key part of this was to maintain clear communication with funding bodies and seek pre-approval to adjust program delivery.

Throughout 2020 MusicNSW continued to be managed in a financially prudent manner. Systems are in place with MyAccounts managing day to day bookkeeping and lodgements, Emily Collins managing budgets, payroll, invoicing, and bank payments, and Julian Knowles authorising payments. A budget subcommittee was also formed in late 2020 to review and plan for the allocation of additional funding received.

When the pandemic commenced in March 2020, MusicNSW was in a strong position financially as core funding for the 2020 calendar year had already been received. MusicNSW was able to continue remunerating employees at the same rate, while meeting COVID safe policies. In consultation with Create NSW, some in-person programs were adjusted, which resulted in a decrease in program delivery expenses in some areas such as travel and accommodation.

The second half of 2020 MusicNSW received 4 key revenues:

- Four year funding confirmation - $420K per year (an increase of $65K per year) - Bridge funding for Regional Music Program (RMO) - $50K - Funding for a First Nations Program Manager $70K - A commitment to expand the RMO program - commitment only - $600K

In July 2020 Create NSW confirmed MusicNSW multi-year funding of $420K per year (an increase of $65K per year) for four years. This commitment provides a very stable financial base for the organisation to plan long term program delivery based on the strategic plan, and also to retain our excellent staff.

The original RMO pilot program was funded from MusicNSW reserves, as a strategic decision made by the Board, to re-invest organisational reserves into a regional music program. The bridge funding received in 2020 was both a demonstration of confidence in this decision and the success of RMO pilot program itself.

MusicNSW received an additional commitment of $600K to expand the Regional Music Development Officer program to be rolled out in 2021. This revenue more than doubles MusicNSW program budget for a 12 month period. This commitment of funds necessitated the formation of a budget subcommittee to review resources, staffing, and budget.

Due to this expansion. the Board decided to invest financially in our Managing Director Emily Collins by increasing her salary. It was agreed that an increase in salary will be covered from MusicNSW surplus funds, as an investment in key staff is seen as a long term investment in the organization and the music industry in NSW.
