PUBLIC COMMENT Speakers are requested to sign in prior to the start of the meeting and are limited to three minutes. Speaker’s time may be modified based on the number of public speakers. Public comments on agenda items will be accepted during the meeting as items are addressed. Public comment on issues NOT on the current Agenda is allowed. However, no debate by the Board shall be permitted on such public comments and no action will be taken on such public comment items at this time, as law requires formal public notice prior to any action on a docket item. The purpose of these executive sessions is: A. To confer with and receive advice from legal counsel regarding potential litigation involving the 22nd DAA. Based on existing facts and circumstances, there is significant exposure to litigation against the 22nd DAA. B. To confer with and receive advice from legal counsel regarding potential litigation involving the 22nd DAA. Based on existing facts and circumstances, the Board of Directors will decide whether to initiate litigation. C. To confer with counsel, discuss, and consider the following pending litigation to which the 22nd DAA is a party. Zweig v. 22nd DAA, San Diego County Superior Court, Case No. 37-2018-0024143 D. ROLL CALL All Directors were present except for Director Frederick Schenk and Don Mosier who had excused absences. CONSENT CALENDAR Director Lisa Barkett moved for approval of items A through F on the Consent Calendar. A. Directors Pierre Sleiman, Kathlyn Mead, Lee Haydu, Vice President (VP) Richard Valdez, President Steve Shewmaker, Directors Lisa Barkett and David Watson, were all in favor and the motion carried. MANAGERS REPORT Employee Recognition for “Years of Service” CEO Timothy Fennell recognized and thanked the following team members for their 20 years of outstanding service to the District: Pat Kerins, Public Safety Director, who keeps the Fairgrounds safe and secure and Lupita Talamantes, Satellite Wagering Facility Janitor, who was unable to attend. Events Report CEO Timothy Fennell reviewed the events for April and May 2019 on pages 33-34 of the Board Packet. Page 5 22nd DAA Board Meeting Minutes April 16, 2019 Page 2 of 4 Appointment of a member and an alternate member to the California Fairs Financing Authority (CFFA) board of directors on behalf of the 22nd DAA Director Lisa Barkett moved to approve staff’s request to appoint Deputy General Manager Carlene Moore as Director to the CFFA Board of Directors and to appoint CEO Timothy Fennell as an alternate CFFA Board member. Director Kathlyn Mead seconded. Directors Pierre Sleiman, Kathlyn Mead, Lee Haydu, Vice President (VP) Richard Valdez, President Steve Shewmaker, Directors Lisa Barkett and David Watson, were all in favor and the motion carried. Production Department Overview Henry Rivera, Staff Services Manager for the Production department, gave a PowerPoint presentation overview of the Production Department, comprised of five full time team members and up to 60 members during the Fair. Insurance Renewals CEO Timothy Fennell said that it is time to renew insurance policies
