II. TERMS OF OFFICE:

The terms of Office of th e Chairman and members in their individual capacity shall he for a period not exceed ing 3 (three) years from the uaie of appointment. The terms of Office of officials nominated shall be co-terminus with- the office they hold .

Provided that, during the term of office, a member can depute a represen­ tative if he/she is n at in a position to attend the meeting.

III. POWER AND FUNCTION OF THE BOARD:

a) To approve the budget, annual plans and five year plans of the ' Institute. ,

b) To make annu al review of the functioning of the Institute.

e) To consider the implications of the policy (s) adopted by the CounciL It shall take final decisi o n on the matters referred to by the Executive Council and the Director of the Institute.

d) To consider and adopt the Audited Accounts.

e) To amend the Memoran,du m of Association, Rules and Regula­ tions and Bye-Laws framed hereunder.

f) Any other business with the permission of the Chairman or as proposed herein-after by a member may also be transacted in the meeting.

IV. MEETING OF THE BOARD OF GOVERNORS': a) The Board shall meet at least once in a year.

b) Notice of the Meeting shall be served to the Members at least 14 days before the scheduled tIlne as fixed by the Chairman. A mee­ ting with sh orter notice �nay also be convened provided that the members present in the meeting approve such shorter notice. Any accidental omission in the issue of notice to any member shall not invalidate the proceedings of tbe meeting.

c) The quorum for the meeting shall be at least seven members present and within half an hour of the time fixed for the meeting. If the quorum is not fulfilled, the meeting may be adjourned to such date, time and place. In such an adj ourned meeting if the quorum is still not fulfilled by the members present thereat shall be quorum for the meetinsto transact the business.
