APPLICATION PROCEDURE: INTERNATIONAL FUTBOL X-CHANGE

Complete the entire application and return the original copy to IFX. Applications will not be accepted unless they are complete and all attachments included. Please print legibly in blue or blank ink. Make a copy of the application for your own records, and we recommend using a traceable carrier service such as certified USPS, DHL, or FedEx for shipment.

We recommend that you keep a folder with copies of all documents related to your exchange program.

Required Attachments:

• $1250 Enrollment deposit: This deposit is set towards Phase I services. It should be made payable to IFX via wire transfer. IFX also accepts payment by VISA or MasterCard via our online registration platform. Do not forget to include your name on the payment. Payment made by credit card are subject to a 3% transaction fee. • Copy of your passport: Please include a photocopy of your valid passport. If you do not have a passport yet, apply for it now. A copy of your passport will be accepted later. • Copy of your player resume • Links to player videos if available

Application Tips:

• Application Agreement: Read thoroughly and familiarize yourself with the policies of the IFX program described in the program agreement at the end of the application. It is necessary that you and your parents fully understand this information and sign the agreement prior to acceptance to the IFX program. The rules have been established to create a safe, enjoyable, and successful program for you. • Make sure that your IFX application has been completed neatly and entirely. Double-check to make sure that all of the required attachments and signatures have been accounted for.

Services Include:

PHASE I – STUDENT PRE-QUALIFICATION • Assist Player with professional and soccer CV preparation • Collection of preliminary documentation and information in order to determine Player’s eligibility for University enrollment and NCAA competition • Determine Player’s eligibility for potential competition in the NCAA • Comprehensive analysis of Player’s English language level • Video Material – If player is deemed preliminarily eligible to study at a US University, IFX assists Player with the compilation of a highlight video if not otherwise available. Cost for shooting and editing videos are charged at 45 Euros / hour plus travel charges in case of shooting.

PHASE II – MARKETING TO UNIVERSITY COACHES • Marketing of Student to various relevant US University coaches, at IFX’s sole discretion, fitting the Student’s playing and academic profile with appropriate Universities. • IFX shall act as the communication partner between the University coaches and the Student, communicating information and feedback from both sides. • Assist with organization and scheduling of phone interviews with coaches and the Student. • Assist with scheduling of any recruiting visits of the Student to any given US University for the purpose of both Student and University to determine their interest in a possible enrollment opportunity. Recruiting visits are not mandatory in many cases. Travel arrangements and expenses of recruitment visits shall not be organized by IFX, unless agreed upon separately. • Support and guidance for visa application process for recruiting visits. Student must apply on their own and IFX shall provide Student with guidance and whenever necessary supporting documentation confirming invitation for recruiting visits

PHASE III – UNIVERSITY APPLICATION PREPARATION • Assistance with application for standardized tests: TOEFL; SAT/ACT or GMAT/GRE • 6 hours of test preparation for SAT/ACT or GMAT/GRE tests • Assistance with formal University applications (University application fees paid separately – generally cost about $300 - $400). ______4847 HOPYARD RD. PHASE IV – UNI SELECTION PROCESS, ENROLLMENT, SCHOLARSHIP OFFERS AND FORMAL ACCEPTANCE • IFX shall communicate to the Student full details of any and all offers from any University which has given a firm and official offer to the Student for either enrollment in their University, enrollment in their University and opportunity to play for the University team, or otherwise. • IFX shall communicate to the Student the financial requirements for enrolling into any University which has provided the Student with an offer. If any scholarships are being offered to the Student, IFX will provide full details of the scholarship offer. • IFX shall communicate on behalf of the Student to the University any acceptance of enrollment offers and/or scholarship offers. IFX shall communicate to the Student any updates, amendments or information given to IFX from the University as it pertains to the Student’s potential enrollment into the University. • Phase IV services shall be considered complete at the time the University sends an official letter of acceptance to the student or to IFX who will forward to the Student. Payment is required for Phase IV regardless of whether the enrollment is accepted by the Student or not. IFX shall then transition the Student to work together directly with the University’s enrollment and admissions department, and coaching staff to ensure the Student is in touch directly with the University’s responsible parties for managing the Student’s admission, student visa, travel and/or any other details necessary for the successful eventual enrollment and participation of the Student at the University.

Prerequisites:

• Ages: 18+ • Players must be currently competing at a competitive level of soccer in their state or country. • High School graduate • English language proficiency • Must demonstrate strong academic record and interest in foreign culture.

Fees and Expenses • $1250 non-refundable deposit payment required with Student’s application and to cover services detailed in Phase I of this Agreement • $1500 non-refundable payment to be paid prior to commencement of services detailed in Phase II of this Agreement • $1500 non-refundable payment to be paid prior to commencement of services detailed in Phase III of this Agreement • $2000 non-refundable payment to be paid immediately after Student receives the final place of study confirmation from the school. This payment shall only be required if the Student receives at least one offer for enrollment and playing opportunity with any given school and is irrespective of whether or not any scholarship money is being offered. • $1500 recurring annual fee for each subsequent year of Student’s enrollment in the University following Year 1.

IFX Payment and Cancellation Policies

Payment Schedule

Player shall pay IFX according to the following payment terms:

• With Application and before PHASE I - $1250 non-refundable deposit payment required with Student’s application and paid to cover services details in Phase I of this Agreement • Before PHASE II - $1500 non-refundable payment to be paid prior to commencement of services detailed in Phase II of this Agreement • Before PHASE III - $1500 non-refundable payment to be paid prior to commencement of services detailed in Phase III of this Agreement • After PHASE IV - $2000 non-refundable payment to be paid immediately after Student receives the final place of study confirmation from the school. This payment shall only be required if the Student receives at least one offer for enrollment and playing opportunity with any given school and is irrespective of whether or not any scholarship money is being offered. • Within 15 days following start date of the Fall Term for subsequent enrollment years after Year 1 - $1500 recurring annual fee for each subsequent year of Student’s enrollment in the University following Year 1.

Player’s payment installments as detailed above are due in advance of commencement services of Phases I, II and III and services included in these Phases shall not commence before the required non-refundable Phase payments have been made. The final payment which is only payable should Student receive an acceptance offer from a University is payable within 15 days of delivery by IFX to the Student the written University offer of acceptance to enroll or enroll and play in their University. This final payment is payable regardless of whether or not the Student accepts the University’s offer to enroll. For every subsequent year that the Student is enrolled in the University Program resulting from placement through IFX services, the Student shall pay a recurring annual fee of $1500, as detailed above.

Cancellation & Refund Policies:

• IFX reserves the right to refuse service to any Student and during any Phase. If after Phase I a student is deemed ineligible to study in the USA, then Phase II shall not commence. All payments shall be considered non-refundable, unless IFX refuses service to a Student who has already paid a Phase installment to IFX, and only in the case when Phase services have not yet commenced. • Students may only cancel their IFX services agreement only prior to Phase II or Phase III. Payments made for Phases already commenced shall be fully non-refundable. • IFX will not alter its payment and/or cancellation policies for any reason. • In the unlikely event that IFX refuses service and the Student’s application for services is not accepted, all payments will be refunded.

IFX Terms of Service

BY USING International Futbol X-Change, LLC, (“IFX”) SERVICES YOU ENTER INTO A BINDING CONTRACT AND AGREE TO COMPLY WITH AND BE BOUND BY THE FOLLOWING TERMS OF SERVICE. UPON YOUR USING THE SERVICES, THESE TERMS OF SERVICE IMPOSE OBLIGATIONS ON YOU AND LIMITS ON YOUR USE OF SUCH SERVICES. PLEASE READ THEM CAREFULLY.

1. Parties. International Futbol X-Change, LLC, (“IFX”) is a California Limited Liability Company, with its place of business at 393 Earhart Way, Livermore, CA 94551, USA. IFX and "You", as a person utilizing any of the services offered by IFX, including minors (each a “Student”), who are being represented by their parent(s) or legal guardian(s) using IFX services for the benefit of such minor, are a party to this contract.

2. Services. IFX provides to Students consultant services about soccer and international education Programs all over the world. IFX assists Students with their pre-qualification, marketing/recruitment, and application process to prospective University programs for the purpose of the Student’s eventual enrollment and attendance at a University and participation as a student athlete with a University Athletic program. Specific service inclusions are provided in the IFX application document and separated into four phases. THE PROGRAMS THEMSELVES ARE NOT OPERATED BY IFX AND IFX HAS NO AUTHORITY OR CONTROL OVER THE PROGRAMS, ITS OPERATIONS OR POLICIES.

3. Separate Soccer & International Education Program Terms and Conditions. Each University soccer and education Program (“Program”) may have separate specific policies (“Program Terms and Conditions”), which you are bound by as a Student if and when you enroll at any particular Program. IFX STRONGLY ADVISES THE STUDENT TO READ AND FULLY UNDERSTAND THE SEPARATE PROGRAM TERMS AND CONDITIONS before applying for a particular Program. While IFX will do its best to provide to the Student information about the Program Terms and Conditions when they become available during the IFX service process, it is your responsibility as a Student to be informed about and follow such Program Terms and Conditions. In many cases, Program Terms and Conditions only become known after IFX services have been rendered. IFX shall not be required to provide Student with any specific Program Terms and Conditions before IFX services are rendered. Student can contact IFX to request specific Program Terms and Conditions prior to commencement of any service Phase.

4. Payment Terms. Student is required to make payments directly to IFX (“Payment”). Payment terms shall follow the IFX Payment and Cancellation Policies set forth in the IFX application document. Payment of all tuition fees for Programs are paid by Student directly to University for enrollment in the University Program. IFX makes no warranties to any deviations in eventual tuition and/or scholarship amounts offered to the Student from what was originally offered, whether during or after the term of this contract.

5. Cancellation by Student and Refund. Payments made to IFX are not refundable, and shall follow the IFX Payment and Cancellation Policies set forth in the IFX application document. No cancellation of any Phase of service may occur after payment has been made.

6. Cancellation by Operator and Refund. According to the respective separate Program Terms and Conditions, operators of Programs may have the right to cancel the Program for any reason. In such a case, Payment made to IFX for services is not refundable. Operators of Programs reserve the right to terminate, without refund, the right to participate in Programs for Students, who, in the operator’s discretion, behave in a manner disruptive or dangerous to themselves or others, who are in breach of any applicable local laws, or who appear unfit, through drugs, alcohol consumption or otherwise, to attend.

7. Exclusivity. Student agrees and warrants to exclusively only be engaged contractually or otherwise with IFX for purposes of consulting and placement services with a University. Working with another agency simultaneously with IFX is prohibited under this agreement and would result in potential monetary damages if a violation occurs.

8. Proprietary Rights. IFX and each Program operator retains the right to use any photographs, videotapes, motion picture, or recording taken during the entire duration of Student’s enrollment in the University Program or any other record of the event for publicity, advertising or any other legitimate purpose.

9. Representations and Warranties. IFX PROVIDES THE SERVICES “AS IS” AND AT STUDENT’S SOLE RISK AND REJECTS AND EXCLUDES ALL REPRESENTATIONS, WARRANTIES AND LIABILITY FOR LOSSES ARISING OUT OF ITS SERVICES AND WITHOUT LIMITING THE GENERALITY OF THIS DISCLAIMER, IFX EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT EXCEPT TO THE EXTENT APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. WHICH ARE LAWFUL IN THE APPLICABLE JURISDICTION, WILL APPLY TO YOU AND LIABILITY OF IFX WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. Student represents and warrants to IFX that Student has full legal authority to register for the selected Program, including full authority to make use of the credit or debit card to which registration fees will be charged. Student represents and warrants that all information provided to IFX is true and accurate and any information provided which is deemed to be false or misleading is considered a breach of contract and IFX reserves the right to suspend or cancel further services to Student with immediate effect. Student must be 18 years or older to make a registration and payment for IFX services or must be represented by a parent or legal guardian. If Student is under the age of 18, parent or legal guardian hereby consents to the collection of Student’s personal information by IFX.

10. Limitation of Liability. SUBJECT TO THE OVERALL PROVISION IN PARAGRAPH 9 ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT IFX SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY TO THE FULLEST AMOUNT PERMITTED BY LAW. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OR DAMAGE, WHICH MAY BE INCURRED BY YOU, INCLUDING, BUT NOT LIMITED TO, (a) LOSS OR DAMAGE AS A RESULT OF PARTICIPATING IN THE PROGRAM, TRAVELING TO AND FROM THE PROGRAM, CANCELLATION OF THE PROGRAM, RELIANCE ON INFORMATION PROVIDED BY IFX, OR LACK OF INSURANCE COVERAGE.

11. Indemnification. The Student expressly agrees to indemnify and hold IFX harmless from any liability or expense, including court costs and attorney’s fees, arising out of or caused by Student's negligence or willful misconduct.

12. General Provisions. These Terms of Service together with the IFX Payment and Cancellation Policies constitute the entire agreement between you and IFX. If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Service is invalid, then that provision will be removed without affecting the rest of the terms. The remaining provisions of the Terms will continue to be valid and enforceable. The Terms of Service, and your relationship with IFX under the Terms of Service, shall be governed by the laws of the State of California without regard to its conflict of laws provisions. You and IFX agree to submit to the exclusive jurisdiction of the courts located within the county of Contra Costa, California to resolve any legal matter arising from the Terms of Service.
